Cell Genesys Inc.

Stephen A. Sherwin, M.D., chairman of the board and chief executive officer, joined Cell Genesys in March 1990 as chief executive officer. In March 1994, he was elected chairman of the board. From 1983 to 1990, Dr. Sherwin held various positions at Genentech, Inc., including vice president of Clinical Research. Prior to 1983, Dr. Sherwin was on the staff of the National Cancer Institute. Dr. Sherwin co-founded Abgenix (acquired by Amgen in 2006), a former subsidiary of Cell Genesys, and Ceregene, Inc., a former subsidiary of Cell Genesys for which he serves as chairman of the board. Dr. Sherwin is a director of Neurocrine Biosciences, Inc. and Rigel Pharmaceuticals, Inc. and also serves as a board member and vice chair for healthcare of the Biotechnology Industry Organization. He holds a B.A. in biology from Yale University, an M.D. from Harvard Medical School and is board-certified in internal medicine and medical oncology.

Mr. Belsky joined Cell Genesys in December 2006 as vice president, finance and chief accounting officer. Prior to joining Cell Genesys, he served as vice president, Global Visa Commerce for Visa International. From 2003 to 2005, Mr. Belsky was chief financial officer at Active Aero Group and from 2001 to 2003 was chief financial officer at DataWave Systems, Inc. Prior to this, he held numerous senior finance and banking positions at Michigan National Corporation and began his career with Coopers & Lybrand. Mr. Belsky is a certified public accountant, a certified treasury professional, and received an M.B.A. from the University of Michigan.

Sharon E. Tetlow joined Cell Genesys in June 2005 as senior vice president and chief financial officer. Prior to joining Cell Genesys, Ms. Tetlow was a venture partner at Apax Partners, a global private equity group, where she focused on the biotechnology industry. From 1999 to 2004, Ms. Tetlow served as chief financial officer at diaDexus, Inc., a privately-held biotechnology company focused on cancer and cardiovascular diagnostics. Ms. Tetlow also served as chief financial officer at Reprogen, Inc. and Terrapin Technologies (now Telik), and held senior finance positions at Synergen, Inc. (acquired by Amgen, Inc.) and Genentech, Inc. Earlier in her career, Ms. Tetlow was an associate at the Brookings Institution in Washington, D.C. Ms. Tetlow holds an M.B.A. from the Graduate School of Business, Stanford University, and a Bachelor of Arts and Science degree magna cum laude, from the University of Delaware.

Michael W. Ramsay joined Cell Genesys in January 2002 and serves as senior vice president of Operations. In this role, Mr. Ramsay oversees the company's cGMP manufacturing facility, which is currently manufacturing GVAX immunotherapy for prostate cancer for ongoing Phase 3 clinical trials. Prior to joining Cell Genesys, Mr. Ramsay served as a vice president of Manufacturing at ALZA Corporation. Mr. Ramsay has also held various positions with SEQUUS Pharmaceuticals, including vice president of Manufacturing Operations, as well as various positions at Syntex Corporation focusing on manufacturing, product development and regulatory affairs. He has nearly 30 years of experience in the biotechnology industry, including 11 years of pharmaceutical manufacturing experience at both clinical and commercial scale. Mr. Ramsay holds a Bachelor of Pharmacy degree from the University of Nottingham in the United Kingdom.

Robert H. Tidwell joined Cell Genesys in August 2000 and serves as senior vice president of Corporate Development. In this role, Mr. Tidwell oversees the corporate development and legal departments. Prior to joining Cell Genesys, Mr. Tidwell was vice president of business development at Calydon, Inc. Mr. Tidwell has also held various management positions with such companies as Boston Life Sciences where he served as chief operating officer, Genetics Institute where he was vice president of Marketing and Business Development, and Eli Lilly and Company where he held various positions, including director of Worldwide Pharmaceutical Licensing. Mr. Tidwell holds an M.B.A. from The Ohio State Graduate School of Business and a Bachelor of Pharmacy from The Ohio State School of Pharmacy.

Zack has been guiding for six years now, but has been rafting since he was a kid. Originally from Woodland, CA, Zack now lives in San Francisco. Having spent 5 years at UC Berkeley studying engineering and running track, he now works for the Biopharmaceutical company FibroGen, Inc, in South San Francisco, devoting much of his time to developing clinical product for various clinical trials. When not working or rafting, Zack has enjoyed backpacking and working in Europe, Scuba Diving and cave exploring in the Caribbean, rafting and free-falling in New Zealand, and surfing the San Francisco coast. He also moonlights as an amateur web designer for RRA.

Mr. Carter has served as a director of Cell Genesys since May 1997. Prior to his retirement in 2006, Mr. Carter was chairman and chief executive officer of Xenogen Corporation. Earlier in his career, he served as president, chief executive officer and chairman of the board of directors of Somatix Therapy Corporation as well as president and chief operating officer of Northfield Laboratories. Mr. Carter is currently a director of Immunogen, Inc. Mr. Carter received a B.A. and an M.B.A. from Indiana University.

Mr. Step was appointed a director of Cell Genesys in March 1993. From 1973 to 1992, Mr. Step served in various positions in senior management of Eli Lilly and Company, most recently as executive vice president, president of the pharmaceutical division and a member of the board of directors and its executive committee. He was chairman of the board of the Pharmaceutical Manufacturers Association and a past president of the International Federation of Pharmaceutical Manufacturers Association. He is also a director of Scios, Inc., Medco, Inc., Guidant Corporation, Pathogenesis Corporation and DBT Online Inc. Mr. Step holds a B.A. degree in economics from the University of Nebraska and an M.S. in finance and accounting from the University of Illinois.

Dr. Potts has served as a director of Cell Genesys since May 1997. Previously, he served as a director of Somatix Therapy Corporation since March 1995. His career spans 40 years of distinguished service in science and medicine. He earned his M.D. in 1957 from the University of Pennsylvania, then trained at Massachusetts General Hospital and National Heart Institute. At the National Institutes of Health, he became head of the section on polypeptide hormones prior to becoming chief of endocrinology at Massachusetts General Hospital in 1968. Dr. Potts served as physician-in-chief at Massachusetts General Hospital and Jackson Professor of Clinical Medicine at Harvard Medical School from 1981 to 1996. In September 1996, he moved from the post of physician-in-chief to director of research at Massachusetts General Hospital and Jackson Distinguished Professor of Clinical Medicine at Harvard Medical School.

Ms. Crowell was appointed as a director of Cell Genesys in September 2000. Prior to her retirement in 2006, she served as managing director of a Flagship Ventures. Ms. Crowell was a founding partner of Applied Genomic Technology Capital Funds and was previously the founder and head of healthcare investment banking at Cowen and Company. Earlier in her career Ms. Crowell held various investment banking positions at Robert Fleming, Dean Witter Reynolds, Merrill Lynch and Citibank International. She has been involved in key financings and strategic transactions for many companies in the biotechnology sector including Celera Genomics, Cephalon, Genzyme, Myriad Genetics, Vertex Pharmaceuticals and Vical. Ms. Crowell holds an M.B.A. from the Haas Graduate School of Business Administration at the University of California, Berkeley and a B.A. from Wellesley College.
