Mr. Archibald served in various executive positions with Conroy, Inc. In 1977, he became vice president of marketing for the Airstream Division of Beatrice Companies, Inc. His subsequent positions at Beatrice included president of Del Mar Window Coverings, president of Stiffel Lamp Company, and president of the Home Products Division. In 1983, he was elected a senior vice president of Beatrice and president of the Consumer and Commercial Products Group. Mr. Archibald left Beatrice and was elected president and chief operating officer of Black & Decker in 1985 and chief executive officer in 1986. He has served continuously in the additional position of chairman of the board since 1987. Mr. Archibald, who is 65, was first elected a director of Black & Decker in 1985. He also serves as a director of Brunswick Corporation, Lockheed Martin Corporation, and Huntsman Corporation.

Jaime A. Ramirez is President – Latin America in The Black & Decker Corporation’s Power Tools and Accessories business. In this capacity, Mr. Ramirez has responsibility for developing and overseeing commercial operations in the Latin American regions. He also is a Vice President of the Corporation, a position to which he was elected in September 2008.
Mr. Ramirez joined Black & Decker in 1991 as a marketing manager in the Power Tools organization in Colombia and has progressed through positions of increasing responsibility in sales, marketing and operations. His career within the Power Tools and Accessories business has included assignments in both North and South America. Prior to assuming his current responsibilities, he had been Vice President & General Manager – Latin America, Power Tools and Accessories, since May 2007.
Mr. Ramirez holds an M.B.A. degree from Loyola College in Maryland and B.A. degrees in both marketing and industrial engineering from Universidad El Rosario and Universidad Javeriana, respectively, in Colombia.

John H. A. Wyatt is President - Europe, Middle East, and Africa (EMEA) in The Black & Decker Corporation’s Power Tools and Accessories business. He also is a Vice President of the Corporation, a position to which he was elected in September 2008.
Before assuming his current position in April 2008, Mr. Wyatt served as Vice President for Black & Decker’s consumer business in EMEA, a position he held since joining the Corporation in October 2006.
Prior to joining Black & Decker, Mr. Wyatt was Vice President & General Manager for The Scotts Miracle-Gro Company’s consumer business in Europe and the Middle East, which he joined in 2002. Previously, he had a 15-year career at PepsiCo where he held positions in marketing, sales, and general management in the United Kingdom, Scandinavia, Canada and the United States, culminating in his position as Commercial Vice President for EMEA based in Switzerland.
Mr. Wyatt holds a B.A. degree in Business Studies from Ealing College, London. He is an active cyclist (mountain bike rider), is passionate about woodland conservation, and is a member of the Pang Valley conservation group in England.

Michael D. Mangan joined Black & Decker as Vice President Investor Relations in November 1999 and was named Senior Vice President and Chief Financial Officer of The Black & Decker Corporation in January 2000. In 2006, he was given responsibility for the Fastening and Fastening Systems segment in addition to his duties as chief financial officer. Previously, Mr. Mangan had been Executive Vice President and Chief Financial Officer of The Ryland Group, Inc., a $2 billion national homebuilding and financial services company, since November 1994. At the time he left General Motors, he was Group Chief Financial Officer and a member of the board of directors of GMAC Mortgage Corporation. Mr. Mangan earned an M.B.A. degree from Dartmouth College's Amos Tuck School of Business Administration and also holds a bachelor of mechanical engineering degree from the General Motors Institute. He is a member of the board of directors of McCormick & Company, Inc. and a member of the board of directors and executive committee of Catholic Charities, Inc. in Baltimore.

Stephen F. Reeves was named Senior Vice President and Chief Financial Officer in September 2008. He previously served as Vice President – Finance for the global power tools and accessories business, beginning in April 2000. From December 1996 to January 2000, Mr. Reeves was the Corporation’s Vice President and Controller and he then served as Vice President – Finance and Strategic Planning for several months.
From 1981 until May 1994, when he joined Black & Decker, Mr. Reeves was with Ernst & Young LLP in Baltimore, where he specialized in providing accounting and auditing services to multinational manufacturing clients.
Mr. Reeves is a member of the Financial Executives Institute, the American Institute of Certified Public Accountants, and the Maryland Association of Certified Public Accountants. He is a past member of the Financial Executives Institute’s Committee on Corporate Reporting.

Mr. Fenton joined Black & Decker as Vice President and General Counsel in May 1989, when the Corporation established the position of General Counsel, and was promoted to Senior Vice President and General Counsel in December 1996. He began his legal career in 1974 with Miles & Stockbridge, Black & Decker's outside legal counsel, and became a partner of the Baltimore-based firm in 1980. Paul F. McBride was named Senior Vice President Human Resources and Corporate Initiatives in March 2004. Previously, he had served as President of the Power Tools and Accessories Group and an Executive Vice President of the Corporation since joining Black & Decker in April 1999. Mr. McBride joined Black & Decker from the General Electric Company, where he was a Company Officer and Vice President and General Manager of the global silicones business, a unit of GE Plastics. Amy K. O’Keefe is Vice President - Global Finance in The Black & Decker Corporation’s Power Tools and Accessories business. Anthony V. Milando is Vice President – Global Operations within the Power Tools and Accessories Group of The Black & Decker Corporation. Les H. Ireland assumed the position of President Europe/Middle East/Africa, within the Power Tools and Accessories Group, in January 2005. He was elected a Vice President of the Corporation in September 2000. Before assuming his current operating position, Mr. Ireland served as Managing Director, Commercial Operations Europe from November 2001. From January to November 2001, he served as Vice President and General Manager DEWALT Professional Power Tools, North America. For a brief period previously, he was President Accessories. Mrs. Shields joined Black & Decker as a Tax Accountant in 1980. Since that time, she has served in positions of increasing responsibility in tax compliance and planning as well as customs and trade matters until her promotion to International Tax and Trade Counsel.
A certified public accountant, Mrs. Shields holds a B.A. degree in accounting from Loyola College in Maryland and a J.D. degree from the University of Maryland School of Law.

Michael R. Solomon, Ph.D. is Professor of Marketing and Director of the Institute for Lifestyle Research at Saint Joseph's University. His research interests include consumer behavior and lifestyle issues, and branding strategy. He has delivered invited lectures on these subjects throughout the world, and he recently completed an elected six-year term on the Board of Governors of the Academy of Marketing Science. He has been quoted in Allure, Elle, Glamour, Mademoiselle, Mirabella, Newsweek, The New York Times, Self, USA Today, and The Wall Street Journal. He frequently appears on television and radio to comment on consumer behavior issues, including "The Today Show," "Good Morning America," CNBC, Channel One, "Inside Edition," "Newsweek on the Air," The Wall Street Journal Radio Network, the Entrepreneur Sales and Marketing Show, the WOR Radio Network and National Public Radio. Dr. Solomon has provided input as a marketing consultant to a variety of organizations. Clients have included Armstrong World Industries, Bayer Healthcare, Gap, Inc., Hakuhodo Advertising (Tokyo), H&M, Johnson & Johnson, Levi Strauss, Living Tomorrow, Prudential Securities, State Farm, and United Airlines. Mr. Fernandez co-founded SI Ventures in 1996 and has 35 years of experience as a venture capital investor and senior operating executive in the information technology and semiconductor industries. He was previously Chairman, President, and CEO of Gartner, where he led the buyout of Gartner in 1990, took the company public in 1994, and led its growth from $40 million to over $90 million in annual revenue during the 1990s. Prior to Gartner, Mr. Fernandez was President and CEO of three technology-driven companies, including Dataquest, an information services company, Gavilan Computer corporation a laptop computer manufacturer, and Zilog Incorporated, a publicly-traded semiconductor manufacturer. At Zilog, he was responsible for growing annual revenue from $5 million to $120 million in only three years while creating the leader in the 8-bit microprocessor market. Previously, Mr. Fernandez was also a Group Executive Vice President of Fairchild Semiconductor, where he managed roughly one-third of Fairchild's business at the time. He began his career in engineering positions with Fairchild and Harris Corporation. Mr. Fernandez holds a bachelor's degree in electrical engineering from the University of Florida and completed graduate work in electrical engineering and business management. He is currently Chairman of the Board of Trustees at the University of Florida, and serves on the boards of Black & Decker, Brunswick and Florida Research Consortium. In addition, Mr. Fernandez was recently appointed by President George W. Bush to serve on the President's Information Technology Advisory Committee.
