Mr. Archibald served in various executive positions with Conroy, Inc. In 1977, he became vice president of marketing for the Airstream Division of Beatrice Companies, Inc. His subsequent positions at Beatrice included president of Del Mar Window Coverings, president of Stiffel Lamp Company, and president of the Home Products Division. In 1983, he was elected a senior vice president of Beatrice and president of the Consumer and Commercial Products Group. Mr. Archibald left Beatrice and was elected president and chief operating officer of Black & Decker in 1985 and chief executive officer in 1986. He has served continuously in the additional position of chairman of the board since 1987. Mr. Archibald, who is 65, was first elected a director of Black & Decker in 1985. He also serves as a director of Brunswick Corporation, Lockheed Martin Corporation, and Huntsman Corporation.

Jaime A. Ramirez is President – Latin America in The Black & Decker Corporation’s Power Tools and Accessories business. In this capacity, Mr. Ramirez has responsibility for developing and overseeing commercial operations in the Latin American regions. He also is a Vice President of the Corporation, a position to which he was elected in September 2008. Mr. Ramirez joined Black & Decker in 1991 as a marketing manager in the Power Tools organization in Colombia and has progressed through positions of increasing responsibility in sales, marketing and operations. His career within the Power Tools and Accessories business has included assignments in both North and South America. Prior to assuming his current responsibilities, he had been Vice President & General Manager – Latin America, Power Tools and Accessories, since May 2007. Mr. Ramirez holds an M.B.A. degree from Loyola College in Maryland and B.A. degrees in both marketing and industrial engineering from Universidad El Rosario and Universidad Javeriana, respectively, in Colombia.

John H. A. Wyatt is President - Europe, Middle East, and Africa (EMEA) in The Black & Decker Corporation’s Power Tools and Accessories business. He also is a Vice President of the Corporation, a position to which he was elected in September 2008. Before assuming his current position in April 2008, Mr. Wyatt served as Vice President for Black & Decker’s consumer business in EMEA, a position he held since joining the Corporation in October 2006. Prior to joining Black & Decker, Mr. Wyatt was Vice President & General Manager for The Scotts Miracle-Gro Company’s consumer business in Europe and the Middle East, which he joined in 2002. Previously, he had a 15-year career at PepsiCo where he held positions in marketing, sales, and general management in the United Kingdom, Scandinavia, Canada and the United States, culminating in his position as Commercial Vice President for EMEA based in Switzerland. Mr. Wyatt holds a B.A. degree in Business Studies from Ealing College, London. He is an active cyclist (mountain bike rider), is passionate about woodland conservation, and is a member of the Pang Valley conservation group in England.

Michael D. Mangan joined Black & Decker as Vice President Investor Relations in November 1999 and was named Senior Vice President and Chief Financial Officer of The Black & Decker Corporation in January 2000. In 2006, he was given responsibility for the Fastening and Fastening Systems segment in addition to his duties as chief financial officer. Previously, Mr. Mangan had been Executive Vice President and Chief Financial Officer of The Ryland Group, Inc., a $2 billion national homebuilding and financial services company, since November 1994. Prior to his association with Ryland, he had been employed from 1981 to 1994 by General Motors Corporation and its subsidiary, General Motors Acceptance Corporation (GMAC), in a series of positions involving strategic and business planning, corporate finance and investments, new business activities, internal control, and information systems. At the time he left General Motors, he was Group Chief Financial Officer and a member of the board of directors of GMAC Mortgage Corporation. Mr. Mangan earned an M.B.A. degree from Dartmouth College's Amos Tuck School of Business Administration and also holds a bachelor of mechanical engineering degree from the General Motors Institute. He is a member of the board of directors of McCormick & Company, Inc. and a member of the board of directors and executive committee of Catholic Charities, Inc. in Baltimore.

Robert Alcock is Chairman of the Audit Committee, Chairman of the Nominations Committee and a member of the Remuneration Committee. He had been a member of the Board of Directors of Incepta since 2001 and joined the Huntsworth Board on 12th May 2005 following Huntsworth's merger with Incepta. He is currently a non-executive director of Simon Group plc where he chairs the Audit Committee and is a member of the Remuneration Committee. He is also Chairman of Anglo & Overseas Trust plc and Chairman of Next Pension Trustees Limited. Previous positions include Group Managing Director of Norcros plc, European Finance Director of RJR Nabisco Inc, Chief Financial Officer and Senior Vice President of Black & Decker Inc, non-executive director of Capita Group plc and Director of Strategic Planning for Gulf Oil's international operations.

Stephen F. Reeves was named Senior Vice President and Chief Financial Officer in September 2008. He previously served as Vice President – Finance for the global power tools and accessories business, beginning in April 2000. From December 1996 to January 2000, Mr. Reeves was the Corporation’s Vice President and Controller and he then served as Vice President – Finance and Strategic Planning for several months. From 1981 until May 1994, when he joined Black & Decker, Mr. Reeves was with Ernst & Young LLP in Baltimore, where he specialized in providing accounting and auditing services to multinational manufacturing clients. Mr. Reeves is a member of the Financial Executives Institute, the American Institute of Certified Public Accountants, and the Maryland Association of Certified Public Accountants. He is a past member of the Financial Executives Institute’s Committee on Corporate Reporting. A certified public accountant, Mr. Reeves graduated from The Pennsylvania State University in 1981 with a B.S. degree in accounting.

Mr. Fenton joined Black & Decker as Vice President and General Counsel in May 1989, when the Corporation established the position of General Counsel, and was promoted to Senior Vice President and General Counsel in December 1996. He began his legal career in 1974 with Miles & Stockbridge, Black & Decker's outside legal counsel, and became a partner of the Baltimore-based firm in 1980. Throughout his tenure at Miles & Stockbridge, he primarily handled Black & Decker legal matters. He is a member of the American Bar Association and the Maryland State Bar Association. Mr. Fenton holds a B.S. degree from The Johns Hopkins University and a J.D. degree from Georgetown University Law School.

Paul F. McBride was named Senior Vice President Human Resources and Corporate Initiatives in March 2004. Previously, he had served as President of the Power Tools and Accessories Group and an Executive Vice President of the Corporation since joining Black & Decker in April 1999. Mr. McBride joined Black & Decker from the General Electric Company, where he was a Company Officer and Vice President and General Manager of the global silicones business, a unit of GE Plastics. Having been employed by GE since 1978, he had served previously in several businesses in the United States, Mexico and Asia. Mr. McBride earned a B.A. degree in economics from Trinity College in Hartford, Connecticut, in 1978.

Amy K. O’Keefe is Vice President - Global Finance in The Black & Decker Corporation’s Power Tools and Accessories business. In this capacity, she has worldwide responsibility for the financial operations of both the Industrial Products Group and the Consumer Products Group. She was named to this position, and as a Vice President of the Corporation, in September 2008. Before being named to her current position, Ms. O’Keefe was Vice President of Finance, Hardware and Home Improvement Group since August 2004, where she had worldwide responsibility for the financial operations of the security hardware and plumbing product businesses. From November 2000 to August 2004, Ms. O’Keefe was Vice President of Finance for the Consumer Power Tools and Accessories Group. She joined Black & Decker in 1996 as Senior Financial Analyst in the Commercial Finance area and progressed to the position of Director of Finance, Consumer Power Tools. Prior to joining Black & Decker, Ms. O’Keefe held positions of increasing responsibility with Ernst & Young LLP in Baltimore. A certified public accountant, Ms. O’Keefe holds a B.B.A. degree in accounting from Loyola College in Baltimore, Maryland.

Anthony V. Milando is Vice President – Global Operations within the Power Tools and Accessories Group of The Black & Decker Corporation. He was named to this position in January 2009, after serving in a similar role for the Industrial Products Group since November 2005. He also is a Vice President of the Corporation, a position to which he was elected in July 2008. Before assuming the IPG operations position, Mr. Milando served as Vice President-Global Sourcing for the Power Tools and Accessories Group since March 2001. From November 1998 to February 2001, Mr. Milando served as Vice President of Finance for the Worldwide Accessory Group. From 1990 to 2000, Mr. Milando held financial positions of increasing responsibility in several areas of the organization. Prior to joining Black & Decker, Mr. Milando held a variety of finance roles at Westinghouse Electric’s Defense group, and also spent time in public accounting. Mr. Milando holds B.S. degrees in finance and accounting from Towson State University in Maryland and an M.B.A. degree from Loyola College in Maryland.

Ben Sihota is President - Asia/Pacific in The Black & Decker Corporation’s Power Tools and Accessories business. In this capacity, Mr. Sihota has responsibility for developing and overseeing commercial operations in the Asia/Pacific region, including, Japan, Korea, China, South East Asia, Australia, and India. He also is a Vice President of the Corporation, a position to which he was elected in February 2006. Mr. Sihota joined Black & Decker in 1981 as a retail representative in the Power Tools organization and has progressed through positions of increasing responsibility in marketing, strategic planning, and general management. His career within the Power Tools and Accessories business has included assignments in North America, Europe, and Asia. Prior to his recent promotion, he had been President - Asia, Power Tools and Accessories, since September 2000 and was based in Tokyo, Japan. Mr. Sihota holds a B.A. degree in business from California State University, Sonoma.

Bruce Brooks is President - Construction Tools in the Industrial Products Group of The Black & Decker Corporation's Power Tools and Accessories business. Bruce earned a B.S. degree in marketing from The University of Virginia and is a 2002 graduate of the Greater Baltimore Committee's Leadership Program.

Christina M. McMullen is Vice President and Controller of The Black & Decker Corporation. She is the principal accounting officer of the Corporation and has responsibility for financial reporting and accounting policy. Ms. McMullen joined Black & Decker in April 1993 as Assistant Controller following a 12-year career with Ernst & Young LLP where she progressed to the position of Senior Manager on the audit staff. She was named Controller of Black & Decker in January 2000 and was promoted to Vice President and Controller in April 2000. A certified public accountant, Ms. McMullen earned a B.S. degree in accounting in 1978 and an M.B.A. degree from the University of Maryland – College Park in 1981.

James R. Raskin is Vice President of Business Development of The Black & Decker Corporation. Mr. Raskin leads the Corporation's efforts in all phases of acquisitions and divestitures supporting its strategic growth objectives. In addition, he is responsible for alliance development and new market analysis. He was named to this position in March 2004 and was elected a Vice President of the Corporation in July 2006. Prior to his current role, Mr. Raskin has held a series of senior level positions at Black & Decker including general management, brand marketing, strategic planning, new business development, licensing, retail operations, and product engineering. Mr. Raskin joined Black & Decker as a Senior Engineer in February 1988 from The North American Philips Corporation, a global manufacturer of consumer durables and electronics. Mr. Raskin earned a B.S. degree in electrical engineering from the University of Hartford in West Hartford, Connecticut.

Les H. Ireland assumed the position of President Europe/Middle East/Africa, within the Power Tools and Accessories Group, in January 2005. He was elected a Vice President of the Corporation in September 2000. Before assuming his current operating position, Mr. Ireland served as Managing Director, Commercial Operations Europe from November 2001. From January to November 2001, he served as Vice President and General Manager DEWALT Professional Power Tools, North America. For a brief period previously, he was President Accessories. These three assignments were within the Power Tools and Accessories Group. Prior to those assignments, Mr. Ireland was President of Price Pfister, the Corporation's plumbing products business. He was promoted to that position in 1998 after having been Vice President, Sales. Previously, Mr. Ireland progressed through various sales positions in both the retail and industrial divisions of the Power Tools and Accessories Group. He was appointed DEWALT Area Manager in 1992, was later promoted to Director - Product Service and subsequently was named Vice President - Sales, Industry/Construction for North American Power Tools in 1997. Mr. Ireland earned a B.S. degree in Business from Towson University in 1986.

Mark M. Rothleitner is Vice President – Investor Relations and Treasurer of The Black & Decker Corporation. He joined Black & Decker as Director of International Treasury in January 1991, and was Assistant Treasurer - International from 1994 through 1996. He was named Treasurer in March 1997, and assumed additional responsibility for Investor Relations in January 2000. Mr. Rothleitner held several positions at AlliedSignal Inc. from 1986 through 1990, including Manager of International Finance in Corporate Treasury and Manager of Financial Analysis and Planning in the company’s automotive sector. Prior to joining AlliedSignal, he spent four years with Union Texas Petroleum in Houston where he worked in Corporate Finance and International Treasury. Mr. Rothleitner holds M.B.A. and B.A. degrees in economics from the University of South Carolina. A graduate of the Baltimore County Chamber of Commerce Leadership Program, he serves on the Executive Board of the National Academy Foundation, a “magnet” high school program within the Baltimore City Public School System. He also serves on the Board of Directors of the National Association of Corporate Treasurers.

Michael A. Tyll is President of The Black & Decker Corporation’s Fastening and Assembly Systems business (Emhart Teknologies), a global leader in the specialty-engineered fastener and assembly systems industry. He was named to this position in April 2006, and was also elected a Group Vice President of The Black & Decker Corporation. Mr. Tyll joined Black & Decker upon the acquisition of the Emhart Corporation in 1989. Mr. Tyll began his career with Emhart in 1980. Since that time, he has served in positions of increasing responsibility in finance, operations, and general management assignments including Vice-President of Operations – North America and Vice-President and General Manager – Industrial Division. He served as President of the global Industrial Division since 1998 and was named President of the global Automotive Division in 2000. He is also active on the management boards of two foreign subsidiaries. Mr. Tyll holds a B.A. degree from the University of Michigan and an M.B.A. from the Ross Graduate School of Business Administration at the University of Michigan.

Natalie A. Shields is Vice President and Corporate Secretary of The Black & Decker Corporation. She was named to this position in April 2006 and has responsibility for Board and Stockholder Affairs, Subsidiary Compliance, Political Contributions, and Community Relations/Contributions. She also provides legal advice on trade matters. Mrs. Shields joined Black & Decker as a Tax Accountant in 1980. Since that time, she has served in positions of increasing responsibility in tax compliance and planning as well as customs and trade matters until her promotion to International Tax and Trade Counsel. A certified public accountant, Mrs. Shields holds a B.A. degree in accounting from Loyola College in Maryland and a J.D. degree from the University of Maryland School of Law.

William S. Taylor is Vice President – IPG Global Product Development within the Power Tools and Accessories Group of The Black & Decker Corporation. He was named to this position in April 2008. He also is a Vice President of the Corporation, a position to which he was elected in July 2008. Before assuming his current operating position, Mr. Taylor served as Vice President/General Manager of the Industrial Accessories Business since June 2005. Prior to that, Mr. Taylor served as Vice President, Product Service Division from January 2003 to October 2004. Mr. Taylor joined Black & Decker as Financial Analyst with DEWALT, Lancaster Division in December 1982 and progressed through various financial roles into product management. Mr. Taylor holds a M.B.A. degree from Loyola College in Maryland.

Michael R. Solomon, Ph.D. is Professor of Marketing and Director of the Institute for Lifestyle Research at Saint Joseph's University. His research interests include consumer behavior and lifestyle issues, and branding strategy. He has delivered invited lectures on these subjects throughout the world, and he recently completed an elected six-year term on the Board of Governors of the Academy of Marketing Science. Dr. Solomon has been recognized as one of the ten most productive scholars in the field of advertising and marketing communications. Dr. Solomon's textbook, Consumer Behavior, published by Prentice Hall, is widely used in universities throughout North America, Europe, and Australasia and is now in its eighth edition. His text, Marketing: Real People, Real Choices was published in its fifth edition by Prentice Hall in January of 2007 and is currently one of the most widely-adopted Principles of Marketing texts in the U.S.A. His trade book, Conquering Consumerspace: Marketing Strategies for a Branded World, (AMACOM) was named one of the best business books of 2004. Dr. Solomon is a frequent contributor to mass media, with feature articles appearing in Psychology Today, Gentleman's Quarterly and Savvy. He has been quoted in Allure, Elle, Glamour, Mademoiselle, Mirabella, Newsweek, The New York Times, Self, USA Today, and The Wall Street Journal. He frequently appears on television and radio to comment on consumer behavior issues, including "The Today Show," "Good Morning America," CNBC, Channel One, "Inside Edition," "Newsweek on the Air," The Wall Street Journal Radio Network, the Entrepreneur Sales and Marketing Show, the WOR Radio Network and National Public Radio. Dr. Solomon has provided input as a marketing consultant to a variety of organizations. Clients have included Armstrong World Industries, Bayer Healthcare, Gap, Inc., Hakuhodo Advertising (Tokyo), H&M, Johnson & Johnson, Levi Strauss, Living Tomorrow, Prudential Securities, State Farm, and United Airlines. He is a Managing Director of Mind/Share, Inc., a consulting firm specializing in consumer research and lifestyle marketing issues for such clients as DuPont, Black & Decker, eBay, PPG Industries, Visa, VF Corp., Timberland, and Calvin Klein.

Donna Preston Sturtz is a principal of Miles & Stockbridge P.C. and a resident in the Baltimore office, which she joined in 1991. Ms. Sturtz is a trial and appellate lawyer with a practice focus on the defense of products liability cases. Her defense of products liability cases has involved various different products, including power tools, large industrial machinery (i.e., curling presses, rubber calenders, slitters, paper drills, etc.), various household products (i.e., toaster ovens, coffee makers, etc.), fire protection sprinkler systems, HVAC/heating units and cellulose insulation. Ms. Sturtz also has extensive experience defending physicians and hospitals in medical malpractice cases. Ms. Sturtz's products liability work also includes assistance with Miles & Stockbridge's role as national coordinating counsel for The Black & Decker Corporation, assisting nationally with the defense of cases involving household products, power tools and industrial machinery. In addition, Ms. Sturtz acts as Maryland trial counsel for other major manufacturers.

Ken has more than 40 years experience as a senior corporate executive responsible for finance, strategic planning, and mergers and acquisitions at such companies as Monsanto, Ralston Purina, Black and Decker and SmithKline Beecham (now Glaxo SmithKline). He has been involved as an investor and as a senior advisor in a number of start-up, early stage and turnaround companies, and has recently served as CEO of Brown and Sharp Manufacturing Co. and as VP and CFO of The University of Rhode Island. He is a member of The Cherrystone Group, a group of "angel investors" who are participating in the financing of Ion.He has a BA degree from Amherst College, was a pilot in the U. S. Navy and attended the Advanced Management Program at Harvard Business School.

Ms. Avery is a seasoned professional with over 2,500 dives logged since 1978. Awards: "Cinematographer of the year" Columbia University's Film school for "Immersion" an underwater ballet, directed and produced by Jodi Kaplan. Underwater Projects Include: "Ocean Spirit" produced by members of the Grateful Dead, "Compulsive Traveler, Magical Dive Sites" for CBS Channel 2, Instructional swim video for Nat B. Eisenberg Television, "Flight 800" for American Journal-inside Edition, "Water from the Moon", a PBS documentary about a disabled scuba diver; underwater casting for Crossroads Productions, and dive/travel videos. Her other experience includes 11 years of NY Advertising art direction, products include Pepsi, Black & Decker and Kodak. Ms. Avery is a PADI Specialty Instructor in Underwater Video/Underwater Photography/Marine Naturalist.

Sonia Clark has served as Vice President, Human Resources since October 2006. She is responsible for leading the global human resources team for Align's operations and facilities around the world. Prior to joining Align, Ms. Clark was with Avago Technologies, a recent spin-off of the Semiconductor Products Group (SPG) of Agilent Technologies. Her experience also includes positions of increasing responsibilities in Human Resources at Cadence Design Systems, Black & Decker, Price Pfister and several startups. Ms. Clark received her bachelor's degree in Molecular Biology from California State University Northridge, and has earned numerous certifications in organizational development programs.

Vulenzo is a member of the Multi-Million Dollar Club. He is native of New Jersey, has lived in the Kentucky/Tennessee area for the past 15 years. Vulenzo has an Associates Degree in Human Services and serves all with professionalism and knowledge. He is people oriented and produces positive results for his clients and customers. Vulenzo is happily married. His wife, Desma, is Assistant Principal of Lincoln Elementary School. Not only does he work full time at Emhart, a Black & Decker company, but he is also a multi-million dollar producer for Coldwell Banker MetroNet Realtors.

Profit Investment Management - Retired Vice Chair. Served as Vice Chair from January 2006 until retirement in December 2007. Profit Investment Management is an investment advisory firm. The Kenwood Group, Inc. -- Retired Chairman. Served as Chairman from 2000 until June 2006 when The Kenwood Group, Inc. merged into Profit Investment Management. Chief Executive Officer from 1989 to December 2005. Director of Black & Decker Corporation and Hospira, Inc. Director of Wisconsin Energy Corporation and Wisconsin Electric Power Company since 1998. Director of Wisconsin Gas LLC since 2000.

Dr. Clark joined the faculty of Harvard Business School in 1978 and was named Dean of Faculty and George F. Baker Professor of Administration in 1995. He was named President of Brigham Young University - Idaho in 2005. His research is focused on modularity in design and the integration of technology and competition in industry evolution, with a particular focus on the computer industry. He and Carliss Baldwin are co-authors of Design Rules: The Power of Modularity (MIT Press, 2000). Dr. Clark was first elected a director of Black & Decker in 2003. He also serves as a director of JetBlue Airways Corporation and Beneficial Financial Group.

Mr. Fernandez co-founded SI Ventures in 1996 and has 35 years of experience as a venture capital investor and senior operating executive in the information technology and semiconductor industries. He was previously Chairman, President, and CEO of Gartner, where he led the buyout of Gartner in 1990, took the company public in 1994, and led its growth from $40 million to over $90 million in annual revenue during the 1990s. Prior to Gartner, Mr. Fernandez was President and CEO of three technology-driven companies, including Dataquest, an information services company, Gavilan Computer corporation a laptop computer manufacturer, and Zilog Incorporated, a publicly-traded semiconductor manufacturer. At Zilog, he was responsible for growing annual revenue from $5 million to $120 million in only three years while creating the leader in the 8-bit microprocessor market. Previously, Mr. Fernandez was also a Group Executive Vice President of Fairchild Semiconductor, where he managed roughly one-third of Fairchild's business at the time. He began his career in engineering positions with Fairchild and Harris Corporation. Mr. Fernandez holds a bachelor's degree in electrical engineering from the University of Florida and completed graduate work in electrical engineering and business management. He is currently Chairman of the Board of Trustees at the University of Florida, and serves on the boards of Black & Decker, Brunswick and Florida Research Consortium. In addition, Mr. Fernandez was recently appointed by President George W. Bush to serve on the President's Information Technology Advisory Committee.
