L. George Klaus joined Epicor Software Corporation in 1996, and today brings more than 30 years of experience in the high technology industry to the role of Chairman, President and Chief Executive Officer. During his tenure, Klaus has grown Epicor’s revenue base from approximately $30 million to more than half a billion dollars, and has driven significant profitability throughout the business. Klaus achieved industry prominence when he restored Frame Technology to consistent profitability through 1995. He has a history of restoring shareholder confidence and rebuilding corporate stability for high technology companies, including Cadence Design Systems/VALID and Hughes LAN Systems. During his tenure at Frame Technology, a leading provider of industry-leading tools for authoring, managing and distributing business-critical documents, Klaus returned the company to sound business performance and Wall Street ratings of “Strong Buy/Aggressive Growth” by leading investment firms. Klaus also directed company negotiations with Adobe Systems for a strategic acquisition beneficial to customers, employees and shareholders. Previously Klaus was chief operating officer of Cadence Design Systems and president and chief operating officer at VALID. His background also included seven years with Hughes LAN Systems where he served as chief executive officer and president. Previous executive experience includes three years with Amdahl Corporation and thirteen years with Control Data Corporation. Klaus holds a Bachelor of Science degree in mathematics from California State University Northridge and did graduate work in math and business at University of California, Los Angeles. He currently serves on the University of California, Irvine - Information and Computer Science CEO Advisory Board. In February 2008, Klaus received the Technology Council of Southern California’s highest award as the Lifetime Achievement Recipient; the Council has also honored Klaus with “CEO of the Year” honors in 2007 and 2004. Other recognitions Klaus has received include: 2004 Outstanding Executive Public Company from the AeA Orange County Council; a Supply Chain “Pros to Know” from Supply & Demand Chain Executive magazine in 2004, 2005, 2007 and 2008; the prestigious “Who’s Who in CRM” in 2004 from CRM magazine; and, START-IT’s 2007 and 2008 CEO Visionaries.

Michael Pietrini has been employed by Epicor for more than 14 years. Most recently, on April 15, 2009, Mr. Pietrini was appointed the Company’s Chief Financial Officer and Executive Vice President of Finance and Administration. From March 2008 to April 2009, he held the position of Senior Vice President of sales and operations for the Americas, where he was responsible for the Company’s direct sales force and channel sales in the Americas representing Epicor’s industry-specific enterprise resource planning (ERP) solutions for manufacturing, distribution, enterprise service automation, financial services, hospitality and non-profit organizations. From January 2004 to March 2008, Mr. Pietrini served as the Company’s Vice President of sales for the Western Americas region with Epicor, where he initiated and implemented the Company’s transformation from selling traditional ERP to selling Extended Enterprise or “ERP II” which encompasses traditional ERP, e-commerce and supply chain management. Mr. Pietrini joined Epicor in 1995 as a business development representative upon graduation from college, growing with the Company and serving in numerous sales operations management roles garnering extensive experience in sales, consulting, customer service, product development, marketing and business development. Prior to joining Epicor, he worked in the finance department for a large Minnesota-based commercial lender. Pietrini graduated Cum Laude with a Bachelor of Science degree in Finance from St. Cloud University in St. Cloud, Minnesota.

Beginning May 15, 2008, Russell Clark held the position of Senior Vice President, Finance and the Company’s principal accounting officer. For the period of March 13, 2009 through April 15, 2009, Mr. Clark also held the position of Interim Chief Financial Officer. Prior to May 2008, Mr. Clark had been the Company’s Vice President, Finance and Corporate Controller of Epicor since July 2006. From August 2004 through June 2006, he served as Vice President, Finance and Chief Accounting Officer at Peregrine Systems, Inc., a developer of enterprise IT asset management and help desk software, until its acquisition by Hewlett-Packard Company. From August 2002 through August 2004, he served as Vice President Finance and Corporate Controller of Fair Isaac Corporation, a provider of enterprise analytics software and services. From January 2000 through August 2002, he served as Senior Vice President, Corporate Finance, for HNC Software Inc., a provider of enterprise analytics software and services, until its acquisition by Fair Isaac Corporation. From August 1990 through January 2000, Mr. Clark served in the technology industry group of PricewaterhouseCoopers LLP, most recently as Senior Manager, Audit and Business Advisory Services. He graduated with highest distinction earning a Bachelors degree in Business Administration with an emphasis in accounting from The University of Iowa and is a certified public accountant.

While an undergrad at Cal Poly Pomona, Bryant served the Theta Sigma chapter as Magister and Consul. He also served as Peterson Chairman leading his chapter to two Peterson Significant Chapter awards. Presently, Bryant is a Marketing Programs Specialist at Epicor Software, a mid-market enterprise solution provider, in Irvine, CA. He now lives in Irvine, CA.

Charles M. Boesenberg, age 60, has served as a director of Callidus since February 2006, as Chairman of the Board since November 2008, and as Executive Chairman of the Board from November 2007 to November 2008. Mr. Boesenberg also currently serves on the boards of Rackable Systems, Inc., a developer of scalable rack mount servers and Keynote Systems, Inc., a provider of on-demand test and measurement products for mobile communications and Internet performance. Prior to its acquisition by Autonomy Corporation in March 2009, Mr. Boesenberg served as a director for Interwoven, Inc., an enterprise content management provider. Prior to its acquisition by Attachmate Corporation in June 2006, Mr. Boesenberg served as chairman and CEO of NetIQ Corporation, a leading provider of integrated systems and security management software solutions, from August 2002 and served as President and CEO of NetIQ from January 2002 to July 2002. Mr. Boesenberg also served as lead independent director of Maxtor Corporation, a provider of hard disk drive storage products and solutions, from January 2002 until its merger with Seagate Corporation in 2006, and as a director of Onyx Software Corporation, a provider of enterprise customer processing software solutions. Mr. Boesenberg also previously served as a member of the Boards of Directors of Symantec Corporation, a provider of Internet security technology, from June 1994 until September 2002, Macromedia, Inc., a developer of software that helps create and deliver effective user experiences on the Internet, fixed media, and wireless and digital devices, from December 2004 to December 2005, Epicor Software, a provider of integrated enterprise software solutions for mid-market companies, from December 2000 until May 2003. Prior to joining NetIQ, Mr. Boesenberg was President of Post PC Ventures, a management and investment group from March 2000 to December 2001. From December 1998 to February 2000, Mr. Boesenberg served as director, President and Chief Executive Officer of Integrated Systems, Inc., a provider of embedded systems software. Before joining Integrated Systems, Mr. Boesenberg was President and Chief Executive Officer of Magellan Corporation, which was the surviving corporation of a merger with Ashtech, Inc., a position that he assumed in January 1995 with Ashtech. Magellan specializes in satellite navigation and communication products. Mr. Boesenberg has held senior executive positions with a number of technology companies including International Business Machines Corporation and Apple Computer, Inc. Don Dixon has been a co-founder and Managing Director of Trident Capital since 1993. From 1988 to 1993, Don was Co-President of Partech International, a private equity fund manager associated with Banque Paribas. From 1983 to 1988, he was a Managing Director of Alex. Brown & Sons. Earlier in his career, Don was a Vice President of Morgan Stanley & Co., and a Senior Account Officer at Citibank, N.A. Don serves as a Director of Epicor Software Corporation (EPIC), Evolving Systems, Inc. (EVOL), PGI, Inc., Merchant e-Solutions, Inc., and Qualys Inc. Earlier, he served as a Director of Affiliated Computer Services, Inc. (ACS), Anasazi Inc., BankAmerica Merchant Services, Inc. (BPI), BlueStar Solutions, Inc., CSG Systems International, Inc (CSGS)., InfoUSA, Inc., Pegasus Systems, Inc. (PEGS), Sygate Technologies, Inc. and Unison Software, Inc. (UNSN). Don earned his B.S.E. from Princeton University and his M.B.A. from Stanford Graduate School of Business. Don is also an Executive Committee member of the SEAS Strategic Planning Committee at Princeton University School of Engineering and Applied Science.

James Richardson has led an illustrious career in high tech over the past 25 years, and now acts as a consultant to high tech companies. His experience includes service as senior vice president and chief financial officer of WebTrends Corporation, which merged with NetIQ Corporation in March of 2001. Prior to WebTrends, Richardson was vice president and chief financial officer at Network General Corporation. There he managed the $1.2 billion merger with McAfee Associates, resulting in the creation of Network Associates. Before that, Richardson was vice president and chief financial officer of Logic Modeling Corporation, now a division of Synopsis, and vice president and chief financial officer of Advanced Logic Research. Additionally, Richardson is a member of several committees including, FEI Company-Audit Committee Member, Digimarc Corporation-Audit Committee Chair, Governance Committee Member and Plumtree Software-Compensation Committee Chair & Audit and Nominating Committee Member. He holds a doctorate degree in law, cum laude, from Northwestern School of Law of Lewis and Clark College and a master's degree in business administration from the University of Portland.

Michael P. Kelly has served as a director of Adept since April 1997 and as lead independent director of the board of directors since October 2003. Michael Hackworth is currently chairman of the board of Cirrus Logic Inc., a position he has held since July 1997. Mr. Hackworth served as president and chief executive officer from January 1985 to June 1998 and continued to serve as chief executive officer until February 1999. Mr. Hackworth currently serves as an "Advisor to Entrepreneurs" and serves on the board of Virage Logic Inc. (VIRL) and several private company boards including interim CEO roles. In 1990, he was named Semiconductor Entrepreneur of the Year by Ernst & Young, and in 2001 the Fabless Semiconductor Association presented him with the prestigious Dr. Morris Chang Exemplary Leadership Award for his visionary contributions to the fabless semiconductor industry.

Richard Pickup is one of the largest holders of Epicor common stock. He has been active in the securities market for more than 50 years and has been involved with a number of different companies. Pickup holds a Bachelor of Arts degree in economics and business from Whittier College.

Mr. Smith joined the board in August 2003 bringing to Virage Logic over forty years of experience in financial management with leading technology companies. From 1963 at the onset of his career at Honeywell, Inc. Smith has held a number of executive positions in operations, finance and administration with Memorex Corporation and Control Data Corporation. In 1982, Smith joined R. R. Donnelley & Sons Company (NYSE: DNY), a leading provider of financial printing and communications as executive vice president, finance and chief financial officer. Smith went on to become president of Maxwell Graphics in 1986. In 1996, Smith joined Novellus Systems, Inc., as executive vice president, finance and administration and chief financial officer. Smith also served on the board of directors of Novellus until his retirement in 2002. Since 1990, Smith has been a member of the board of directors of Cirrus Logic, Inc. (NASDAQ: CRUS), serves on the company's compensation committee, and also serves as chairman of the audit committee. In 2003, Smith joined the board of directors of PLX Technology (NASDAQ: PLXT), a provider of high-speed connectivity equipment in the semiconductor industry and Epicor Software Corporation (NASDAQ: EPIC).

Thomas F. Kelly has served as a director of FEI since September 2003. Mr. Kelly serves as chairman of the board of MontaVista Software, provider of Linux-based development software, where he was also Chairman, Chief Executive Officer and President between June 2006 and February 2008. Mr. Kelly served as President and Chief Executive Officer of Epicor Software Corporation, an enterprise software company from February 2008 until January 2009. He also served as a director of Epicor from January 2000 until January 2009. Mr. Kelly was President and Chief Executive Officer of Encentuate, Inc., an enterprise software company, in 2006. From September 2004 until December 2005, Mr. Kelly was an entrepreneur-in-residence with Trident Capital, a venture capital firm. During that period, from March through September 2005, Mr. Kelly also held the title of Chief Executive Officer and member of the board of directors of Transware Limited and its holding company parent, Eastchase Limited. Transware provides localization and translation services to enterprises and e-learning content suppliers, supporting translation in 80 languages. From January 2001 to September 2004, Mr. Kelly was Chairman and Chief Executive Officer of BlueStar Solutions, Inc., an enterprise resource planning software hosting company. From July 1998 through December 2000, Mr. Kelly was Chairman and Chief Executive Officer of Blaze Software, Inc., a provider of rules-based e-business software that enabled personalized interaction across an enterprise s electronic contact points. From March 1996 through March 1998, Mr. Kelly was employed at Cirrus Logic, Inc., a provider of digital audio, video and high performance analog and mixed signal integrated circuits for consumer entertainment and industrial applications, as Executive Vice President and Chief Financial Officer, and then subsequently as Chief Operating Officer. Mr. Kelly holds a B.S. degree in Economics from Santa Clara University.
