Mr. Tchwella joined BluePhoenix in August 2008. He brings to this position more than 25 years experience and leadership in the high technology industry and vast experience in leading and managing global organizations. With considerable experience and the ability to turn strategy and vision into quantifiable results, Mr. Tchwella is responsible for the overall activities of the Company. Mr. Tchwella most recently served from 2007 to 2008 as president of Comverse Inc., a world leader in providing value added services to more than 500 of the largest global telecommunication companies. In this role he had direct responsibility for defining and executing the company vision and strategy, and managing thousands of employees in all financial, operational and organizational aspects. Prior to this position and as part of his 11 years at Comverse, Mr. Tchwella served as president of the Messaging Division and a member of the executive management team at Comverse. He has also held various executive managerial positions within the product, delivery and customer-facing organizations. Prior to joining Comverse, Mr. Tchwella held engineering and managerial positions over a 13 year period at Advanced Technology Ltd., known today as Ness Technology.

Mr. Harkavi is responsible for the Legacy Modernization Line of Business at BluePhoenix. Prior to this, he served as the VP of Delivery and R&D in BluePhoenix Solutions. Mr. Harkavi has 30 years of experience in the software market, in a range of operational, delivery, sales, and marketing roles. Prior to the merger with BluePhoenix, Mr. Harkavi served as VP of Operations at Crystal Systems Solutions Ltd. While there, he played a key role in the successful growth and expanded operation of the company. Mr. Harkavi established the Crystal worldwide delivery and sales infrastructure and delivered a fast revenue increase. Previous roles included regional sales and delivery management. Prior to Crystal, Mr. Harkavi served for 10 years as a Director of Software Development at Aurec, currently Amdocs Ltd., a worldwide leader in Customer Care and Billing Systems. His responsibilities included management of several major development and implementation projects in the USA and Europe. He led to completion a series of very large implementation activities, managing hundreds of people and tens of millions of dollars, for Pacific Bell Directories, GTE, SBC, and RHDonelley. The development activities that he led had a crucial impact on the business growth of Amdocs and helped open new markets. Previously, Mr. Harkavi was Branch Manager at Cav Systems, a software firm that develops and markets online, multi-user data processing commercial packages based on Digital’s VAX/VMS platform. While there, Mr. Harkavi established a new branch of the company and made it a dominant player in the travel services and customs systems markets. Prior to that he held the position of System Manager at Aman Management Consulting and Kappa Consulting. Mr. Harkavi holds a BS in Industrial Engineering and Management (cum laude) from the Technion, Israel Institute of Technology.

Ms. Sagiv became the Chief Financial Officer of BluePhoenix in June 2007. Between the years 1998-2007, Ms. Sagiv served as the CFO of Formula Ventures Funds, a venture capital funds company in the IT and communication arena. For different terms during 1997-2007, she also served as the CFO of several fast-growing subsidiaries of Formula Group such as Airports Intersystems Technologies Ltd., Clockwork Solutions Ltd., and Transtech Control Ltd. In addition, Ms. Sagiv served as a CFO of Jewelex Ltd., an Israeli publicly-traded company, and as an auditor manager in the accounting firm Goldberg & Co. Ms. Sagiv holds a BA in Accounting from Tel Aviv University and is a Certified Public Accountant in Israel.

Greg Schottland has over 20 years of high-tech industry experience. Prior to his role as Vice President ASNA, he was the VP of North America Sales for BluePhoenix and ASNA. Mr. Schottland joined BluePhoenix through the acquisition of CodeStream (formally Xitec Software) where he served as President. Greg also founded and led Advanced Software Technologies, an object-oriented software design tools provider. Greg has worked for Bell Laboratories, Lockheed Martin and IBM in both technical and business related positions, enabling him to bring both a strong background in software development and technology, along with a sharp focus on the business realities of building and growing successful technology companies. Mr. Schottland holds an M.S. in Computer Science from the University of Illinois and a B.S. in Business from the University of Colorado.

Mr. Jimenez was the founder and CEO of Scientia Network Solutions, a technology and consulting company specializing in helping young technology companies to enter the International Markets, before joining BluePhoenix. Prior to Scientia, Mr. Jimenez served as Vice President and General Manager of Comverse Latin America from 2003 to February 2008 where he had overall responsibility for sales and marketing of all Comverse products to wireline and wireless operators in Latin America. From 1994 to 2000 he held a variety of management positions within Comverse including: Sales, Program Management and Channel Management. From 2000 to 2002, he was Vice President of Sales Latin America for iWeb Technologies, a start-up manufacturer of Internet messaging and Ad Delivery technology, and was responsible for the planning and execution of iWeb’s entry into the Latin America Telco and ISP markets. From 1984 to 1994, he held a variety of Engineering Management positions for Lucas Aero Space, a Long Island New York Defense Contractor, specializing in Avionic Weapon Systems and Microwave Communications. Mr. Jimenez received a Bachelors of Science in Electrical Engineering through the United States Air Force, an MBA from the Dowling Institute in New York and also completed the Global Leadership Program in Organizational Structure through the Technion Institute of Management in co-operation with MIT and Harvard Schools of Business.

Oren Gil-Or has more than 18 years Sales and Marketing experience within the Software industry. Prior to BluePhoenix, Mr. Gil-Or was the Senior Director of Marketing for BMC Software Asia Pacific, where he managed the Asia Pacific marketing, Business Planning and Inside Sales teams and was a part of the BMC Asia Pacific Senior Leadership team. Mr. Gil-Or previously served as the Marketing Director for the Application Management Business Unit within BMC Software as well as a field marketing director within the worldwide marketing organization. Preceding BMC Software, Mr. Gil-Or served as the international sales director for New Dimension. Mr. Gil-Or holds an MBA from Tel-Aviv University and a BSc in Computers Science from Ben-Gurion University.

Ms. Peretz has been with BluePhoenix since 2000, and is responsible for all legal activities related to corporate transactions and on-going business. Before joining BluePhoenix Ms. Peretz worked as Associate Attorney at Shine, Hunter, Martin & Co., a global law firm. Ms. Peretz holds an LLB from the Hebrew University in Jerusalem, and an MA in Business Administration from Tel Aviv University. Ms. Peretz is a member of the Israel Bar.

As Executive Chairman plus principal shareholder of BluePhoenix since May 2003, Mr. Kilman is responsible for managing the company and defining its strategic direction, focusing his efforts on European sales, large enterprise transactions, and strategic partnerships. He also ensures that BluePhoenix has exceptional technology and operational talent delivering end-to-end solutions to global 1000 clients. Mr. Kilman brings to BluePhoenix over 25 years of management experience, including international acquisitions and strategic planning in both private and public companies. Mr. Kilman served as president and CEO of BluePhoenix Solutions B.V. since its inception in October 2001, following an acquisition of a Level 8 Systems business unit. Despite an unfavorable business climate, Mr. Kilman was able to deliver increased profitability. In early 2003, Mr. Kilman drove the merger between BluePhoenix Solutions and Crystal Systems, a public company that delivers legacy integration solutions, and formed the market leader in Enterprise IT Modernization. Prior to BluePhoenix Solutions, Mr. Kilman was Chairman and CEO of Level 8 Systems, which provided products and services in the Enterprise Integration market. During his tenure at Level 8, Mr. Kilman guided the company through two acquisitions, driving revenue growth from $10M to $85M. Mr. Kilman has a BS in Computer Science and a BA in Economics, both from Bar Ilan University in Israel.

Gur Shomron joined our board of directors and appointed as a member of our audit committee in July 2005. Mr. Shomron serves as the chairman of the board of directors of Fidelis Diagnostics Inc. since 2004. Prior to that, Mr. Shomron served as Venture Partner at StageOne VC fund. Mr. Shomron is also a management consultant for Bet Israel 101 Ltd. and serves as a director of our subsidiary, Mainsoft, and of several other privately-held high technology companies.

Michael Chill has served as one of our independent directors and a member of our audit committee since July 2003, in accordance with the Nasdaq rules. Recently, Mr. Chill was designated as the financial expert on our audit committee. From July 2003, Mr. Chill has served as investment manager at the hedge fund Iroquois Capital LOP. Prior to that, Mr. Chill was an independent advisor to various high technology companies and venture capital firms both in Israel and the United States. During 2002 and the first half of 2003, Mr. Chill served as the president and head of investment banking department at Jerusalem Global Ltd., a venture capital and investment banking firm. Prior to that, from 1999, Mr. Chill served as a managing director in the technology investment banking group at Gruntal and Co. Mr. Chill holds a B.S. in accounting from the Sy Syms School of Business at Yeshiva University and an MBA from the Columbia Business School.
