Charles W. Scharf has served as a director of Visa Inc. since October 2007. Mr. Scharf served as a director of Visa U.S.A. from May 2003 to October 2007. Mr. Scharf has served as Chief Executive Officer of Retail Financial Services at JPMorgan Chase & Co. since July 2004 and Chief Executive Officer of the retail division of Bank One Corporation from May 2002 to July 2004. Prior to this, he was Chief Financial Officer/Executive Vice President at Bank One Corporation from 2000 to 2002, Chief Financial Officer of the Corporate and Investment Bank division at Citigroup, Inc. from 1999 to 2000 and Chief Financial Officer at Salomon Smith Barney and its predecessor company from 1995 to 1999. Mr. Scharf was also a director of Travelers Property Casualty Corporation from September 2002 to September 2005. He holds a Bachelor of Arts degree from Johns Hopkins University and a Master of Business Administration degree from New York University.

Mr. Dimon became Chairman of the Board on December 31, 2006, and has been Chief Executive Officer and President of JPMorgan Chase since December 31, 2005. He had been President and Chief Operating Officer since JPMorgan Chase ’s merger with Bank One Corporation in July 2004. At Bank One he had been Chairman and Chief Executive Officer since March 2000. Prior to Bank One, he had held various senior executive positions at Citigroup Inc., its subsidiary, Salomon Smith Barney, and its predecessor company, Travelers Group, Inc. Mr. Dimon is a graduate of Tufts University and received an MBA from Harvard Business School. He is a director of The College Fund/UNCF and serves on the Board of Directors of The Federal Reserve Bank of New York, The National Center on Addiction and Substance Abuse, Catalyst and Harvard Business School and is on the Board of Trustees of New York University School of Medicine.

Marc Sheinbaum is CEO of Auto Finance and Student Loans, part of JP Morgan Chase Retail Financial Services, headquartered in Garden City, NY. Marc joined the firm in February, 2007, after 14 years with GE Consumer Finance (formerly GE Capital), where his most recent position was President of GE Money Services. In that role, Marc led all businesses that marketed fee based products and services to U.S. based consumers. Marc also served as senior vice president, marketing, and was responsible for Americas-wide marketing and product development. Marc joined GE Capital in 1992 as senior vice president, risk management, for Retailer Financial Services.

Mary Callahan Erdoes is CEO of the JPMorgan Private Bank. In her role, Erdoes is responsible for the overall wealth management of ultra high net worth clients around the world. In 2002 Erdoes was named Global Head of Investments for the Private Bank. Prior to joining JPMorgan, she was a portfolio manager at Meredith, Martin & Kaye, an investment advisory firm for high net worth individuals. Erdoes has also worked at Bankers Trust in the corporate finance, merchant banking and high yield debt underwriting areas.

Phil Bleser is a Managing Director and the CEO of the Mid-Corporate Banking Group within JPMorgan Chase & Co. The group, which operates from twenty one locations in the US and Canada, provides traditional banking services, investment banking products, and international capabilities to companies with roughly $250MM and greater in sales. In addition, Phil has management responsibility for the International Banking and Investment Banking groups that provide coverage for all Commercial Banking clients. Phil joined Manufacturers Hanover Trust Company, a predecessor bank of JPMorgan Chase and Co., in 1974 as a teller. Phil worked in several branch and operations groups before joining Commercial Banking in 1985. Phil went on to hold a variety of client-facing management positions in Commercial Banking, including running the banking group in Manhattan's Garment Center. Through those assignments, Phil developed an expertise in the energy, technology, sports and entertainment industries, as well as international financing. When JPMorgan formed Mid-Corporate Banking in 2003, Phil was selected to organize and run the new group. Phil is a member of the Executive Committee of JPMorgan Chase & Co. and a member of Commercial Banking’s Management Committee. Soon after joining Manufacturers Hanover, Phil began night school at Pace University. Over the years that followed, Phil earned his Associate, Bachelor, and MBA degrees through the evening programs at Pace. Outside the firm, Phil's philanthropic activities include serving as a Trustee for Big Brothers Big Sisters of NYC and the National Jewish Medical Center. Phil is also a member of the Advisory Board of the Lubin School of Business at Pace. In March 2009, Pace University elected Phil to the University’s Board of Trustees. Phil and his wife Marianne live in Somers, New York, and are the proud parents of three daughters.

Barry L. Zubrow is the Chief Risk Officer and Executive Vice President of JPMorgan Chase and a member of the Operating Committee. Zubrow also serves as Chairman of the New Jersey Schools Development Authority, which is responsible for an $8.6 billion effort to rebuild the state’s schools infrastructure, and advises Governor Jon Corzine on a broad range of fiscal and policy matters. In 2004, Zubrow left Goldman Sachs after a 26-year career there. He served as the firm’s chief administrative officer, headed its operations and administration division, and co-headed the operations, finance and resources division. Zubrow co-chaired the firm’s risk committee, chaired the space and credit committees, and served on the partnership, commitments and finance and technology advisory committees. He also served as a director of Goldman Sachs International Corp. From 1994 to 1999, Zubrow was the firm’s chief credit officer. Before that, he was a partner in the investment banking division, where he provided strategic and corporate financing advice to major Fortune 100 companies. Zubrow is co-chairman of the board of managers of Haverford College and a member of the board of directors of The Pingry School in Martinsville, NJ, the Juvenile Law Center in Philadelphia, PA and Temple Har Shalom in Warren, NJ. Zubrow received his BA from Haverford College in 1975, an MBA in 1979 from the University of Chicago Business School and his JD in 1980 from the University of Chicago Law School. He resides in New Jersey with his wife, Jan, and their two sons.

Frank J. Bisignano is the Chief Administrative Officer for JPMorgan Chase and a member of the firm's Operating Committee. His responsibilities include overseeing Central Technology & Operations and Real Estate and General Services. Prior to joining JPMorgan, Frank was the Chief Executive Officer for Citigroup's Global Transaction Services business along with being a member of Citigroup's Management Committee and Operating Committee. Before being named CEO of GTS in 2002, Frank was the Chief Administrative Officer of Citigroup's Global Corporate and Investment Banking Group (GCIB) and as such had global responsibility for Operations and Technology and General Services for the GCIB. Frank also served as Deputy Head of Operations and Technology for all of Citigroup from 2000 to 2003. Prior to joining Smith Barney in 1994, Frank was Executive Vice President and Chief Consumer Lending Officer at First Fidelity Bancorporation. Frank was a Senior Vice President at Shearson Lehman Brothers from 1986 to 1990. Frank serves as a Director on the Boards of The Options Clearing Corporation and The Lower Manhattan Cultural Center and previously as a Director for Euroclear and Depository Clearance Corp.

Guy Chiarello is the Chief Information Officer for JPMorgan Chase with worldwide responsibility for the firm's Information Technology functions. Guy joined the firm in November 2007 and is a member of its Executive Committee. Before joining JPMorgan Chase, Guy was Chief Technology Officer and Chief Information Officer for Morgan Stanley for seven years, responsible for the global strategy and execution of information technology for both its securities businesses and corporate functions. He joined Morgan Stanley in 1984 and served in a number of information technology roles over the majority of 23 years. Guy began his career in information technology in 1981 with the Treasury Department for the State of New Jersey. Over the past 10 years, he has been an executive advisor for leading public and private technology companies on business strategy and technology innovation. He has garnered Industry and Private Sector recognition through various awards including; Top Financial IT Executive by CIO Forum, Computer World Premier 100 Leaders, 2008 CIO of the Year by NASSCOM and a special Alumni Citation Award for the College of New Jersey. Guy is a graduate of the College of New Jersey with a B.S. in business. He is married with three children.

Peter L. Scher is the executive vice president for Global Government Relations and Public Policy for JPMorgan Chase and serves as a member of the company's Executive Committee. Prior to joining JPMorgan Chase in June of 2008, Mr. Scher served as the managing partner of the Washington, D.C., office of Mayer Brown LLP, where he had been a partner since 2000 and earlier as the chairman of the firm's Government and Global Trade Practice. Scher spent nearly a decade in government service. Nominated by President Clinton and confirmed by the United States Senate, he served as the U.S. Special Trade Negotiator, with the rank of Ambassador, during which time he was one of the lead U.S. negotiators on China's entry into the World Trade Organization. In addition, he served as the chief of staff in the Office of the United States Trade Representative and in the same position at the U.S. Department of Commerce. Prior to joining the Executive Branch, Scher served on Capitol Hill as the chief of staff to U.S. Senator Max Baucus and as the the majority staff director for the U.S. Senate Committee on Environment and Public Works.

Rick Lazio is Executive Vice President of Global Government Affairs and Public Policy of JP Morgan Chase. Mr. Lazio is a member of the Executive Committee. After representing New York's 2nd district in Congress for eight years, Lazio served as the President and Chief Executive Officer of the Financial Services Forum for the past three years. The Forum was formed in early 2000 by the chief executive officers from twenty of the largest and most diversified financial services institutions in the United States. The Forum's purpose is to promote an open and competitive financial services marketplace, with the aims of ensuring the availability of quality financial products and services, and the stability of the U.S. and global financial systems. Lazio served as an Assistant District Attorney in Suffolk County for five years before being elected to the Suffolk County (New York) Legislature in 1989. He ran for Congress in 1992, defeating an 18-year incumbent. He became Deputy Majority Whip in 1995 and was later named Assistant Majority Leader. As a moderate and a member of the House leadership, Lazio was able to bring people of different ideologies together on a wide variety of issues including financial services, the environment, criminal justice and health care. Mr. Lazio successfully worked to protect valuable federal housing programs for the poor, disabled and elderly during his tenure. Over the last four years of his term in Congress, Mr. Lazio was the only member to serve on both the Commerce and Banking committees, and in that capacity was instrumental in passing the Gramm-Leach-Bliley Financial Services Modernization Act of 1999. As chairman of the House Banking Committee's Subcommittee on Housing, Mr. Lazio authored and negotiated legislation enacting the most sweeping reform of America's public housing in more than 60 years and expanding homeownership for low-income Americans. Mr. Lazio serves a corporate board as Chairman of the Audit Committee for TB Woods Corporation. He also serves on the Boards of World Rehabilitation Fund and Audubon New York. He also is a member of the Advisory Committee of The Ad Council. A graduate of Vassar College and American University Law School, Mr. Lazio, 47, lives with his wife Patricia and his daughters, Molly and Kelsey, in Brightwaters, New York.

Stephanie Mudick is Executive Vice President and helps coordinate international expansion efforts at JPMorgan Chase, driving organic and inorganic cross line of business growth and related governance. Prior to coming to JPMorgan Chase, Mudick spent 15 years at Citigroup, most recently as chief administrative officer/general counsel of the global consumer group, overseeing functional areas including legal, human resources, marketing, governmental affairs, public relations, business practices and sales and distribution. Mudick is on the advisory board of the Museum of Natural History. She is also chair of the board of advisors of City Year New York—an affiliate of the Americorps network; a member of the Board of Directors of Families and Work Institute, a nonprofit organization that addresses the changing nature of work and family life; a member of the YWCA’s Academy of Women Achievers and a member of the board of directors of the Teachers Network, a nonprofit organization that supports public school teachers nationwide.

Stuart Rodie is Vice President of Healthcare Banking for JP Morgan Chase Bank. As a specialist in the healthcare industry, Stuart works with a variety of providers including hospitals, large physician practices, and Health Management Organizations. He has 26 years of retail and commercial banking experience. Stuart is a graduate of Duke University in Durham, NC. He has served as Board Chairman for the Foundation for Senior Living and is a member of the Healthcare Financial Management Association and Arizona Town Hall. Who is Chad? Chad pledged in spring of 1993 at Zeta Alpha Chapter, Bradley University in Peoria, Illinois. He graduated in 1996 with a B.S. in Accounting, and in 1997 with a M.S. in Accounting. He currently works as a Vice President at JPMorgan Chase, splitting his time between New York City and his home in Chicago. What does Chad do currently in the Fraternity? He previously served in Section 51 as section rep and staff training consultant; and in Section 48 as Vice Chair, Parliamentarian, and section rep to various chapters. Cindy Goldman is a Vice President at JPMorgan Chase where she manages the ACH Implementation team. She was the Diversity Chairperson for the Highland Oaks facility and worked with NCCJ to help bring about an understanding of the importance of diversity as a business case. She came to the Tampa Bay area in 1985 from New York and has been involved with the board of Community Tampa Bay since 2004.

Janet Rodriguez is Vice President for Corporate and Social Responsibility at J.P. Morgan Chase in New York. She was a program officer at the Geraldine R. Dodge Foundation from 1993-2000. Her career has also included positions as Producer for Public Programs at the New York Public Library Center for Research in Black Culture, Program Director for the Kentucky Arts Council, and Managing Director at Aaron Davis Hall in NY. As managing director and head of worldwide corporate communications for JPMorgan Chase, the $1.2 trillion global financial services company, Evangelisti serves as chief spokesman for the company, responsible for all media relations. He also leads internal communications and is a member of the firm's Brand Marketing Council. Prior to assuming these responsibilities earlier this year, Evangelisti served as head of media relations for JPMorgan Chase and for JPMorgan before it was purchased by Chase in 2000. Between 1991 and 1994, Evangelisti was based in London —heading media relations, internal communications, branding and advertising for JPMorgan in the UK , continental Europe, the Middle East, and Africa. Between 1986 and 1991, Evangelisti was a member of the company's corporate communications group, holding a variety of junior roles in media relations and internal communications. He joined JPMorgan in 1986 after completing the retail executive training program at Lord & Taylor.

Joyce Chang is Managing Director and Head of the Global Emerging Markets and Global Credit research groups at JPMorgan. Prior to joining JPMorgan, Joyce was a Managing Director at Merrill Lynch and Salomon Brothers. Ms. Chang has also worked for the United States Agency for International Development in the Philippines, Jordan and India. She has been the #1 ranked emerging markets strategist by Institutional Investor for eleven consecutive years. She is a member of the Council on Foreign Relations and the Inter-American Dialogue and serves on the Board of Directors of Trickle Up, EMPower and the New York Theater Ballet. She received her B.A. from Columbia and MPA from the Woodrow Wilson School at Princeton University.

Todd Robinson is the Director of Security Infrastructure Assurance at JPMorgan Chase. The team Todd directs supports other teams involved in Security Event management, operations and engineering. His team provides customer relations management, process improvement, tools development (internal productivity), and project coordination. Todd has over fifteen years experience in the Information Technology field. Todd attended college at Columbus State and Bowling Green State University. His civic involvement includes five years on the Plain City, Ohio Village Council, two years as president. Todd currently resides in Dublin, Ohio with his wife, daughter and son. He is a golf "addict", enjoys traveling, and spending time with his family. Sandy Smith has more than two decades' experience in journalism and public relations. He was part of the team that launched the Penn Current, the faculty/staff newspaper at the University of Pennsylvania, in 1998 and served as its managing editor from 2000 to 2004. His articles have appeared in several publications, including The Philadephia Inquirer, the Philadelphia Gay News and the Welcomat (now Philadelphia Weekly). He is currently a Content Manager at JP Morgan Chase in Wilmington, Del., and a contributor to The Inquirer, the Philadelphia CityPaper and Philadelphia Style magazine.

Mr. Horan has served as Corporate Secretary of J.P. Morgan Chase & Co. (JPMC) since 1996. He joined the legal department of a predecessor of JPMC in 1990, where his responsibilities included derivatives, international banking and private banking. Before joining JPMC, he was an attorney with Bankers Trust Company and prior to that was associated with the J. Aron division of Goldman Sachs & Co. and with the law firms of Paul Weiss and Jones Day Reavis & Pogue. Mr. Horan is a member of the Board of Directors of the American Society of Corporate Secretaries and a past president of their New York chapter. Mr. Horan provided staff support to the Corporate Governance Task Force of The Business Roundtable in development of the BRT’s Statement on Corporate Governance (1997), and represented the BRT and the Business and Industry Advisory Committee to the OECD in the development of the OECD’s Principles of Corporate Governance (1999). Mr. Horan received a B.S. degree from Manhattan College in 1968, an S.M. from MIT, an M.B.A. from NYU and a J.D. from Yale Law School.

Bob Case is a Managing Director of J.P. Morgan and Head of Principal Investment Management within the Investment Bank. Prior to joining J.P. Morgan in 2007, Bob was Chief Administrative Officer of Citigroup Alternative Investments, where he managed the formation and approval of alternative investment funds. Bob's career background includes 13 years at Citigroup/Salomon Smith Barney where he co-chaired the Investment Bank Commitment Committee and helped build the firm's alternative investment businesses; and 13 years at Morgan Stanley, where he was an investment banker in Mergers and Acquisitions. Bob holds an A.B. in Applied Mathematics, and J.D. and M.B.A. degrees, all from Harvard University.

Carlos Hernandez is head of the Investment Bank’s Global Equities business and a member of the firm’s Executive Committee and Corporate Diversity Council. Most recently, Mr. Hernandez managed the firm’s Capital Markets, Origination and Distribution business for the Americas. Prior to that, he managed the Institutional Equities business in the Americas and was previously the head of Global Equity Capital Markets. Before joining the Equities division, he was JPMorgan’s regional executive for Latin America. Since joining JPMorgan in 1986, Mr. Hernandez has worked on a wide array of advisory and financing transactions, across various product groups and regions, representing privately held and multinational companies and governments. In 2004, Mr. Hernandez was named one of the 100 most influential Hispanics in the U.S. by Hispanic Business magazine. He serves on the board of directors of Inroads, a non-profit organization that places talented minority youth in business and industry and help prepare them for corporate and community leadership. He also serves on the board of the Securities Industries Association. Carlos Hernandez holds an M.B.A. from Columbia University and a B.S. in Business from the State University of New York.

Chad Mead is the Global Head of Security Event Management for JPMorgan Chase. Chad previously worked for JPMorgan helping to integrate teams within the Infrastructure Operations Centers. Prior to the merger between Bank One and JPMorgan, Chad was responsible for the creation and leadership of Bank One's key incident response organization called Priority One Management. Over the last 7 years Chad has created or recreated 5 different organizations within five different firms, several of which are within the Fortune 100. For 15 years Chad has worked within various facets of the Information Technology arena from consulting, training, marketing, engineering and operations. He is frequently called upon by industry analysts, publications, and forums to share his expertise in organizational development in operations, information technology, cutting edge concepts and market leading technologies. Chad attended Connecticut College and Ohio State University. He serves on the Board of Trinity School, St. John Lutheran Church and serves as an advisor to Pi Sigma Epsilon, the National Forensic League and multiple other non-profit and community oriented organizations. Chad currently resides in Grove City, Ohio with his wife and three daughters. He is an avid golfer, a private pilot, and he enjoys traveling and spending time with his family. Klaus Diederichs is the Head of JPMorgan's Investment Banking business in Europe, Middle East and Africa. He oversees the firm's Client Coverage, Industry, M&A, ECM, DCM and Leveraged Finance groups in EMEA. He is a member of the Executive Committee of JPMorgan Chase & Co. and the Investment Bank's Global Management Committee. Mr. Diederichs is also a Director of JPMorganCazenove, the firm's Investment Banking joint venture in the UK. Mr. Diederichs has been with JPMorgan since 1980 advising clients on strategic transactions, issuance of debt and equity and risk management. He has worked for the firm in London, New York and Frankfurt. Previous assignments include Global co-head of M&A, co-head of Debt Capital Markets in Europe and Client Coverage in Germany. Mr. Diederichs holds a degree in Business Administration from University of Mannheim, Germany and an MBA from HEC, Universite de Lausanne, Switzerland. Born in 1955, he is a German national. He is married and has four children.

Meryl Kaynard Esq. is a Senior Vice President and Associate General Counsel at J.P. Morgan Chase and heads the employment law group. Meryl is co-chair of the Corporate Board of Advisors for Women Work!, co-chair of the New York Women’s Bar Association Committee on Equal Employment Opportunity for Women, a member of NOW Legal Defense Legal Advisory Council and of NYU’s Center for Labor and Employment Law, and a visiting professor at Hofstra University School of Law teaching Advanced Issues in Labor and Employment Law. She was inducted into the YWCA Academy of Women Achievers in Industry, and she serves as a mediator at the Federal District Court for the Southern District of New York.

Managing Director & Chief Information Officer, JPMorgan Investment Bank Mike Ashworth is head of Global Infrastructure Technology, JPMorgan Chase's central infrastructure organization, serving business and support groups firm-wide with approximately 5,800 staff resources and an annual expenditure of $2.4 billion. Mike is responsible for enterprise hardware and software, global Command Centers and monitoring operations, all infrastructure technology products and services and all desktop, mainframe and help desks, as well as all utility and hardware infrastructure. Previously, he was CIO of the JPMorgan Investment Bank technology organization for six years. During that time, he managed a global team to deliver technology software, systems and support to be a driver of growth and innovation for one of the industry's most successful Investment Banks. Mike joined JPMorgan in London in 1986, as an application developer within Global Swaps. He went on to manage the Swap Derivatives systems team and application development and technology infrastructure for the Fixed Income business. Mike became Chief Technology Officer (CTO) for Global Markets at JPMorgan in February 2000 and Investment Bank CTO in December 2000, following the merger of Chase and JPMorgan. He was named Chief Information Officer of IB Technology in 2002, when front and back office technology was combined. Mike received his B.S. in Economics and Computing and Statistics from the University of Bath in the U.K.

Samuel Todd Maclin has been head of Commercial Banking of JP Morgan Chase & Co., since July 2004. Maclin serves as a Managing Director of JPMorgan Securities, Inc. He served as Chairman and Chief Executive Officer of the Texas Region for JPMorgan Chase. He joined JPMorgan Chase in 1980 and, during the past 23 years, has held a variety of management positions in Texas and New York. He has served on the Executive Committee and Board of Directors of the Greater Dallas Chamber, as an Advisory Director of the Export-Import Bank of the United States, and advisory member of the National Petroleum Council. He serves as Director at Private Export Funding Corporation. He serves as Member of JPMorgan Chase Foundation Board. He serves as a Member of Advisory Board of McCombs School of Business and is a regional trustee for the Boys and Girls Clubs of America, an advisory director of the Better Business Bureau, and a member of the Young President Organization. Maclin graduated with a BBA from The University of Texas at Austin in 1978 and holds an MBA from the University of Houston.

Phyllis J. Campbell is lead independent director of Puget Energy and Puget Sound Energy. She has been president and chief executive officer of The Seattle Foundation since 2003. Prior to that she was chair of the Community Board of U.S. Bank, Washington from 2001 to 2003, and was the bank's president from 1993 to 2001. Campbell has been a director of Puget Energy since its incorporation in 1999 and of Puget Sound Energy since 1993. She also serves as a director of Nordstrom, Alaska Air Group, Inc., and Joshua Green Corporation. She is on the Board of Governors of the Washington State University Foundation.

She was elected to the position in 2007. She joined Springs Industries in 1973 as a financial analyst. She was named executive vice president of The Springs Company, a subsidiary, in 1978, and was later appointed its president in 1982. In 1992, Bowles was named executive vice president, growth and development of Springs Industries, and one year later was named the company's executive vice president of textile production. In 1995 she was appointed the president of Springs Industries' bath fashions group. In January 1997, she became president and chief operating officer of the company, and in December of that year, she was named its chief operating officer. In April 1998, Bowles also was elected as the company's chairman. In 2006, she became Co-Chairman and Co-Chief Executive Officer of Springs Global US, Inc. and Springs Global Participacoes S.A.; and Chairman of Springs Industries, Inc. She has been a member of Springs Industries' board of directors since 1978, and also is a member of the board of directors of JP Morgan Chase & Company, Sara Lee Corporation, Carolina Thread Trail, and The Springs Close Foundation, Inc. Bowles is on the national advisory board of the Maya Angelou Research Center on Minority Health and is a member of The Business Council, the Committee of 200, and the South Carolina Climate, Energy and Commerce Advisory Committee. Bowles holds a bachelor's degree in economics from Wellesley College, and a master's of business administration from Columbia University. David C. Novak became Chairman of the Board on January 1, 2001, and Chief Executive Officer of Yum! on January 1, 2000. He also serves as President of Yum!, a position he has held since October 21, 1997. He previously served as Group President and Chief Executive Officer, KFC and Pizza Hut from August 1996 to July 1997, at which time he became acting Vice Chairman of Yum!. He also held senior management positions at Pepsi-Cola Company, including Chief Operating Officer, and Executive Vice President of Marketing and Sales. Novak shapes the company's overall strategic direction, including four key growth strategies: 1) build leading brands across China in every significant category; 2) drive aggressive international expansion and build strong brands everywhere; 3) dramatically improve U.S. brand positions, consistency and returns; and 4) drive industry-leading, long-term shareholder and franchisee value. Additionally, he devotes much of his time each year to personally train leadership skills to the company's management and franchisees, emphasizing teamwork and a belief in people that rewards and recognizes customer-focused behavior. He is a director of JPMorgan & Chase Co., the Yum! Brands Foundation, The Friends of the World Food Program, and The Business Council. Dave Cote is chairman and CEO of Honeywell, a diversified technology and manufacturing leader, serving customers worldwide with aerospace products and services; control technologies for buildings, homes and industry; turbochargers; and specialty materials. He was first elected president, CEO, and a member of the Board of Honeywell in February 2002. He was named chairman of the Board of Directors on July 1, 2002. Cote came to Honeywell from TRW, a $16 billion products and services provider for the automotive, aerospace, and information technology markets, where he joined as president in 1999. He was subsequently named CEO in 2001 and chairman in 2002. Cote joined TRW from General Electric, where he served 25 years, progressing through a series of positions in manufacturing, finance, marketing, strategic planning, and general management. He was appointed to his last position at GE - corporate senior vice president and president and CEO of GE Appliances - in 1996. Cote is a 1976 graduate of the University of New Hampshire, where he earned a bachelor's degree in business administration. He is one of 10 U.S. CEOs invited to serve on the U.S.-India CEO Forum established by President George W. Bush and Indian Prime Minister Manmohan Singh in July 2005. Cote was recognized by the Foreign Policy Association in 2007 with its Corporate Social Responsibility Award for the company’s Honeywell Hometown Solutions program.

In 1990 Leon Black founded Apollo Management, L.P. a global alternative asset manager, with a proven track record of successful private equity, distressed debt and mezzanine investing. The firm manages investment capital on behalf of a group of institutional investors and has approximately $27 billion in assets under management. From 1977 to 1990 Mr. Black worked at Drexel Burnham Lambert Incorporated where he served as Managing Director, head of the Mergers & Acquisitions Group, and co-head of the Corporate Finance Department. He serves on the boards of directors of Sirius Satellite Radio Inc., and the general partner of AP Alternative Assets. Mr. Black is a trustee of Dartmouth College, The Musuem of Modern Art, Mt. Sinai Hospital, The Metropolitan Musuem of Art, Prep for Prep, and The Asia Society. He is also a member of The Council on Foreign Relations, The Partnership for New York City and the National Advisory Board of JPMorgan Chase. Mr. Black is also a member of the Board of Faster Cures and the Port Authority Task Force. He graduated summa cum laude from Dartmouth College in 1973 with a major in Philosophy and History and received an MBA from Harvard Business School in 1975.

Samuel Zell has served as our Chairman of the Board since September 2005, and had also previously served as a director from 1999 to 2004, as our President and Chief Executive Officer from July 2002 to April 2004 and as our Chairman of the Board from July 2002 to October 2004. Mr. Zell s one-year term as our Chairman and as a director will expire at the next annual meeting of stockholders. Mr. Zell has served as Chairman of the Board of Directors of EGI since 1999, and had been Chairman of the Board of Directors of its predecessor, Equity Group Investments, Inc., for more than five years. Mr. Zell has been the chairman and chief executive officer of Tribune Company, a media company, since December 2007. Until its sale in September 2007, Mr. Zell was a trustee and Chairman of the Board of Trustees of Equity Office Properties Trust, an equity real estate investment trust, commonly known as a REIT, primarily focused on office buildings, since October 1996, was its Interim President from April 2002 until November 2002 and was its and Interim Chief Executive Officer from April 2002 until April 2003. For more than the past five years, Mr. Zell has served as Chairman of the Board of Directors of Anixter International, Inc., a global distributor of electrical and cable systems; Chairman of the Board of Directors of Equity Lifestyle Properties, Inc. (previously known as of Manufactured Home Communities, Inc.), an equity REIT primarily engaged in the ownership and operation of manufactured home resort communities; Chairman of the Board of Trustees of Equity Residential Properties Trust, an equity REIT that owns and operates multi-family residential properties; and Chairman of the Board of Directors of Capital Trust, Inc., a specialized finance company. Mr. Zell is 67 years old.

Stephen A. Schwarzman is Chairman, CEO and Co-Founder of Blackstone and the Chairman of the board of directors of its general partner, Blackstone Group Management L.L.C. He has been involved in all phases of the firm’s development since its founding in 1985. Mr. Schwarzman began his career at Lehman Brothers, where he was elected Managing Director in 1978 at the age of 31. He was engaged principally in the firm’s mergers and acquisitions business from 1977 to 1984, and served as Chairman of the firm’s Mergers & Acquisitions Committee in 1983 and 1984. Mr. Schwarzman is Chairman of the Board of The John F. Kennedy Center for the Performing Arts. He is a member of The Council on Foreign Relations and The Business Council. He is on the board of The New York Public Library, The New York City Ballet, and The Asia Society. He also serves on The JP Morgan Chase National Advisory Board, The New York City Partnership Board of Directors and The Advisory Board of the School of Economics and Management, Tsinghua University, Beijing. Mr. Schwarzman is also a Trustee of The Frick Collection in New York City. Mr. Schwarzman holds a BA from Yale University and an MBA from Harvard Business School. He has served as an adjunct professor at the Yale School of Management and on the Harvard Business School Board of Dean’s Advisors.

Since joining Comcast Cable in 1998, Steve Burke has been a driving force in the Company’s growth from a cable industry leader to a world-class communications company. He has been praised for leading the highly successful and unprecedented integration of AT&T Broadband with Comcast. His work at Comcast has earned numerous industry awards, including the 2006 and 2003 Multichannel News Cable Operator of the Year Award and the National Cable & Telecommunications Association’s 2001 Vanguard Award for Cable Operations Management. Before joining Comcast, Mr. Burke served with The Walt Disney Company as President of ABC Broadcasting. Mr. Burke joined The Walt Disney Company in January 1986, where he helped to develop and found The Disney Stores. In 1992, he moved to Euro Disney S.A., where, as President and Chief Operating Officer, he helped to lead a comprehensive restructuring effort. Mr. Burke serves on the Board of Directors for J.P. Morgan and The Children’s Hospital of Philadelphia. He also dedicates his time and expertise to numerous cable industry initiatives, serving as Chairman of the Executive Committee for C-SPAN, a public service created by the cable television industry. Mr. Burke, 50, is a Phi Beta Kappa graduate of Colgate University and earned an MBA from the Harvard Business School. He lives in Haverford, PA, with his wife and five children.

William C. Weldon is Chairman of the Board and Chief Executive Officer of Johnson & Johnson, the world's most comprehensive and broadly based health care products company. Mr. Weldon assumed his current responsibilities in April, 2002. Previously Mr. Weldon served as Worldwide Chairman, Pharmaceuticals Group, and a Vice Chairman of the Board of Directors. He was elected to the Board in February, 2001. Mr. Weldon joined Johnson & Johnson in 1971 in the sales and marketing department of its McNeil Pharmaceutical subsidiary. In 1982 he was named manager, ICOM Regional Development Center in Southeast Asia. Mr. Weldon was appointed executive vice president and managing director of Korea McNeil, Ltd., in 1984 and managing director of Ortho-Cilag Pharmaceutical, Ltd., in the U.K. in 1986. In 1989, he was named vice president of sales and marketing at Janssen Pharmaceutica in the U.S., and in 1992 he was appointed president of Ethicon Endo-Surgery. In 1995 Mr. Weldon was named a company group chairman of Johnson & Johnson and Worldwide Franchise Chairman of Ethicon Endo-Surgery, the Johnson & Johnson affiliate that develops new procedures for minimally-invasive surgery and designs related products. In 1998 Mr. Weldon was promoted to the Executive Committee and named Worldwide Chairman, Pharmaceuticals Group. Among his outside activities, Mr. Weldon is a member of the Board of Directors of JPMorgan Chase & Co. He is also Chairman of the CEO Roundtable on Cancer, Vice Chair of The Business Council and a member of The Sullivan Commission on Diversity in the Health Professions Workforce. Mr. Weldon also serves on the Liberty Science Center Chairman's Advisory Council and as a member of the Board of Trustees for Quinnipiac University. He previously served as Chairman of the Pharmaceutical Research and Manufacturers of America (PhRMA).
