Bernd Matthes was named president and general manager of BorgWarner Transmission Systems and a vice president of BorgWarner Inc. in July 2005. Previously, he was vice president of European operations for BorgWarner Transmission Systems and general manager for BorgWarner DualTronic™. He has also served as managing director, Europe for BorgWarner Transmission Systems, and dual clutch systems program manager. Jamal Farhat is the Vice President and Chief Information Officer at BorgWarner responsible for the strategy and execution of information technology in the company.
Prior to BorgWarner, Jamal held the position of CIO and Executive Director of Supply Chain Management at LDM Technologies. Laurene H. Horiszny is Chief Compliance Officer of BorgWarner Inc.
Prior to being named to her current position in January 2007, Horiszny served as the company's general counsel since May of 1993. She joined the company in 1986 as an attorney, was promoted to senior attorney in 1988 and assistant general counsel in 1991. Before joining BorgWarner Inc., Horiszny was an attorney with EX-CELL-O Corporation in Troy, Michigan, and with Consumers Power Company in Jackson, Michigan.
Ms. Horiszny earned a bachelor's degree in business from Michigan State University in 1977 and a JD from the Ohio State University College of Law in 1980. She is a member of the American, Illinois and Michigan Bar Associations; Manufacturers' Alliance Law Council II where she served as a chairman 2000-2005; and American Society of Corporate Secretaries, where she served as a member of the Advisory Committee and past president of the Chicago Chapter 1998-2005. Prior to that, he was Vice President, Finance, for BorgWarner Morse TEC, from 1999 - 2002. Mr. Hensel joined the company in 1986 as senior accountant - consolidations. He has held the positions of staff auditor, audit manager, and plant controller. In 1998 he became finance director for BorgWarner Turbo Systems in Kirchheimbolanden, Germany. Christopher H. Vance is Vice President, Business Development and M&A of BorgWarner Inc. He also serves as a member of NSK-Warner's Board of Directors.
Mr. Vance has 25 years of overall industrial experience, the last 10 of which being in the transportation industry with BorgWarner. Previous positions held within BorgWarner include Vice President Finance & Group Controller for the Transmission Systems Business Unit and Plant Controller for the Air/Fluid Systems Business Unit. Prior to joining BorgWarner in February 1997, Mr. Vance held multiple divisional and plant controller positions with two different industrial companies.

Steve Watson resides in Freeville, New York with his wife Barbara. A Mechanical Engineer and designer by profession, Stephen presently works with BorgWarner, Ithaca. He has devoted much of his extra hours of activities to public service; ten years as a president of COAC, an organization to promote the adoption of hard to place children where he helped in counseling prospective and recent adoptive parents. He was also president of a local St. Vincent de Paul Society chapter assessing needs, and soliciting funds to benefit the poor. Within that same time frame, Stephen organized and participated in social functions for individuals in an institution for brain damaged adults. Earlier in his life, he served as a Naval Officer on board ship in Vietnam and Southeast Asia.

Mr. Glaske retired as Chairman and Chief Executive Officer of Blue Bird Corporation, the largest manufacturer of school buses with manufacturing plants in three countries. Prior to becoming President of Blue Bird in 1986, Mr. Glaske served as the President of the Marathon LeTourneau Company, a manufacturer of large off-road mining and material handling equipment and off-shore drilling rigs. He currently is a member of the Board of Directors of BorgWarner, Inc.; of Chicago, Illinois where he serves as Chair of the Governance Committee. In addition, Mr. Glaske serves on the Board of Directors of both Lincoln Educational Services in New Jersey, and Camcraft, Inc., in Illinois. Mr. Glaske has served as a Director of our General Partner since February 2004 and is Chairman of the Audit Committee.

Thomas T. Stallkamp, age 62, has served as a Director of Baxter since 2000. Mr. Stallkamp has been an Industrial Partner in Ripplewood Holdings L.L.C., a New York private equity group, since 2004. From 2003 to 2004, he served as Chairman of MSX International, Inc., a global provider of technology-driven engineering, business and specialized staffing services, and from 2000 to 2003, he served as Vice-Chairman and Chief Executive Officer of MSX. From 1980 to 1999, Mr. Stallkamp held various positions with DaimlerChrysler Corporation and its predecessor Chrysler Corporation, the most recent of which was Vice Chairman and President. Mr. Stallkamp also serves as a director of BorgWarner Inc. and Honsel International Technologies S.A and a director and non-executive co-chairman of Asahi Tec Corporation.
