Mr. Alfred Weber is a Vice President of BorgWarner Inc. and President and General Manager of BorgWarner Morse TEC and BorgWarner Thermal Systems. He also serves as a Vice President of BorgWarner Inc. and on the on the Supervisory Board of Beru AG. He served as President of BorgWarner Emissions/Thermal Systems from 2003 to August of 2005. Prior to that he was Vice President, Passenger Car Operations, BorgWarner Turbo Systems in Kirchheimbolanden, Germany. He also served as plant manager of that operation, from 1994 to 1998. Prior to joining BorgWarner, Mr. Weber was Director of Purchasing Logistics at AG KKK from 1989 to 1994. He served as a Captain in the German Air Force from 1977 to 1989. Mr. Weber holds a diploma in business administration from the University of Munich, Munich, Germany. He also completed the Advanced Management Program at Harvard Business School.

Bernd Matthes was named president and general manager of BorgWarner Transmission Systems and a vice president of BorgWarner Inc. in July 2005. Previously, he was vice president of European operations for BorgWarner Transmission Systems and general manager for BorgWarner DualTronic™. He has also served as managing director, Europe for BorgWarner Transmission Systems, and dual clutch systems program manager. He joined BorgWarner in 1993 as chief engineer at the BorgWarner Transmission Systems Heidelberg plant. Before joining BorgWarner, Dr. Matthes was a research scientist in tribology at the Institute of Materials Science, Technical University Darmstadt, Germany. Dr. Matthes’ academic background includes a master’s degree and doctorate, both in mechanical engineering, from Technical University in Darmstadt, Germany. He is a member of the Board of Directors of NSK-Warner and BorgWarner Transmission Systems-Korea.

Jamal Farhat is the Vice President and Chief Information Officer at BorgWarner responsible for the strategy and execution of information technology in the company. Prior to BorgWarner, Jamal held the position of CIO and Executive Director of Supply Chain Management at LDM Technologies. His background includes senior IT management positions in the automotive industry including OEMs such as General Motors, and many medium to large size tier one suppliers. His experience includes eleven years of information technology consulting at EDS and Perot Systems. Jamal holds a Bachelor & Masters of Science degree in electrical engineering from Washington University in St. Louis and an MBA from the University of Michigan. Jamal holds Project Management Professional (PMP) certification from the Project Management Institute (PMI). He is also certified in Integrated Resource Management (CIRM) by the American Production and Inventory Control Society (APICS).

Laurene H. Horiszny is Chief Compliance Officer of BorgWarner Inc. Prior to being named to her current position in January 2007, Horiszny served as the company's general counsel since May of 1993. She joined the company in 1986 as an attorney, was promoted to senior attorney in 1988 and assistant general counsel in 1991. Before joining BorgWarner Inc., Horiszny was an attorney with EX-CELL-O Corporation in Troy, Michigan, and with Consumers Power Company in Jackson, Michigan. Ms. Horiszny earned a bachelor's degree in business from Michigan State University in 1977 and a JD from the Ohio State University College of Law in 1980. She is a member of the American, Illinois and Michigan Bar Associations; Manufacturers' Alliance Law Council II where she served as a chairman 2000-2005; and American Society of Corporate Secretaries, where she served as a member of the Advisory Committee and past president of the Chicago Chapter 1998-2005. She is currently president of the Detroit Chapter. She served on the Boy Scouts of America Land O'Lakes Council and on the Board of Directors of the Girl Scouts of DuPage County Council. She has volunteered as a mentor with Menttium Corporation since 2006.

Mr. Schaum has been General Manager, 3rd Horizon Associates LLC, a technology assessment and development company, since May 2003. He was Vice President and General Manager of Vehicle Systems for WaveCrest Laboratories, Inc. from October 2003 until June 2005. He was Executive Vice President, Product Development for DaimlerChrysler Corporation from January 2000 until his retirement in March 2003. Mr. Schaum is a fellow of the Society of Automotive Engineers and served as its President in 2007.

Angela D'Aversa is Vice President of Human Resources for BorgWarner Inc. Prior to being named Vice President of Human Resources in 2004, D'Aversa served as Director of Organization and Management Development. D'Aversa joined the company in 1982 and served in progressively more responsible positions in human resources. A native New Yorker, Ms. D'Aversa has a BA from Georgian Court College, a MA degree from Northern Illinois University and a Ph.D. from Northwestern University.

Anthony D. Hensel is Vice President Internal Audit , BorgWarner Inc. He most recently served as Vice President of Business Development and Acquisitions, BorgWarner Inc. Prior to that, he was Vice President, Finance, for BorgWarner Morse TEC, from 1999 - 2002. Mr. Hensel joined the company in 1986 as senior accountant - consolidations. He has held the positions of staff auditor, audit manager, and plant controller. In 1998 he became finance director for BorgWarner Turbo Systems in Kirchheimbolanden, Germany. Prior to joining BorgWarner, Mr. Hensel held accounting positions at Alberto Culver Co. Mr. Hensel holds a bachelor's degree in accountancy from Northern Illinois University, DeKalb, Illinois.

Christopher H. Vance is Vice President, Business Development and M&A of BorgWarner Inc. He also serves as a member of NSK-Warner's Board of Directors. Mr. Vance has 25 years of overall industrial experience, the last 10 of which being in the transportation industry with BorgWarner. Previous positions held within BorgWarner include Vice President Finance & Group Controller for the Transmission Systems Business Unit and Plant Controller for the Air/Fluid Systems Business Unit. Prior to joining BorgWarner in February 1997, Mr. Vance held multiple divisional and plant controller positions with two different industrial companies. Mr. Vance holds a BS in Accounting from Birmingham-Southern College in Birmingham, Alabama and an MBA from the University of Michigan.

Ms. Cynthia "Cindy" A. Niekamp was named President and General Manager of BorgWarner TorqTransfer Systems, Drivetrain Group, and Vice President of BorgWarner Inc. in July of 2004. She joined BorgWarner from MeadWestvaco Corporation where she was Senior Vice President and Chief Financial Officer. She served in a variety of senior roles for the company and predecessor Mead Corporation from 1995 to 2002 in strategic planning and general management, including four years as President and General Manager of Mead Specialty Paper Division. She started her career at General Motors in operations and engineering, before moving to TRW to assume operational and business development responsibilities. She holds a master's degree in business administration from Harvard Business School and a bachelor's degree in industrial engineering from Purdue University. Jeffrey L. Obermayer is Vice President and Controller of BorgWarner Inc. Mr. Obermayer joined BorgWarner Inc. in 1982. He has been Vice President and Controller since December 2004. His most recent prior position was as the Company's Vice President and Treasurer since June 1999. Other previous positions include Controller of Morse TEC's operations in New Bedford, Massachusetts; Controller of Transmission Systems' operations in Ketsch, Germany; Director of Financial Planning and Investments for BorgWarner Inc.; Vice President and Controller of Transmission Systems; and Vice President Finance and Business Development of Transmission Systems. Mr. Obermayer serves on the Board of Directors for TorqTransfer Systems Beijing Co. Ltd. Mr. Obermayer received his Bachelor's Degree in Business and Master's Degree in Accounting from Illinois State University, and his Masters in Management from the Kellogg Graduate School of Management at Northwestern University. He is a Certified Public Accountant and Certified Management Accountant.

John J. McGill is Vice President, Global Supply Chain and Champion of Emerging Market Utilization. Prior to accepting that new position in July, 2005, McGill was president and general manager of BorgWarner TorqTransfer Systems, Drivetrain Group. Previously, he was president and general manager of BorgWarner Cooling Systems from October 1999 to December 2002. Prior to joining BorgWarner, Mr. McGill was general manager of Eaton's Fluid Power and Torque Control Products divisions. McGill's 18-year career with Eaton included numerous human resource, production, purchasing, and manufacturing positions. Mr. McGill holds a bachelor's degree in business administration from the University of Nebraska. He serves on BorgWarner - Shenglong's Board of Directors.

Mary E. Brevard is Vice President, Investor Relations, for the global powertrain systems supplier. Her responsibilities include all aspects of investor relations and public affairs strategies and activities. She is a member of the company's Strategy Board, serves on the BorgWarner Foundation and is head of its Contributions Committee. She joined BorgWarner in 1997 as Director of Investor Relations and Corporate Communications. Her more than 30 years of experience before joining BorgWarner includes investor relations, communications and marketing positions with both capital goods and financial services firms. These include Johnson Controls, Sensient, Gehl Company and American Appraisal Associates. She is a graduate of Marquette University, Milwaukee, Wisconsin.

Mr. Roger J. Wood is Vice President of BorgWarner Inc. and President and General Manager of BorgWarner Turbo Systems. He served as President and General Manager of BorgWarner Morse TEC from 2001 through August of 2005. Prior to these appointments, Mr. Wood was Vice President of Business Development for BorgWarner TorqTransfer Systems in Michigan. He joined the company in 1985, and has served as Vice President of Operations for both the Morse TEC Engine Timing Components and Transmission Components operations in Ithaca, New York. He holds a bachelor’s degree in engineering technology from State University College at Buffalo and a master’s in business administration from Syracuse University.

Scott D. Gallett is Vice President, Marketing, Public Relations and Internal Communications, BorgWarner Inc. Mr. Gallett is a member of the company's Strategy Board and is Executive Champion for China. He joined BorgWarner in 1991, and has served in Sales and Marketing positions throughout his career with the company. Mr. Gallett most recently served as Vice President Sales and Marketing of BorgWarner Turbo & Emissions Systems. He holds a bachelor's degree in mechanical engineering from Worcester Polytechnic Institute, Worcester, Massachusetts.

William C. ""Skip"" Cline is vice president of Acquisition Coordination and Special Projects of BorgWarner Inc. Mr. Cline was named vice president and controller in March 1993. Previously, he served as the assistant controller for BorgWarner. Mr. Cline joined BorgWarner in 1982 from Arthur Young & Company, a national public accounting firm, now Ernst and Young. Mr. Cline holds a bachelor's degree in economics from Duke University and a MBA degree from Northwestern University. He is a Certified Public Accountant.

Steve Watson resides in Freeville, New York with his wife Barbara. A Mechanical Engineer and designer by profession, Stephen presently works with BorgWarner, Ithaca. He has devoted much of his extra hours of activities to public service; ten years as a president of COAC, an organization to promote the adoption of hard to place children where he helped in counseling prospective and recent adoptive parents. He was also president of a local St. Vincent de Paul Society chapter assessing needs, and soliciting funds to benefit the poor. Within that same time frame, Stephen organized and participated in social functions for individuals in an institution for brain damaged adults. Earlier in his life, he served as a Naval Officer on board ship in Vietnam and Southeast Asia.

Mr. Glaske retired as Chairman and Chief Executive Officer of Blue Bird Corporation, the largest manufacturer of school buses with manufacturing plants in three countries. Prior to becoming President of Blue Bird in 1986, Mr. Glaske served as the President of the Marathon LeTourneau Company, a manufacturer of large off-road mining and material handling equipment and off-shore drilling rigs. He currently is a member of the Board of Directors of BorgWarner, Inc.; of Chicago, Illinois where he serves as Chair of the Governance Committee. In addition, Mr. Glaske serves on the Board of Directors of both Lincoln Educational Services in New Jersey, and Camcraft, Inc., in Illinois. Mr. Glaske has served as a Director of our General Partner since February 2004 and is Chairman of the Audit Committee.

Thomas T. Stallkamp, age 62, has served as a Director of Baxter since 2000. Mr. Stallkamp has been an Industrial Partner in Ripplewood Holdings L.L.C., a New York private equity group, since 2004. From 2003 to 2004, he served as Chairman of MSX International, Inc., a global provider of technology-driven engineering, business and specialized staffing services, and from 2000 to 2003, he served as Vice-Chairman and Chief Executive Officer of MSX. From 1980 to 1999, Mr. Stallkamp held various positions with DaimlerChrysler Corporation and its predecessor Chrysler Corporation, the most recent of which was Vice Chairman and President. Mr. Stallkamp also serves as a director of BorgWarner Inc. and Honsel International Technologies S.A and a director and non-executive co-chairman of Asahi Tec Corporation.
