Thomas A. McCullough, age 66, has served as director of the Company since 1990, as Executive Vice President since April 1987 and as Chief Operating Officer since May 2001. His responsibilities include full-service mutual fund processing, remote-service mutual fund client servicing, Automated Work Distributor products, information systems, product sales and marketing, and data centers. From September 2000 through 2003, he served as Chairman and Chief Executive Officer, and since September 2000 he has served as Chairman, of BFDS, which is 50% owned by the Company.

Joseph C. Antonellis is vice chairman of State Street and is responsible for Investment Servicing North America, including Sales, Investment Manager Outsourcing, Global Product Management and Global Services. He is also a member of State Street's Operating Group, the company's most senior strategy and policy-making team. In his role as head of the North American investor services business unit, Mr. Antonellis oversees strategy, operations and business development for State Street's industry-leading investment services for mutual, public and pension funds, as well as nonprofit and insurance customers in the United States and Canada. This business represents approximately 40 percent of State Street's revenue. In addition, Mr. Antonellis oversees State Street's investment manager operations outsourcing business unit, which is the world's largest investment manager operations outsourcer. As manager of the Global Product Management division, he drives innovation and the delivery of market leading financial products. He also manages State Street's global operations and directs the team responsible for the architecture supporting transaction processing, product capabilities and investment strategies for customers worldwide. Under Mr. Antonellis' leadership as the former head of Global Information Technology and Operations, State Street's information technology and IT team were recognized as 'the gold standard' in developing the best solutions for customers, envisioning fresh approaches to business challenges and effectively managing IT investments by many prestigious industry publications including CIO, Computerworld, Fortune, Waters, and Information Week 500. Mr. Antonellis joined State Street in November 1991 in Mutual Fund Services. Since then, he has held a number of leadership positions, including head of Master Trust. In 1999, he was promoted to executive vice president, with additional responsibility for the Institutional Investor Services (IIS) business unit. Mr. Antonellis was the driving force behind doubling IIS revenues, assets and customers in less than two years. Mr. Antonellis serves on the board of directors of Euroclear PLC. He is also a director of Princeton Financial Systems Inc., a State Street Company and Boston Financial Data Services, a State Street joint venture with DST Systems, Inc. He is chairman of the board of directors for Boston Partners in Education and a member of the Business Advisory Council of Bentley College and the United Way Technology Council. Mr. Antonellis received his Bachelor of Arts degree with honors from Harvard College and holds a Master of Business Administration degree from Bentley College.

Jay Hooley is president and chief operating officer of State Street Corporation (NYSE: STT), the world’s leading provider of financial services to institutional investors with $14.0 trillion in assets under custody (as of September 30, 2008). Mr. Hooley is responsible for all of State Street’s asset servicing and trading activities worldwide, which provide an unparalleled range of services to meet the needs of sophisticated institutional investors across the full spectrum of the investment process. Services include investment servicing, investment research and trading and securities finance delivered through industry leading technology. Mr. Hooley also oversees corporate technology and securities operations. Mr. Hooley is a member of State Street’s Operating Group, the company’s most senior strategy and policy-making team. In 2003, he played a lead role in State Street’s successful acquisition and integration of Deutsche Bank’s Global Securities Services business, and more recently the acquisition and integration of Investors Bank and Trust. Mr. Hooley oversees more than 23,000 financial services and technology professionals across North America, Europe and the Asia-Pacific region. Under his leadership, the asset servicing and trading businesses have achieved high rates of growth through both a significantly increased presence in Europe and Asia, and an expansion of products. Today, non-US assets under custody are $3.4 trillion compared to $850 million in 2002, representing growth of 34 percent on a compound annual basis. Over the same period, non-US revenues have also increased significantly from 28 percent of State Street’s total revenue in 2002 to 36 percent in 2007. Since joining State Street in 1986, Mr. Hooley has held several diverse leadership positions with increasing responsibility. After leading the US Mutual Fund sales organization, Mr. Hooley joined State Street’s shareholder servicing joint venture with Kansas City-based DST systems. From 1988 to 1990, he served as president and chief executive officer of National Financial Data Services and went on to become president and chief executive officer of Boston Financial Data Services from 1990 to 2000. During this time, he oversaw the dramatic growth of the core domestic services business and was responsible for the creation of International Financial Data Services extending the joint ventures shareholder servicing offering to Europe and Canada. Mr. Hooley is a director on the board of Boston Financial Data Services and Boys and Girls Clubs of Boston. He is a member of The Prince of Wales International Business Leaders Forum (IBLF), chairman of the Boston College Center for Asset Management and a member of The Boston Club’s Corporate Advisory Board, which is focused on identifying and recommending qualified women candidates for openings on corporate boards. He received his Bachelor of Science degree from Boston College.
