John Pedersen is President of the Urology and Gynecology business at Boston Scientific Corporation. Prior to assuming this role, John was President of the Company’s Peripheral Interventions (PI) business. John lead the PI business through a challenging period of implementing continuous quality improvement programs in the face of increased competition in the market. During this period, he refocused the business strategy to key growth areas within PI with special emphasis on interventional cardiologists and vascular surgeons. Ultimately, John and his team helped combine the PI business unit into a larger cardiovascular group. Prior to his role as President of PI, John served as President of Boston Scientific’s Urology and Gynecology business. Heavy investments were made to sustain leadership in Urology and build a Gynecology business during his first tenure as President. Sales doubled for the business during this period to more than $300 million. Previously, John was President of the Company’s Neurovascular business. He joined the Company in 1996 as Director of New Business Development. Before joining Boston Scientific, John was a Senior Engagement Manager for McKinsey & Company. John earned a B.A. from Princeton University, completed coursework with Thomas Jefferson Medical College, and earned an M.B.A. from Harvard Business School. He is a member of the New England Chapter of the Young President’s Organization.

Joe Fitzgerald is President and General Manager of the Peripheral Interventions business at Boston Scientific Corporation with overall responsibility for our peripheral vascular and neurovascular business units. Prior to his current role, Joe was President of the Company’s Electrophysiology business. In this role, the business experienced double-digit sales and profitability growth and maintained its market-leading position in the catheter ablation market segment. Previously, Joe held a variety of management positions in Boston Scientific’s Neurovascular and Peripheral Interventions businesses. This included numerous regional and divisional sales management assignments up to and including his roles as Vice President, Global Marketing and U.S. Sales for the Neurovascular business. Joe joined Boston Scientific in 1990 as a sales representative. Prior to joining the Company, Joe was with Anheuser Busch, Inc., where he held a variety of sales, marketing, and training assignments. Joe earned a B.S. in Business from Indiana University and an M.B.A. from Southern Illinois with a concentration in marketing and finance.

Maulik Nanavaty is President of Boston Scientific Japan at the Boston Scientific Corporation. Maulik joined Boston Scientific in 2005 as Vice President for Corporate Strategy for Japan, where he led a successful business transformation and contributed to a high level of operational efficiency. Most recently, Maulik was Vice President and General Manager of Japan's Interventional Cardiology business. During his tenure, Maulik managed the successful launch of the Company's TAXUS Express2 drug-eluting stent system in Japan. Prior to joining Boston Scientific, Maulik served for 16 years in various executive positions at Baxter International, Inc., and Baxter Japan. Maulik holds a Ph.D. in Pharmaceutical sciences from the University of Illinois and a M.B.A. from the University of Chicago.

"Donald S. Baim, M.D., is Executive Vice President, Chief Medical and Scientific Officer at Boston Scientific Corporation as of July 3, 2006. Dr. Baim's primary responsibilities include management of Clinical Affairs (including pre-clinical and clinical studies); Medical Affairs (including educational programs and physician relationships), and Safety. He also plays a major role in developing technology strategies, including the assessment of technologies of acquisition and partnership candidates, and their integration with internal technologies to help develop the Company's future product portfolio. Before joining Boston Scientific, Dr. Baim was a Professor of Medicine at Harvard Medical School, Senior Physician at the Brigham and Women's Hospital, and an internationally recognized leader in interventional cardiology who specialized in the development and evaluation of new interventional cardiovascular devices. He has published nearly 300 scientific papers on interventional cardiology, edited the leading textbook in the field (Grossman's Cardiac Catheterization, Angiography and Intervention, now in its 7th edition), and has served as a member of the Interventional Cardiology Test Committee of the American Board of Internal Medicine (ABIM). Dr. Baim has been the national Principal Investigator on literally dozens of clinical trials in interventional cardiology, and a founder or key consultant for more than 20 start-up companies and medical device incubators in areas ranging from embolic protection, thrombectomy, chronic total occlusions, arterial closure, novel stent and coatings, heart failure, and percutaneous heart valves. He was the recipient of the Career Achievement Award at TCT 2000, based on his clinical, research, and educational contributions to the field. Dr. Baim completed his undergraduate training in Physics at the University of Chicago, and then received a M.D. from Yale University School of Medicine. During post-graduate training in medicine and cardiology at Stanford, he worked with Dr. John Simpson during the development of some of the earliest moveable guidewire coronary angioplasty catheters. In 1981, Dr. Baim was recruited to establish an Interventional Cardiology program at Boston's Beth Israel Hospital. Under his leadership, this program went on to perform seminal research in the refinement, critical evaluation and optimal application of newer devices, including stents, atherectomy, clot removal and distal embolic protection. In 2000, he was recruited by the Brigham and Women's Hospital in Boston, where in addition to his clinical responsibilities, he directed the hospital's participation in the Center for the Integration of Medicine and Innovative Technology (CIMIT), a federally funded inter-disciplinary consortium of leading Boston teaching hospitals and engineering institutions that develops innovative device solutions for a wide range of unmet medical challenges. Since 2005, Dr. Baim has also served as Chief Academic Officer of the Harvard Clinical Research Institute (HCRI), a not-for-profit organization that designs, conducts, and analyzes pilot and pivotal trials of new medical devices to support their approval by the U.S. Food and Drug Administration (FDA). "

Jeff Capello is Senior Vice President, Chief Accounting Officer and Corporate Controller at the Boston Scientific Corporation. Jeff is responsible for overseeing the Company’s Global Controllership, Treasury, and Information Systems functions. Prior to joining Boston Scientific in 2008, Jeff was Senior Vice President and Chief Financial Officer for Business Development at PerkinElmer, Inc. Previously, he held a variety of management positions at PerkinElmer, including Vice President of Finance, Corporate Controller and Treasurer and Chief Accounting Officer. Prior to his tenure at PerkinElmer, Jeff held a series of management positions with increasing responsibility at PriceWaterhouseCoopers LLP. Jeff holds a Bachelor of Science degree in business administration from the University of Vermont and a M.B.A. from the Harvard Business School. He is a certified public accountant.

"Sam R. Leno is Executive Vice President of Finance and Information Systems and Chief Financial Officer at Boston Scientific Corporation. Sam joined the Company in 2007. Previously, Sam served as the Executive Vice President, Finance and Corporate Services and Chief Financial Officer at Zimmer Holdings, Inc., a position to which he was appointed in December 2005. From October 2003 to December 2005, he served as Executive Vice President, Corporate Finance and Operations, and Chief Financial Officer of Zimmer. From July 2001 to October 2003, Sam served as Senior Vice President and Chief Financial Officer of Zimmer. Prior to joining Zimmer, Sam served as Senior Vice President and Chief Financial Officer of Arrow Electronics, Inc. from March 1999 until he joined Zimmer. "Fred Colen is Executive Vice President and Group President of Cardiac Rhythm Management (CRM) at Boston Scientific Corporation. Previously, Fred was the Company’s Executive Vice President, Operations and Technology for CRM. He joined the Company in 1999 as Vice President of Research and Development of Scimed. In 2001 he was promoted to Senior Vice President, Cardiovascular Technology of Scimed and later appointed Senior Vice President and Chief Technology Officer. Before joining the Company, Fred worked for several medical device companies, including Guidant, where he launched the Delta T DDD Pacemaker platform, and St. Jude Medical, where he served as Managing Director for the European subsidiary of the Cardiac Rhythm Management Division and as Executive Vice President, responsible for worldwide Research & Development for implantable pacemaker systems. Fred was educated in The Netherlands and Germany and holds the U.S. equivalent of a master's degree in Electrical Engineering with a focus on medical technology from the Technical University in Aachen, Germany. He was the Vice President of the International Association of Prosthesis Manufacturers (IAPM) in Brussels from 1995 to 1997. "

In that role, he was responsible for management of Boston Scientific business in Eastern Europe, the Middle East, Africa, Asia, the Pacific, South America, and Canada. These geographies cover 60 countries on six continents. During his tenure, Inter-Continental's revenues quintupled and profits increased dramatically.

"Jim Gilbert is Executive Vice President, Strategy and Business Development at Boston Scientific Corporation. In this role, Jim oversees the Company's Business Development, Marketing Science, E-Marketing, and Health Economics and Reimbursement functions. From 1990 to 2003 he was the Global Healthcare Practice Managing Partner working on strategic, operational and organizational projects with medical technology, diagnostic, pharmaceutical, biotechnology, analytic instrumentation, information technology, distribution and alternate site and hospital provider clients. He was also an elected member and chairman of all three of Bain's partner leadership committees, including the Partner Compensation and Promotion Committee, Partner Management Committee and Partner Nominating and Governance Committee. Jim graduated from Cornell University School of Engineering where he earned a B.S. in industrial engineering and operations research with high distinction. He earned an M.B.A. with distinction from Harvard Business School. "

"Ken Pucel is Executive Vice President of Operations at Boston Scientific Corporation. In this role, he is responsible for manufacturing plants in the United States and Ireland. Ken joined Boston Scientific in 1989 holding various positions in the Company’s Cardiovascular Group, including Manufacturing Engineer, Process Development Engineer, Operations Manager, Production Manager and Director of Operations, and Vice President of Operations for our Maple Grove, Minnesota facility. Joel L. Fleishman has been a Director of Boston Scientific since 1992. He is also Professor of Law and Public Policy at Duke University where he has served in various administrative positions, including First Senior Vice President, since 1971. Mr. Fleishman is a founding member of the governing board of the Duke Center for Health Policy Research and Education and was the founding director from 1971 to 1983 of Duke University's Terry Sanford Institute of Public Policy. He is the director of the Samuel and Ronnie Heyman Center for Ethics, Public Policy and the Professions and the director of the Duke University Philanthropic Research Program. From 1993 to 2001, Mr. Fleishman took a part time leave from Duke University to serve as President of the Atlantic Philanthropic Service Company, the U.S. program staff of Atlantic Philanthropies. Mr. Fleishman also serves as a member of the Board of Trustees of The Center for Effective Philanthropy and the Partnership for Public Service, Chairman of the Board of Trustees of the Urban Institute, Chairman of The Visiting Committee of the Kennedy School of Government, Harvard University, and as a director of Polo Ralph Lauren Corporation. Mr. Fleishman received A.B., M.A. and J.D. degrees from the University of North Carolina at Chapel Hill, and an LL.M. degree from Yale University.

Mark C. Bartell is Senior Vice President, Global Sales & Marketing for CRM at Boston Scientific Corporation. Prior to his current assignment, Mark served as President of the United States Sales Operations at the Guidant Corporation. Prior to this role, he served as Vice President, Marketing for Guidant's Cardiac Rhythm Management group and Vice President and General Manager of the guide wire business unit at Guidant's Vascular Intervention group. Mark joined Cardiac Pacemakers Inc., which became part of Guidant's Cardiac Rhythm Management group, in 1985 as a Financial Analyst. He held positions in new product planning, product management and as a Sales Representative. Mark earned his B.S. degree from the University of Florida, and a Master of Business Administration from the University of Michigan.

Steve Moreci is Senior Vice President and Group President for Endosurgery responsible for Boston Scientific's Endoscopy, Urology/Gynecology and Oncology businesses. Steve joined Boston Scientific in 1989 as Vice President and General Manager for the Cardiac Assist business. In 1991, he was appointed Vice President and General Manager for the newly formed Endoscopy business. In 1994, Steve was given the additional responsibility for the company's Urology and Gynecology business and was promoted to Group Vice President. By 1997, the Endoscopy business had grown from $19 million to over $300 million, recording six years of double-digit global growth. In recognition of his accomplishments and to enable Steve to focus full time on the growing Endoscopy business, Steve was promoted to President, Endoscopy. In 1999, Steve was named President of the Boston Scientific's Vascular business, which included Peripheral Interventions, Vascular Surgery, and Oncology. In 2000 and 2001, he helped successfully transfer the Peripheral Interventions and the Vascular Surgery businesses to the Cardiovascular Group. In 2000, Steve recommended the establishment of a new business group, Endosurgery, to provide focus on the significant growth opportunities in emerging Quality of Life technologies and in Women's Health. In late 2000, Steve was promoted to the Boston Scientific Executive Committee and was named Senior Vice President and Group President for Endosurgery. Prior to his joining Boston Scientific, Steve enjoyed a 13-year career in Medical Devices including 9 years with Johnson and Johnson, where he held a variety of sales and marketing positions. From 1985 to his joining Boston Scientific, Steve was Vice President of Sales and Marketing for DermaCare, a small medical device firm that supplied finished goods and components to a variety of multi-national medical device firms including Zimmer and Baxter. He holds a B.S. in Marketing from Pennsylvania State University.

Hank Kucheman is Senior Vice President and Group President of the Interventional Cardiology Group at Boston Scientific Corporation. Hank joined the Company in 1995 as a result of the merger between Boston Scientific and SCIMED Life Systems, Inc. and most recently was Senior Vice President of Marketing for Boston Scientific. In this role, he was responsible for the global marketing functions of the Company’s Cardiovascular group and all Corporate Marketing functions. He oversaw the commercialization strategy for the Company’s TAXUS® paclitaxel-eluting coronary stent system, defined and developed the Boston Scientific Medical Affairs organization and initiated best-in-class Marketing Science and e-Marketing programs. Prior to that, Hank was Vice President, Corporate Marketing and Vice President, Strategic Marketing for the Company. Prior to joining Boston Scientific, Hank held a variety of management positions in sales and marketing for SCIMED Life Systems, Inc., Charter Medical Corporation, and Control Data Corporation. He began his career at the United States Air Force Academy Hospital and later was Healthcare Planner, Office of the Surgeon General, for the United States Air Force Medical Service. Hank has served on several industry boards including the board of directors of the Global Health Exchange, the Committee on Payment and Policy, and AdvaMed. "Brian Burns is Senior Vice President of Quality at Boston Scientific Corporation. In this role, he is responsible for worldwide operations, distribution, design and clinical quality assurance for all Boston Scientific businesses and acquisition partnerships. He will also act as company liaison to all compliance bodies, including the U.S. Food and Drug Administration, European Union Competent Authorities and the Ministry of Health, Labour and Welfare, Japan. Brian joined the Company in 2000 as Quality Director based in the Company's Spencer, Indiana facility, and most recently was Senior Vice President, Global Quality. Brian also upgraded the Company's quality systems to support evolving business needs such as combination products, and improve complaint handling, operational metrics, supplier quality, clinical quality, and global quality systems training. Previously, Brian was General Manager at Allegiance Healthcare, a manufacturer of instant hot and cold packs. He began his career at Baxter Healthcare Corporation, a medical company that develops medical treatments for hemophilia, immune disorders, kidney disease, cancer, trauma and other conditions. Brian earned a B.S. in Chemical Engineering with a Minor in Mathematics and Chemistry at the University of Arkansas. "

As the first employee and member of the executive management team at DispenseSource, Inc., he helped raised $10 Million from two venture capital groups and set out to build the infrastructure of the company. The Company then repurposed the automated inventory control systems that he helped pioneer at Pyxis, and successfully introduced it to a new market segment of Fortune 500 companies. As a Vice President and member of the executive management team at Pyxis Corp., which sells automated inventory control systems for medicines and medical supplies, he oversaw sales and operations. His duties included managing the sales team, engineers, nurses, pharmacists and installation technicians while ultimately attaining a 90% market share. As a result, in 1995 INC. Magazine listed Pyxis as the fastest growing company in the U.S. Mr. Curtis worked closely with the investment community and key industry decision makers in building the company s valuation, and in 1996 it was sold to Cardinal Healthcare for $1 Billion. Curtis also held the position as the Director of Sales of Pancretec, which manufactures ambulatory infusion pumps for patient delivery of intravenous fluids. In a turn-around effort, Curtis led the company to its first eight consecutive quarters of profitability and growth. The following year, based on revenues of $4 Million, Abbott Labs acquired the company for $58 Million.Additional work experience includes: Chief Operating Officer/VP Marketing of RealSim Medical (Simulation Software); Vice President Sales & Marketing of Alteer Corp. Mr. Marquardt has served as the Vice President of Clinical and Regulatory for Sanarus Medical since September of 2003. He has over 26 years in the medical device industry specializing in innovative novel medical technologies with expertise in clinical research, domestic and international regulatory affairs and quality systems. Mr. Marquardt has work experience in large public companies and privately held concerns; mergers and acquisitions, corporate development and strategic planning. Mr. Marquardt has served as a senior level staff member since 1993 in the medical device organizations of EP Technologies Inc., Boston Scientific Corp., UroQuest Medical Corp., Endovascular Solutions and Kyphon Inc. Prior to 1993 he held similar positions of increasing responsibility at Pfizer Inc. Schneider U.S. Stent Division and Medtronic Inc. Mr. Marquardt holds a B.S. in Microbiology from the University of Minnesota.

Belinda Williamson has extensive experience in strategic planning, business development and management. Belinda has a thorough understanding of the medical device industry having worked for a number of leading global high technology corporations in Australia and New Zealand, including Guidant Australia, Boston Scientific, Bard Australia and Zimmer Australia. Belinda has worked on creating strategies for taking new technologies to local and international markets and is accustomed to developing, trialing and selling complex business solutions in highly regulated sectors. Belinda has a proven track record of achieving sales and market share targets as well as building and maintaining strong customer relationships. Since joining the LabTech Systemsa team in July 2005, Belinda has driven numerous market research activities to obtain an understanding of the opportunities for MicroStreak .

Daniel J. Moore became President and Chief Executive Officer of Cyberonics on May 1, 2007. During the first 12 months of his tenure, the Company resumed meaningful epilepsy revenue growth and returned to quarterly profitability after multiple years of losses. Under the direction of Mr. Moore and his senior management team, Cyberonics is focused on expanding its Vagus Nerve Stimulation (VNS) Therapy franchise for patients suffering from epilepsy. Mr. Moore joined Cyberonics from Boston Scientific where, since 1989, he held positions in sales, marketing and senior management in the United States and in Europe. In his last position at Boston Scientific, he was President, International Distributor Management. Prior to this, he was President, Inter-Continental, the fourth largest business unit of Boston Scientific with more than 1,000 global employees and revenues exceeding $700 million. Mr. Moore began his career with Procter and Gamble after graduating from Harvard College. He also earned an MBA from Boston University.

Douglas Godshall . Mr. Godshall has been Chief Executive Officer since September 2006 and became a director in October 2006. Prior to joining HeartWare, Mr. Godshall served in various executive and managerial positions at Boston Scientific Corporation, where he had been employed since 1990, including as a member of Boston Scientific s Operating Committee and since January 2005, as President, Vascular Surgery. Prior thereto, Mr. Godshall spent 5 years as Vice President, Business Development, at Boston Scientific, where he was focused on acquisition strategies for the cardiology, electrophysiology, neuroradiology and vascular surgery divisions. Mr. Godshall has a Bachelor of Arts in Business from Lafayette College and Masters of Business Administration from Northeastern University in Boston, Massachusetts.

Dr. Wiener practices vascular and interventional radiology full-time. He is Chief of Vascular and Interventional Radiology at Phoenix Baptist Hospital and Arizona Medical Imaging. Dr. Wiener specializes in vascular and interventional radiology procedures such as arteriography/angiography, angioplasty/stents, uterine fibroid embolization, vertebroplasty, implanted venous devices, biopsies, and biliary/urinary drainages. In addition to running a busy practice, Dr. Wiener is the Phoenix Legs for Life Screening Coordinator and a lecturer and physician trainer for Boston Scientific Corporation and Centecor Corporation. He is a residency Preceptor at Phoenix Baptist Hospital, and a member of multiple committees of the Society of Cardiovascular and Interventional Radiology (SCVIR). Dr. Wiener earned his medical degree at the New Jersey School of Osteopathic Medicine. He completed his residency at Kennedy Memorial Hospital in Stratford, New Jersey, and his fellowship at West Penn Hospital in Pittsburgh, Pennsylvania. He is Board Certified in diagnostic radiology and has a Certificate of Additional Qualification in vascular and interventional radiology. When not seeing patients, teaching, or participating in the medical community, Dr. Wiener enjoys photography, cooking, traveling, and reading. Dr. Wiener practices at Baptist Hospital and Medical Center in Phoenix, Arizona.

John Lonergan, Managing General Partner brings more than 20 years of industry experience in the fields of diagnostics, medical technology and software. He co-founded Bio-Star Private Equity Fund in 2003 with Dr. Louis Cannon, raising $30 million and making nine investments in less than two years. A 1976 graduate of Harvard Business School and a former McKinsey consultant, Mr. Lonergan has founded two biotech companies based on technologies developed at Los Alamos National Laboratories and the University of California at San Diego. Mr. Lonergan co-founded CardioNow, a leading provider of image management services to hospital-based cardiologists and medical device companies. CardioNow's customers include hospital groups throughout the United States, as well as Johnson & Johnson, Boston Scientific, Guidant, and a series of smaller cardiology device companies. Prior to co-founding CardioNow in 1999, Mr. Lonergan led European divisions of Dade International, a $1.3 billion diagnostics company, managing Germany, France, and the Benelux. He took responsibility for Boston Scientific's European interventional cardiology division, growing sales to $177 million and regaining Boston's number one position in stents in this hotly competitive marketplace. Mr. Lonergan co-founded CardioNow in 1999, a company which provides cardiology networks and services to hospitals and medical device companies. CardioNow's customers include Johnson & Johnson, Boston Scientific, Guidant, Abbott and hospitals throughout the United States. CardioNow was sold in early 2004 to Heartlab, the number one supplier of cardiac networks to hospitals.

Dr. Mason has over 18 years experience in the medical device industry, with emphasis on regulatory affairs, quality assurance, and clinical affairs. His previous companies include senior management positions with Boston Scientific, San Diego (formerly Interventional Technologies, Inc.), Cardiodyne subsidiary of Trimedyne, St. Jude Medical, Cardiac Rhythm Management Division (formerly Siemens Pacesetter) and Surgidev Corporation. Dr. Mason received his doctorate in Zoology from the University of Texas.

Mr. Binkley provides leadership for the strategic direction and oversight of the company as part of the Executive Committee and as the General Manager of the firm. His responsibilities include managing the Capital Services, Valuation, and Advisory teams as they work directly with GW Equity clients through the transaction process. With his previous experience in business services and management, Mr. Binkley has offered hundreds of privately held companies business valuation and exit strategy planning services through his companies and team members. Mr. Binkley joined the GW Equity Executive Team in 2001 as Vice President overseeing the Business Development and Valuation teams and transitioned to his current role in 2002. Prior to joining GW Equity, Mr. Binkley's industry experience spanned from the consumer products segment with Procter and Gamble, healthcare services with Boston Scientific Corporation and technology consulting in the private sector. In recent years, he was the Co-founder and Principal of a private business valuation firm that has performed over a thousand fairness opinions for business owners seeking a sale through the Mergers and Acquisitions process. Mr. Binkley holds the designation of Certified Business Intermediary (CBI) from the IBBA, which is the leading international association of professional mergers and acquisition advisors and intermediaries.

Ted Driscoll is a Venture Partner at Claremont Creek Ventures. He is also an active angel investor and managing director of the Sand Hill Angels, a 50-person angel group. Prior to his venture capital experience, Ted helped found five successful companies in imaging- related markets. He was founder and CEO of Be Here Technologies, a pioneer in Internet, Broadcast and Videoconferencing technologies. He served as a Division President and CTO of Diasonics, with responsibility for its MRI, ultrasound, digital X-ray, lithotripsy and acoustic ablation technology areas. He had earlier directed the Diasonics technology team that developed the first commercial MRI scanners and numerous advance in MR imaging. Previously, Ted was also Vice President of Engineering and R&D of Identix, now a world leader in fingerprint and face recognition, and Director of R&D at International Imaging Systems, an early pioneer in remote sensing. His research and patents in ultrasound therapy and acoustic hemostasis also led to the founding of another company, Therus, now partnered with Boston Scientific. Ted earned a PhD from Stanford University in Digital Imaging, Masters degrees from Harvard University in Computer Graphics and Remote Sensing, and a Bachelor's degree from the University of Pennsylvania. Ted holds 40+ granted U.S. and foreign patents in image-related fields, with approximately 30 additional pending applications.

Timothy J. O'Shea has served as a member of our board of directors since April 2004. Since joining Boston Scientific in 1981, he has served in a variety of management positions, including business development, corporate project management, international and domestic marketing and sales. Mr. O'Shea currently serves as a board member or observer on behalf of Boston Scientific for several private and public companies. Mr. O'Shea holds a B.A. in history from the University of Detroit.

Pete M. Nicholas, our co-founder, has been Chairman of the Board since 1995. He has been a Director since 1979 and served as our Chief Executive Officer from 1979 to March 1999 and Co-Chairman of the Board from 1979 to 1995. Prior to joining Boston Scientific, he was corporate director of marketing and general manager of the Medical Products Division at Millipore Corporation, a medical device company, and served in various sales, marketing and general management positions at Eli Lilly and Company. He is currently Chairman Emeritus of the Board of Trustees of Duke University. Mr. Nicholas is also a Fellow of the American Academy of Arts and Sciences and Vice Chairman of the Trust for that organization. He also serves on several for profit and not for profit boards including CEOs for Fundamental Change in Education and the Boys and Girls Club of Boston. After college, Mr. Nicholas served as an officer in the U.S. Navy, resigning his commission as lieutenant in 1966. Mr. Nicholas received a B.A. degree from Duke University, and an M.B.A. degree from The Wharton School of the University of Pennsylvania. He is the brother of N.J. Nicholas, Jr., one of our directors.

N.J. Nicholas, Jr. has been a Director of Boston Scientific since 1994 and is a private investor. Previously, he served as President of Time, Inc. from September 1986 to May 1990 and Co-Chief Executive Officer of Time Warner, Inc. from May 1990 until February 1992. Mr. Nicholas is a director of Xerox Corporation and Time Warner Cable, Inc. He has served as a member of the President's Advisory Committee for Trade Policy and Negotiations and the President's Commission on Environmental Quality. Mr. Nicholas is Chairman of the Board of Trustees of the Environmental Defense Fund and a member of the Council of Foreign Relations. Mr. Nicholas received an A.B. degree from Princeton University and an M.B.A. degree from Harvard Business School. He is the brother of Pete M. Nicholas, Chairman of the Board.

Ray J. Groves has been a Director of Boston Scientific since 1999. Effective February 16, 2009, Mr. Groves became the Ombudsman for Standard & Poor’s. From 2001 to 2005, Mr. Groves served in various roles at Marsh Inc., including President, Chairman and Senior Advisor, and is a former member of the board of directors of its parent company, Marsh & McLennan Companies, Inc. He served as Chairman of Legg Mason Merchant Banking, Inc. from 1995 to 2001. Mr. Groves served as Chairman and Chief Executive Officer of Ernst & Young for 17 years until his retirement in 1994. Mr. Groves currently serves as a member of the boards of directors of the Colorado Physicians Insurance Company and Group Ark Insurance Holdings, Ltd. Mr. Groves is a member of the Council on Foreign Relations. He is a former member of the Board of Governors of the American Stock Exchange and the National Association of Securities Dealers. Mr. Groves is former Chairman of the board of directors of the American Institute of Certified Public Accountants. He is a director of Nursing and Home Care, Inc., a member and former Chair of the board of directors of The Ohio State University Foundation and a member of the Dean's Advisory Council of the Fisher College of Business. He is a former member of the Board of Overseers of The Wharton School of the University of Pennsylvania and served as the Chairman of its Center for the Study of the Service Sector. Mr. Groves is an advisory director of the Metropolitan Opera Association and a director of the Collegiate Chorale. Mr. Groves received a B.S. degree from The Ohio State University.

Ursula M. Burns is chief executive officer of Xerox Corporation. In May 2009, the Xerox Board of Directors named Burns chief executive officer, effective July 1, succeeding Anne Mulcahy who is retiring from the CEO role. Burns is also a member of the Xerox Board of Directors, elected in April 2007. Burns joined Xerox in 1980 as a mechanical engineering summer intern and later assumed roles in product development and planning. From 1992 through 2000, Burns led several business teams including the office color and fax business and office network printing business. In 2000, she was named senior vice president, Corporate Strategic Services, heading up manufacturing and supply chain operations. She then took on the broader role of leading Xerox's global research as well as product development, marketing and delivery. In April 2007, Burns was named president of Xerox, expanding her leadership to also include the company's IT organization, corporate strategy, human resources, corporate marketing and global accounts. Burns earned a bachelor of science degree in mechanical engineering from Polytechnic Institute of NYU and a master of science degree in mechanical engineering from Columbia University. She serves on professional and community boards, including American Express Corp., CASA - (The National Center on Addiction and Substance Abuse) at Columbia University, FIRST - (For Inspiration and Recognition of Science and Technology), National Academy Foundation, MIT, the U.S. Olympic Committee and the University of Rochester.
