Mr. Fisher has been our Chief Executive Officer and Chairman of the Board since September 2000 and has been a Bristol West director since July 1998. Mr. Fisher has been the managing member of Fisher Capital Corp. L.L.C. since March 1997. From 1986 through March 1997, Mr. Fisher held various executive positions at American Re Corporation. Currently, Mr. Fisher is a director of Alea Group Holdings (Bermuda) Ltd. and a trustee of Lafayette College in Easton, Pennsylvania. On February 21, 2006, Mr. Fisher notified the Board of Directors that, as part of our ongoing management succession process, he would like to relinquish his title as Chief Executive Officer effective as of July 1, 2006. Mr. Fisher recommended the promotion of Jeffrey J. Dailey, Bristol West's President and Chief Operating Officer, to the position of Chief Executive Officer. The Board of Directors accepted Mr. Fisher's recommendations. Effective July 1, 2006, Mr. Fisher will continue to serve as Executive Chairman of the Board.

The current president of The Pennsylvania Society is Arthur J. Rothkopf. Now in his first year of a two-year term, Mr. Rothkopf is Senior Vice President and Counselor to the President of the U.S. Chamber of Commerce, with special responsibilities in education and workforce development. From 1993 until 2005, he was the President of Lafayette College in Easton, Pennsylvania. There, under Mr. Rothkopf's guidance, more than $250 million in new construction was completed and the college's endowment more than doubled. Prior to his tenure at Lafayette, he was appointed Deputy Secretary of the U.S. Department of Transportation by President George H.W. Bush. He serves as a member of the Commission on the Future of Higher Education, as well as a member of the Board of the Smithsonian National Museum of American History. Arthur J. Rothkopf graduated from Lafayette College and earned his law degree from Harvard University.

James N. Meehan, 63, has served as a Director of the Company since May 2003. He also has served as a Director of RSLIC since July 1988 and FRSLIC since April 1993. Mr. Meehan retired from Banc of America Securities/Bank of America as a Managing Director in May 2002 after 15 years of service with the organization and its predecessors. During his tenure, he was responsible for the bank’s commercial relationships with the insurance industry. Mr. Meehan also serves as a director of Bristol West Holdings, Inc., reassure America Life Insurance Company and American Fuji Fire and Marine Insurance Company.

Scott C. Nuttall joined KKR in 1996, is a Member of the general partner of Kohlberg Kravis Roberts & Co., and heads KKR's Global Capital and Asset Management Group which includes the Client and Partner Group, KKR Capital Markets and KKR Asset Management. He has played a significant role in the investments of Alea Group Holdings, Amphenol, Bristol West Holdings, Capmark Financial (formerly GMAC Commercial Holdings), First Data Corporation, KinderCare Learning Centers, Legg Mason, Masonite International, Walter Industries and Willis Group. He is currently a member of the board of directors of Capmark Financial, First Data Corporation, KKR Financial Holdings and Legg Mason. He is also actively involved in funds affiliated with the Firm, including KKR Private Equity Investors and KKR Financial Holdings, and is a member of the Other Business Committee. Prior to joining KKR, he was with the Blackstone Group where he was involved in numerous merchant banking and merger and acquisition transactions. He received a B.S. Summa Cum Laude from the University of Pennsylvania.??
