Bristow Group Inc.

Mark Duncan joined the company in January 2005 as Vice President, Global Business Development and was promoted to Senior Vice President, Global Business Development in January 2006. In January 2008, Mr. Duncan became Senior Vice President, Western Hemisphere. Immediately prior to joining Bristow, Mr. Duncan was Commercial Director in the Deepwater Floating Production Systems division of ABB based in Houston, Texas. Prior to this, Mr. Duncan spent 18 years within the Halliburton/Brown & Root Group, mostly in the subsea sector where he filled various positions working in the North Sea, Brazil and several other International areas, ultimately holding the position of Senior Global Vice President Commercial for the Subsea7 entity.

Richard Burman joined the company in 2004 as Managing Director of Bristow Helicopter Group Ltd. and promoted four months later to Senior Vice President of Bristow Group Inc., and is responsible for the Eastern Hemisphere business. Prior to joining the company, Mr. Burman held various positions within the Baker Hughes group of companies, most recently Region General Manager, Mediterranean and Africa for Baker Hughes INTEQ.

Hilary Ware joined the company in August 2007 as Vice President of Global Human Resources. Prior to joining Bristow, Ms. Ware served as Vice President, Human Resources for BHP Billiton Petroleum, the multinational oil & gas exploration and production division of BHP Billiton from 2006 to 2007. Prior to joining BHP Billiton, Ms. Ware was Vice President Human Resources, Worldwide for Hanover Compressor Company, an international gas compression company, from 2002 to 2006. Prior to 2002, Ms. Ware served for 20 years in a variety of roles as a human resources professional with BP and its predecessor companies followed by a brief tenure as a principle at De Novo Partners, a Houston based human resources consulting firm. Ms. Ware earned a Bachelor's Degree in Industrial Psychology from the University of California at Berkley in 1977.

Joseph Baj joined the company in July 2005 as Assistant Treasurer. In November 2005, Mr. Baj was elected Vice President and Treasurer. Prior to joining the company, Mr. Baj was a treasury consultant from 2004 to 2005. Mr. Baj was Assistant Treasurer with Transocean Inc., from 1997 to 2003. He held various treasury and investor relations positions with Sterling Chemicals, Inc., from 1987 to 1997. He worked in the treasury group of Anderson, Clayton and Co., from 1983 to 1987.

Mark Frank joined the company in March 2006 as Director of Planning and Forecasting. In March 2007, Mr. Frank was elected Vice President of Planning. Prior to joining the company, Mr. Frank was a Partner with Sense Corp, LLP and then Director with Sirius Solutions LLP from 2002 to 2006, where he provided business process improvement and system development services to a number of midstream and wholesale energy companies on a consultative basis. From 1998 to 2002, Mr. Frank was responsible for planning and forecasting in Enron Corporation’s wholesale energy businesses. Prior to joining Enron, Mr. Frank was responsible for planning, forecasting and analysis at Tom’s Foods, Inc., a food processing and distribution company and Zapata Corporation, an offshore drilling contractor and provider of diversified oilfield services. Mr. Frank began his career in public accounting with Ernst & Young.

Meera Sikka joined Bristow as Vice President Global Business Development in June 2008. Ms. Sikka comes to the Company with over twenty years of experience in the energy business in various locations around the world, the last ten of which were spent with affiliates of Royal Dutch Shell. From March 2000 to February 2004, she was Commercial Manager of Shell Aircraft Limited based in London. From February 2004 to May 2008, she served as Global Category Manager – Aviation for Shell UK Exploration and Production.

Randall Stafford joined the company in May 2006 as Vice President, General Counsel and Corporate Secretary. Prior to joining Bristow, Mr. Stafford was Vice President, General Counsel and Corporate Secretary of TODCO from January 2003 to May 2006. From January 2001 until January 2003, Mr. Stafford served as Associate General Counsel of Transocean Inc. From January 2000 until January 2001, Mr. Stafford served as Counsel to R&B Falcon which was eventually acquired by Transocean Inc. From January 1990 until January 2000, Mr. Stafford was employed as Associate General Counsel of Pool Energy Services Company, an international oil and gas drilling and well servicing company that was acquired by Nabors Industries in November 1999.

Peter Buckley, aged 64, has spent some 30 years as a director of Caledonia Investments plc. He was appointed its chief executive in 1987 and chairman in 1994. He is a non-executive director of Bristow Group Inc. He was appointed a director in November 1995.

Jonathan Cartwright has been Finance Director of Caledonia Investments plc since 1991. He qualified as a chartered accountant with Peat Marwick (now KPMG LLP), became Finance Director of Transworld Petroleum (UK) Limited and subsequently worked for Hanson, serving as group financial controller and also Finance Director of Imperial Foods and other Hanson subsidiaries. He joined Caledonia Investments plc in 1989 is also a non-executive Director of Bristow Group Inc.

Thomas N. Amonett has served as a director of TODCO since May 2004. He was appointed as lead independent director of TODCO in October 2004 and was appointed Chairman of TODCO in February 2005. He has been President and Chief Executive Officer of Champion Technologies, Inc., a manufacturer and distributor of specialty chemicals and related services since 1999. From November 1998 to June 1999, he was President, Chief Executive Officer and a director of American Residential Services, Inc., a company providing equipment and services relating to residential heating, ventilating, air conditioning, plumbing, electrical and indoor air quality systems and appliances. From July 1996 until June 1997, Mr. Amonett was Interim President and Chief Executive Officer of Weatherford Enterra, Inc., an energy services and manufacturing company. Mr. Amonett also serves as a director and member of the executive compensation committee and the audit committee of Reunion Industries Inc., a specialty manufacturing company, and a director and member of the executive compensation committee and the audit committee of Bristow Group Inc., a global provider of helicopter services.
