Carol R. Van Cleef is a Partner in the Washington office of Bryan Cave LLP, a law firm with a diversified international practice. She represents financial services and other companies in federal and state regulatory, compliance and enforcement matters, including those involving anti-money laundering, electronic payments, federal deposit insurance and other banking issues. Among other things, she counsels clients on compliance with the USA Patriot Act, Bank Secrecy Act and OFAC regulations, as well as related privacy and data security issues. She speaks and writes frequently on these subjects. In addition, she created and regularly teaches at the Boot Camp for BSA/AML Professionals, jointly sponsored by the Conference of State Bank Supervisors and Bryan Cave. Prior to practicing law, she was a consultant with Golembe Associates, Inc. a bank consulting firm. She is a graduate of Georgetown University, School of Foreign Service, and she received her law degree from American University.

Jeffrey Modisett is a former Indiana attorney general and co-CEO of TechNet and serves as an advisor to Fortune 500 and high-technology companies on a number of issues including antitrust, consumer protection, privacy and political relationships. Mr. Modisett has a depth of experience as a trial lawyer and prosecutor, but currently specializes in resolving complex legal problems prior to litigation. He has worked as an independent consultant specializing in state and federal government relations and served as deputy CEO and general counsel of the 2000 Democratic National Convention in Los Angeles. Elected as Indiana attorney general in November 1996, Mr. Modisett became actively involved in two national efforts: the states' legal battle against the country's top cigarette manufacturers and the investigation of the sweepstakes industry. He was a member of the 1997 states negotiating team that reached a preliminary settlement with the tobacco industry which called for historic changes in the way cigarettes are marketed in this country. He was also chairman of the 1998 Allocation Committee responsible for devising a formula for distributing the $205 billion settlement to each of the states and territories. In 1998 and 1999, Mr. Modisett helped lead the states' effort to reform the sweepstakes industry to better protect consumers, especially the elderly. Mr. Modisett has led or assisted in the resolution of numerous complex issues or litigation in recent years, representing such significant clients as Anthem, Inc., Sempra Energy, GlaxoSmithKline and Diebold, Inc. He also is active in advising clients on corporate compliance and best practices, including Bacardi USA, Fiserv Health, Call Compliance, Inc., and Starwood Hotels. He has lectured and written frequently on a diverse range of topics. His two most recent publications concerned the states' approach to online gambling and the states' approach toward cyberlaw and e-commerce. He was voted one of the top lawyers in Indiana by Indianapolis Monthly magazine and, more recently, one of California's "Superlawyers" by Los Angeles and Law & Politics magazines.

John C. Danforth has served on our Board of Directors since February of 2005. He served as the United States Representative to the United Nations between July of 2004 and January of 2005 and, except during his service at the United Nations, has been a Partner in the law firm of Bryan Cave LLP since 1995. He served in the United States Senate from 1976 to 1995. Senator Danforth is a Director of Cerner Corporation. He is ordained to the clergy of the Episcopal Church.

Michael N. Rosen is a director. Mr. Rosen has served as a director for us or our predecessor companies since October 1999. Mr. Rosen is also a member of the Executive Committee and served as the Secretary of the Company or our predecessor companies from October 1999 until May 2007. Bob Newmark is an active community volunteer, dedicated to building a more inclusive and compassionate community in the St. Louis Metropolitan area. He currently serves as Chairperson of the Board of Directors of The National Conference for Community and Justice of Metropolitan St. Louis (NCCJSTL). He also serves on the National Board of Governors of the American Jewish Committee, and he serves locally as the Treasurer of the St. Louis Chapter. Mr. Newmark is currently Vice-Chair of the National Agencies Planning and Allocations Committee for the Jewish Federation of St. Louis. He is the President of the Princeton Club of St. Louis and serves as his Class Agent for Annual Giving at Princeton University. Mr. Newmark is a Partner with Bryan Cave LLP where he concentrates his practice in the areas of business and transactional counseling. His practice includes mergers and acquisitions, general commercial counseling, joint ventures and strategic alliances, private offerings of securities and other issues arising under federal and state securities laws. Mr. Newmark is also an adjunct professor of law at Washington University in St. Louis, where he teaches a course on mergers and acquisitions law. Mr. Newmark attended Princeton University and Washington University School of Law. He and his wife Kara and their three children are active supporters of NCCJSTL's programs and initiatives.

Walter L. Metcalfe, Jr., Director, age 69. Mr. Metcalfe is the Senior Counsel of Bryan Cave LLP, an international law firm, and for ten years ending in September 2004 he served as its chairman and chief executive officer. Mr. Metcalfe, a former Chairman of the Board of Directors of the Federal Reserve Bank of St. Louis, holds a law degree from the University of Virginia where he was elected to the Order of the Coif.

Danielle Mangogna is a native St. Louisan, raised in the Shaw Neighborhood. She attended Rosati-Kain High School in the Central West End and received her B.A. from St. Louis University's College of Arts & Sciences and her J.D. from St. Louis Univerity's School of Law. Prior to law school, she assisted resettled refugees with employment planning and skill development at the International Institute of St. Louis, in order to help them find employment more closely related to the education and work skills they acquired in their native country. In addition to St. Louis, Ms. Mangogna has also lived in Lyon, France and Sydney, Australia. Ms. Mangogna is an Associate with Bryan Cave LLP where she practices in the Antitrust/U.S. Trade Regulation Client Service Group. She counsels clients with respect to competitive issues relating to proposed mergers and acquisitions, pricing and sales practices and franchising and distributor termination issues. Ms. Mangogna currently serves on the Corporate Outreach Committee of the Central Institute for the Deaf and is a Cabinet Member of the United Way of St. Louis Women's Leadership Giving Initiative.

Drew Gleason graduated in 2006 with a BA in Urban & Regional Planning. He grew up in Addison, Illinois, a western suburb of Chicago and moved to the Valley in 2005. Scott Hodes , 72, has been a director since 1983. Mr. Hodes is Senior Counsel at Bryan Cave LLP where he was a partner from January 2004 to March 2009. Bryan Cave LLP provides legal services to the Company. From 1992 until 2004, Mr. Hodes was a partner with the law firm of McGuire Woods Ross & Hardies LLP and its predecessor firm Ross & Hardies LLP.
Steve Dawson is a an attorney with Bryan Cave LLP in St. Louis and is a member of the firm's Private Client Group. His areas of practice include trusts and estate, taxation, and planning for closely held businesses. Steve received his accounting degree and law degree from Saint Louis University. Jean King is a music composer and has produced several CD's. She studied music composition at the New England Conservatory of Music and private orchestration with Randall Woolf in Boston. She currently serves as Vice President of the Madison County Arts Council. Linda J. Miller has been an educator for 30+ years. She is currently teaching third grade in South Roxana, IL. Linda earned an MS in Education from SIUE in 1993, and an MA in Art Therapy Counseling from SIUE in 2005. Linda pursued her interest in art at the Art Institute of Chicago while in high school and as an undergraduate at Eastern Illinois University. She studied at the St. Louis Art Museum for seven years. Linda works in a variety of mediums, which include pastels, oil pastels, water media, mixed media collage, and altered books.
