Board of Directors
John W. Chidsey has served as our Chief Executive Officer and a member of our board since April 2006. Mr. Chidsey became Executive Chairman of our board on July 1, 2008. From September 2005 until April 2006, he was our President and Chief Financial Officer and from June 2004 until September 2005, he was our President of North America. Mr. Chidsey joined us as Executive Vice President, Chief Administrative and Financial Officer in March 2004 and held that position until June 2004. From January 1996 to March 2003, Mr. Chidsey served in numerous positions at Cendant Corporation, most recently as Chief Executive Officer of the Vehicle Services Division and the Financial Services Division.
Armando Jacomino has served as our President, Latin America since November 2007. Mr. Jacomino has held several positions of increasing responsibility within Burger King Corporation’s Latin America region. Most recently he served as Vice President Operations, Training from April 2006 to November 2007 and as Director Franchise Operations from June 2002 until 2006.
Chuck Fallon has served as President, North America since June 2006. From 1998 to 2006, Mr. Fallon served in various positions at Cendant Corporation, most recently as Executive Vice President for Cendant Corporation's Car Rental Group (Avis & Budget). Prior to joining Cendant, Mr. Fallon was a director in the investment banking division of Salomon Smith Barney from 1992 to 1998.

Peter Tan has served as our President, Asia Pacific since November 2005. From 2002 to 2005, Mr. Tan served as Corporate Senior Vice President and President of Greater China for McDonald’s Corporation. Prior to that, from 1999 to 2003, Mr. Tan served as President, McDonald’s China Development Company.
Russell B. Klein has served as our Chief Marketing Officer since June 2003. From August 2002 to May 2003, Mr. Klein served as Chief Marketing Officer at 7-Eleven Inc. From January 1999 to July 2002, Mr. Klein served as a Principal at Whisper Capital.
Ben K. Wells has served as our Chief Financial Officer and Treasurer since April 2006. From May 2005 to April 2006, Mr. Wells served as our Senior Vice President, Treasurer. From June 2002 to May 2005 he was a Principal and Managing Director at BK Wells & Co., a corporate treasury advisory firm in Houston, Texas. From June 1987 to June 2002, he was at Compaq Computer Corporation, most recently as Vice President, Corporate Treasurer. Before joining Compaq, Mr. Wells held various finance and treasury responsibilities over a 10-year period at British Petroleum.
Peter C. Smith has served as our Chief Human Resources Officer since December 2003. From September 1998 to November 2003, Mr. Smith served as Senior Vice President of Human Resources at AutoNation
Raj Rawal has served as our senior vice president and chief information officer since February 2005. Before joining Burger King Corporation, he was president of Axya Corporation, a company that provided IT leadership to large corporations. Mr. Rawal has also held leadership positions with Cendant Car Rental Group, Trilegiant Corporation and General Electric.
Julio Ramirez has served as our Executive Vice President, Global Operations since September 2007. From January 2002 to September 2007, Mr. Ramirez served as our President, Latin America. Mr. Ramirez has worked for Burger King Corporation for more than 20 years. During his tenure, Mr. Ramirez has held several positions within the United States and the Latin America region. From February 2000 to December 2001, Mr. Ramirez served as Senior Vice President of U.S. Franchise Operations & Development. Prior to that, Mr. Ramirez served as President, Latin America from 1997 until 2000.
Chris Anderson was appointed Senior Vice President and Chief Financial Officer of M.D.C. Holdings, Inc. in July 2008. He works very closely with MDC's Chairman and President in developing and carrying out the Company's strategic direction. In addition, he has direct responsibility for MDC's investor relations, accounting, treasury, tax, risk management and strategic planning functions.
Mr. Anderson has more than 15 years of experience in business, accounting and corporate finance, including six years in public accounting at Price Waterhouse. Most recently, he served as the Senior Vice President of Finance for Burger King Corporation, where he led a finance organization of 150 people in 10 different countries. He also has held leadership positions with multi-billion dollar companies including Hewlett-Packard and Compaq Computer Corporation.
A California native, Mr. Anderson graduated from Brigham Young University with a bachelor's degree in accounting, a master's degree in accounting and finance, and he is a Certified Public Accountant. He is affiliated with the BYU Management Society, the MIT Management Forum, the Texas Society of Certified Public Accountants, and the Financial Executives Institute.
Mr. Anderson and his wife, Dedra, most recently relocated to Denver from Miami and enjoy spending their free time with their five children.
Amy Wagner has served as our Senior Vice President, Investor Relations and Global Communications since June 2007. Previously, she served as Senior Vice President, Investor Relations from April 2006 to June 2007. From February 1990 to April 2006, Ms. Wagner served in various corporate finance positions at Ryder System, Inc., including as Vice President, Risk Management and Insurance Operations from January 2003 to April 2006 and Group Director, Investor Relations from June 2001 to January 2003.
Anne Chwat has served as our General Counsel and Corporate Secretary since September 2004. From September 2000 to September 2004, Ms. Chwat served in various positions at BMG Music (now SonyBMG Music Entertainment) including as Senior Vice President, General Counsel and Chief Ethics and Compliance Officer.
Gladys DeClouet has served as our Senior Vice President, North America Company Operations since July 2008. Ms. DeClouet was previously the vice president of operations for Jack in the Box. Prior to joining Jack in the Box, Ms. DeClouet worked for British Petroleum Inc., holding a number of positions of increasing responsibility in marketing, distribution, planning, finance and business development. Earlier in her career, she was an engineer with Conoco Inc., working in offshore oil and gas exploration and production.
Armando Codina, an active leader in civic and community activities, is currently the Chairman of Flagler Development Group. Mr. Codina was Chairman/CEO and founder of Codina Group, which in April 2006 merged with Florida East Coast Industries. Flagler Development Group owns, leases and manages approximately 12 million square feet of Class-A office and industrial space, has an additional one million square feet under construction and is a major landowner in the state.
Established in 1979, Codina Group, Inc. a Coral Gables, Florida based real estate investment, development, construction, brokerage and property management firm evolved into the finest full-service commercial real estate development corporation in South Florida and was recognized as the largest commercial developer in the State of Florida by Florida Trend Magazine.
Prior to establishing Codina Group, Mr. Codina was president of Professional Automated Services, Inc. (P.A.S.), a firm created in 1970 to provide data processing services to physicians. As a result of the firm's success, Mr. Codina is recognized as a pioneer in the development of comprehensive medical management systems including processing, accounts receivable, management reporting and multiple financial services. P.A.S. was sold in 1978.
Mr. Codina's commitment to the community and civic affairs is strong. In February 2003, he was appointed President of the VIII FTAA Ministerial and Americas Business Forum. He is “Chairman Emeritus” of the Board of Trustees of Florida International University. He recently was Co-Chair of Community Partnership For the Homeless, a member of Florida Council of 100, the Council’s Partnership to Advance School Success (PASS program) and also served on the Advisory Board for the Panama Canal. Codina currently serves on the Board of Directors of AMR (appointed Lead Director on April 1, 2007), General Motors, The Home Depot and Merrill Lynch. Mr. Codina served on the Board of Directors of BellSouth for 18 years (1989 to 2006) until AT&T acquired BellSouth. At the time of the acquisition, Mr. Codina was the Lead Director of BellSouth. Also, Mr. Codina previously served on the Board of Directors of Burger King Corporation until April 1, 2007.
Over the past 15 years he has been honored by the Florida Council on Economic Education’s “Free Enterpriser of the Year” Award, the Merchant Association Enterprise Medalist; Developer of the Year the National Association of Industrial and Office Properties; Entrepreneur of the Year by Florida International University; Office Developer of the Year, Shopping Center Developer of the Year and Entrepreneur of the Year by Wharton School. He was inducted into the Building Association of South Florida’s Hall of Fame. He also received the Charles Whited Spirit of Excellence Award from Knight Ridder Newspapers, the Hispanic Entrepreneur Award from NCNB National Bank and the Silver Medallion Award from the National Conference of Christians and Jews, American Red Cross as its ‘Humanitarian of the Year’ Award and Honorary Doctor of Law Degree from Florida International University. In 2002, the Greater Miami Chamber of Commerce recognized Codina Group as the #1 Private Hispanic Company in Florida as well as in 2003, the Chamber honored Mr. Codina with the Lifetime Achievement Award “Sand In My Shoes”. South Florida CEO magazine honored Mr. Codina with 2003 Business Leader of the Year and in early 2004, the Beacon Council honored him with the Jay Malina Award. In June 2005, Mr. Codina was awarded the Merage Foundation’s National Leadership Award for Leadership in the Business Community.

Brian T. Swette has served on our board since April 2003. He served as Non-Executive Chairman of our board from April 2006 until June 2008. Mr. Swette served as Chief Operating Officer of eBay in San Jose, California from 1998 to 2002.
Kneeland C. Youngblood, 49, has been a managing partner of Pharos Capital Group, L.L.C., a private equity fund focused on technology companies, business service companies and health care companies, since January 1998. He is Chairman of the Board of the American Beacon Funds, a mutual fund company managed by AMR Investments, an investment affiliate of American Airlines. Mr. Youngblood is a director of the Burger King Corp. Mr. Youngblood has been a Director of the Company and a Trustee of the Trust since April 2001.

Ronald M. Dykes has served on our board since April 2007. Mr. Dykes retired in 2005 from his position as chief financial officer for BellSouth Corporation. He worked at BellSouth and its predecessor companies for 34 years, holding positions of increasing responsibility, first in network and engineering groups, then in financial management. Mr. Dykes is a trustee of St. Joseph's Health System in Atlanta.
