PETER B. DELANEY, 53, is President and Chief Operating Officer of the Company and OG&E. From 2004 to January 2007, he was Executive Vice President and Chief Operating Officer of the Company and OG&E. From 2002 to 2004, Mr. Delaney was Executive Vice President, Finance and Strategic Planning for the Company and Chief Executive Officer of the Company's Enogex, Inc. subsidiary. Mr. Delaney has been a director of the Company and OG&E since January 2007.

Steve A. Weyel has served as a Director of PDTI since May 2005. Since July 2005, Mr. Weyel has served as President and Chief Operating Officer of Energy XXI Acquisition Corporation (Bermuda) Limited. Previously, Mr. Weyel co-founded and was a principal, and President and Chief Operating Officer of EnerVen LLC, a privately-held company with strategic ventures in the energy industry. EnerVen's businesses include the start-up of WesCo LLC, a gas compression services company, and EnerVen Compression Services, a joint venture company with Enogex Inc., an unregulated subsidiary of OGE Energy Corp. (NYSE: OGE), providing compression asset rentals. Mr. Weyel was a principal of EnerVen LLC commencing in 2001 and sold his membership interests in EnerVen in September 2005 and resigned as an officer and director of EnerVen at that time. From 1999 until he co-founded EnerVen in 2001, Mr. Weyel was President of InterGen North America, a Shell Bechtel joint venture in the gas and power business. While President of InterGen, Mr. Weyel was responsible for the acquisition and management of gas assets, including gas storage, midstream gas assets and over 15,000 miles of regulated pipelines, development of greenfield merchant power projects, and board-level oversight of InterGen's equity ownership in Coral Marketing and Trading. Mr. Weyel was employed by Dynegy Corporation (previously known as Natural Gas Clearinghouse and then NGC Corporation) from 1994 to 1999. While at Dynegy, he served in several senior executive leadership roles, including Senior Vice President Power Development from 1998 to 1999. Mr. Weyel began his career with Baker Hughes in 1976 and rotated through a variety of assignments, including responsibility for Baker Production Service's operations in North and South America. In 1985 he formed a start-up technology and engineering driven oilfield services company, Resource Technology Corporation ("RTC"), evaluating oil and gas reserves around the world. RTC's assets and ongoing operations were later sold to John Wood Group PLC in 1993. Mr. Weyel is a 1976 graduate of Texas A&M University and received his MBA from the University of Texas at Austin in 1989.

J. D. WILLIAMS, 69, is founder and a former member of Williams & Jensen, P.C., a law firm in Washington, D. C., having resigned as a member of the firm in 1991 and having retired as an employee of the firm in December 2004. He has agreed to make himself available as an independent contractor to provide limited services to the firm through December 31, 2007. Mr. Williams served as a Director of Seitel, Inc. until his retirement from that position on February 28, 2006. Mr. Williams is involved in various civic and related matters. Mr. Williams has been a director of the Company and of OG&E since January 2001, and is chairman of the nominating and corporate governance committee and is a member of the compensation committee of the Board.

Richie, 65, serves as of counsel to the Detroit-based law firm of Lewis & Munday, P.C., one of the oldest and largest law firms in the nation founded by minorities. He previously was chairman and CEO of Q Standards World Wide Inc. and Capitol Coating Technologies Inc., and President of Intrepid World Communications. Richie also has served as Vice President and General Counsel for Automotive Legal Affairs of Chrysler Corporation and as director of the New York office of the Federal Trade Commission. Richie served on the Board of Directors of Kerr-McGee Corporation from 1998 to 2006, the last three years as chairman of the Audit Committee. He currently serves as a director of Digital Ally Inc., Infinity Energy Resources Inc., Tri-Continental Corp. and companies in the Seligman family of investment companies.

LINDA PETREE LAMBERT, 69, is President of LASSO Corporation, a diversified oil and gas investment company, and President of Enertree, L.L.C., also an oil and gas investment company. Ms. Lambert also serves as Chairman of the Board of Mercy Health Center and a member of the Board of Directors of InvesTrust, a privately held trust company, Oklahoma Water Resources Board, Oklahoma City Public Schools Trust, International Longevity Center and the United Way of Central Oklahoma. Ms. Lambert has been a director of the Company and of OG&E since November 2004, and is a member of the audit committee and the nominating and corporate governance committee of the Board.

LUKE R. CORBETT, 60, is the former Chairman and Chief Executive Officer of Kerr-McGee Corporation, which is engaged in oil and gas exploration and production and chemical operations. He had been employed by Kerr-McGee Corporation for more than 17 years prior to his retirement from Kerr-McGee Corporation on September 1, 2006, having served as Chairman and Chief Executive Officer since 1997; President and Chief Operating Officer from 1995 to 1997; and Group Vice President from 1992 to 1995. Mr. Corbett also serves as a member of the Board of Directors of Noble Corporation and Anadarko Petroleum Corporation, which acquired Kerr-McGee Corporation on September 1, 2006. Mr. Corbett has been a director of the Company and OG&E since December 1996. He serves as Lead Director of the Board, is chairman of the compensation committee and is a member of the audit committee of the Board.

Brunetti, 65, brings nearly 40 years of energy and utility industry experience to the company's board, having begun his career at Florida Power & Light in 1964. More recently, he served until his retirement in 2005 as chairman of Xcel Energy, which provides electricity and natural gas services in eight Western and Midwestern states. Prior to his role as Xcel's chairman, he served as the company's chairman, president and CEO. Brunetti also served as chairman, president and CEO of Xcel's various predecessor companies, including New Century Energies, Public Service Company of Colorado and Southwestern Public Service Company. In addition to his corporate leadership, Brunetti was active in a variety of energy industry leadership roles including chairman of the Edison Electric Institute, the utility industry's national trade association. He also was appointed to the National Petroleum Council, an advisory body to the U.S. Department of Energy, and served as chairman of the Colorado Association of Commerce and Industry.
