Penn Octane Corp.

Richard R. Canney was elected as a member of the board of managers of the General Partner in August 2004. Since 1997, Mr. Canney has been employed in the mergers and acquisitions and new ventures division of Shell Oil Company in Houston, Texas. Prior to joining Shell, Mr. Canney was a Director and Managing Partner of Corporacion Mercantil Internacional, S.A. de C.V. in Mexico City. From 1994 to 1996, Mr. Canney was a professor of finance at Instituto Tecnologico Autonomo de Mexico in Mexico City. Mr. Canney earned a Masters of Business Administration from the University of Chicago in June 1989. Mr. Canney is also Chairman of the Board of Penn Octane.

Douglas Manner is President and Chief Executive Officer of Westside Energy Corp. He was previously Senior Vice-President and Chief Operating Officer of Kosmos Energy LLC; President and Chief Operating Officer of Whitestone Energy LLC; Chairman and Chief Executive Officer of Bellwether Exploration, and Chief Operating Officer of Gulf Canada Resources Limited. His career began as an Operations Reservoir Engineer at Amoco Production Company where he later became District Manager. In 1981, Mr. Manner joined Ryder Scott Petroleum Engineers as a consulting reservoir engineer. In 1995, as Senior Vice-President, he established a branch office in Calgary . Mr. Manner is a former board member of Resolute Energy Inc. and holds a Bachelor of Science degree (Mechanical Engineering) from Rice University.

Nicholas J. Singer was elected as a member of the board of managers of the General Partner in January 2008. Mr. Singer is a Co-Managing Member of Standard General Management LLC, an investment management firm based in New York City. Before joining Standard General Management LLC in 2007, Mr. Singer was a Founding Partner at Cyrus Capital Partners during 2005 and 2006. Prior to joining Cyrus Capital Partners, he was a senior research analyst and principal at Och-Ziff Capital Management from 2002 until 2005. Concurrent with his election to the board of managers of Rio Vista, Mr. Singer was also elected to the board of directors of Penn Octane.
