President and Chief Executive Officer, C&D Technologies, Inc. JEFFREY A. GRAVES has been a director of Hexcel since July 2007. Dr. Graves has served as President and Chief Executive Officer of C&D Technologies, Inc., a producer of power conversion systems and electrical power storage, since 2005. From 2001 to 2005 he was employed by Kemet Corporation as Chief Executive Officer (2003 to 2005); President and Chief Operating Officer (2002-2003); and Vice President of Technology and Engineering (2001-2002). From 1994 to 2001 Dr. Graves was employed by the General Electric Company, holding a variety of Management positions in GE's Power Systems Division from 1996 to 2001, and in the Corporate Research and Development Center from 1994 to 1996. Prior to General Electric, Dr. Graves was employed by Rockwell International and Howmet Corporation, now a part of Alcoa Corporation. Dr. Graves is also a member of the Board of Directors of Teleflex, Inc.
Ian J. Harvie was appointed Vice President and Chief Financial Officer in December 2005. From February 2002 to October 2005, Mr. Harvie was employed by Exide Technologies where he served in various positions, including serving as the Vice President - Controller and as the interim CFO for one year. From January 1984 to January 2002, he was employed by PricewaterhouseCoopers, and from July 1998 to January 2002, he held the title of Partner in Audit & Business Advisory Services. Mr. Harvie is qualified as a certified public accountant in Australia and the U.S.
James D. Dee was appointed Vice President, General Counsel, Secretary and Chief Administrative Officer in April 2007. From September 2005 to April 2007, Mr. Dee served as Vice President, General Counsel and Corporate Secretary. From October 2004 until September 2005, Mr. Dee was employed by the law firm of Montgomery, McCracken, Walker & Rhoads, LLP, where he was a member of the firm’s corporate law department, specializing in securities regulation, corporate governance, mergers and acquisitions, and intellectual property. Prior to his tenure at Montgomery, McCracken, Walker & Rhoads, Mr. Dee had previously served for 16 years at SPS Technologies, Inc., where he last served as Vice President, General Counsel and Corporate Secretary. While at SPS, Mr. Dee was responsible for all legal and regulatory affairs of the company. Mr. Dee is also a licensed patent attorney.

Leonard Kiely was
appointed Vice President and General Manager of the Power Systems Division in June 2006. From 1997 to May 2006,
Mr. Kiely was employed by SPS Technologies, based in Ireland, where he held various operations leadership positions
including President of their Precision Tool Group. His most recent responsibilities were as VP Business Development
where he developed acquisition strategies and strategic plans for each of SPS’ Industrial Divisions. Prior to SPS
Technologies, Mr. Kiely spent 9 years with Raychem Corporation in both Ireland and California as a Controller,
Operations Manager and finally General Manager of the Irish Operations.

Mr. Crowley has served as Vice President and Chief Information Officer for several large corporations including Avaya, Inc., Campbell Soup Company and Rich Products Corporation. Most recently, he has led his own Information Technology (IT) management consulting group focusing on IT strategic planning, transformation and service delivery.
Mr. Crowley graduated from Penn State University, with a BS in Operations Management, and received his MBA from the University of Pittsburgh.

Dr. Wreford joined C&D Technologies in July 2003 as Vice President of Technology and since that time has led the development activities for the power storage businesses. Among Dr. Wreford's accomplishments at C&D has been the development of the highly successful msEndur(TM) product, a revolutionary 2V, 20-year valve regulated lead-acid battery that is gaining rapid acceptance in the wireless and wire-line telecom sectors due to its superior performance and extended reliability. C&D recently celebrated the shipment of the 2500th msEndur back-up battery system.
Prior to joining C&D, Dr. Wreford held leadership roles in several leading research organizations, including Director of Research and Development for the Specialty Chemicals Division of DuPont Corporation, Director of Corporate R&D for Gillette Corporation, and Vice President of Global Research and Development for Newell Rubbermaid Corporation. Dr. Wreford holds a PhD in Chemistry from the Massachusetts Institute of Technology.
Steve Heir was appointed Vice President, Business Development and Chief Marketing Officer in September 2008. From October 2007 to September 2008, Mr. Heir served as Vice President, Marketing and International Sales and from September 2006 to October 2007 as General Manager, Motive Power for the Power Systems Division. Steve has over 16 years of progressive sales, marketing and operations experience in the field of stored energy. He previously held various global sales, marketing, and operations leadership positions with Exide Technologies (GNB Technologies), in both their Motive and Standby Power businesses. Earlier in his career, he served as the Sales leader for Crompton Eternacell, a manufacturer of primary lithium batteries for industrial and military applications.

Margaret Sofio was appointed Vice President, Human Resources in February 2009. From October 2002 to January 2009, Ms. Sofio served as Director, Human Resources for Sunoco Logistics. Prior to Sunoco Logistics, Ms. Sofio served as Vice President, Human Resources for the Correctional Services Division of Aramark Corporation. Ms. Sofio has over 18 years experience in Human Resources management. She serves as a member of the Board of Trustees for Peirce College and is an active member of various Human Resource associations.
Neil E. Daniels was appointed Vice President and Controller in December 2007. From September 2006 to December 2007, Mr. Daniels served as Vice President, Corporate Controller and Treasurer. Mr. Daniels has over 16 years of finance experience including Operations, SEC and Internal Reporting, Tax, Internal and External Audit and Sarbanes-Oxley. He has held various positions within IKON Office Solutions including Senior Manager, Financial Reporting; Director of Corporate Accounting and Financial Reporting; Director of Accounting and Taxes; Vice President Internal Audit; and most recently as the Vice President Operations, Finance. He has also served as Assistant Global Controller with Quaker Chemical Corporation and was an Audit Manager at PriceWaterhouse LLP.
Ms. Reich joined C&D in 1976 at the Leola, Pennsylvania manufacturing facility and was promoted to her current position as Vice President, Environment, Health and Safety in 2000.

William E. Bachrach, age 48, Vice President and General Manager – Power Electronics Division. Dr.
Bachrach was appointed Vice President and General Manager of the Power Electronics Division in September 2005.
From 2004 to August 2005 he was employed at WAY Systems where he held the title of General Manager for Products
and Manufacturing. WAY Systems is a wireless transaction platform provider of mobile phone-based Point-of-Sale
(POS) solutions worldwide. From February 2002 to March 2004, Dr. Bachrach was the Chief Technical Officer of
KEMET Corporation a leading manufacturer of ceramic and tantalum capacitors. From 2000 to 2002, Dr. Bachrach was
the Co-Founder & Vice President, Operations of InphoMatch (now Mobile 365), a leading provider in the delivery,
billing, and settlement of mobile messaging services. From 1998 to March 2000, Dr. Bachrach was employed at General
Electric Power Systems where he held the title of Manager, Revenue Sharing Partnership Program. Dr. Bachrach holds
an MS and PhD from Northwestern and an MS from the Sloan School of Management at MIT.

Ms. Wolf, age 54, has been Senior Vice President and Chief Financial Officer of American Water, the largest investor-owned U.S. water and wastewater company, since 2006. Previously, she served as Senior Vice President and CFO of USEC, Inc. beginning in December 2003 and as Vice President and CFO of American Water from 1999 to 2003. Prior to that, Ms. Wolf held various positions with increasing responsibility in corporate accounting, finance and business development since beginning her career in 1987. She also serves on the board of directors for C&D Technologies Inc., Water for People and the National Association of Water Companies. She serves as a member of Airgas, Inc.'s Audit Committee and has been an Airgas director since 2008.
Robert I. Harries has been a director of C&D since May 2002. He currently serves as a counselor to business leaders. From January 2001 to September 2003, he was Senior Vice President of FMC Corporation, a diversified chemical company, and General Manager of its Industrial Chemicals Group and Shared Services. Mr. Harries had served with FMC in various capacities since 1977. Mr. Harries is also a director of the Metropolitan Career Center.

George MacKenzie began his appointment on May 17, 2006 as non-executive Chairman of the Board of American Water, the largest investor-owned U.S. water and
wastewater utility company.
Mr. MacKenzie most recently served as interim president and CEO of American Water until the appointment of Donald L. Correll, which took effect April 17,
2006. He has been a valued member of the American Water Board of Directors since August 2003 and was a past Chair of the Audit Committee of the Board.
In addition to his role with American Water, Mr. MacKenzie is a director on the Boards of Safeguard Scientifics, Inc., Tractor Supply Co., and C&D
Technologies, Inc., where he served as Interim CEO early in 2005. He also serves on the Board of Trustees of the Medical Center of Delaware and is a member
of the Investment Committee at the University of Delaware.
George MacKenzie previously served as vice chairman of the Board and chief financial officer of Hercules Incorporated, a global manufacturer of chemical
specialties whose 5,000 employees generated sales of approximately $2 billion in fiscal 2005. During his 22-year career with Hercules he served in a variety
of senior management roles including president of the Chemical Specialty Division.

recommended by a stockholder of C&D. Since February 2005, Mr. Kalb has served as Managing Director of Sun Capital
Partners, a leading private investment firm with offices in Boca Raton, Los Angeles and New York, and affiliates with
offices in London, Shenzhen and Tokyo. From 2001 to 2005, he served as a Principal of Sun Capital, and since joining Sun
Capital in 1999 as a Vice President, he has led more than 25 transactions on behalf of affiliates of Sun Capital Partners.
Mr. Kalb is also a director of a number of private companies.
