John A. Swainson is chief executive officer of CA and a member of the company's Board of Directors. During three decades in the Information Technology (IT) industry, John has developed a rare combination of management expertise and technology vision that he is applying to the transformation of CA. An engineer by training, he has led software operations ranging from sales and marketing to product development. In every case, he has been sharply focused on customers and on how IT can make their businesses more competitive. Under John's leadership, CA has increased its global presence and focused on its core strengths in systems, networks, security and storage management for the enterprise. At the same time, John has strengthened the company's management team, simplified its business unit structure, streamlined its distribution channels and fostered greater innovation across the company. John has also leveraged CA's deep expertise and broad product portfolio to define a unique vision to unify and simplify the management of IT across the enterprise. This vision—known as Enterprise IT Management—encompasses an integrated yet modular approach across security, storage, systems, devices and network functions. Before joining CA, John spent 26 years at IBM, most recently as vice president of worldwide sales for IBM's Software Group. Earlier, as general manager of the Application Integration and Middleware division, he and his team developed, marketed and launched the highly successful WebSphere family of middleware products. John serves on the board of directors of VISA, Inc. and Cadence Design Systems. He holds a bachelor of applied science degree in engineering from the University of British Columbia.

Kenneth V. Handal is executive vice president, office of the chief executive officer, at CA. Until April 2009, he served as executive vice president, global risk & compliance and corporate secretary, with a responsibility for CA's corporate governance, risk and compliance programs, and the internal audit and global security functions. Ken joined the company in July 2004, as executive vice president, general counsel and corporate secretary. Prior to joining CA, Ken was associate general counsel and served as compliance counsel for Altria, then the parent company of Kraft Foods and Philip Morris. While there, he helped build the company's enhanced compliance program and oversaw critical areas of their litigation. Prior to joining Altria, Ken was a partner with Arnold & Porter where he practiced primarily in the areas of white collar criminal defense and civil litigation. Earlier, he was an Assistant United States Attorney for the Southern District of New York, Criminal Division. He also served as a law clerk to Judge Robert A. Ainsworth, Jr. of the U.S. Court of Appeals for the Fifth Circuit. Ken currently serves on the advisory boards of the Hospital for Special Surgery and Corporate Counsel magazine. He has served on the boards of the National Center for Missing & Exploited Children, The Legal Aid Society, the Association of the Bar of the City of New York Fund, Inc., New York Lawyers for the Public Interest, the International League for Human Rights, the Brooklyn Academy of Music, and the Convent of the Sacred Heart. He also established the in-house Pro Bono Programs at CA and Altria. Ken is a frequent lecturer at continuing legal education conferences. Ken earned his law degree from The University of Chicago Law School, where he was managing editor of the Law Review, and his undergraduate degree from Georgetown University.

Alan F. Nugent, 53, has been Executive Vice President and Chief Technology Officer of the Company since June 2006. Mr. Nugent joined the Company in April 2005. From April 2005 to June 2006, he served as Senior Vice President and General Manager, Enterprise Systems Management Business Unit. From March 2002 to April 2005, he served as Senior Vice President and Chief Technology Officer of Novell, Inc., an infrastructure software and services company.

Jim Bryant is executive vice president, risk, and chief administrative officer at CA, responsible for the company’s information technology, facilities and administration, corporate transformation, and planning operations. He also leads CA's enterprise risk management, internal audit and internal control functions. A 30-year IT veteran, Jim has extensive knowledge of the software industry and in running global operations. Jim joined CA in 2006 from Common Angels, a Boston-based investment group which provides funding and mentoring for high technology startups. Previously, Jim worked at IBM until 2002 where he held numerous finance positions in the company’s geographies and in its various business units. In his last position at IBM, Bryant spent eight years as the vice president in charge of the finance and administrative operations of IBM’s $8 billion software group. In that global position, he managed a worldwide team of 2,000 administrative and information technology professionals. He also played a key role in the acquisition strategy and integration management of 18 acquisitions including Lotus, Tivoli and Informix. Bryant holds a bachelor of science degree in mechanical engineering from the University of Missouri and a master’s degree in business administration from the University of California at Berkeley. He served in the U.S. Navy as a lieutenant and saw action in the Vietnam conflict.

Michael J. Christenson is president and chief operating officer at CA, responsible for world-wide sales, marketing, technical services, customer support, employee training, business development and strategic alliances. Since assuming the role of chief operating officer in 2006, Michael has led a complete reengineering of the CA direct sales and channel sales organizations to improve CA's focus on its core enterprise customer base, improve the productivity of its 4,000 person sales organization, and drive the sales of new technology. In addition, he led the realignment of the technical services and customer support organizations to work collaboratively with sales in delivering Enterprise IT Management solutions to CA's customers. Michael joined CA in 2005 as executive vice president of Strategy and Business Development. He led CA's acquisition program and its integration team in the successful acquisition and integration of 15 companies with a total investment of $1.8 billion. These acquisitions, which included such companies as Concord Communications, Niku, and Wily Technology, significantly strengthened CA's solution portfolio and made CA a stronger technology partner for its customers. Michael retired from Citigroup Global Markets, Inc. in 2004 after a 23 year career as an investment banker. During his investment banking career he advised many companies on industry transforming transactions including representing Compaq Computer in its merger with Hewlett Packard and representing America Online in its acquisition of Time Warner. At Citigroup, he was responsible for Global Private Equity Investment Banking, North American Regional Investment Banking and Latin American Investment Banking. In addition, he was a member of the Operating Committee of the Global Investment Banking Division and the Investment Committee of SSB Capital Partners. Prior to these roles he served as head of Citigroup's Global Technology Investment Banking, Global Media Investment Banking and Global Real Estate Investment Banking Groups Michael earned a bachelor of arts degree with High Honors in chemistry from Newark College of Arts and Sciences at Rutgers University and a master of business administration degree from The New York University Graduate School of Business. He is a member of the Council on Foreign Relations.

Nancy E. Cooper, executive vice president and chief financial officer, is responsible for all of CA’s corporate and business unit financial functions worldwide, including the controller role, treasury, tax, investor relations and risk management. Nancy joined CA in August of 2006. Nancy has nearly 30 years of finance experience, most recently serving as chief financial officer for IMS Health Incorporated, the world’s leading provider of market intelligence to the pharmaceutical and healthcare industries. There, her responsibilities included finance and accounting, treasury, investor relations, human resources and business development. She was instrumental in integrating IMS’ financial systems and finance teams representing more than 100 countries and closing 30 acquisitions IMS made during her tenure. Prior to joining IMS Health, Nancy was the chief financial officer of Reciprocal, Inc., a leading digital rights management and consulting firm whose clients included McGraw Hill, Sony, Time Warner and Reuters. In addition, she served as the chief financial officer of Pitney Bowes Credit Corporation, an international credit company. In 1998, Nancy served as a partner responsible for finance and administration at General Atlantic Partners, a private equity firm focused on software and services investments. From 1976 to 1998, Nancy held various positions of increasing responsibility at IBM, including CFO of the Global Industries Division, assistant corporate controller, and controller and treasurer of IBM Credit Corporation. Prior to that, she served as director of financial management systems, pricing and financial planning at IBM, responsible for pricing strategy and financial planning management among many IBM divisions worldwide. Nancy holds a bachelor of arts degree in economics and political science from Bucknell University and an MBA from the Harvard Graduate School of Business Administration.

Amy Fliegelman Olli is executive vice president and general counsel at CA, responsible for the company’s Law Department, including all legal activities relating to software licensing, intellectual property, litigation and acquisitions. She also leads CA's business practices and compliance, and global security functions Prior to joining CA in 2006, Amy spent nearly 20 years in various legal positions at IBM. In her last post, she was IBM vice president and general counsel, Americas, and co-global coordinator, sales and distribution. In that role, she was responsible for a team of more than 200 lawyers in the U.S., Europe, Latin America and Canada, and for coordination of all the sales and distribution lawyers in IBM on a global basis. Earlier, she had been the associate general counsel, Southwest Europe. In that capacity, Amy was responsible for managing all legal matters relating to IBM's business in the region. She also has been the associate general counsel for IBM's Global Services business and IBM's Software Group sales activities in Europe, Middle East and Africa. She received a bachelor of science degree in business administration from the State University of New York at Oswego and a J.D. from Western New England School of Law.

Andy Goodman is executive vice president of worldwide human resources at CA. He is responsible for employee development, recruitment, operations, benefits and community relations. Andy joined CA in 2002 as senior vice president of human resources. With more than 20 years in human resources management—including extensive experience in Fortune 500, technology and professional services environments—Andy is focused on the acquisition, development, retention and management of talent as a means to enhanced business performance. Before joining CA, Andy was first vice president of global technology group human resources at Merrill Lynch & Co., Inc. Prior to his tenure at Merrill Lynch, he was with Bankers Trust Company where he was vice president of financial services operations and technology human resources. Earlier, he gained extensive professional services experience as director of northeast region management consulting human resources at Ernst & Young. As a manager with General Electric Company, his responsibilities included recruitment and staffing of information technology professionals. Andy received a bachelor's degree in English Literature from the Stony Brook State University of New York and was awarded a New York State Teams Teacher Certification.

Don R. Friedman is executive vice president at CA. Don joined CA in 2005. Don brings a unique set of business and marketing experience and capabilities to CA, having been in senior executive roles in development, sales, marketing and general management at both large and small companies. Prior to joining CA, Don was the managing director at Sound Beach Partners, where he provided management and marketing consulting to a variety of technology companies on re-branding, marketing and channel development. He also was CEO of International Flex Technologies, a high-tech electronics packaging business and Sheldahl, a manufacturer of high-end electronics and specialty materials, and was acting CEO of Protegrity, a database security software company. Don spent three decades at IBM and served in various senior management roles, including vice president of marketing and strategy for the company's Server Group, and as general manager of three international business units, including IBM's personal computer company, General Business and the AS/400. Don earned a bachelor's degree in engineering from Stevens Institute of Technology, and is a member of the school's Advisory Board. He also attended Executive Programs at Northwestern and the University of Virginia.

As executive vice president for CA’s Products and Technology Group, Ajei has overall responsibility for the business units that deliver CA’s world-class IT products and solutions. He also oversees the Office of the Chief Architect, which is responsible for technological innovations that shape the company’s product portfolio. Ajei is a member of CA’s Executive Leadership Team, which defines and ensures execution of the company's business and technical strategies. Before joining CA in August of 2006, Ajei was executive vice president and chief technology officer for Symantec Corporation. Earlier at Symantec, he managed business development, and mergers & acquisitions. Prior to Symantec, Ajei served as chief executive officer and a member of the board of directors of ReefEdge Networks, Inc., a wireless LAN systems company that he co-founded. Before that, Ajei spent several years at IBM, initially at IBM Research, and most recently as chief technology officer of IBM’s Pervasive Computing Division. Ajei began his career as a member of the technical staff in the Applied Research Division at Bell Communications Research. Ajei is the author of more than twenty issued U.S. patents and numerous publications. He received a bachelor's degree in engineering from the Indian Institute of Technology in Bombay and a doctorate degree in computer science from Cornell University.

George Fischer is executive vice president of global sales and marketing. George leads CA's global sales force and is responsible for building customer and partner relationships; having developed CA's account coverage model and drawing on 25 years of IT experience in delivering solutions to customers’ most challenging business issues. George is also responsible for CA's global marketing function, including managing the company's overall marketing strategy, branding and integrated marketing initiatives ensuring that what is marketed is actionable by sales. In addition, he is a member of CA's Executive Leadership Team which defines and ensures execution of the Company's business and technical strategies. George has held several senior management positions since joining CA. Most recently, he served as senior vice president and general manager of Americas sales, where he was instrumental in developing and optimizing CA's next-generation account coverage model. Earlier, George was senior vice president and area sales manager for CA's Northeastern U.S. region, and he was the first executive vice president of sales and marketing at iCan, a CA subsidiary. George joined CA in 1999 upon its acquisition of PLATINUM technology, where he managed sales organizations supporting the company's professional services, data warehousing, repository, and security product groups. Prior to PLATINUM, George was a senior manager at RELTECH, a data repository product and services company. George began his career at NCR Corporation where he held progressive positions over five years in the financial systems division. He received a bachelor of science degree in management information systems and communications from Syracuse University.

Jacob Lamm is executive vice president of Strategy and Corporate Development at CA. In this role, he is responsible for coordinating the company’s overall business strategy, as well as developing strategy for the selection, prioritization, and execution of acquisitions. In addition, Jacob leads CA’s Business Incubation business units, which are charged with exploring opportunities to build businesses in new markets. He is also a member of CA's Executive Leadership Team, which defines and ensures execution of the Company's business and technical strategies. Jacob has held various management positions since joining CA in 1998. Prior to assuming his current role he served as executive vice president of CA's Governance Group, a collection of business units focused on delivering solutions that help organizations effectively govern all areas of operations. Earlier, he was executive vice president and general manager of CA’s Business Service Optimization business unit. Jacob has more than 20 years of industry experience covering a wide range of technologies and business applications. He joined CA with its acquisition of Professional Help Desk (PHD), where he was co-founder and served as executive vice president and chief technology officer. Under his leadership, PHD evolved into one of the strongest products on the market and gained industry recognition as having the most visionary service management solution. Prior to founding PHD, Jacob served as a senior manager at Con Edison in New York, where he was responsible for integrating new technologies into the company’s business systems, including wireless communications, data warehousing, imaging, and Internet solutions. A graduate of Brooklyn College, Jacob earned a bachelor’s degree in computer information science.

A 23-year veteran of the IT industry, Chris O’Malley is executive vice president and general manager for CA’s Mainframe Business Unit. In this capacity, he is responsible for developing and executing CA’s strategy for this key global market – including oversight of all business planning, R&D, and marketing activities. He also serves on CA’s Executive Leadership Team, which supervises the business and technology strategies for the company as a whole. Chris initiated and has led the execution of CA’s ground-breaking Mainframe 2.0 strategy, which is re-defining the way the mainframe is managed so that customers can continue to get maximum value from their platform investments as IT undergoes a major generational shift. Before assuming leadership of the Mainframe Business Unit, Chris was senior vice president of sales strategy and execution—responsible for developing and implementing competitive market strategies for CA's worldwide sales force. Chris also held several other senior management positions since joining CA in 1988 with its acquisition of ADR. His consistent success in meeting P&L goals and maintaining a culture of excellence has made him an important contributor to CA’s overall business performance. Chris graduated with honors from the University of Minnesota with a BS in computer science. He also participated in executive programs at the University of Chicago’s Graduate School of Business and New York University’s Stern School of Business. Chris is the founder and a board member of the O'Malley Foundation, a non-profit organization which grants scholarships to deserving students.

Russell M. Artzt is executive vice president of products at CA. He manages all product business units at CA, with particular focus on the integration of the company's industry-leading management software portfolio and the evolution of its enterprise infrastructure management (EITM) strategy. Russ co-founded CA in 1976 with former CA Chairman Charles B. Wang and wrote the code for some of CA's first products. Throughout much of his career at CA, Russ served as executive vice president of research and development where he was instrumental in building CA's Research and Development and Field Services organizations. Prior to his current position, Russ led CA's eTrust security brand, overseeing all aspects of the company's award-winning eTrust security product line. Earlier, he ran CA's BrightStor storage product line, successfully spearheading an organization model that unified development, support and marketing within a brand unit. With more than 30 years experience in the IT industry as a technology leader, consultant and executive, Russ is a recognized expert in software development and project management. He has driven major communications, database, distributed processing, application development, storage and security management projects on heterogeneous platforms. Russ has been a keynote speaker at leading technical and business conferences worldwide. Russ is active with many charitable organizations. He is the founder/sponsor of a research group at Mount Sinai Hospital involved in researching cures for liver diseases, is a major sponsor of the Juvenile Diabetes organization and is a major supporter of North Shore University Hospital . In addition, he is a member of the Queens College Foundation Board of Trustees. Russ received a bachelor's degree in mathematics from Queens College and a master's degree in computer science from New York University.

William E. McCracken is Chairman of the Board for CA, Inc. Bill joined CA's Board of Directors in 2005, and served as Chairman of its Special Litigation Committee. Prior to joining CA, Bill held numerous executive positions at IBM during his 36-year tenure, most recently as a member of the Chairman's Worldwide Management Council and general manager of IBM's printing division. He was also the general manager, marketing, sales and distribution for IBM PC Company and president of IBM's EMEA and Asia PC Company. Currently, Bill is the president of Executive Consulting Group, LLC, a director at IKON Office Solutions, board chairman at Lutheran Social Ministries of New Jersey, and president of the board of Plainfield Habitat for Humanity. He is also a member of the New Jersey State Anti-Poverty Network.

Arthur F. Weinbach currently serves as executive chairman of Broadridge Financial Solutions, Inc., a leading full-service outsourcing provider to the global financial industry. In addition to Broadridge and CA, Arthur also serves on the board of Schering-Plough Corp. and is on the board of trustees for New Jersey SEEDS, an academic and leadership program for high-achieving, low-income youth. Previously, Arthur spent 28 years at Automatic Data Processing, Inc. (ADP), where he served in senior executive roles with increasing levels of responsibility. Until November 2007, Arthur served as ADP's non-executive chairman, from 1998-2006 as chairman and CEO, and from 1996-1998 as president and CEO. Earlier, Arthur was a partner in the accounting firm of Touche Ross & Co., which is now part of Deloitte Touche Tohmatsu. Arthur has also served on the boards of ADP, First Data Corporation, Inc., Health Plan Services Corp. and Decision One.

Gary J. Fernandes retired from EDS Corporation in 1998 after nearly 30 years with the company. Besides serving as vice chairman, he was a member of the EDS Board of Directors from 1984 to 1999. After leaving EDS in 1998, Gary served as chairman and chief executive officer of Groceryworks.com, an online grocery service now part of Safeway, and co-founded Convergent Partners, a venture capital fund focusing on buyouts of technology-related companies. Gary also serves on the Board of Directors of 7-Eleven, Inc., webMethods, Inc., Anacomp, Inc., and BancTec, Inc. He became a director of Computer Associates International, Inc. in 2003.

The Honorable Alfonse M. D'Amato has been Managing Director of Park Strategies LLC, a business consulting firm, since January 1999. Previously, he was a United States Senator from January 1981 until January 1999. During his tenure, he served as Chairman of the Senate Committee on Banking, Housing and Urban Affairs, and Chairman of the Commission on Security and Cooperation in Europe. Alfonse has served as a director of Computer Associates International, Inc. since 1999.

Laura currently is a director of Ambac Financial Group, Inc. and MBNA Corporation. She was a Commissioner of the SEC from 1997 to 2002, serving as acting chairperson from February 2001 to August 2001. After that, she was employed by CNBC as a regulatory expert. She continues to provide commentary for CNBC and other financial media and has a portfolio of speaking engagements and private consulting clients. Before being appointed to the SEC, Laura served as counsel to the United States Senate Committee on Banking, Housing and Urban Affairs from October 1990 to November 1997. Prior to working on Capitol Hill, Laura was an attorney with the Enforcement Division of the SEC.

Mr. Bromark was a Partner and Head, Professional, Technical, Risk and Quality Group of PricewaterhouseCoopers LLP from 2001 to 2006 and provided consulting services to PwC from July 2006 through April 2007. He is a member of the American Institute of Certified Public Accountants and the University of Delaware's Weinberg Center for Corporate Governance's Advisory Board and its Lerner College of Business and Economics' Advisory Committee.

Robert E. La Blanc is founder and President of Robert E. La Blanc Associates, Inc., an information technologies consulting and investment banking firm, a post he has held since 1981. Robert was previously Vice Chairman of Continental Telecom Corporation and a general partner at Salomon Brothers Inc. He is also a director of Chartered Semiconductor Manufacturing Ltd., Salient 3 Communications, Inc., Storage Technology Corporation, The Titan Corporation, and a family of Prudential Mutual Funds. Robert became a director of Computer Associates International, Inc. in 2002.

Ron Zambonini is chairman of Cognos, Inc., a global leader in business intelligence and corporate performance management solutions. He served as CEO at Cognos for nearly 10 years before retiring from that position in 2004 and assuming the role of chairman of the company's Board of Directors. From 1993 to 1995 Ron was president and chief operating officer, and he also held senior positions in the company's research and development operations. Earlier in his career, Ron was vice president of research and development at Cullinet Software, Inc. Prior to that, he was general manager for Applied Development Corporation and also held positions at Warrington Inc. and Comtech Group International. Ron currently also serves on the Board of Directors of Reynolds and Reynolds Inc., the world's largest software company servicing automotive dealerships.
