Cable Television Laboratories Inc.

Ed Miller is Vice President, Advanced Network Systems for Cable Television Laboratories, Inc. (CableLabs). Mr. Miller rejoined CableLabs from Terayon Communication Systems, where he was Vice President of Voice Solutions. In this role, he was responsible for the company's architectural strategy for voice over IP and next generation multimedia systems. Prior to Terayon, Mr. Miller was Director of the PacketCable initiative for CableLabs. PacketCable is a cable industry defined platform for enabling the delivery of real-time multimedia services, including voice over IP, over the cable high-speed data infrastructure. As the project director, Mr. Miller had overall responsibility for PacketCable's specification development and interoperability-testing activities. Mr. Miller holds a BS degree, Magna-Cum-Laude, in Electrical Engineering from the University of Pittsburgh and an MS degree in Electrical and Computer Engineering from Carnegie-Mellon University, where he specialized in telecommunications networks.

Karen Mandeville is CableLabs' Vice President of Human Resources. She is responsible for the management of the CableLabs Human Resources Department, including such functions as: benefits, employee releations, recruitment, compensation, and development. She joined CableLabs in 1989. Ms. Mandeville formerly worked in the College Park Career Development Center at the University of Maryland as associate director of training, development, and administration. She holds a Bachelor's degree in Psychology/Business and Personnel Administration from Gettysburg College and a Master's degree and doctoral candidacy in Counseling and Personnel from the University of Maryland.

Mark Eggleston is Vice President, Finance for CableLabs and, as such, directs the organization's finance and accounting operations. Mr. Eggleston has been a licensed CPA since 1985. Before joining CableLabs, Mr. Eggleston served as the Chief Financial Officer of an international, non-profit, educational organization called Up With People. Prior to that, Mr. Eggleston spent ten years with KPMG Peat Marwick. Mr. Eggleston received his M.B.A. in Accounting and Finance from the University of Colorado and he holds a B.A. in Economics from Colgate University.

Rocco B. Commisso has 23 years of experience with the cable television industry and has served as our Chairman and Chief Executive Officer since founding our predecessor company in July 1995. Mr. Commisso served as Executive Vice President, Chief Financial Officer and a director of Cablevision Industries Corporation from 1986 to 1995. From 1981 to 1986, Mr. Commisso served as Senior Vice President of Royal Bank of Canada's affiliate in the United States, where he founded and directed a specialized lending group to media and communications companies. Mr. Commisso began his association with the cable industry in 1978 at The Chase Manhattan Bank, where he was assigned to manage the bank's lending activities to communications firms including the cable industry. He serves on the boards of the National Cable Television Association, Cable Television Laboratories, Inc. and C-SPAN. Mr. Commisso holds a Bachelor of Science in Industrial Engineering and a Master of Business Administration from Columbia University.
