We are a biopharmaceutical company focused on in-licensing, developing and commercializing product candidates principally for use in the hospital setting. Since our inception in May 2004, we have in-licensed rights to two late-stage product candidates, Acetavance, a proprietary intravenous formulation of acetaminophen, and Omigard, or omiganan pentahydrochloride 1% aqueous gel. We in-licensed the exclusive United States, or U.S., and Canadian rights to Acetavance from Bristol-Myers Squibb Company, or BMS, which markets this product candidate in Europe and other markets for the treatment of acute pain and fever under the brand name Perfalgan ® . We in-licensed the exclusive rights to commercialize Omigard in North America and Europe in July 2004, and we devoted substantial efforts to the development of this product candidate from that time until March 2009, when we announced the discontinuation of this program due to the failure of our Phase III clinical trial to meet its primary endpoint. We submitted a New Drug Application, or NDA, for Acetavance in May 2009, which was accepted for filing by the U.S. Food and Drug Administration, or FDA, and designated for priority review by the agency in July 2009. Mr. Schroeder is one of our co-founders and has served as our President and Chief Executive Officer and as a member of our board of directors since our inception in May 2004. Mr. Blair has been a General Partner of Domain Associates since its founding in 1985. He has over thirty years experience with venture and emerging growth companies. In the course of this experience, he has been involved with the creation and successful development as a board member of over forty life science ventures including Amgen, Amylin Pharmaceuticals, Applied Biosystems, Aurora Biosciences, Dura Pharmaceuticals, Sicor, and Molecular Dynamics. A former Managing Director of Rothschild Inc., Mr. Blair was directly involved at a senior level with Rothschild/New Court venture capital activities from 1978 to 1985. From 1969 to 1978, he was associated with F.S. Smithers and Company, and White Weld and Company, two investment banking firms actively involved with new ventures and emerging growth companies. From 1961 to 1969, Mr. Blair was an engineering manager with RCA during which time he received a David Sarnoff Fellowship. Mr. Blair is presently an Advisor to the Department of Molecular Biology at Princeton University, an Advisor to the Department of BioEngineering at the University of Pennsylvania, and he also serves on the Board of Directors of CapCure.

Dr. Berman has served as a member of our board of directors since April 2006. Since January 2005, Dr. Berman has served as President and Chief Executive Officer of the Michael A. Berman Group, Inc., a consulting firm specializing in the healthcare industry. Since January 2005, Dr. Berman has also served as a consultant for Stockamp and Associates, Inc., a business process consulting firm specializing in the healthcare industry. From October 1999 to January 2005, Dr. Berman served as Executive Vice President and Director of New York Presbyterian Hospital, and from September 1997 to October 1999 as its Senior Vice President and Chief Medical Officer. From April 1984 to September 1997, he served as Professor and Chairman of the Department of Pediatrics at the University of Maryland School of Medicine. Dr. Berman holds an M.D. from the State University of New York, Syracuse.

Dr. Rich has served as a member of our board of directors since August 2008. Dr. Rich is currently Senior Vice President and Global Head of Clinical Operations and Quality of Genentech, Inc., a leading biotechnology company, after having served in various leadership positions with Genentech since 1992, including as Vice President of Development Regulatory, Medical Information, Drug Safety, Quality and Compliance for Genentech from June 2006 until May, 2009. Dr. Rich holds a B.S. in biology from Amherst College, an M.S. in biomedical engineering from the University of Michigan, an M.D. from Wayne State University, and an M.B.A. from Stanford University.
