Cal Dive International Inc.

Mr. Hébert has served as our President and Chief Executive Officer since November 2005 and has been a member of our board of directors since May 2006. He served as the President, Vice President Commercial, and General Counsel of Acergy US Inc. (formerly Stolt Offshore) for the North Americas Region from 1998 to 2005. Mr. Hébert terminated his working relationship with Acergy on October 31, 2005. Prior to his employment with Acergy, Mr. Hébert served as Vice President, General Counsel and Secretary of American Oilfield Divers, Inc. (also known as Ceanic Corporation). Mr. Hébert’s professional career began as an associate at Jones, Walker, Waechter, Poitevent, Carrere & Denegre, LLP in New Orleans, Louisiana. Mr. Hébert holds a Bachelor of Arts in History from Louisiana State University and Juris Doctor from Boston College Law School.

Bart Heijermans became Executive Vice President and Chief Operating Officer of the company in September 2005. Prior to joining Helix, Mr. Heijermans worked as Senior Vice President Offshore and Gas Storage for Enterprise Products Partners, L.P. from 2004 to 2005 and previously from 1998 to 2004 was Vice President Commercial and Vice President Operations and Engineering for GulfTerra Energy Partners, L.P. Before his employment with GulfTerra, Mr. Heijermans held various positions with Royal Dutch Shell in the United States, the United Kingdom and the Netherlands. Mr. Heijermans received a Master of Science degree in Civil and Structural Engineering from the University of Delft, the Netherlands and is a graduate of the Harvard Business School, executive program.

Mr. Lunsford has served as our Executive Vice President, Chief Financial Officer and Treasurer since January 2006. He became the Vice President of Finance and Audit for Helix Energy Solutions Group, Inc. in February 2003. Mr. Lunsford terminated his working relationship with Helix on March 6, 2006. Mr. Lunsford was a senior manager in the Transaction Advisory Services practice of Ernst & Young LLP and Arthur Andersen LLP from March 2001 until February 2003. Prior to this he served as Director of Corporate Development with PSINet Consulting Solutions and as Manager of Corporate Development with Consolidated Graphics, Inc. from April 1998 until March 2001. Mr. Lunsford began his career in the audit practice of Arthur Andersen LLP in September 1992 and was promoted to manager in 1996. He held this position until April 1998. Mr. Lunsford graduated magna cum laude from Sam Houston State University with a B.B.A. in Accounting in 1992 and is a certified public accountant.

Mr. Naughton has served as our Executive Vice President and Chief Operating Officer since November 2005. He became Vice President of Helix Energy Solutions Group, Inc.’s Shelf Contracting Services segment in May 1998. Mr. Naughton terminated his working relationship with Helix on March 6, 2006. Mr. Naughton has been in the commercial diving industry since 1972, working offshore for 14 years as both a diver and a supervisor. He joined Helix in 1981 following the acquisition of J & J Marine Diving, and worked as an Operations Manager and a Project Manager

Mr. Ambrose has served as our Senior Vice President – International Business Development since March, 2006. Prior to that Mr. Ambrose served in various senior management positions for Helix Energy Solutions Group, Inc., including as Senior Vice President of International from March 2003 until March, 2006, and as Vice President of Deepwater Contracting from May 1998 until March 2003. Mr. Ambrose joined Helix as a Project Manager in August of 1997. His previous experience includes worldwide operations manager for McDermott Underwater Services, Inc. (MUS) from 1994 to 1997, and general manager of operations for Offshore Petroleum Divers (OPD) from 1993 to 1994. Mr. Ambrose’s international experience was obtained from 1991 to 1993, while serving as operations manager and setting up offices in Southeast Asia and India for OPD’s international managerial expansion. Prior to his first managerial position as domestic operations manager for OPD (1989 to 1991), Mr. Ambrose held various positions during his commercial diving career. Since 1969, these positions include project manager, project superintendent, diving superintendent and saturation diver. Mr. Ambrose served in Vietnam from 1965 to 1969 as a member of the United States Navy SEAL Team I.

Mr. Sokol has served as our Senior Vice President of International Operations since February, 2007. Prior to that Mr. Sokol served in various senior management positions for Helix Energy Solutions Group, Inc., including as Senior Vice President Deepwater Contracting from March 2003 until February , 2007. Mr. Sokol joined Helix as an Estimator/Project Manager in April of 1997. His previous experience includes Project Manager/Design Engineer for Oceaneering International (Ventura, CA), as well as extensive international experience as a freelance diver and diving superintendent. Prior to entering the commercial diving sector Mr. Sokol spent five years in the US Navy as a salvage diver and saturation diver. Mr. Sokol holds a Bachelor of Science degree in Civil Engineering from the University of California, Berkeley, and a Master of Science degree in Geotechnical Engineering from the California Polytechnic Institute, San Luis Obispo.

Mr. Brazda has served as our Senior Vice President – Pipelay since November 2005. Prior to that, he served in various management positions for Helix Energy Solutions Group, Inc. since 1998, including as the Vice President/General Manager of the Shallow Water Diving Division of Shelf Contracting Services, and President of Helix’s wholly owned subsidiary, Aquatica, Inc. Mr. Brazda has 30 years experience in the Gulf of Mexico diving and marine construction industry, eighteen of which were in senior management positions with Helix, American Oilfield Divers, Onshore Marine (as owner/CEO) and Baker Marine Corporation. Mr. Brazda has a Bachelor of Science degree in Biology from the University of Southwestern Louisiana. Mr. Brazda has served on the board of directors for two oilfield service companies and the Association of Diving Contractors International.

Bernard J. Duroc-Danner is chairman of the board, president and chief executive officer of Weatherford International Ltd (NYSE: WFT), one of the largest global providers of innovative mechanical solutions, technology and services for the drilling and production sectors of the oil and gas industry. Weatherford operates in over 121 countries and employs more than 34,000 people worldwide. Dr. Duroc-Danner was directly responsible for the 1987 start up of EVI, Inc. in the oilfield service and equipment industry and has directed the growth of EVI and later Weatherford since then to date. EVI's revenues the first year were less than $20 million. In 1998, EVI, Inc. acquired Weatherford Enterra and adopted the new name of Weatherford International, Inc. Today, Weatherford International's revenue base has grown to over $7 billion with a market capitalization of about $20 billion. Along the way, in 2000, Weatherford dividended Grant Prideco to its shareholders, and Grant now trades separately on the New York Stock Exchange. Growth was from inception both organic and acquisitive with industrial fit as its guiding principle. Dr. Duroc-Danner is a director of Helix Energy Solutions Group, Inc. (a marine contractor and operator of offshore oil and gas properties and production facilities). Dr. Duroc-Danner is also a member of the National Petroleum Council and the Society of Petroleum Engineers. Dr. Duroc-Danner's family has been in the oil business for two generations. Before forming EVI, Inc., Dr. Duroc-Danner held positions at Arthur D. Little Inc. and Mobil Oil Inc. He holds a Ph.D. in economics from Wharton (University of Pennsylvania). Dr. Duroc-Danner is married with four children.

Mr. Kratz is President and Chief Executive Officer of Helix Energy Solutions Group, Inc. He was named Executive Chairman in October 2006 and served in that capacity until February 2008 when he resumed the position of President and Chief Executive Officer. He was appointed Chairman in May 1998 and served as the Company's Chief Executive Officer since April 1997 until October 2006. Mr. Kratz served as President from 1993 until February 1999, and has served as a Director since 1990. He served as Chief Operating Officer from 1990 through 1997. Mr. Kratz joined Cal Dive International, Inc. (now known as Helix) in 1984 and held various offshore positions, including saturation (SAT) diving supervisor, and management responsibility for client relations, marketing and estimating. From 1982 to 1983, Mr. Kratz was the owner of an independent marine construction company operating in the Bay of Campeche. Prior to 1982, he was a superintendent for Santa Fe and various international diving companies, and a diver in the North Sea. Mr. Kratz is also a Director of Cal Dive International, Inc. Mr. Kratz has a Bachelor of Science degree from State University of New York.

Our board of directors currently consists of six persons. The board has three functioning committees, the audit committee, compensation committee and nominating and corporate governance committee. Because a single person controls our Company, we are a "controlled company" within the meaning of the rules of the New York Stock Exchange; accordingly, we are not required to have independent compensation and nominating and corporate governance committees. We have determined, however, that it is in the best interests of the Company to maintain an independent compensation committee, and our compensation committee charter requires that such committee be composed solely of independent directors.

Mr. Porter has served on our Board of Directors since March 2004. He is the Chairman and a founding partner of Porter & Hedges, L.L.P., a Houston law firm formed in 1981. Mr. Porter also serves as a director of Gundle/SLT Environmental, Inc., a manufacturer and marketer of geosynthetic lining solutions, products and installation services around the world, and as a director of U.S. Concrete, Inc., a value-added provider of ready-mixed concrete and related products and services to the construction industry in several major markets in the United States. Mr. Porter graduated with a B.B.A. in Finance from Southern Methodist University in 1963 and received his law degree (LL.B.) from Duke University in 1966.

William L. Transier is chairman of the board of directors, chief executive officer and president of Endeavour International Corporation. He was named to his current position in September 2006. He was one of the original co-founders of Endeavour in 2004 and previously served as co-chief executive officer. Prior to forming Endeavour, Transier was executive vice president and chief financial officer for Ocean Energy, Inc. He began his career in public accounting with KPMG LLP, an international audit and business strategy consulting firm, where he rose to the title of partner and headed its energy practice. Transier is a director of Helix Energy Solutions and Cal Dive International and a former board member of Reliant Resources. He previously served as chairman of the Natural Gas Supply Association, director of the Independent Petroleum Association of America, and as state-appointed chairman of the Texas Online Authority and Department of Information Resources.
