Cal-Maine Foods Inc.

Fred R. Adams, Jr. has served as our Chief Executive Officer and a director since our formation in 1969 and as the Chairman of our Board of Directors since 1982. He is a director and past chairman of National Egg Company, United Egg Producers, Mississippi Poultry Association, U.S. Egg Marketers, Inc., and Egg Clearinghouse, Inc. Mr. Adams is the father-in-law of Mr. Baker.

Adolphus B. Baker was elected our President and Chief Operating Officer in January 1997. He was serving as our Vice President and Director of Marketing when elected President. Previously, he had served as Assistant to the President since 1987 and has been employed by us since 1986. He has been a director since 1991. Mr. Baker is the past Chairman of the American Egg Board, he is past Chairman of Mississippi Poultry Association, and is a past chairman of Egg Clearinghouse, Inc. Mr. Baker is currently a member of the Executive Committee of the United Egg Producers. Mr. Baker is a director of Trustmark National Bank of Jackson, Mississippi. Mr. Baker is Mr. Adams' son-in-law.

Richard K. Looper served as President and Chief Operating Officer of the Company from 1983 to January 1997. Previously, he had served as Executive Vice President of the Company since 1982 and was originally employed by the Company in 1974. Mr. Looper is a past chairman of the American Egg Board and U.S. Egg Marketers, Inc. He has served as a director of the Company since 1982.

Timothy A. Dawson was elected as Vice President, Chief Financial Officer on August 1, 2005. Previously, he served as Senior Vice President and Chief Financial Officer for Mississippi Chemical Corporation, where he was employed in various financial positions from 1981 to 2005. He was elected as a director in October, 2005.

Jerry Straughan, general manager of Cal-Maine Foods of Shady Dale, Ga., has been elected to serve another term as chairman of the Georgia Egg Commission's board of directors. James Brock, president of Crystal Farms in Chestnut Mountain, will serve as vice chairman. (Posted 3/12/07.)

Letitia C. Hughes was elected as a director of the Company in July of 2001. Since 1974 Ms. Hughes has been associated with Trustmark National Bank, Jackson, Mississippi, in managerial positions. She is presently serving as Senior Vice-President, Manager, Private Banking. Mr. Baker is a director of Trustmark Corporation, the parent of Trustmark National Bank.

James E. Poole was elected a director in October 2004. A member of the American Institute of Certified Public Accountants, Mr. Poole is a founding partner of Grantham Poole CPA firm in Jackson, MS. He has owned businesses in real estate development and mortgage banking, as well as oil and gas exploration.

R. Faser Triplett, M.D. , has served as a director of our company since September 1996. Dr. Triplett is a retired physician and a Clinical Assistant Professor at the University of Mississippi School of Medicine. He is the majority owner of Avanti Travel, Inc.

Mr. Sanders has served as a director of the Company since July 23, 2009. He is a Certified Public Accountant and is a Lecturer at the Adkerson School of Accountancy, Mississippi State University, where he has taught accounting and auditing courses since May 2003. He retired as the managing partner of the Jackson, Mississippi office of Ernst & Young LLP, certified public accountants, after over 30 years with that firm. He is a director of Valley Services, Inc., a privately-held food services company.
