California Bank & Trust

Director David E. Blackford is the Chief Executive Officer of California Bank & Trust. That bank is one of the 23 participating lenders in the Company s Second Amended and Restated Credit Agreement dated March 22, 2006, which is the Company s homebuilding line of credit. In 2008, California Bank & Trust received interest and fees from the Company representing approximately 0.03% of the bank s total revenue. Mr. Blackford has no direct or indirect material interest with respect to the Company s homebuilding line of credit.

Gary Cady has been the Company s Executive Vice President of Southern California Administration since May 2003. He has served as President of Torrey Pines Bank since May 2003 and as its Chief Executive Officer since June 2006. Mr. Cady was also a director of the Company from June 2003 to April 2005. Mr. Cady has 29 years of commercial banking experience, most recently as Senior Vice President and Regional Manager for California Bank and Trust in San Diego from August 1987 to February 2003. Mr. Cady is Chairman of Grossmont Hospital Corporation and a board member of Sharp HealthCare and the San Diego Symphony. Mr. Cady is 52.

A commercial banker and Senior Vice President for California Bank & Trust, Lorie manages three of their branch offices. She is married and has two children. Lorie has been an active resident of the Temecula Valley for eight years and is a Past President of the Boys & Girls Club Board of Directors and the Murrieta Rotary Club. Lorie is also a member of the Habitat Fundraising Team.

Valerie, a native of San Diego, is an Assistant Vice President for California Bank & Trust in the North County Corporate/ Carlsbad branch. A stead-fast believer in "relationship banking," she is proud of California Bank & Trust's reputation for combining the responsiveness of a local bank with the comprehensive services offered by major financial institutions. A graduate of Pepperdine University, Malibu Campus, with a degree in Journalism and 20 years in radio and television, Valerie comes to the board with spirit and enthusiasm for the youth of the community. An active member in the Carlsbad Chamber of Commerce, she has also been involved with the Make A Wish Foundation and St Jude Children's Research Hospital. She also volunteers with the Poway Rodeo. A resident of Poway for 18 years, Valerie and her husband, Rex, share their new horse-property ranch with three dogs, a cat that runs the place, and their recent "Master's graduate from USC" daughter.
