California Pizza Kitchen, Inc. (referred to hereafter as the Company or in the first person notations we and our) is a leading casual dining restaurant chain. As of May 6, 2009, we own, operate, license or franchise 254 locations under the names California Pizza Kitchen, California Pizza Kitchen ASAP (CPK/ASAP) and LA Food Show in 32 states, the District of Columbia and 10 foreign countries. We have 48 locations that operate under franchise or license agreements and use the California Pizza Kitchen and California Pizza Kitchen ASAP brand names and trademarks. Through a licensing agreement with Kraft, California Pizza Kitchen branded frozen pizzas and flatbread melts and are available in approximately 20,000 locations in all 50 states. We opened our first restaurant in 1985 in Beverly Hills, California and during our 24 years of operating history, we have developed a recognized consumer brand and demonstrated the appeal of our concept in a wide variety of geographic areas. Our restaurants, which feature an exhibition-style kitchen centered around an open-flame oven, provide a distinctive casual dining experience that is family friendly and has a broad consumer appeal. Richard L. Rosenfield, a co-founder, was named Co-President in January 2004 and has served as Co-Chief Executive Officer since July 2003 and as Co-Chairman of the Board since our formation in October 1985. From 1985 to 1996, Mr. Rosenfield had also served as Co-Chief Executive Officer. In January 2002, Mr. Rosenfield co-founded LA Food Show, Inc., a restaurant operating company and now one of our wholly-owned subsidiaries, and served as co-president of that company. Prior to founding California Pizza Kitchen, he practiced law as a principal of Flax and Rosenfield, Inc. after serving with the Department of Justice, Criminal Division, Appellate Section in Washington, D.C. and as an Assistant United States Attorney, Special Prosecutions Section of the Criminal Division, in Los Angeles. Mr. Rosenfield also serves on the board of directors of Callaway Golf Company.

Sue Collyns is the Chief Operating Officer and Chief Financial Officer of California Pizza Kitchen. Brian Sullivan has served as Senior Vice President of Culinary Development since March 2006 and was Vice President of Culinary Development since August 2003. Mr. Sullivan joined the CPK team in 1988 and has served in a variety of positions within the Operations Department including Regional Director of Operations and Director of Quality Assurance. Clint Coleman has served as Senior Vice President of Development since March of 2006 and was Vice President of Development since August 2003. Karen Settlemyer has served as Senior Vice President of Procurement since December 2003 and previously as Vice President of Product Development and Purchasing since 1996. Rudy Sugueti has been overseeing the operations of the CPK ASAP concept since November 2006. Bob Dowling has served as Regional Vice President of Operations since January 2004. Brian Krakower returned to CPK to lead the Information Technology department in February 2007. Prior to this time, Brian held various IT leadership positions within the industry, serving as Senior Director of IT for both HOB Entertainment and The Cheesecake Factory where he was responsible for all technology functions such as restaurant systems, business applications, and infrastructure. Additionally, Brian has done extensive work in compliance-related areas such as SOX and the credit card industry's PCI standard. While at CPK from 1994-1997, Brian helped design, build, and deliver our first restaurant back office systems, as well as our data warehouse and business intelligence platform.

Jim Rich currently serves as Vice President of Training and Operations Services. He started his career with CPK 19 years ago and has held several positions at CPK including Counter Server, Counter Trainer, opening over 40 CPK's across the country. As Director of Operations Services, Mr. Rich continued to be deeply involved in the creation, upkeep and new design of all Front Of the House training. He has spent the majority of his time in the field conducting Trainer seminars and store support visits as well as helping to filter and communicate Operations and Training issues to the field.

Peter Gillette has served as Vice President of Franchise Development since February of 2006. Mr. Gillette began his career at CPK as a server in the Marina del Rey location in 1992. He has since held several positions within the organization including Manager, Director of Quality Control and Director of New Concept Development. Most recently, he was instrumental in negotiating and completing a new international franchise partnership with WDI Corporation, a Tokyo based restaurant company. Dave graduated with a Bachelor of Architecture degree from the University of Kansas in 1995. After graduation, he accepted an intern architect position with Aria Group. He was promoted to Project Manager in 2001, was licensed in the State of Illinois in 2005 and became an Associate the same year. Since starting with Aria Group, Dave has gained experience on various scaled projects. These include the Blue Chip Casino in Michigan City, Indiana, the Brookfield Zoo Coast exhibit and various specialty restaurants. Since 2000, he has been the Project Manager for Scottsdale, AZ based Kona Grill and takes satisfaction in the fact that he has helped them grow from a single store to 20 stores nationwide. Dave is currently a Project Manager for Los Angeles based California Pizza Kitchen and for Seattle based Nordstrom's Restaurant Division. In addition, he is working with Nando's, a chicken concept out of London, England, as they enter the U.S. market. Dave also assists in the development of the office project manual, helps coordinate office functions, and co-runs Project Management seminars along with other associates. Dave is an AIA member. Outside of work Dave enjoys spending time with his wife and two children, and playing a few rounds of golf whenever he gets a chance.

Avedick B. Poladian has served as Director since September 2004. Mr. Poladian is currently Executive Vice President, Chief Financial Officer and Chief Administrative Officer of Lowe Enterprises, Inc., a real estate developer. Mr. Poladian was past Chairman and is currently a Board Member of the YMCA of Metropolitan Los Angeles; a former Trustee and Vice Chairman of the Board of Loyola Marymount University; a past Chairman and current Board Member of the Los Angeles Area Chamber of Commerce; a Board Member of University of Southern California School of Public Policy, Planning and Development; and a Trustee of the Museum of the American West (formerly the Autry Museum of Western Heritage). Currently, all directors hold office until the next annual meeting of stockholders and until their successors have been duly elected and qualified. There are no family relationships among our directors and officers. During the fiscal year ended January 2, 2005, our board of directors held seven meetings. Other than Rick J. Caruso, each director attended or participated in 75% or more of the aggregate of (i) the total number of meetings of the board of directors and (ii) the total number of meetings held by all committees of the board on which such director served during 2004. Each member of our board of directors is expected to attend the Company s Annual Meeting of Stockholders. Except for Mr. Caruso, all of the current members of our board of directors who served in that capacity at the time of our 2004 Annual Meeting of Stockholders attended such annual meeting.

Charles G. Phillips, age 57, was appointed to the Board of Directors of the Company on March 15, 2006 pursuant to the Merger Agreement. He joined Prentice Capital Management, LP as Chief Operating Officer and as a member of the investment team in 2005. Prior to joining Prentice, Mr. Phillips was a member of the Investment Banking Operating Committee and the founder of the Retail Coverage and High Yield Bond Departments at Morgan Stanley during the 1980s. He was the President of Gleacher & Co., an investment banking and management firm, where he worked from 1991 until his retirement in 2003. In that capacity he had extensive involvement in the firm s M&A, private investment, leverage finance and restructuring activities. Mr. Phillips currently serves on the boards of directors of California Pizza Kitchen, Inc. and Champps Entertainment, Inc. Mr. Phillips is a member of the Company s Compensation Committee and the Governance and Nominating Committee.

Henry Gluck (Independent Director) has served as Director since August 2003 and has served on the Audit Committee since March 2004. Mr. Gluck serves on the Board of Trustees of Andrus Gerontology Center at the University of Southern California and co-chairs the Board of Advisors of the UCLA Medical Center. Mr. Gluck served as Chairman and Chief Executive Officer of Caesars' World from 1983 until 1995. While serving in this position, Mr. Gluck negotiated the sale of Caesars' World to ITT Corp. and remained as Chairman and Chief Executive Officer, joining the Board of Directors of ITT Corp. Mr. Gluck was Co-Chairman of Transcontinental Properties, developers of Lake Las Vegas, from 1995 to 2003. Marshall S. Geller , 68, Director, has been a member of the Board since June 2006. He is the co-founder and Senior Managing Director of St. Cloud Capital, a Los Angeles-based private investment fund formed in December 2001. He is also Chairman, CEO and founding partner of Geller & Friend Capital Partners, Inc., a private merchant bank formed in November 1995. Mr. Geller has spent more than 40 years in corporate finance and investment banking, including 21 years as Senior Managing Director for Bear, Stearns and Company, with oversight of all operations in Los Angeles, San Francisco, Chicago, Hong Kong and the Far East. Steven Good is a senior partner in the firm, and is actively involved in business consulting and advisory services for a sizeable and varied client base, which includes manufacturing industries, garment industries, medical services and real estate development. He also has extensive experience in acquisitions, merger transactions and business valuations. Mr. Good received his Bachelor of Science in Business Administration from the University of California, Los Angeles, where he also attended graduate school. In 1976, he founded Block Good and Gagerman, which later evolved into Good, Gagerman and Berns (1986), Good Swartz & Berns (1993), and now Good Swartz Brown & Berns (2001). Earlier in his career Mr. Good was a partner at Freeman Horowitz & Good, as well as Leventhal & Horwath, a national accounting firm. A founder and past Chairman of CU Bancorp, Mr. Good directed the bank's solid market position from 1982 through 1992. Mr. Good is actively involved in the Board of Directors of several public companies, leveraging his insight in this area for the benefit of his clients. Mr. Good is very active in the Los Angeles community, and continues to devote time to many charitable endeavors. In 1996 he completed a two-year term as Chairman of the Board for the Jewish Home for the Aging. During his tenure he also served on the various committees affiliated with all phases of The Home. Mr. Good is also a member of the Board of the American Friends of the Hebrew University and the Jewish Community Foundation. Mr. Good is former Founding Director of the ALS Association (Lou Gherig's Disease); a member of the Chancellor's Circle of UCLA; and former Chairman of the Marilyn and Monty Hall Statesman's Club of the Jewish Home for the Aging. He is founding President of the Santa Monica Synagogue. Mr. Good participates in other religious and non-religious organizations as well. He is a Director and past Vice President of The Guardians, and is also an active participant in both the Brentwood Country Club Chapter of the United Jewish Fund and Jewish Big Brothers. Mr. Good is an active member of: the American Institute of Certified Public Accountants; the National Association of Accountants; the California Society of Certified Public Accountants; and the Nevada State Board of Accountancy.
