We build satellite ground systems and equipment for command and control, integration and test, data processing, and simulation. Since our inception, we have provided ground systems for over 200 different satellite missions for communications, science, meteorology, and earth resource applications. We have an established domestic and international customer base that includes government and commercial satellite operators, spacecraft and payload manufacturers, and aerospace systems integrators. Effective with the first quarter of our fiscal year 2009, it is now our practice to close our books and records on the Friday prior to the calendar quarter end to align our financial closing with our business processes. This practice only affects interim periods, as our fiscal year end remains September 30. We do not believe this change materially affects the comparability of the quarters and six month periods presented within this Managements Discussion and Analysis of Financial Condition and Results of Operations. We measure financial performance for each operating segment based on income from operations, which consists of revenue less cost of revenue, selling, general & administrative, research & development, and intangible asset amortization expenses. During the first quarter of fiscal year 2009, we realigned our Space Communications Systems segment to include the operations of our SAT subsidiary. ...

Joseph Nickey is the Vice President of Quality Assurance at Integral Systems and is responsible for both corporate Quality Assurance (QA) and Configuration Management (CM). This includes implementing and managing various industry-recognized models, such as ISO9001 and CMMI; providing requisite QA and CM support to the various programs, products, and organizations at ISI; and providing continuous process improvement across the enterprise. Prior to joining Integral, Mr. Nickey worked for Futron Corporation as a Quality Manager and Systems Engineering Lead providing risk management and systems engineering expertise to NASA. He holds a BS in Electrical Engineering from the University of Maryland, and a Masters Certificate in Radar Systems Engineering from Westinghouse Electric Corporation. TM

James Kramer is the Senior Vice President and General Manager of the Commercial Group at Integral Systems. In this role, he is responsible for the Commercial Programs and Commercial Products Divisions, as well as Newpoint Technologies’ Network Management Division (a wholly-owned subsidiary) and Integral Systems Europe. Before assuming his current role, Mr. Kramer served in a variety of positions including: Vice President of the Commercial Programs Division, Director of Commercial Command and Control Systems, and Program Manager for the company’s efforts on the Intelsat and New Skies satellite programs. Prior to joining ISI, he worked for Orbital Sciences Corporation as a Mission Operations Lead on the RADARSAT-2 and OrbView-3 programs, and for Orion Satellite Corporation (later part of Loral Space & Communications), where he was involved in satellite engineering. Stuart C. Daughtridge joined the Company in January 1999. Mr. Daughtridge currently serves as Executive Vice President & General Manager of the Space Communications Systems. In February 2000, he was appointed Vice President of the Commercial Division. From January 1999 to February 2000, he was a senior program manager for the Orion 1, 2 and 3 and New Skies Satellite programs. Paul G. Casner, Jr., 70, joined the Board of Directors on December 18, 2006. On April 30, 2005, Mr. Casner retired from DRS Technologies, Inc., a supplier of integrated products, services and support to military forces, intelligence agencies and prime contractors worldwide, as Executive Vice President of Operations and Chief Operating Officer. Mr. Casner served at DRS Technologies as Executive Vice President of Operations since 1998 and Chief Operating Officer since 2000. Mr. Casner previously formed Technical Applications and Service Company (TAS) in 1991, which purchased the assets of the Norden Service Company and merged into DRS Technologies in 1993. Following the merger Mr. Casner became President of DRS Electronic Systems, a position he held until 1994. Previously, Mr. Casner served as President and Chief Executive Officer of the Norden Service Company, a company he joined in 1984 as Vice President in Charge of Maryland Operations, eventually advancing to the role of Senior Vice President of Engineering for all Norden Systems. In 1979, Mr. Casner co-founded American Computer and Electronics Corporation where he grew the military segment of the company and led the effort to develop a Console Emulation Capability, which was used by the U.S. Navy for combat training. After graduating from Drexel University, Mr. Casner joined the staff of The Johns Hopkins Applied Physics Laboratory (APL) and advanced to the status of Principal Staff. Mr. Casner earned a Bachelor of Science degree in Electrical Engineering from Drexel University and a Master of Science degree in Management Science from The Johns Hopkins University.
