. Hunter Harrison became President and Chief Executive Officer of CN on January 1, 2003. Before assuming that position, he had served as CN's Executive Vice-President and Chief Operating Officer during the previous five years. He was appointed to the Company's Board of Directors on December 6, 1999. Prior to joining CN, Mr. Harrison had been President and Chief Executive Officer of the Illinois Central Corporation (IC) and the Illinois Central Railroad Company (ICRR), as well as a director of both IC and ICRR, from 1993 to 1998. Mr. Harrison's railroad career began in 1963 when he joined the Frisco (St. Louis-San Francisco) Railroad as a carman-oiler in Memphis while still attending school. He advanced through positions of increasing responsibility in the operations function, first with the Frisco, then with Burlington Northern (BN) after BN acquired the Frisco in 1980. Before moving to IC and ICRR in 1989, he served as BN's Vice-President – Transportation and Vice-President – Service Design. With IC and ICRR, Mr. Harrison first held the position of Vice-President and Chief Operating Officer, becoming Senior Vice-President - Transportation in 1991, Senior Vice-President – Operations in 1992, and President and Chief Executive Officer the following year. During his career with Illinois Central, he initiated the concept of scheduled service for freight shipments, maintaining a sharp focus on operational efficiency and asset utilization. By 1996, he had succeeded in driving the railroad's operating ratio down by some 30 points to the low 60s – the best in the entire North American rail industry. As CN's Executive Vice-President and Chief Operating Officer, he applied the same philosophy and methods, implementing an aggressive operating plan and refining the railroad's scheduled service to produce industry-leading operating ratio and on-time performance results. As President and Chief Executive Officer, Mr. Harrison manages the company based on five guiding principles which are the pillars of CN's business philosophy: Service, Cost Control, Asset Utilization, Safety and People. In 2005, Mr. Harrison authored the book, How We Work and Why, which chronicles how CN railroaders think and operate and speaks to the real life stories of the people who have made it all possible, implementing the vision of what it takes to run a great railroad by using the five principles. Mr. Harrison is a member of Canadian Council of Chief Executives and was named North America's Railroader of the Year by Railway Age magazine in 2002. In 2006, Mr. Harrison received the B'nai Brith Canada Award of Merit, the Jewish community's most prestigious honour in Canada. In 2007, Mr. Harrison received an Honorary Doctor of Laws degree from University of Alberta and was selected as CEO of the Year by Report on Business magazine.

Russell Hiscock is President and Chief Executive Officer of the CN Investment Division, which manages one of the largest corporate pension funds in Canada. Mr. Hiscock joined CN Investment Division in 1987 as a Manager Investments. He was subsequently appointed Manager – Common Stocks and General Manager. Jim Bright has been promoted to Vice-President Information Technology and Chief Information Officer, effective February 1, 2009. Jim has been with CN for almost 35 years and has worked in Marketing, Operations, Accounting, Financial Planning and Information Technology. His most recent promotion came in 2006 when he was named Vice-President – Information Technology after completing CN's exclusive railroad MBA program, during which he spent the better part of a year in the field at various locations throughout the company's system. Among other accomplishments, Jim led the systems integration projects for CN's transactions with Illinois Central, Wisconsin Central, Great Lakes Transportation and BC Rail. He also participated in the implementation of SRS/RMS, the development of CN's Data Warehouse, the implementation of CN's E-Business site, the SAP implementation and the current Transportation Renewal Program. Paul C. Miller was appointed Chief Safety and Transportation Officer March 25, 2008. In this role, Mr. Miller has specific responsibility for Safety, Risk Management, Environment and the movement and handling of Hazardous Materials, as well as leading and enhancing all Network Transportation activities. Sean Finn was appointed Executive Vice-President, Corporate Services and Chief Legal Officer on December 1, 2008. He is responsible for a wide array of legal, government, regulatory and human resources matters. Mr. Finn joined CN in January 1994. He was appointed Treasurer and Principal Tax Counsel in August 1996, Vice-President, Treasurer and Principal Tax Counsel in January 2000, Senior Vice-President, Chief Legal Officer and Corporate Secretary in December 2000, and Senior Vice-President Public Affairs, Chief Legal Officer and Corporate Secretary in February 2003. Mr. Finn was named Tax Lawyer of the Year 2000 by his peers. He is currently Chairman of the Board of Directors of the Quebec Chamber of Commerce. Prior to joining CN, Mr. Finn was a Tax Partner with a major Montreal Law firm. Timothy J. Koerner was appointed Vice-President and Chief Security Officer on March 3, 2009. He is responsible for CN's Risk Management function, including CN Police, and is based in Montreal. Mr. Koerner joined CN as Assistant Vice-President of Risk Management in April 2008 after a distinguished career in law enforcement and risk management, including 25 years with the United States Secret Service, culminating as the Assistant Director for the Office of Protective Operations. Keith E. Creel was appointed Executive Vice-President, Operations effective May 2007. In this role, Mr. Creel is responsible for the company's rail operations in Canada and the United States. Before that, he had been Senior Vice-President of the Eastern Region since January 2004, Senior Vice-President of the Western Canada Region since July 1, 2003, and Vice-President of the Prairie Division since 2002. Mr. Creel began his railroad career at Burlington Northern Railway in 1992 as an intermodal ramp manager in Birmingham, Alabama. He entered the Operations department in 1993 as a corporate management trainee in Lincoln, Nebraska and held positions as trainmaster in Tulsa, Oklahoma and Wichita Falls, Texas. Ami Haasz became Vice President and Treasurer in March 2007. His duties consist of monitoring and managing all Treasury, Tax and Real Estate activities. In May 2005, Anita Ernesaks, a graduate of CN's Railroad MBA program, was appointed Global Managing Director of CN WorldWide. This new enterprise, headquartered in Rotterdam, The Netherlands, is a wholly owned CN subsidiary that offers international freight forwarding services between Europe, North America and Asia. Formerly, Ms. Ernesaks was Vice-President of eBusiness, responsible for leading initiatives to provide customers with enhanced electronic capabilities to do business with CN in "real time." Prior to that, Ms. Ernesaks was Assistant Vice-President of Sales where she was responsible for revenue forecasting, regional sales, account development and customer communications. During her 17 years at CN, Ms. Ernesaks has held various management positions in the areas of marketing, finance, process reengineering, operations and logistics. David W. Ferryman was appointed Vice-President, System Engineering in August 2005. Mr Ferryman was named Division engineer after the CN/IC merger, and while working in this capacity, he obtained his Professional Engineer's Certification from the state of Mississippi. François C. Hébert was appointed Vice-President, Network Strategies, in April 2004. He is responsible for leading CN's strategic initiatives in the areas of acquisitions, alliances, co-production, and network restructuring. Mr. Hébert joined CN in 1974 and has held a variety of positions in Operations, Marketing and Strategic Planning across CN's Districts, Regions and Headquarters, in Montreal, Toronto and Prince George. Ghislain Houle was appointed Vice-President – Financial Planning in March 2007. His duties consist of monitoring and managing the Company's operating and capital budgets, economic forecasting and financial planning as well as costing and profitability analysis. Harvey Joel was appointed Vice-President, Logistics Solutions in June 2003. In this role, Mr. Joel is responsible for refining and expanding CN services that deliver complete transportation solutions to traditional and non-traditional rail customers. Jim Danielwicz was appointed Vice-President – Mechanical Department in January 2006. He is directly responsible for the major locomotive repair shops at Edmonton, Symington, MacMillan, Woodcrest and Memphis, as well as the major repair facilities at Transcona and Centralia. He is also responsible for all the locomotive and car maintenance for the CN Mechanical locations throughout North America. Mr. Danielwicz has over 30 years of railroading experience, having joined the Illinois Central in 1973 as a Machinist apprentice. He was appointed to the position of Chief Mechanical Officer for CN in 2002. Prior to that, he held the position of Mechanical Superintendent, Locomotives from 1999-2002, which was his position at the time of the CN and IC merger. Formerly with Illinois Central, he held the prior positions of General Superintendent Mechanical/Locomotive System, Mechanical Superintendent Locomotive, General Superintendent Mechanical Locomotive, Superintendent Mechanical, Superintendent Air Brakes, Division Air Brake Foreman, General Foreman, and Mechanical Foreman. Mr. Danielwicz was instrumental in bringing the proven concept of asset utilization and operational efficiency from the Illinois Central into practicality with CN, by leading the reduction of the size of the locomotive fleet, all the while maintaining on time performance with high locomotive availability and reliability standards. Since attending Arkansas University, Mr. Danielwicz has accumulated numerous certificates from courses in senior management studies, locomotives systems and performance, all aspects of freight car operations, air brakes, telemetry, electronics and computers. He is currently a member of the Locomotive Maintenance Officer's Association and has been a former chairperson and member of various Association of American Railroad executive locomotive and car committees.

Jean-Jacques Ruest was appointed Senior Vice-President, Marketing in June 2006. He is leading marketing strategies for Forest Products, Metals and Minerals, Petroleum and Chemicals, Automotive, Grain, Coal and Fertilizer markets. Karen Borlaug Phillips was appointed Vice President, North American Government Affairs in November 2004 after holding the position of Vice President, U.S. Public and Government Affairs since September 2003 and the position of Vice President, U.S. Government Affairs from December 2000 - September 2003. In this capacity, she is responsible for the company's government affairs initiatives throughout its service territory. She also serves as chairman of the Grand Trunk/Illinois Central Rail PAC. Prior to joining CN, Mrs. Phillips was President of Policy & Advocacy Associates, a consulting firm providing strategic planning, research, and lobbying services on public policy issues relating to transportation, taxes, and trade. From 1994 to 1998, Mrs. Phillips was Senior Vice-President, Policy, Legislation and Communications of the Association of American Railroads (AAR), where she was responsible for development of rail industry policy, promotion of the industry's legislative goals and direction of AAR's media and public relations activities. Mrs. Phillips has worked in Washington, DC in various capacities. She was a Republican member of the Interstate Commerce Commission (ICC) (1988-94) and was elected to serve as the Commission's vice-chairman in 1990 and 1994. On Capitol Hill she was Chief Economist (1987-88), and Tax Economist for the Republicans on the Senate Committee on Finance (1985-87), and Staff Member for the Republicans on the Senate Committee on Commerce, Science, and Transportation (1982-85). Mrs. Phillips was an Economist in the Office of Industry Policy in the Office of the Secretary, US Department of Transportation (DOT)(1978-82), where she had major responsibility in DOT's trucking and intercity bus regulatory reform programs.

Kimberly Madigan was appointed Vice-President, Labour Relations, North America, in July 2002. She is responsible for negotiating all of CN's collective bargaining agreements for both Canada and the US. Ms. Madigan joined CN in 1999, and was most recently Vice-President, Human Resources, US Operations. Ms. Madigan has extensive experience in transportation labor negotiations and mediation. In August 1990, she joined the National Mediation Board (NMB), serving as Chairman from July 1992 to December 1993. Following her tenure at NMB, Madigan was a Principal with Chambers, Conlon, and Hartwell, a transportation consulting firm, where she also served as President of National Railroad Construction and Maintenance Association. While with the law firm of Weiner, McCaffrey, Brodsky, Kaplan & Levin, P.C., she represented a number of regional and local railroad carriers, concentrating on litigation, regulatory, and labor matters. She served as General Counsel of the Regional Railroads of America, and the Railroad Productivity Foundation. From 1986 - 1990, she was an attorney with Highsaw & Mahoney, P.C., where she represented the Railway Labor Executives' Association and other associated labor organizations. Ms. Madigan holds a degree in business administration from the University of Illinois, and is a graduate of the Washington College of Law, American University, where she was adjunct professor of law from 1992-1993.

Mr. Pitz comes to us with over 30 years senior management experience in the government, corporate and private sectors, where he has developed and managed business continuation strategies, crisis management and risk management programs. He has provided expertise to corporations engaged in technology, transportation (rail, truck, air and maritime), chemicals, logistics, metals, oil services, manufacturing, and defense, among others. In January 2004, Paul D. Waite was appointed Vice-President IMX (Intermodal Excellence), an initiative launched by CN to improve the quality and efficiency of its intermodal services. Intermodal applies CN's highly successful scheduled railroading practices to the transport of containers and truck trailers by rail. Prior to that, Mr. Waite was Assistant Vice-President, Domestic Intermodal since 1999, a position in which he was responsible for all sales and marketing activities for domestic intermodal in North America. Sameh Fahmy was appointed to the position of Senior Vice-President, Engineering, Mechanical and Supply Management, in June 2006. Mr. Fahmy first joined CN in 1981 as Manager, Technical Systems Support. He had previous railroad experience having worked at Amtrak and the Association of American Railroads. Prior to that, he worked for IBM from 1973 to 1977. He returned to CN in 1994 after having pursued other career interests between 1985 and 1994 with the Travelers Insurance Company and La confédération des caisses populaires et d'économie Desjardins. He held the position of Director, Computing and Telecommunication Infrastructure, and in 1996 he joined Operations. In 1998 he was appointed to the position of Assistant Vice-President, Supply Management. In November of 2000, he was promoted to the position of Vice-President, Supply Management and in 2002, he became Vice-President, Engineering, Mechanical and Supply Management. Mr. Fahmy is a certified general accountant, and holds a Bachelor degree in Electrical Engineering as well as a Master of Business Administration degree from McGill University.

In April 2009, Gordon Trafton was appointed Senior Vice-President, Strategic Acquisitions and Integration, based in Chicago, Illinois. His first assignment is the continued, successful integration of the former EJ&E into CN's operations, which follows on his leadership role in developing and delivering the EJ&E transaction. From 2000 until June 2003, Mr. Trafton was successively Vice-President of the Wisconsin Central Division, Vice-President of the Midwest Division and, for a brief period, Vice-President of both the Midwest and Gulf Divisions. These divisions were merged to form the current Southern Region. In 1999, Mr. Trafton served as CN's Vice-President, Operations Integration. In that role, he led the CN team responsible for completing the Wisconsin Central acquisition in 2000. He became Senior Vice-President, Southern Region, in June 2003. Before joining CN, Mr. Trafton was Vice-President, Transportation and Information Technology Services at Illinois Central. Before joining IC in 1996 as General Manager, Transportation, Mr. Trafton spent 18 years with Burlington Northern Railroad in a variety of positions. Maureen Kempston Darkes was appointed GM group vice president and president, GM Latin America, Africa and Middle East (LAAM) and a member of the General Motors Automotive Strategy Board, effective January 1, 2002. Prior to this appointment, she was president and general manager of General Motors of Canada Limited (GMCL) and vice president of General Motors Corporation, from 1994 to 2001. After joining the General Motors of Canada Limited Legal Staff in 1975, she became assistant counsel in 1979. She served on the General Motors Corporation Legal Staff in Detroit in 1979-1980 and headed the GM of Canada Tax Staff from 1980 to 1984. From 1985 to 1987, she worked in the GM Treasurer's Office in New York and subsequently held the position of acting treasurer for GM of Canada until her appointment as general director, public affairs, for GMCL in April 1987. She was appointed GMCL vice president of corporate affairs in 1991 and elected to the GMCL Board of Directors. In addition to her corporate affairs responsibilities, she was appointed general counsel and secretary of GMCL in July 1992. Kempston Darkes serves on the boards of CN Rail and Brookfield Asset Management. During her tenure as president of GM of Canada, she was a board member of the Vehicle Manufacturers' Association; the Ontario Government Education, Quality and Accountability Board; and the Ontario Minister of Health's Women's Health Council. Kempston Darkes was appointed by the federal government to the Free Trade Agreement Automotive Select Panel in 1989 and, in 1994, to the Transportation Equipment Sectoral Advisory Group on International Trade. She also serves on the University of Toronto President's International Alumni Council. She has served as the former chair for major gifts for Women's College Hospital Fund Raising Campaigns; co-chaired the BC Cancer Foundation's Millennium Campaign, focused on genome science and research into finding cures for and treatment of cancer; and served on the board of Falconbridge Inc. Kempston Darkes was born and raised in the Toronto area. She holds a bachelor of arts degree in history and political science from Victoria College, University of Toronto.
