Caraustar Industries Inc.

Mr. Domanico joined Caraustar as Vice President and Chief Financial Officer in October 2002 and was named to Caraustar’s Board of Directors in May 2006. Prior to joining Caraustar, he was Executive Vice President and Chief Financial Officer at AHL Services, Inc. From 1981 to 2000, Mr. Domanico worked for Kraft Foods and Nabisco in a succession of progressively more senior roles in financial management, operations, planning and business development. His last 11 years at Kraft and Nabisco were in chief financial officer positions and, when he left the company, he was Senior Vice President and Chief Financial Officer for Nabisco International and Chief Executive Officer for Nabisco Asia. Mr. Domanico also serves on the boards of the Georgia Council on Economic Education and the Coles College of Business at Kennesaw State University.

Ms. Bottorff was appointed to Caraustar’s board in June 2003. She serves on the Audit Committee and the Compensation and Employee Benefits Committee. Ms. Bottorff previously served on the company’s Nominating and Corporate Governance Committee. Ms. Bottorff was promoted to the position of Vice President, Living Well of the Sparkling Beverages Division of Coca-Cola North America in 2007. She had previously been Group Marketing Director, Foodservice Division of The Coca-Cola Company and has over 30 years of experience in industrial management, marketing and strategy. Prior to her tenure at The Coca-Cola Company, she was Senior Vice President/Marketing & Strategy for AHL Services, Inc., a leading provider of marketing fulfillment, customer service and merchandising services to Fortune 500 companies.

Mr. Heald was appointed to Caraustar’s board in February 2006. He serves on the Compensation and Employee Benefits Committee and the Nominating and Corporate Governance Committee. Prior to his retirement from the John H. Harland Company in 2006, he was President of Harland Printed Products for three years and from 2001 through 2002, Mr. Heald was President and Chief Executive Officer of Baldwin Technology Company, where he led the turnaround of the company. Mr. Heald served as Executive Vice President – Operations for Sappi Fine Paper North America from 1999 to 2000, and worked at Union Camp Corporation for 22 years in several executive positions including Executive Vice President – Packaging Group, Senior Vice President and General Manager – Converting Division and Vice President and General Manager – Container Division.

Mr. Clanin has been a member of Caraustar’s board since May 2001. He serves as Interim Chair of the Audit Committee and is a member of the Executive Committee. Mr. Clanin previously served on the company’s Compensation and Employee Benefits Committee and its Nominating and Corporate Governance Committee. Mr. Clanin served as Senior Vice President and Chief Financial Officer of United Parcel Service from 1994 until his retirement in January 2001. He also serves as a director of JetBlue Airways Corporation.

Ms. Bottorff, Mr. Greiner (chair), Mr. Heald and Mr. Love currently serve on the Compensation and Employee Benefits Committee (the Compensation Committee ). The Compensation Committee establishes and reviews executive compensation criteria and administers the Company s equity compensation plans. The Compensation Committee met five times in 2008. James E. Rogers, 61, has served as President of SCI Investors Inc, a private equity investment firm, since 1993. He also serves on the boards of directors of Wellman, Inc., Caraustar Industries, Inc., Cadmus Communications Inc. and New Market Corp. Mr. Rogers has been a director since 1991.
