Catalytica Energy Systems, Inc. (Catalytica Energy, the Company, we, us or our) was incorporated in Delaware in 1995 as a subsidiary of Catalytica, Inc. Catalytica Energy operated as part of Catalytica, Inc.s research and development group from inception through the date of its incorporation as a separate entity. In December 2000, Catalytica Advanced Technologies, Inc., another subsidiary of Catalytica Inc., was merged into us, and the combined entity was spun out from Catalytica, Inc. as Catalytica Energy Systems, Inc., a separate, stand-alone public company. In January 2004, Catalytica Energy formed two new wholly-owned subsidiaries, CESI-SCR, Inc. (CESI-SCR) and CESI-Tech Technologies, Inc. (CESI-Tech). In February 2004, CESI-SCR acquired 100% of the outstanding membership interests of SCR-Tech, LLC (SCR-Tech) and SCR-Tech became a wholly-owned subsidiary of CESI-SCR. Also in February 2004, CESI-Tech acquired various patents and other intellectual property rights from certain former owners of SCR-Tech. Mr. Yee joined Oaktree in 2004 following graduation from Columbia Business School, where he received his M.B.A. in Finance and Economics. Before attending graduate school, Mr. Yee spent five years at Stern Stewart & Co., a financial consulting firm, serving most recently as a Vice President for the West Coast Region. Michael Mattes has served as our vice president of sales and marketing since March 2007, and is responsible for all sales, marketing, customer service and business development activities for SCR-Tech. Mr. Mattes joined SCR-Tech with 32 years of business operations, sales, marketing, engineering, and logistics experience, including more than 25 years in the energy and utility, chemical manufacturing and hazardous waste industries. Prior to joining SCR-Tech, Mattes served as vice president of sales and business development for Schneider National Bulk Carriers where he led his sales team into new lines of businesses and improved customer relationships. From 1984 to 2005, he held several executive level positions including group vice president of Phillip Service Corporation, a leading hazardous waste disposal and service company. From 1980 to 1984, Mattes held positions of increasing responsibility in environmental engineering at Babcock & Wilcox Company, a world leader in power generation equipment design, supply and service including SCR systems for coal-fired power plants, where he was responsible for preparing bid proposals and negotiating license agreements. He began his career in 1975 as a production supervisor for E.I. DuPont, Inc. a chemical manufacturing company, and was credited with achieving significant capacity increases and product improvements. Mattes earned a B.S. degree in Chemical Engineering from the University of Akron.

Howard Franklin has served as director of technology for SCR-Tech since June 2005 and is responsible for overseeing intellectual property activities, managing technical service operations and providing sales support. Dr. Franklin joined SCR-Tech with more than 35 years of experience in power plant operation and NOx abatement including comprehensive technical knowledge of SCR system design, operation and troubleshooting for coal-fired power generating facilities. Prior to joining SCR-Tech, Franklin served as an SCR technical manager at Hitachi America from 2000 to 2005. During his five years with Hitachi, he was responsible for all technical aspects and engineering associated with SCR systems and for the design, application and operation support for SCR catalyst. Previously, Franklin spent 27 years at Foster Wheeler Energy Corporation, where he held positions of increasing responsibility in project management, engineering, manufacturing and construction, most recently as the primary technical manager for all post-combustion NOx control. During his tenure at Foster Wheeler, he was instrumental in the designs of the first four coal-fired SCR systems installed in the U.S. and was involved in the design, construction, start-up and operation of large complex power plant facilities including SCR systems. Franklin holds B.S., M.S. and Ph.D. degrees from Brooklyn Polytechnic Institute.

Susan Tierney, Ph.D., joined our board of directors in December 2001. Dr. Tierney is currently a managing principal of Analysis Group Inc. where she specializes in energy industry issues. Dr. Tierney served as Senior Vice President of Lexecon Inc. from 1995 to 2003. Dr. Tierney is Chairperson of the Board of Directors of The Energy Foundation and Clean Air-Cool Planet, non-profit organizations. Additionally, she is a director of the following non-profit organizations: American Council on Renewable Energy (ACORE), Climate Policy Center, and the Northeast States Center for a Clean Air Future. During 2004, she was also Chairperson of the board for the Electricity Innovation Institute (a subsidiary of EPRI). Before joining Lexecon (and its predecessor company, the Economics Resource Group) in November 1995, Dr. Tierney served in senior positions in federal and state government from 1983 until 1995, most recently as assistant secretary for policy at the U.S. Department of Energy, Secretary of Environmental Affairs for the Commonwealth of Massachusetts and commissioner of the Massachusetts Department of Public Utilities. Previously, she was an assistant professor at the University of California, Irvine from 1978 until 1982. Dr. Tierney has a Ph.D. and a Masters degree in regional planning from Cornell University and a bachelor's degree from Scripps College.

William ("Bill") McMahon has served as president of SCR-Tech since March 2005. He joined SCR-Tech with 28 years of business operations, sales, marketing and engineering experience including more than 25 years in the energy and utility industries. Prior to joining SCR-Tech, Mr. McMahon was group vice president of the Ultrapure Water division of Ionics, Inc., where he led 14 subsidiaries in both the U.S. and internationally, generating more than $250 million in annual revenues. From 1997 to 2000, he held several executive level positions including chairman, president and chief executive officer of Pantellos, a leading supply chain solutions company serving the energy industry; president and chief executive officer of Stone & Webster Sonat Energy Resources; and president of Stone & Webster Energy Services Inc. From 1978 to 1997, Mr. McMahon held positions of increasing responsibility in sales and marketing management at DB Riley, Inc., a leading supplier of steam generating, fuel firing and environmental equipment for electric utilities and industry, and at The Babcock & Wilcox Company, a world leader in power generation equipment design, supply and service including SCR systems for coal-fired power plants. During his tenure at DB Riley, Mr. McMahon launched their environmental business (now Babcock Power) utilizing technology from Germany. This division grew to become the leading environmental firm in the U.S. supplying air pollution control systems. Mr. McMahon began his career as a service engineer at Babcock & Wilcox, starting up coal-fired power plants and environmental equipment, and quickly worked his way up to District Sales Manager. Mr. McMahon earned a B.S. degree in Nuclear Engineering from Georgia Institute of Technology and an MBA from Xavier University.
