Leslie Moonves is President and Chief Executive Officer of CBS Corporation. In this role, he oversees all operations of the company, including the CBS Television Network, The CW (a joint venture between CBS Corporation and Warner Bros. Entertainment), CBS Television Stations, CBS Paramount Network Television, CBS Television Distribution Group, Showtime, CBS Radio, CBS Records, CBS Outdoor, Simon & Schuster, CBS Interactive, CBS Consumer Products, CBS Home Entertainment, CBS Outernet and CBS Films. Prior to the Viacom separation in 2005, Moonves served as Co-President and Co-Chief Operating Officer of Viacom and Chairman of CBS, overseeing all of Viacom's domestic and international broadcast television operations, radio division and outdoor advertising operations. Moonves was promoted to Chairman and CEO of CBS in 2003, and prior to that, was President and Chief Executive Officer, CBS Television, a position he was elevated to in April 1998. He joined CBS in July 1995 as President, CBS Entertainment. Under Moonves' aegis, CBS has developed television's Number One drama, "CSI: Crime Scene Investigation;" the king of reality series, "Survivor"; and hit series such as "Everybody Loves Raymond," "Two and a Half Men," "The King of Queens," "CSI: Miami," "Without A Trace," "Cold Case," "CSI: NY" and the Emmy Award-winning reality series "The Amazing Race." It was during this time CBS became America's most watched television network, going from last to first during Moonves' leadership. He joined CBS from Warner Bros. Television, where as President, he oversaw a television division that supplied the greatest number of programs to network television for nine consecutive years, culminating in a record-setting 22 series (including "ER," "Friends" and "The Drew Carey Show") on the 1995-96 network schedules. He had been President of Warner Bros. Television since July 1993, when Warner Bros. and Lorimar Television combined operations. From 1989 to 1993, he had been President of Lorimar Television. He joined the company in 1985 as executive in charge of its movies and mini-series, and became head of creative affairs in 1988. Earlier in his career, Moonves was Vice President of movies and mini-series for Twentieth Century Fox Television, where he was also in charge of first-run syndication and pay/cable programming. He had previously been Vice President, development, for Saul Ilson Productions (in association with Columbia Pictures Television) and a development executive for Catalina Productions. Upon graduation from Bucknell University, Moonves pursued an acting career at New York's Neighborhood Playhouse, studying under the renowned Sanford Meisner. He performed in numerous stage and television productions before opting to produce plays on Broadway and in Los Angeles. Moonves is a member of the NCAA Advisory Board, the board of directors of the Los Angeles Free Clinic and the board of trustees of the Entertainment Industries Council. He is a trustee of the National Council for Families and Television and of the American Film Institute and is past president of the Hollywood Radio and Television Society. He is also co-chair of the Los Angeles Board of Governors of The Paley Center for Media. In March 2003, Moonves was honored by the International Radio and Television Society as the recipient of the Gold Medal Award, one of most prestigious honors in media and entertainment. Quincy Smith serves as Chief Executive Officer, CBS Interactive, a business unit within CBS Corporation that houses and operates all its interactive consumer properties. Smith has been at the helm of the division since joining the Company, serving as its President from November 2006 to June 2008. In this role, Smith is responsible for overseeing CBS Corporation's entire interactive strategy and helping to guide its implementation across the company's varied divisions and online businesses. Smith works in tandem with each CBS division to formulate new media strategies and partnerships involving all interactive platforms, including Internet, mobile and video gaming. Tom Kane was named President and Chief Executive Officer, CBS Television Stations Group (formerly Viacom Television Stations Group), in September 2005. In this role, he oversees all operations of the group's local television stations properties. Kane most recently served as President of Sales for the Viacom Television Stations Group. Previously, he was President of Viacom Television Stations Spot Sales, where he oversaw national spot sales for 25 Viacom stations. Before joining the company, Kane worked for seven years as President and General Manager of WABC-TV New York, the flagship station of the ABC Owned Station Group. He also previously served as President and General Manager of WPVI-TV, the ABC O&O in Philadelphia. Before that, Kane served in a variety of positions at WABC, including General Sales Manager (1986-1993), Sales Manager (1982-1986) and Account Executive (1975-1977). In between, he served as an Account Executive for ABC Spot Sales in Detroit (1977-1978) and ABC's New York Spot Sales office (1978-1979), where he was promoted to Eastern Sales Manager (1979-1982). He got his start in 1969 in the media department of Dancer, Fitzgerald & Sample. Amy Baer is the President and Chief Executive Officer of CBS Films, formed in March 2007. She is responsible for charting the creative direction for CBS Films, overseeing the development, production, acquisition, distribution and marketing of its films. Baer joined CBS from Columbia Pictures where she served as Executive Vice President of Production since 1998, overseeing the development and production of an impressive roster of films. During her tenure at Columbia and other Sony Pictures Entertainment companies, the movies she supervised have grossed more than $1.8 billion in worldwide box office. In addition, she supervised Nancy Meyer’s latest romantic comedy THE HOLIDAY starring Cameron Diaz, Kate Winslet, Jude Law and Jack Black, and the 2006 holiday hit THE PURSUIT OF HAPPYNESS, for which Will Smith received an Academy Award nomination. Prior to joining Columbia, Baer worked at TriStar Pictures from 1992 to 1997, rising through the ranks to Executive Vice President of Production. Before coming to TriStar, Ms. Baer was Director of Development at Guber-Peters Entertainment Company, where she helped develop the hits JUMANJI and SINGLE WHITE FEMALE. She began her career at CAA in 1988 as an assistant to the late Jay Moloney.

She came to Simon & Schuster from Avon Books, where she had been president and publisher since 1988. Reidy began her publishing career in at Random House in 1976, and moved to William Morrow as subsidiary rights director in 1983. She returned to Random House in 1986 as publisher of Vintage Books and Associate Publisher of the Random House imprint. A native of Washington D.C., Reidy graduated from Middlebury College with a Bachelor of Arts in English and Russian, and earned an M.A. and Ph.D. in English from Indiana University. She resides in New York City with her husband.

Dan Mason serves as President and Chief Executive Officer of CBS RADIO. In this role, he oversees CBS RADIO's 134 stations on-air and myriad digital initiatives, as well as the day-to-day operations of the division. Mason returned to CBS RADIO in April 2007 after serving as an adviser and consultant to CBS and other domestic and international companies in the radio broadcasting industry for the five years prior. Before that, Mason was President of CBS RADIO from 1995-2002. As the executive responsible for operating the group's then 184 stations in the largest markets across the United States, Mason successfully integrated the original CBS, Group W, Infinity Radio and American Radio Systems stations, among the most venerable radio broadcasting groups in the country, by merging operations, blending business styles and increasing profitability. Mason joined Westinghouse as President of Group W Radio in 1993. He began his career in radio in 1975 at WZGC-FM in Atlanta. In 1977, he moved to WPGC-FM in Washington, D.C., where he was that station's Program Director as well as National Program Director for First Media, the parent company. In 1979, at the age of 27, he was named Vice President/General Manager of KTSA/KTFM in San Antonio. Mason later returned to First Media where he was named Executive Vice President. When First Media became Cook Inlet Radio Partners, he was named that organization's President in 1988. A native of Louisville, Ky., Mason graduated from Eastern Kentucky University with a degree in broadcasting, and later received an honorary Doctorate of Humanities from that institution. In 1995, EKU named Mason "Outstanding Alumnus of the Year," and Radio and Records Magazine honored him as Radio Executive of the Year. The venerable trade publication honored Mason again in 2008 as winner of the prestigious Radio Group Executive of the Year distinction, while Radio Ink named him No. 1 on their annual list of the 40 Most Powerful People In Radio.

David F. Poltrack is Chief Research Officer, CBS Corporation and President of CBS VISION. Poltrack oversees all research operations at CBS encompassing audience measurement, market research, program testing, advertising research, and monitoring of the national and international video marketplace. He also designed and oversees TELEVISION CITY at the MGM GRAND, Las Vegas, the state of the art Research Center providing ongoing consumer feedback concerning all programming and new entertainment technologies. He is winner of the Hugh Malcolm Beville, Jr. Award presented by the National Association of Broadcasters (NAB) and the Broadcast Education Association in recognition of those who have made significant contributions to the design, use, or understanding of broadcast audience research. As Adjunct Professor at New York University, he teaches courses on the graduate level at both the NYU Stern School of Business and the Steinhardt School of Education. He also teaches at the Columbia University Graduate School of Business, and is a visiting professor at Cheung Dong Graduate School of Business, Beijing, China. He is author of Television Marketing: Network, Local, and Cable (McGraw-Hill). His articles are published in professional journals including the Journal of Advertising Research, the Journal of Psychology and Marketing, and the European Broadcasting Union Review. David Stapf was named President, CBS Television Studios (formerly Paramount Network Television), in September 2004. Prior to the Viacom split, Briskman served as Executive Vice President and General Counsel of CBS. From 2004 to 2005, he was Senior Vice President and General Counsel of Aetna Inc. Mr. Califano served as the United States Secretary of Health, Education and Welfare from 1977 to 1979 and he served as President Lyndon B. Johnson’s Assistant for Domestic Affairs from 1965 to 1969. He is the author of ten books. Mr. Califano is a director of Midway and Willis Group Holdings Limited. Mr. Califano served on the Viacom board of directors from 2003 until the split in 2005.

Mr. Goldberg has been President of Mandy Films, Inc. and Panda Productions, Inc., both television and film production companies, since 1984. He was President of Twentieth Century Fox from 1987 to 1989. In addition, from 1972 to 1984, he partnered with producer Aaron Spelling to launch various television series and made-for-television movies. Prior to that, Mr. Goldberg served as Vice President of Production at Screen Gems (now Columbia Pictures Television) from 1969 to 1972. During the years 1961 to 1969, he served in various positions with the ABC Network, advancing to Head of Programming.

Shari E. Redstone joined our board in 2004. Ms. Redstone has been President of National Amusements, Inc. since 2000 and served as Executive Vice President of NAI from 1994 to 2000. She is also a director of NAI. NAI, a closely held company, operates cinemas in the United States, the United Kingdom and Latin America and is also the controlling shareholder of Viacom and CBS. Ms. Redstone also serves as President of Sumco Inc., a company owned by NAI and Sumner M. Redstone. Ms. Redstone is Chairman and Chief Executive Officer of Rising Star Media, a company established in partnership with NAI to build luxury-style cinemas in Russia. Ms. Redstone is a member of the board of directors and Executive Committee for the National Association of Theatre Owners, Co-Chairman and Co-Chief Executive Officer of MovieTickets.com, Inc., and Chairman and Chief Executive Officer of CineBridge Ventures, Inc. Ms. Redstone is also the Non-Executive Vice-Chair of the board of directors of both Viacom and CBS. Ms. Redstone is the daughter of Sumner M. Redstone, our controlling stockholder

He also served as a United States Senator from 1979 to 1997 and as a member of the United States House of Representatives from 1973 to 1979. Mr. Cohen is a director of American International Group, Inc. and Head N.V. Mr. Cohen served on the Viacom board of directors from 2003 until the split in 2005.
