Sutcliffe is an acknowledged authority on continuous improvement and change management practices, centered on technology. domestic and international corporate and transaction-oriented experience, during which time he has been an attorney in major law
firms and an executive-level in-house lawyer. Mr. Coen was formerly of counsel with King & Spalding, LLP from January 1996 to
March 1997, a partner in the law firm of Powell Goldstein LLP from March 1997 to March 2003, in house counsel with Concert
Communications from February 1992 to September 1995 and with BellSouth Corporation from January 1986 to March 1997.
Mr. Coen has represented numerous technology companies in complex software, technology and professional IT services
transactions, as well as in corporate, securities and compliance matters and other complex commercial and financial transactions.

Jeff Bayer is a Vice President, Director and Principal Owner at Curtain Wall Design and Consulting, Inc. Mr. Bayer received his degree in civil engineering from Texas Tech University in 1979. In 1993, he became a partner in the firm. Mr. Bayer has traveled throughout the world providing engineering services to various clients. He has served as the engineer of record for projects in Hong Kong, China, Singapore, Philippines, England, Saudi Arabia and Mexico as well as the United States. He currently manages 45 full-time engineers, designers and technicians responsible for design, drawing and calculation preparation.
Marty Scarborough is a Vice President, Director and Principal Owner at Curtain Wall Design and Consulting, Inc. Mr. Scarborough began with CDC in 1982 as a draftsman, completing shop and fabrication drawings on curtain wall projects. He remained at CDC while attending the University of Texas at Arlington where he received a Bachelor of Science degree in Civil Engineering in 1990. Mr. Scarborough then spent several years in the engineering group at CDC performing structural calculations on curtain wall projects. In 1992, Mr. Scarborough returned to the drafting group as a project manager where he was responsible for all aspects of a project from design through fabrication. In 1997, he became an Associate in the firm and was appointed as Curtain Wall Group Manager. As group manager, he was responsible for managing a team of project managers and cad technicians for all curtain wall projects. In 2005, he was appointed Vice President and became a partner in the firm. Mr. Scarborough has provided engineering services and on-site assistance to CDC clients on mock-ups and projects in Hong Kong, Singapore, Taiwan, Philippines, United Arab Emirates and the United States. He is actively involved in GANA having made presentations and was a member of the committee that created the "Project Manager's Reference Manual".

Prior to HarborPayments, he worked as Assistant Vice President for Parker/Hunter, a sell-side brokerage house later sold to Janney Montgomery. In that capacity, he served as a senior equity analyst covering technology stocks such as Computer Associates, Ansys and others. He was also involved in five public equity offerings. He holds a MBA from Carnegie Mellon University and a bachelor of science from Allegheny College in Meadville, PA.

She holds an MPH in international public health and a BA in biology and French from George Washington University. Prior to working for DHPE, Ms. Alarcon-Yohe was the manager of public health outreach and education at the National Safety Council. She worked on the development and implementation of several educational outreach projects specifically targeted to African Americans and Hispanics in the areas of asthma, lead-poisoning prevention, and occupational safety. Before coming to the National Safety Council, Ms. Alarcon-Yohe was director of maternal and child health programs at the National Council of La Raza, the nation's largest Hispanic constituency-based organization working in the areas of diabetes, immunization, and reproductive health. Ms Alarcon-Yohe specializes in the development and implementation of health education and health communication programs and campaigns. She has authored bilingual training manuals and information guides in the areas of breast and cervical cancer, immunizations, and asthma. Ms. Alarcon-Yohe has been with DHPE since April 2002 and provides overall programmatic supervision for the cooperative agreement with CDC. She is specifically responsible for the initiative on the Internship Program for Minority-Serving Institutions.

Ed Thompson, M.D., MPH is Chief of Public Health Practice of the Centers for Disease Control and Prevention (CDC), U.S. Department of Health and Human Services. As Chief of Public Health Practice, Dr. Thompson is responsible for assuring the U.S. public health system is strengthened, and that CDC provides leadership in building and supporting public health infrastructure. The CDC working with states and international partners provides a system of health surveillance to monitor and prevent disease outbreaks (including bioterrorism), implement disease prevention strategies, and maintain national health statistics. It also provides for immunization services, workplace safety, and environmental disease prevention. Working with the World Health Organization, CDC also guards against international disease transmission, with personnel stationed in more than 25 foreign countries. The Agency for Toxic Substances and Disease Registry (ATSDR) also reports to the CDC. ATSDR helps prevent exposure to hazardous substances from waste sites on the U.S. Environmental Protection Agency's National Priorities List, and develops toxicological profiles of chemicals at these sites. The CDC was established in 1946 as the Communicable Disease Center and is headquartered in Atlanta, Georgia. CDC has 8,569 employees with a budget of US $7 billion in 2004. Before coming to CDC, Dr. Thompson served for nine years as the State Health Officer of Mississippi. He holds an M.D. degree from the University of Mississippi School of Medicine and an M.P.H. degree from John Hopkins School of Hygiene and Public Health. He is board certified in Preventive Medicine. Prior to becoming Mississippi's State Health Officer, he served as Mississippi's State Epidemiologist for ten years. Before joining NOAH, Bill served as Finance Coordinator at the Portland Development Commission, and previously was Vice President for First Interstate Bank of Oregon providing construction financing for affordable housing projects statewide. Bill is a Co-Chair of the Housing and Community Development Commission and is a member of the commission's Special Needs Housing Committee. Bill is also a Board member of REACH CDC.

Carrick John Clough has served as an independent member of our board of directors since December 2003. In addition,
Mr. Clough has served as the Chairman of the executive committee of our board of directors since August 2005 and currently serves
as Vice Chairman of the board of directors of CDC Software since May 2006 and Chairman of the board of Praxa Limited.
Mr. Clough also currently serves as Chairman of Corgi International Ltd, a NASDAQ listed company. Further, he has been a special
advisor to General Atlantic Partners since December 2000. Before joining General Atlantic Partners, Mr. Clough gained over 25 years
of management experience in the IT industry internationally. He was a co-founder and managing director of the CSSL Group, a midrange
software distributor and hardware reseller in Asia. Prior to co-founding the CSSL Group, Mr. Clough held the position of
general manager of JBA in Asia, an Australia-based worldwide mid-range software distributor, and gained working experience as a
consultant in the United Kingdom and Europe. Mr. Clough received his education in New Zealand.

Wang Cheung Yue, Fred has served as an independent member of our board of directors since October 2005 and has also served
as in independent non-executive member of the board of directors of China.com since February 2002 and as the Chairman of the
Board of directors of CDC Games since September 2006. The Wang family founded Salon Films (Hong Kong) Limited, or Salon, in
1969. Mr. Wang has been a director of Salon since 1969 and he has worked with various major Hollywood film and television
companies in setting up projects in Asia. Since 1985, Mr. Wang has been involved with various investment groups in Asia, notably,
Unifund S.A., a Geneva based investment service company. Mr. Wang is the Hon. Vice President of the China Film Foundation, a
member of the Board of Governors of the Federation of Hong Kong Business Associations Worldwide, Director of the Board of the
Hong Kong International Film Festival Society Limited and Hon. Vice Director of the China Society of Motion Picture and
Television Engineers. Mr. Wang graduated with a Bachelor of Arts Degree in Business and Economics from Whittier College,
California.

Julius R. Krevans, MD, was the fifth chancellor of UCSF. During his tenure, UCSF experienced many achievements. In 1989, UCSF applauded its first Nobel Prize winners, J. Michael Bishop and Harold Varmus. UCSF also played a critical role in spawning the biotechnology industry during these years. Under Dr. Krevans' leadership, UCSF attracted many women and minority students to careers in health sciences. Before his appointment as chancellor, Dr. Krevans served as Dean of the School of Medicine at UCSF from 1971-1982. He was also active on the boards and committees of numerous national foundations, government agencies, and organizations including the National Academy of Science's Institute of Medicine and the American Board of Internal Medicine. He served as the chair of the Association of American Medical Colleges from 1980-81, helping to develop public policy for this organization. He was also a director of the Clinical Scholar program, a director of both the James Picker and Bank America-Giannini Foundation, and a member of the Association of American Physicians. Currently, Dr. Krevans serves on the board of the Center for Disease Control (CDC) Foundation.

Lee G. Lam has served as an independent director of our board since May 2007. Mr. Lam is a member of our audit and nominating committees. Mr. Lam currently also serves as Chairman of Monte Jade Science and Technology Association of Hong Kong and as a Senior Advisor to Macquarie Bank in the Asia Pacific region. He also serves on the board of several listed companies in the Asia Pacific region such as Hong Kong-listed Hutchison Harbour Ring Limited and China.com, Singapore-listed Rowsley Limited, Thailand-listed TRUE Corporation PCL and Pakistan-listed Telecard Limited. He has over 25 years of experience with multinational operations and corporate management in the telecommunications, media and technology, consumer/retail, property and financial services sectors. In addition, Mr. Lam has held various positions at major companies, including vice chairman of the Investment Banking Division at Bank of China International Holdings, president, chief executive officer and vice chairman of the board of Chia Tai Enterprises International Limited, vice chairman of Shanghai Kinghill Limited and was a founding chairman of Chia Tai Department Store and Unotel. Mr. Lam holds a bachelor's degree in science and mathematics, a masters degree in systems science and in business administration from the University of Ottawa in Canada, as well as a post-graduate diploma in public administration from Carleton University in Canada, a post-graduate diploma in English and Hong Kong law and a bachelor of laws from the Manchester Metropolitan University in the United Kingdom. Mr. Lam also received a doctoral degree from the University of Hong Kong.

Raymond K.F. Ch’ien has served as Chairman of our board since January 1999, and served as executive chairman of our board
from April 2001 until August 2005 at which point he became Chairman of our board. He served as acting chief executive officer
between March 2004 and March 2005, and chief executive officer from March 2005 until August 2005. Dr. Ch’ien is Chairman and a
member of the executive and remuneration committees of our Hong Kong listed subsidiary, China.com. Dr. Ch’ien is also Chairman
of MTR Corporation Limited and Hong Seng Bank Limited, serves on the boards of the Hong Kong and Shanghai Banking
Corporation Limited, Inchcape plc, Swiss Reinsurance Company, Convenience Retail Asia Limited, VTech Holdings Limited and
The Wharf (Holdings) Limited. Dr. Ch’ien received a Doctoral Degree in economics from the University of Pennsylvania in 1978 and
became a Trustee of the University in 2006. He was appointed a Justice of the Peace in 1993 and a Commander in the Most Excellent
Order of the British Empire in 1994. In 1999, he was awarded the Gold Bauhinia Star medal.

Fang Xin has served as a member of our board of directors since November 2005 and has also served as a non-executive director

Technology Limited. Golden Tripod Technology Limited, an indirect wholly owned subsidiary of Xinhua, is one of the Company’s
major shareholders. Mr. Fang is also a senior correspondent of Xinhua, and also serves as a non-executive director of the Company’s
Hong Kong listed subsidiary, China.com. Mr. Fang has approximately 25 years of experience in news reporting, editing, economic
information analysis, and business management with governmental and non-governmental organizations and companies. Former
positions held by Mr. Fang include serving as the general manager of the Guangdong Provincial Branch of Xinhua, the editor of “OUTLOOK” (a weekly publication of Xinhua), a correspondent for the Shenzhen sub-branch of Xinhua, a
director of the Domestic News for Foreign Service group of the Guangdong Provincial Branch of Xinhua, chief of the Zhuhai subbranch
of Xinhua, and editor-in-chief and director of Economic Information Services of the Guangdong Provincial Branch of Xinhua.
Mr. Fang graduated from Sun Yat-Sen University in Guangzhou, People’s Republic of China.
