Mr. Ullman, chief executive officer, president and chairman of the board of directors, has been involved in real estate property and asset management for approximately twenty-five years. He was chairman and president of the real estate management companies which were merged into the Company in 2003, and their respective predecessors and affiliates, since 1978. Mr. Ullman was first elected as the Company's chairman in April 1998 and served until November 1999. He was re-elected in December 2000. Mr. Ullman also has been chief executive officer and president from April 1998 to date. He has been a member of the New York Bar since 1966 and was in private legal practice until 1998. From 1984 until 1993, he was a partner in the New York law firm of Reid & Priest (now Thelen, Reid & Priest), and served as initial director of its real estate group. Mr. Ullman received an A.B. from Harvard University, an M.B.A. from the Columbia University Graduate School of Business and a J.D. from the Columbia University School of Law where he was a Harlan Fiske Stone scholar. He has lectured and written several books, monographs and articles on investment in US real estate, and is a former adjunct professor of business at the NYU Graduate School of Business.

Gaspare J. Saitta, II joined the Company in April 2004 and serves as the Company’s Chief Accounting Officer. Prior thereto, Mr. Saitta spent ten years, last as audit senior-manager, with Ernst & Young. Mr. Saitta is a Certified Public Accountant and received his B.B.A. degree from Baruch College of the City University of New York.

"Mr. Kreider joined Cedar Shopping Centers in June 2007 as Chief Financial Officer and has direct responsibility for all financial and information technology activities of the Company. Prior thereto, Mr. Kreider was Senior Vice President, Chief Financial Officer, Chief Information Officer and Chief Accounting Officer for Affordable Residential Communities, now named Hilltop Holdings Inc., for substantial periods of time from 2001 to 2007. Mr. Kreider was Chief Information Officer beginning 2002, Chief Accounting Officer beginning 2004 and served as Executive Vice President-Finance for portions of 2003 and 2004. Prior thereto, Mr. Kreider was Senior Vice President of Finance for Warnaco Group Inc. and President of Warnaco Europe. Prior thereto, Mr. Kreider served in several senior finance positions, including Senior Vice President, Controller and Chief Accounting Officer, with Revlon, Inc. and MacAndrews & Forbes Holdings from 1986 to 1999. Prior thereto, he served in senior finance positions with Zale Corporation, Johnson Matthew Jewelry Corporation and Refinement International Company. Mr. Kreider began his career with Pricewaterhousecoopers (then, Coopers & Lybrand). Mr. Kreider holds an M.B.A. from Stanford Graduate School of Business and a B.A. from Yale University. "

Brenda J. Walker has been involved in real estate-related finance, property and asset management for more than twenty years. She has been vice president and a director since 1998, and was treasurer from April 1998 until November 1999. She was an executive officer since 1992 of the real estate management companies which were merged into the Company in 2003, and their respective predecessors and affiliates. Ms. Walker received a B.A. from Lincoln University.

Frank C. Ullman joined the Company in 2001 and serves as Vice President of the Company. Prior thereto, Mr. Ullman was employed as a research analyst with the Urban Institute and the National Governors’ Association. Mr. Ullman holds a B.A. degree from Emory University and a Masters Degree in Public Policy from Georgetown University.

Michael Winters joined the Company in November 2003 as Vice President – Acquisitions. He has been involved in the acquisition function in real estate for more than 20 years. Mr. Winters commenced his career as a general certified commercial appraiser in private and governmental operations. He holds M.B.A. and B.S. degrees from Long Island University.

Nancy H. Mozzachio joined Cedar Shopping Centers in September 2003 as Vice President – Leasing and has been involved in retail leasing and development for more than 20 years. She has served on several Planning Boards within New Jersey and is a current member of Manchester Who’s Who Registry of Executives and Professionals. Ms. Mozzachio received a B.A. from Rutgers University.

Stuart H. Widowski joined the Company in 1996 as Corporate Secretary and General Counsel. Prior thereto, he was in private practice for a number of years with the New York law firm of Reid & Priest (now Thelen, Reid & Priest). He also served five years in the legal department of the Federal Deposit Insurance Corporation. Mr. Widowski received a B.A. degree, magna cum laude, from Brandeis University and a J.D. from the University of Michigan.

"Thomas Richey joined Cedar Shopping Centers in 1998 as vice president and director of development and construction services. He has been involved in the real estate business for more than 25 years. Previously, Mr. Richey served as director of a historic site service project in Muncy, PA, as economic director of the city of Williamsport, PA, and was involved in acquisitions and construction for Lundy Construction Company and for Shawnee Management, Inc. He was a partner in two companies involved in renovating and providing other services to hotel properties. Mr. Richey also held a position as the business and project manager for Grove Associates, Inc., an engineering and surveying company. He received a BA from Lycoming College. "

Ann Maneri joined the Company in May 1991 as Controller. Prior thereto, Ms. Maneri worked in public accounting, specializing in the areas of real estate and management information services. She is a certified public accountant and holds a B.S. degree in accounting from New York Institute of Technology.

Jeffrey L. Goldberg joined the Company in July 2003 to assist in the filing preparation for the Company’s initial public offering. Upon completion of the offering in October 2003, Mr. Goldberg assumed the position of Corporate Controller. Prior to joining the Company, Mr. Goldberg had a 40-year history of executive management positions, with an emphasis on finance and accounting, in both private and public companies in a number of different industries. Mr. Goldberg is a certified public accountant and holds a B.A. degree from Brown University and an M.B.A. degree from Columbia University.

Joseph F. Macri joined Cedar Shopping Centers in October 2005 as Assistant General Counsel and Assistant Secretary. Mr. Macri is a real estate attorney with a broad background in the field of commercial leasing as well as residential and commercial transactions and financing. Mr. Macri holds a law degree from New York Law School and a B.A. degree from the State University of New York (S.U.N.Y.) at Binghamton.

Everett B. Miller, III , a director since 1998 and a member of the Audit and Compensation committees, is vice president of alternative investments at YMCA Retirement Fund. In March 2003, Mr. Miller was appointed to the Real Estate Advisory Committee of the New York State Common Retirement Fund. Prior to his retirement in May 2002 from Commonfund Realty, Inc., a registered investment advisor, Mr. Miller was the chief operating officer of that company from 1997 until May 2002. From January 1995 through March 1997, Mr. Miller was the Principal Investment Officer for Real Estate and Alternative Investment at the Office of the Treasurer of the State of Connecticut. Prior thereto, Mr. Miller was employed for eighteen years at affiliates of Travelers Realty Investment Co., at which his last position was senior vice president. Mr. Miller received a B.S. from Yale University.

Mr. Homburg, a director since 1999, and chairman from November 1999 to August 2000, was born and educated in the Netherlands. Mr. Homburg was the president and CEO of Uni-Invest N.V., a publicly-listed Dutch real estate fund, from 1991 until 2000. In 2002, an investment group purchased 100% of the shares of Uni-Invest N.V., taking it private, at which time it was one of the largest real estate funds in the Netherlands with assets of approximately $2.5 billion CDN. Mr. Homburg is chairman and CEO of Homburg Invest Inc. and president of Homburg Invest USA Inc. (a wholly-owned subsidiary of Homburg Invest Inc.). In addition to his varied business interests, Mr. Homburg has served on many boards. Previous positions held by Mr. Homburg include president and director of the Investment Property Owners of Nova Scotia, Evangeline Trust and World Trade Center in Eindhoven, the Netherlands, as well as director or advisory board member of other large charitable organizations. Mr. Homburg was named 2004 Entrepreneur of the Year for the Atlantic Provinces by Ernst & Young LLP.
