Ameren, headquartered in St. Louis, Missouri, is a public utility holding company registered with the SEC under the PUHCA. Ameren was formed in 1997 by the merger of UE and CIPSCO, the former parent company of CIPS. Ameren acquired CILCORP in 2003 and IP in 2004. Amerens primary asset is the common stock of its subsidiaries, including UE, CIPS, Genco, CILCORP and IP. Amerens subsidiaries operate rate-regulated electric generation, transmission and distribution businesses, rate-regulated natural gas distribution businesses, and non-rate-regulated electric generation businesses in Missouri and Illinois. Dividends on Amerens common stock are dependent on distributions made to it by its subsidiaries. Robert G. Ferlmann is director of Bulk Energy and Logistics for Central Illinois Light Company, responsible for all energy trading activity. Ferlmann manages a 12-person department that trades $150 million in wholesale gas and electric power contracts. He was appointed to the CILCO compensation committee responsible for restructuring the wage/incentive program in 1998. He serves on the Allocations Committee for the Heart of Illinois United Way agency and volunteers with the American Cancer Society, YMCA Challenge Cup, Young Republicans and is a Eucharistic Minister for St. Thomas church.

Kent David Kowalske is supervisor of Gas Distribution Field Unit for Central Illinois Light Company, supervising gas construction and maintenance crews for CILCO's Peoria Division. A registered professional engineer in the state of Illinois, he received an MBA from Bradley University in 1991. He is a graduate of the Peoria Area Chamber of Commerce's Community Leadership School. Kowalske is a past board member of the American Cancer Society's Peoria unit and a past executive board member of First Federated Church in Peoria. Timothy W. Kirk is director-general counsel for Central Illinois Light Company, responsible for the coordination of legal services for the company. Supervising three company attorneys and 15 outside attorneys, he has direct legal responsibility for CILCO in the areas of compliance, regulatory affairs and litigation. From 1983 to 1987 Timothy served as the Tazewell County Bar Association Treasurer, and was treasurer of the Morton Rotary Club from 1985-1985. He is currently president of the board for Counseling & Family Service where he led the organization's most significant capital campaign to date an effort to raise $500,000 for a much-needed building. Over the past 10 years, he has been an account volunteer for the Heart of Illinois United Way.
