Mr. Ritchie has served as director since September 2003 and as chairman of the board since October 2005. As executive chairman of the board, Mr. Ritchie leads the work of the board of directors particularly with respect to our strategy development and monitoring its execution. He has over 28 years of experience in the insurance and financial services industries, particularly in the U.S. and international insurance and reinsurance industries. From February 2001 until May 2003, he served as managing director and chief financial officer of White Mountains Insurance Group, Ltd.'s OneBeacon Insurance Company, and Mr. Ritchie most recently served as Managing Director and Chief Financial Officer of White Mountains Insurance Group's OneBeacon Insurance Company, and had previously served as a group Chief Financial Officer and as a consultant for White Mountains Insurance Group, Ltd. Before that, Mr. Ritchie held various positions with CIGNA Corporation, including Chief Financial Officer of the company's international division and head of its internal audit division. Prior to Mr. Ritchie's insurance career, he was a Senior Audit Manager at Price Waterhouse. Mr. Ritchie is a certified public accountant and a member of the American Insurance Association, the American Institute of Certified Public Accountants and the Institute of Internal Auditors.

Robert A. Spass has served as a Director since July 1999. Mr. Spass is the Chairman of the Board, Chief Executive Officer, a Partner and co-founder of Capital Z, which owns 23.5% of our voting stock, and Chairman of the Board, Chief Executive Officer, a Partner and co-founder of Union Square Partners Management, LLC, the successor firm of Capital Z Management, LLC. Union Square, an affiliate of Capital Z's successor fund, is the owner of approximately 4.9% of our voting stock, assuming that requisite clearances, approvals or waivers are obtained that would permit the exchange of the shares of series A preferred stock for shares of series B preferred stock. Prior to founding Capital Z in 1998, Mr. Spass was the Managing Partner and co-founder of Insurance Partners, L.P. from 1994 to 1998. Prior to the formation of Insurance Partners, L.P., Mr. Spass was President and CEO of International Insurance Advisors L.P. from 1990 to 1994.
