MICHAEL E. ROACH - President and Chief Executive Officer Michael E. Roach was appointed President and Chief Executive Officer of CGI in 2006. He is responsible for over­seeing the company’s worldwide operations, as well as managing all global corporate functions including finance, technology, corporate services, marketing and business engineering. From 2002 to 2006, Michael Roach was President and Chief Operating Officer of CGI. In 2004, under his leadership, CGI completed its largest acquisition – acquiring American Management Systems (AMS) for CDN$1.1 billion dollars – successfully integrating 4,800 professionals worldwide into its operations. In 1998, Michael Roach spearheaded the merger of Bell Sygma into CGI, doubling the size of CGI. On joining CGI, he assumed the role of Executive Vice-President and General Manager, Telecommunications Information Systems and Services. Michael Roach’s earlier career with Bell Canada spanned 25 years. In 1998 he served as President and Chief Executive Officer of Bell Sygma Inc., a Bell Canada subsidiary formed to provide services to Canada's full-service telecommunications companies. Prior to this, he held a variety of leadership positions with Bell Canada. Mr. Roach sits on the board of directors of CGI, the Conference Board of Canada, The Conference Board, Inc. (U.S.) and Innovapost. He is a member of the Canadian Council of Chief Executives and the Laurentian University’s President’s Advisory Council. He holds a Bachelor of Arts degree in Economics and Political Science, as well as an Honorary Doctorate in Business Administration from Laurentian University in Sudbury, Ontario.

DONNA MOREA - President U.S. and India Donna Morea joined CGI in 2004, following the merger with American Management Systems, Inc. (AMS), as President, U.S. and India. As a member of CGI's senior management team, she leads the United States business and the global delivery operations in India. Clients include large organizations in government, healthcare, financial services, telecommunications, utilities and manufacturing, retail and distribution. Ms. Morea began her career at AMS in 1980 and has more than 25 years experience building IT consulting practices that focus on strategic, enterprise-wide solutions for public sector customers. Ms. Morea serves as the Chair of the Northern Virginia Technology Council, the membership association for the technology community in northern Virginia. She also serves as the Secretary of the Board for the George Mason University Foundation, Inc. Board of Trustees. Additionally, she is a trustee with the Committee for Economic Development (CED) and serves on the board of directors for Crossway Community, a nationally recognized innovator in enabling families to achieve self sufficiency. Most recently, Ms. Morea has become a member of the Wesleyan University Board of Trustees. She is the recipient of numerous awards, including the Corporate Leadership Award from Women in Technology, the Private Sector Excellence award from the Association of Government Accountants, and the Fed 100 award. In 2008, she received the prestigious Eagle award and the Northern Virginia Community Foundation’s (NVCF) Community Leadership Award. Ms. Morea holds an MBA from the Wharton School of Business at the University of Pennsylvania and a BA with high honors from Wesleyan University.

George D. Schindler - President, CGI Federal In 2006, George Schindler was appointed President of CGI Federal, a wholly owned subsidiary of CGI. As President of CGI Federal, Mr. Schindler has operational responsibility for CGI’s business with the Civilian, Defense, and Intelligence Sectors of the U.S. Federal Government. In 2007, George became a member of the CGI Management Committee. Prior to his appointment as head of CGI Federal, Mr. Schindler was the U.S. Lead of the Banking and Investments Industry Group, CGI’s largest vertical. As a Senior Vice-President, he also had overall responsibility for managing CGI’s operations in the Greater New York Region. Prior to joining CGI, he was a Vice-President with American Management Systems, Inc. where he held various management and consulting positions in both the government and commercial sector business groups. Mr. Schindler is currently a board member of the Federal Division of the Information Technology Association of America (ITAA) and of the Professional Services Council (PSC). He holds a Bachelors of Science degree in Computer Science from Purdue University.

JOSEPH I. SALIBA - President, Europe and Australia Joseph Saliba joined CGI in 2001 and is currently President, Europe and Australia. Mr. Saliba leads over 2,000 professionals serving CGI’s international clients. In 1989, Mr. Saliba joined Sabre, the world’s leader in providing management consulting, technology and travel information to the airline industry. Mr. Saliba held several executive-level positions managing Sabre’s operations in France, the U.K. and internationally. In 1999, he became the president of Sabre’s management consulting and technology business unit, a billion dollar operation based in Dallas, Texas. Mr. Saliba started his career in 1981, fulfilling several IT roles within Canada’s major corporations including Canada Systems Group, British Columbia Telephone and Via Rail. Joe Saliba holds a Bachelors of Computer Sciences and Mathematics from Sherbrooke University in Sherbrooke, Quebec and studied business administration at Concordia University in Montreal, Quebec.

ANDRÉ J. BOURQUE - Executive Vice-President and Chief Legal Officer André J. Bourque joined CGI in 1999 and holds the position of Executive Vice-President and Chief Legal Officer. As such he leads a team of international lawyers located in the United States, Canada and Europe who are responsible for all legal affairs for both the parent company and its subsidiaries. His group is responsible for such areas as risk management, contract matters, mergers and acquisitions as well as litigation. The corporate insurance program is also under Mr. Bourque’s responsibilities. Moreover, he is a member of the CGI Management Committee. Prior to joining CGI, he was involved in the private practice of law, namely in technology and intellectual property transactions, including outsourcing and other strategic commercial alliances. Previously, Mr. Bourque held senior-level positions, notably with a leading international information technology (IT) company and a major financial conglomerate. He began his career as a trial lawyer with a prominent Montreal-based law firm where he was involved in civil and professional liability matters as well as in insurance law. A member of the Quebec Bar and the Canadian Bar Association, André Bourque is involved with his community. He sits on the board of directors of the Fondation du centre de santé et de services sociaux Jeanne-Mance.

DANIEL ROCHELEAU - Executive Vice-President and Chief Business Engineering Officer Born in Montreal, Quebec, Daniel Rocheleau joined CGI in 1985. Mr. Rocheleau holds the position of Executive Vice-President and Chief Business Engineering Officer. In his role, Mr. Rocheleau leads the design and negotiation of all large outsourcing contracts for CGI as well as the evolution of the company’s outsourcing practice. Before joining CGI in 1985, Daniel Rocheleau spent 12 years in various management functions within the information technology department of the Canadian Imperial Bank of Canada (CIBC). In 2001, he was the lead negotiator and interim head of the Canada Post / CGI joint venture (Innovapost) for which he sits on the board of directors. Mr. Rocheleau holds a Bachelors in Business Administration from Université du Québec à Montréal.

DAVID ANDERSON, CA, CMA - Executive Vice-President and Chief Financial Officer David Anderson joined CGI in 1998. He became Senior Vice-President and Corporate Controller in 2001 and is now Executive Vice-President and Chief Financial Officer. In this role, David is responsible for creating value for all stakeholders through managing key functions including mergers and acquisitions, internal audit, finance and treasury. David Anderson has close to 30 years of experience in senior financial roles within the technology and services industry. Prior to joining CGI, Mr. Anderson worked for Bell Sygma Inc. as their Chief Financial Officer and prior to that held leadership positions in treasury, controllership, administration and financial systems development for Digital Equipment Corporation. Mr. Anderson started his career with Coopers & Lybrand (now part of PricewaterhouseCoopers) in Ottawa, where he obtained the professional designations of Chartered Accountant and Certified Management Accountant. Mr. Anderson sits on the Board of Directors of FinanciaLinx Corporation and CGI Federal. He holds a Bachelor of Commerce Degree from the Carlton University in Ottawa.

LUC PINARD - Executive Vice-President and Chief Technology and Quality Officer Luc Pinard joined CGI in 1978 and is currently Executive Vice-President and Chief Technology and Quality Officer. As such, he is responsible for developing a coordinated approach to enable CGI to be at the forefront of information and communication technologies (ICT) and to stimulate intellectual property (IP) creation and exploitation. Mr. Pinard is responsible for managing the company's portfolio of IP assets, enterprise systems and ICT infrastructure. Moreover, he also assumes the overall responsibility for CGI’s Management Foundation including Quality and Methodologies, Engagement Assessment Services, Business Continuity Planning and Operation Methods and Procedures (best practices). Prior to this position, as President, European operations, he was responsible for the provision of end-to-end IT services in the areas of consulting, systems integration and the management of IT functions to clients in Europe. Mr. Pinard has accumulated close to 30 years of experience as an information technology professional, consultant, project manager and a consulting firm executive. He has held several management positions as engagement and business development manager, corporate planning and development and as business unit leader.

CLAUDE MARCOUX - Senior Vice-President and General Manager, Quebec A member of CGI since 1983, Claude Marcoux today holds the position of Senior Vice-President and General Manager for the company’s operations in Quebec. Mr. Marcoux leads more than 4,500 professionals in Quebec who work in systems integration, consulting, payroll services and outsourcing. He is also a member of CGI’s Management Committee. During his 25-year career with CGI, Mr. Marcoux has worked in all areas of the company. Prior to being appointed to his current position, he was responsible for the management of systems integration and consulting services in Quebec as well as for the management and growth of the Quebec City business unit. Under his leadership, this business unit experienced annualized growth of 20% from 1996 forward. Mr. Marcoux has long been active in his community. From 1999 to 2005, he sat on the board of directors of the Société d’Arthrite du Québec and Forces Avenir. Since 2007, he has been a member of the board of directors of CIA - Conseillers en informatisation d’affaires. Over the years he has also participated in many fundraising campaigns for a variety of charitable organizations. He is currently co-chair of the fundraising campaign for the Fondation du Cégep Limoilou and a governor of the Fondation de l’Implant cochléaire. Mr. Marcoux holds a Bachelor of Business Computing degree from Université Laval de Québec in Quebec City.

DOUGLAS MCCUAIG - Senior Vice-President and General Manager, Western Canada, Ontario and Atlantic Canada Doug McCuaig is responsible for managing client relationships and delivering consulting, systems integration, outsourcing and managed services to clients based in Western Canada, Ontario and Atlantic Canada. Clients include those in financial services, government, healthcare, manufacturing, distribution and retail as well as in communications and utilities. As a member of CGI’s Management Committee, Mr. McCuaig represents Canadian operations and participates in the development and execution of CGI’s global strategy. Mr. McCuaig is the leader of the Global Banking Sector Council for CGI and is responsible for the development and implementation of CGI’s global banking strategy. He has been involved in many transformation projects and managed services solutions for numerous major financial institutions. He is also the executive sponsor of CGI’s Canadian Healthcare Centre of Expertise and will guide the development of CGI’s strategy, solutions and services in this important growth area. Mr. McCuaig joined CGI in March 2004 from Cap Gemini Ernst & Young (CGEY) where he held the position of Senior Vice-President and Managing Director, Consulting Services, Canada. He began his career at Ernst and Young in 1989 (then referred to as Woods Gordon/Clarkson Gordon) and had been a Partner since 1995 as well as a member of Ernst & Young’s Partnership Board. At Ernst & Young, Mr. McCuaig led many practices including Strategy, Customer Relationship Management (CRM), Supply Chain Strategy and Management (SCM), Enterprise Risk Management and Finance and Employee Transformation (FET). Mr. McCuaig sits on a number of boards including the International Advisory Board of the Schulich School of Business at York University, the Kids’ Internet Safety Association (KINSA), The Canadian Chamber of Commerce, The Toronto Board of Trade (BOT) and The Information Technology Association of Canada (ITAC) He is a cabinet member of the United Way of Greater Toronto and sits on the IT committee for Mount Sinai Hospital. He holds an MBA in Marketing & International Business from McMaster University having completed his undergraduate studies at the University of Western Ontario and Ryerson University. He has also received executive management training at Kellogg School of Management at Northwestern University in Chicago.

EVA MAGLIS - Senior Vice-President and General Manager, Technologies and Infrastructure A member of CGI since 1998, Eva Maglis is currently Senior Vice-President and General Manager of the Technologies and Infrastructure business unit, including Document Management Services. Ms. Maglis began her career at Bell Canada before joining CGI. She has more than 25 years of experience in the information technology sector. Ms. Maglis has successfully led CGI’s large data centers and many integration projects. She implemented the Information Technology Infrastructure Library (ITIL) service delivery model used by the infrastructure services for CGI and numerous clients. Prior to coming to Montréal, Ms. Maglis was responsible for the integration and consulting services in the Greater Toronto business unit. Ms. Maglis leads more than 3,600 professionals working in Montréal, Saguenay, Halifax and Toronto. She is also actively involved in the Centraide cause. Ms. Maglis holds an Executive MBA from Columbia University.

HICHAM ADRA - Senior Vice-President and General Manager, National Capital Region Hicham Adra joined CGI in 1987 and is currently Senior Vice-President and General Manager for CGI’s business in the National Capital Region. Under Hicham Adra’s leadership, CGI’s operations have grown to become one of the largest employers in the National Capital Region with its affiliated company, Innovapost. Mr. Adra leads CGI’s Executive Council on the Public Sector. In his function as an IT services partner to the Canadian government, he has been a member of the Government On-Line Advisory Panel, reporting directly to the Treasury Board Secretariat. He oversees CGI’s role as lead systems integrator and provider of architectural oversight for one of the federal government’s largest systems integration projects, the Secure Channel initiative. Also, he is a member of the Board and Chair of the Human Resources committee of Innovapost, a joint venture between CGI and Canada Post group of companies. Hicham Adra has been instrumental in making CGI one of the more caring companies in the National Capital Region. Through several community-oriented endeavours, he has nurtured a culture of caring within the organization. Mr. Adra was the 2005 Chair of the United Way / Centraide fund-raising campaign in the Ottawa-Carleton Region, a campaign that raised over $25 million. He was Chair of the High Tech Division of the United Way / Centraide fund-raising campaign in the Ottawa-Carleton Region from 1998-2002. Mr. Adra is Vice-Chair of the Board of Director and a member of the Executive Committee and the Governance Committee of the Ottawa Hospital Foundation. He is also a member of the Ottawa Hospital Gala Committee. Moreover, Mr. Adra is Co-Chair of the Employer Council of Champions, a group of leading employers in Ottawa who have committed to championing the issue of economic integration of skilled immigrants. Hicham Adra established his roots in Ottawa, attending Carleton University where he earned his Bachelors of Engineering in systems and computer engineering.

NAZZIC TURNER - Senior Vice-President and General Manager, U.S. Central and South Nazzic Turner is a Senior Vice-President and General Manager for CGI’s U.S. operations. She has general management responsibility for the Central and South business unit, leading operations across twenty-nine states. Ms. Turner also has national responsibility for the telecommunications industry, infrastructure services outsourcing, and CGI’s home-shore center of excellence. Previously, she was responsible for a global practice within the U.S. focused on the communications, media and entertainment industries. Ms. Turner joined the company in 1998 after serving as Chief Information Officer for a start-up telecommunications company. Prior to that, she was a partner in the Ernst & Young telecommunications practice and ran a segment of the communications business unit for EDS. She earned a Bachelors of Science degree in Business Administration from the University of Arizona, with a major in Management Information Systems.

ANDRÉ IMBEAU - Founder, Executive Vice-Chairman of the Board and Corporate Secretary Born in Saguenay, Quebec, André Imbeau, at the age of 26, co-founded CGI in 1976 with Serge Godin, Founder and Executive Chairman of the Board. Under Mr. Imbeau’s rigorous financial controls and tremendous teamwork, CGI has grown to maintain 30 years of consecutive revenue growth. As Founder, Vice-Chairman of the Board and Corporate Secretary, his role is to focus on strategic initiatives leading to value creation, including major transactions and financing as well as key client relationships. He also supervises all legal aspects related to CGI's affiliated companies. During the company’s early years, Mr. Imbeau acted as consultant to many CGI clients in addition to fulfilling his administrative and financial responsibilities. From 1983 until July 2006 he was dedicated to CGI’s growth, while holding the title of Executive Vice-President and Chief Financial Officer. In 1994, he became a member of the Financial Executives Institute (FEI Canada), an association representing North America's senior financial executives. In 2001, Mr. Imbeau was nominated CFO of the year by the Canadian Business. In 2004, he was awarded an honoris causa from L’Université du Québec à Chicoutimi. He sits on the board of directors of CGI and CIA conseillers en informatique d’affaires. Mr. Imbeau is also involved with many not-for-profit organizations particularly in the health and arts sectors.

SERGE GODIN - Founder and Executive Chairman of the Board Serge Godin founded CGI in 1976 at the age of 26. Under his leadership, CGI has grown to be among the largest independent information technology and business process services firms in the world. As Founder and Executive Chairman of the Board of CGI, Mr. Godin oversees the company worldwide, providing leadership in the areas of strategic planning, new business development and business expansion. He is a member of the Canadian Council of Chief Executives and sits on its board of directors. He is also a member of the Cercle des présidents du Québec. Throughout his career, Serge Godin has remained very involved in various endeavours that further the economic development of Montreal, Quebec and Canada including being President of the Board of Trade of Metropolitan Montreal. Active in his community, Serge Godin has helped many organizations raise funds for education, healthcare and young people in difficulty. Organizations include the Université du Québec à Chicoutimi, the Centre hospitalier universitaire de Québec, Concordia University, l’Université de Montréal, HEC Montréal, CEGEP de Jonquière, the Canadian Cancer Society (Daffodil Ball), the Montreal Heart Institute, Hôpital de Chicoutimi and Boulot Vers…, an organization that helps young people reintegrate into the job market. Most recently, he chaired the committee for the Marie Vincent fund raising event, an organization that helps battered children. His interest in helping the community extends beyond his corporate involvement. In 2000, he established the Fondation Jeunesse-Vie with a mission to alleviate poverty, advance education and improve the health of disadvantaged children and teens in Canada. Mr. Godin has personally funded the Fondation, in addition to giving his time and other resources. Since its inception, the foundation has helped more than 90 schools, hospitals and youth organizations. Serge Godin completed post-secondary studies in computer technology, obtained the equivalent of a bachelor degree in management and undertook studies towards the Masters of Business Administration (MBA) program at the Université Laval in Quebec City. Mr. Godin is a Fellow of the Ordre des administrateurs agréés du Québec. He is also a member of the University of Waterloo’s board of governors. Serge Godin was appointed member of the Order of Canada (C.M.) in honour of his achievements and contribution to the economic development of Canada as well as member of the Ordre National du Québec. He was awarded an honoris causa from the HEC Montreal, an honoris causa Doctor of Management degree from the Université Laval in Quebec City and an honoris causa Doctor of Law degree from Concordia University in Montreal. In 2003, he was named Great Montrealer by the Board of Trade of Metropolitan Montreal for his lifetime achievements. In 2000, he was inducted into the Canadian Information Productivity Awards (CIPA) Hall of Fame. He received the Dimensions Award in 1997 from the Ordre des administrateurs agréés du Québec and in 1996 he received a lifetime achievement award from the Université du Québec à Chicoutimi. In 2008, Serge was inducted as a Laureate into the Canadian Business Hall of Fame and received the Lifetime Achievement Award from the Canadian Youth Business Foundation.

PAUL RAYMOND - Senior Vice-President, U.S. Northeast Paul Raymond is Senior Vice-President, U.S. Northeast. and Commercial BPO. Based in Andover, Mr. Raymond is responsible for CGI’s daily operations across eight states including New York and Massachussetts. Mr. Raymond’s responsibilities spans all of CGI’s vertical sectors. He also chairs CGI’s Global Insurance Sector Council. Paul Raymond joined CGI in 1993 as a project manager in the telecommunications sector in Montreal. After managing several large projects and strategic initiatives, he became Vice-President of CGI’s operation in the Canadian Atlantic provinces in 1997. At the end of 1999, he became regional Vice-President of CGI’s Boston office and then, in 2002, he was appointed Senior Vice-President of business engineering for CGI USA. From September 2002 until September 2008, he held the position of Senior Vice-President for CGI’s New England operation and for its Insurance Service Line in the USA. Prior to joining CGI, Mr. Raymond held a variety of leadership positions within the Communications and Electronics Branch of the Canadian army. Mr. Raymond holds a BEng in Computer Engineering from the Royal Military College of Canada in Kingston, Ontario. He is President Emeritus of the New England Canada Business Council and is a member of the board of directors of the Maple Leaf Foundation.

Mr. Boivin held a number of senior positions at Hydro-Québec and was President and Chief Operating Officer when he retired in 1992. Mr. Boivin is a director of Héroux Devtek Inc., GLV Inc. and Boralex Power Income Fund.

Mr. Chamberland spent over 37 years with Alcan Inc. covering most management levels and finally retiring as Executive Vice-President. His national and international responsibilities were largely related to the management and general management of operating businesses but, at times, included R&D, information technology and construction management. In addition to a number of non-profit organizations, Mr. Chamberland is a member of the advisory council of Hatch Associates Ltd. and a director of La société des technologies de l'aluminium S.T.A.S. Ltée.

Mr. Johnston is President and Vice-Chancellor of the University of Waterloo following 15 years as Principal and Vice-Chancellor of McGill University. He has chaired numerous boards and organizations including the Board of Overseers of Harvard University and the Federal Government's Information Highway Advisory Council. He has authored many books including works on e-business, the information highway and corporate and securities law. Mr. Johnston is a Companion of the Order of Canada. Mr. Johnston is a director of Masco Corporation, Fairfax Financial Holdings Limited and Arise Technologies Inc. He is also a Founding Trustee of the MasterCard Foundation.

Eileen A. Mercier, Director, has over 34 years experience in a wide variety of financial and strategic planning positions, including Senior Vice President and Chief Financial Officer for AbitibiPrice Inc. from 1990 to 1995. She formed her own consulting company, Finvoy Management Inc. and acted as President from 1995-2003. She currently serves as Chair of the Ontario Teachers' Pension Plan and ING Bank of Canada and as a Director and audit committee member for CGI Group Inc. and ING Canada Inc.

Mr. Squire retired from his position as President and Chief Executive Officer of The Co-operators Group in 2002, following 47 years in the insurance sector. Mr. Squire held a number of positions in professional organizations including as Chairman of the Insurance Institute of Canada and as a director of the Insurance Bureau of Canada and the International Cooperative and Mutual Insurance Federation. Mr. Squire is a director of Securican Insurance Company, Sovereign General Insurance Company, and Hayhurst Elias Dudek Inc.

Mr. Brassard joined the Company in 1978 as a Vice-President. He was, until he retired in 2000, President and Chief Operating Officer of CGI. He contributed to CGI’s growth in Canada, the US and Europe. Mr. Brassard is also a director of a number of non profit organizations. The Board of Directors has determined that Mr. Brassard is an independent director and that he satisfies the independence rules applicable under the rules and regulations of Canadian securities regulatory authorities and under the independence rules applicable in the United States, including the independence rules of the New York Stock Exchange.

The Board of Directors has determined that Mrs. Doré is a related director because she was, prior to September 2006, an executive officer of the Company and she continues to serve the Company in her capacity as Advisor to the Founder and Executive Chairman. Mrs. Doré joined CGI in 1990 as Vice-President Communications and Human Resources, and was Executive VicePresident and Chief Corporate Officer and Secretary until her retirement in September 2006. Mrs. Doré is a director of AXA Canada.

Mr. Chevrier is President of Roche Management Co. Inc., a holding and investment company. A chartered accountant, he was previously Chairman and Chief Executive Officer of Rexel Canada Inc. (formerly Westburne Inc.). Mr. Chevrier is a director of the following companies: Bank of Montreal, Cascades Inc., Richelieu Hardware Ltd., and Compagnie de Saint-Gobain.
