Mr. Rubin is a Managing Director at Chanin Capital Partners. He has more than 14 years of experience advising on restructurings, recapitalizations and corporate finance engagements. Recent Chanin Capital Partners assignments include American Pad & Paper, Atlantic Express Transportation, Borden Chemicals and Plastics, Buster Brown Apparel, Delphi Corp., Fine Host Corporation, Goss Graphic Systems, Harry Winston Jewelers, Manhattan Bagel Company, Mississippi Chemical, Paragon Trade Brands, Raintree Resorts, Sunterra, TV Filme, and Zeta Consumer Products. Mr. Rubin founded and initiated the operations of Price Waterhouse Publications LLC, the firm's industry and company research subsidiary. As President, he directed a team of financial analysts covering publicly traded retailers and distributors in various sectors including food, drug, mass merchandisers, specialty apparel and accessories, full-line department stores, office supplies, home improvement and consumer electronics. Earlier, Mr. Rubin was a Senior Manager in Price Waterhouse's Corporate Finance and Restructuring Group, where he led or participated in various restructuring assignments including Cordiant (Saatchi & Saatchi), Drexel Burnham Lambert, Feuer Leather, First Republic Bank, HHL Financial, Leslie Fay, Payroll Express, and Seven-up/RC Bottling Co. of Southern California. Mr. Rubin earned his Master of Business Administration at Duke University's Fuqua School of Business and his Bachelor of Science degree in Business Administration at the State University of New York at Buffalo. Mr. Rubin is a Certified Public Accountant and a member of the American Bankruptcy Institute.

Mr. Corbell is a Managing Director of Chanin Capital Partners. While at Chanin, Mr. Corbell has worked on a wide range of restructurings and recapitalizations, as well as mergers and acquisitions. Current and recent engagements include Alamosa Holdings (Sprint PCS affiliate), American Cellular Corporation (Dobson Communications), American Classic Voyages, Assisted Living Concepts, Berkline/Benchcraft, Global Crossing, HQ Global Workplaces, iPCS (Sprint PCS affiliate), IWO Holdings (Sprint PCS affiliate), Lake at Las Vegas, Leap Wireless International, O'Sullivan Industries, Performance Transportation Services, Pliant Corporation, Premier Entertainment (Hard Rock Casino Biloxi), Regent Las Vegas, Scotia Pacific/Pacific Lumber, Suncom Wireless, Talon Automotive, Trump Casino Holdings and Washington Group International. Prior to joining the Firm, he was an Associate in investment banking at Credit Suisse First Boston where he worked on a variety of mergers and acquisitions as well as debt and equity capital raising transactions. Mr. Corbell also has worked in several countries in Asia, including in China, Singapore, Malaysia, and Taiwan. Mr. Corbell earned his Juris Doctorate degree from the University of Southern California and is a member of the California State Bar. He received his Bachelor of Arts degree in East Asian Studies from the University of California, Los Angeles.
Mr. Victor currently serves on the Board of Directors of Duff and Phelps. Mr. Victor is also a member of the Board of Directors of the Los Angeles Child Guidance Center and Price Center for Entrepreneurial Studies at the UCLA Graduate School of Management. Mr. Victor has been a guest lecturer on several reorganization panels including seminars on Bankruptcy Taxation, and the UCLA Graduate School of Management. Prior to joining Chanin Capital Partners, Mr. Victor was Vice President in the Corporate Finance Department of Drexel Burnham Lambert, Inc., specializing in bankruptcies and restructurings. While at Drexel, Mr. Victor worked on a number of transactions including LBO's, exclusive sales, new financings and exchange offers. Mr. Victor received his Bachelor of Arts degree from Cornell University and his Master of Business Administration from the UCLA Graduate School of Management, where he received the Dean's Award for Outstanding Service.

Mr. Taylor is a Senior Advisor at Chanin. Mr. Taylor has more than 20 years experience in the domestic and international telecommunications industry, as well as expertise in network operations, corporate development, operations support systems, sales management, and capital markets. Most recently, Mr. Taylor founded TeleGuam Holdings, LLC, the acquisition vehicle used to acquire Guam Telephone Authority ("GTA"). As the company's President, CEO, and Chairman, Mr. Taylor led the privatization of the largest government owned telecom company in the US. Under his leadership, TeleGuam increased operating efficiency and margins threefold, integrated quadruple play products (cable tv, wireless, internet, and telephone), and significantly improved customer service and employment to the citizens of Guam. Mr. Taylor sits on the Board of Directors for Madison River Communications, a rural incumbent telephone company based in Mebane, North Carolina. In addition, Mr. Taylor sits on the Board of IPLAN Networks, a CLEC based in Argentina. Currently, Mr. Taylor is also the Executive Vice Chairman of the Association for Local Telecommunications Services (ALTS), the nation's leading organization representing facilities-based local exchange carries (CLECs). Mr. Taylor was previously Chairman of the ALTS organization. He is also a member of the Board of the Information Technology Association (ITAA). This organization represents the broad spectrum of the US IT Industry. Mr. Taylor was recently name by the Chairman of the US Government's Federal Communications Commission Michael Powell to be on the Network Reliability and Interoperability Council (NRIC). The role of the counsel is to develop recommendations for the FCC and the telecommunications industry to assure optimal reliability, security, interoperability and interconnectivity of and accessibility to public telecommunications networks and the internet. Mr. Taylor serves on the Entrepreneurial Studies Advisory Board of the University of Chicago's Graduate School of Business. Prior to MFS Communications, Mr. Taylor co-founded Focal, a national facilities-based CLEC headquartered in Chicago, IL, and providing service in 23 other markets. Mr. Taylor served as the company's President, CEO, Chairman and a Director since its founding in 1996. Mr. Taylor has testified in front of the US Congress on several occasions as an expert on competitive telecommunications. Mr. Taylor turned over the position of CEO in June 2002 to focus on other business ventures.

James J. Gaffney, became the Chairman of the Board in February 2003 and has been a director of the Company since August 2001. Since 1997, Mr. Gaffney has served as a consultant to private investment funds affiliated with Goldman, Sachs & Co. in relation to investments by those funds in Viking Pacific Holdings Ltd. and Vermont Investments Limited, both New Zealand-based diversified holding companies. Since 1997, he has served as Vice Chairman of Viking Pacific. From 1995 through 1997, Mr. Gaffney served as Chairman of the Board and Chief Executive Officer of General Aquatics, Inc., which manufactures swimming pool equipment and constructs swimming pools. From its inception in 1995 to 2003, Mr. Conway served as Chairman and CEO of National Airlines. He developed the airline's concept and strategy, raised its initial capital and recruited an experienced management team, the majority of which elected to join him from America West. National was able to achieve profitability after 10 months of operations and carried more than 7 million passengers. From 1981 to 1993, Mr. Conway held several management positions at America West, initially as EVP and CFO, then as President and COO, and ultimately as CEO during the carrier's restructuring. As co-founder, he raised the airline's initial startup and operating capital through an IPO. He was responsible for developing the airline's employee programs which created a unique and non-contentious labor culture. During his tenure at America West, the airline carried more than 40 million passengers, and as was the case at National, compiled a safety record second to none in the industry. Mr. Conway has served as a financial and aviation consultant for investors and foreign airlines and was an airline specialist at Price Waterhouse from 1969 to 1980. He was also a VP and Controller at Continental Airlines from 1980 to 1981 prior to co-founding American West. Mr. Conway received a Bachelor of Arts degree from Bernard M. Baruch College of the City University of New York and served in the US Marine Corps Reserves. He is also a member of the AICPA and the New York State Society of CPAs.
Mr. Metcalfe (65) currently manages his own investment and real estate business. He has served as Vice Chairman and Chief Financial Officer of The Irvine Company, one of the nation's largest real estate and community development companies and, previously, he was Chief Financial Officer and a Director of KB Home Corporation. Mr. Metcalfe holds B.S. and M.B.A. degrees from the University of Washington.
