Owens Corning

Director since February 2005. Dr. Reynolds is the former President of the University of Alabama at Birmingham. She retired as Director, Center for Community Outreach and Development, The University of Alabama at Birmingham in 2003. Prior to joining The University of Alabama at Birmingham as President in 1997, Dr. Reynolds served as Chancellor of the City University of New York, where she was responsible for the 21 colleges and professional schools that comprised that system. Prior to that, Dr. Reynolds was the Chancellor of the California State University system, chief academic officer of Ohio State University and associate vice chancellor for research and dean of the graduate college of the University of Illinois Medical Center. Earlier in her career, she held appointments as professor of anatomy, research professor of obstetrics and gynecology, and acting associate dean for academic affairs at the University of Illinois College of Medicine. A native of Kansas, Dr. Reynolds holds a M.S. and a Ph.D. in zoology from the University of Iowa, as well as a B.S. in biology from Emporia State University, Kansas. She was a National Science Foundation Predoctoral Fellow and an honorary Woodrow Wilson Fellow. Dr. Reynolds is a director of Abbott Laboratories, Humana Inc., Owens Corning and the Champaign-Urbana News Gazette.

Mark D. Collins is a director of Richards, Layton & Finger, where he is Chair of the firm's Restructuring & Bankruptcy Group. Mr. Collins concentrates his practice in the areas of bankruptcy, insolvency and creditors' rights, with particular experience representing debtors, institutional lenders, creditors' committees and acquirers in national Chapter 11 cases. Mr. Collins has served as counsel to numerous chapter 11 debtors, with recent representations including Teleglobe Communications Corporation, Tower Records, FAO Inc. and Armstrong World Industries. Mr. Collins also has an active secured lender practice, with recent representations including the senior lenders in Federal-Mogul Corporation, Thaxton Industries, Cone Mills Corporation and Owens Corning.

William W. Colville, 73, Retired, formerly Senior Vice President, General Counsel and Secretary of OCD until 1994. Director since 2006; formerly a Director of OCD since 1995. A graduate of Yale University and the Columbia University Law School, Mr. Colville began his career at Owens Corning in 1984 as Senior Vice President and General Counsel. Prior to joining Owens Corning, he was President of the Sohio Processed Minerals Group from 1982 to 1984, and General Counsel of Kennecott Corporation from 1980 to 1982. Mr. Colville is also a director of Nordson Corporation.

F. Philip Handy, 64, CEO of Strategic Industries, a worldwide diversified service and manufacturing company, since 2001. Director since 2006. From 1968 to 1970, Mr. Handy worked at Fidelity Management and Research. He then joined Donaldson, Lufkin and Jenrette where he served as Vice President from 1970 to 1976. In 1976, he became the CEO of Combanks, a multiple bank holding company based in Orlando, Florida. In 1980, he commenced his career in the private equity business. From 1996 through 1999, Mr. Handy was managing director of Equity Group Corporate Investments, a private investment firm controlled by Sam Zell. Mr. Handy currently serves on the public Board of Directors of Anixter International, Inc., Rewards Network, Inc. and Study Group International. In January 2008, he was re-appointed by President George W. Bush to serve a second term on the National Board of Education Sciences for a three year term; he serves as the vice-chairman of the Committee. He earned a Bachelor of Arts in Economics, and graduated Cum Laude from Princeton University and later earned an MBA from Harvard Business School. He completed the sixth forum at The Rugby School and graduated from Northfield Mount Hermon School. He also served six years in the U.S. Army Reserve and was honorably discharged in 1973.

Mr. Stark focuses his practice on complex corporate restructuring, including in-court Chapter 11 cases and out-of-court workouts. He has extensive experience representing official and unofficial creditor/equity committees, as well as institutional investors, indenture trustees, and other significant parties-in-interest, in large corporate insolvency matters. Mr. Stark's case experience includes the representation of an official or unofficial committee in the restructuring of Evergreen International Aviation, Falcon Products, Fruit of the Loom, Hayes Lemmerz International, InSight Health Services, Lionel LLC, Oakwood Homes Corporation, Oneida, Owens Corning, Refco Capital Markets, Riverstone Networks, and York Research Corporation. He has represented significant interests in the Chapter 11 cases commenced by Centrix Financial, Collins & Aikman Corporation, Delphi Corporation, Enron Corporation, MCI/WorldCom, and the Stratosphere Hotel and Casino. He has also represented post-consummation liquidating trusts in the Chapter 11 cases of Oakwood Homes Corporation, Hayes Lemmerz International and Bethlehem Steel Corporation. In 2006, Mr. Stark was one of 14 attorneys named to the annual list of "Outstanding Young Restructuring Lawyers," published by Turnarounds & Workouts. He has published extensively on bankruptcy and restructuring topics, including a chapter in the second edition of the treatise Bankruptcy Business Acquisitions, published by the American Bankruptcy Institute, as well as articles appearing in the American Bankruptcy Law Journal, California Bankruptcy Journal, Journal of Bankruptcy Law and Practice, Journal of Corporate Renewal, Journal of Corporation Law, Norton Bankruptcy Law Journal, and the Real Estate Finance Journal. He has also delivered papers and been an invited speaker at numerous restructuring seminars (both domestic and abroad), including programs sponsored by Columbia Business School, Columbia Law School and the University of Texas School of Law.

Peter Van N. Lockwood is resident in Caplin & Drysdale's Washington, D.C. office. He joined the firm as an associate in 1968 and became a member in 1972. Prior to that, he served as a law clerk to Justice Thurgood Marshall of the United States Supreme Court from 1967-1968 and to Chief Judge Bailey Aldrich of the United States Court of Appeals for the First Circuit from 1966-1967. Mr. Lockwood is the head of the firm's corporate practice and a senior member of the firm's civil litigation group. His corporate practice involves a variety of business transactions including mergers and acquisitions, securities registration and advice, contract negotiating and drafting, and general corporate counseling. In his litigation practice, Mr. Lockwood has handled a wide range of civil litigation representing both plaintiffs and defendants. He has served as class counsel in one of the most protracted securities fraud cases of this century, Anixter v. Home-Stake Production Co., (1973-1996), and also has represented corporate officers and directors in class-action securities law and derivative suits. Mr. Lockwood also has defended civil RICO and lawyer and accountant malpractice cases. Over the past ten years, working with Elihu Inselbuch in the firm's New York office, Mr. Lockwood has devoted an increasing percentage of his time to the representation of asbestos claimants in mass tort bankruptcies and class actions. He is currently actively involved in the pending reorganization proceedings of Babcock & Wilcox, Pittsburgh Corning, Owens Corning, Armstrong World Industries, Burns & Roe, G-I Holdings, W.R. Grace, U.S. Gypsum, Federal-Mogul, NARCO, Harbison-Walker, A.P. Green, Kaiser Aluminum, Western MacArthur, and Mid-Valley and previously participated in the Raytech Corporation and Hillsborough Holding Co. reorganizations and the Ortiz v. Fibreboard settlement proceedings.

An ITT director since 2002, Mr. Hake has considerable experience as chief executive officer and chief financial officer of Fortune 500 companies, enabling him to provide significant contributions to ITT. He currently serves on the board of Owens-Corning.

Prior to joining Packer Engineering, Dr. Carlson has more than 12 years of senior research and development management experience with two Fortune 200 industry leaders, Owens Corning Fiberglas and the USG Corporation. His areas of specific expertise include building systems, product development and building physics technology. Successful product commercializations have included stressed skin construction panels, fire stop and barrier systems, residential and commercial thermal insulation products, gypsum based wallboard systems, and exterior cladding systems. Dr. Carlson has applied research and experimental experience in large scale fire testing, structural testing, building thermal envelope analysis and building acoustics. His experience also includes safety program development and implementation both in the field and the workplace environment. Since joining Packer Engineering in 1990, Dr. Carlson has conducted cause and origin investigations, including the 1999 Texas A&M bonfire collapse, a cooling water line collapse during power plant construction, damage to more than100 homes and hotel properties as a result of Hurricane Andrew and Iniki, a high-rise building curtain wall system failure and Exterior Insulation Finish Systems (EIFS) investigations. Dr. Carlson has conducted safety program reviews for a national government laboratory. Dr. Carlson39 earlier experience in firearms manufacturing, coupled with over 30 years of safe firearm use, provides Packer Engineering with additional expertise in this area.

Ann Iverson, 64, President and Chief Executive Officer of International Link, an international consulting firm in Carefree, Arizona, since 1998. Director since 2006; formerly a Director of OCD since 1996. Ms. Iverson began her career in retailing and held various buying and executive positions at retail stores in the U.S. through 1989, including Bloomingdales, Dayton Hudson, and U.S. Shoe. She then joined British Home Stores as Director of Merchandising and Operations in 1990; Mothercare plc as Chief Executive Officer in 1992; Kay-Bee Toy Stores as President and Chief Executive Officer in 1994; and Laura Ashley Holdings plc as Group Chief Executive in 1995. She also served as Chairman of the Board of Brooks Sports, Inc. from 2001 through 2004. In 1998, she founded and became President and Chief Executive Officer of International Link. Ms. Iverson is a member of the Board of Trustees of Thunderbird The School of Global Management, and a member of Financo Global Consulting.

Karel K. Czanderna is group president of building materials at Owens Corning, a world leader in building materials and composite systems and solutions. Ms. Czanderna is responsible for the company’s insulation, roofing and asphalt, and other building materials and services businesses. Ms. Czanderna has held leadership roles in high tech and consumer industries for more than 20 years, driving strategic growth through acquisitions and transforming markets by developing innovative, integrated solutions that benefit every partner in the value chain. Before joining Owens Corning in 2008, Ms. Czanderna held various executive management positions. She was most recently vice president of the Cooking Products and Outdoor Kitchens businesses at Whirlpool Corporation, responsible for Jenn-Air, KitchenAid, Whirlpool, Maytag and Amana branded cooking appliances. She also held two prior management roles after joining Whirlpool in 2002. As vice president and general manager of KitchenAid, she designed and executed the largest simultaneous all-kitchen product launch in the history of the major appliance industry. Ms. Czanderna spent 18 years at Eastman Kodak Company, serving as vice president and general manager of the Portrait Photography Business, and as a vice president and general manager in the Copier and Printer business. During her tenure at Eastman Kodak, she lead the consolidation of a fragmented market by developing a transition path to new technology that became the industry standard. She serves on Clarkson University’s Board of Trustees, is a member of the President’s Council of Cornell Women, and until recently, served on the A&E Factory Service Board of Managers. Ms. Czanderna attended executive education at HarvardUniversity’s business school. She holds a bachelor’s degree in physics from Clarkson University and a doctorate in materials science and engineering from Cornell University.

Duncan Palmer is the chief financial officer of Owens Corning, a world leader in building materials and composite systems and solutions. Mr. Palmer was appointed to his current role in September 2007. Prior to joining Owens Corning, Mr. Palmer spent 20 years with Royal Dutch Shell, most recently as vice-president, upstream commercial finance for Shell International Exploration and Production BV, based in the Netherlands. In this role, Mr. Palmer was responsible for finance support for major oil and gas business development and portfolio activity in Shell’s Exploration and Production and Gas and Power businesses. Mr. Palmer also served as global vice-president finance for the Shell Lubricants business. Shell Lubricants is the world’s largest motor oil and lubricants business with a global market share of 12 percent and sales volume of 4.5 million tonnes from operations in 120 countries. In this role, Mr. Palmer led the lubricants finance function including responsibility for global financial management and reporting, lubricants supply chain and manufacturing finance, investment appraisal and cost management. Mr. Palmer earned a Master of Arts degree from St. John’s College, Cambridge in the U.K., and a Masters of Business Administration at the Stanford Graduate School of Business. He is also a UK Chartered Management Accountant.

Frank O’Brien-Bernini is the chief sustainability officer of Owens Corning, a world leader in building materials and composite systems and solutions. His role encompasses global accountability for Owens Corning’s corporate sustainability strategy development and execution, driving value creation inside the continuous balance of economic growth, social progress, and environmental stewardship. Owens Corning’s global sustainability business and communication strategy, “Pink-is-Green”, is specifically aimed at: • Greening our Operations • Greening our Products • Accelerating Energy Efficiency Improvements in the Built Environment With more than 25 years experience, Mr. O’Brien-Bernini has held various leadership positions across the company, including vice president, chief research and development officer prior to his current role. He also served as vice president, Science & Technology Insulating Systems Business and director, composites product and process technology. Mr. O’Brien-Bernini’s contributions to sustainability, as well as his engaging depth and breadth on this subject, have made him a frequent guest speaker at major energy forums, global executive and industry conferences, and a regular media spokesperson on the topics of global sustainability, winning-with-green, and energy efficiency. He has addressed conferences organized by The Economist, Forbes, the American Wind Energy Association and The World Bank. He has also appeared on the Discovery Channel’s Planet Green program and has been quoted in everything from the New York Times to leading building industry publications. Mr. O’Brien-Bernini is on the Board of Trustees of the National Association of Home Builders’ National Council of the Housing Industry, the Board of Advisors of the Center for Multifunctional Polymer Nanomaterials and Devices, and the Ohio Biopolymers Innovation Center. He has also served as a Board of Advisors of the Vytec Corporation, was the Task Force leader for the governor’s Ohio Third Frontier Advanced Materials Task Force, and led the Task Force for the Business Roundtable’s Energy Technology Road Map for the Residential/Commercial Buildings Sector. He earned both a bachelor's degree in science and a master's degree in mechanical engineering from the University of Massachusetts, where his research focus was solar energy.

John Hillenbrand is the vice president and chief innovation officer of Owens Corning, a world leader in building materials and composite systems and solutions. Mr. Hillenbrand leads the global Science and Technology organization in developing new innovations that deliver differential value to Owens Corning’s customers. Prior to joining Owens Corning, Mr. Hillenbrand spent 23 years with DuPont, most recently as vice president, innovation and technology for DuPont Packaging & Industrial Polymers, based in Wilmington, Del., United States. In this role, he was responsible for all global technical activities in DuPont’s Ethylene Copolymers, Glass Laminating Solutions, and Intermediates business units.In addition to driving targeted growth programs in packaging, specialty additives and modifiers, and high performance glass interlayers, the organization expanded its global application development footprint under his leadership with new facilities in China and Brazil. Mr. Hillenbrand also led DuPont Ventures, a business unit that sought out and partnered with entrepreneurial companies to create growth opportunities for them and DuPont. In this capacity, he and his team developed and executed a new model to broadly enable open innovation. Over the course of his DuPont career, Mr. Hillenbrand worked in a variety of global business, technology, and operations roles in Delaware, Texas and Virginia. Mr. Hillenbrand earned a Bachelor of Science degree from Virginia Tech, and master’s and doctorate degrees from Carnegie Mellon University in Pittsburgh, Penn., United States, all in chemical engineering.

Mark Mayer is vice president and chief accounting officer at Owens Corning, a leading innovator of glass fiber technology with sales of $5 billion in 2007 and operations in 26 countries. He was named to his current position in 2007. Prior to his current responsibilities, Mr. Mayer served as vice president of accounting and reporting beginning in 2003. In 2001, he was appointed vice president and controller for the office of restructuring to oversee Owens Corning’s successful emergence from Chapter 11 in 2006. Mr. Mayer joined Owens Corning in 1999 as the controller for the information systems, and science and technology organizations. Mr. Mayer’s 20 years of experience prior to joining Owens Corning includes work as a certified public accountant with a major public accounting firm and key financial leadership roles with two major retailers. He is a member of the Owens Corning Disclosure Committee. Mr. Mayer earned a Bachelor of Science in business administration with an emphasis in accounting from Bowling Green State University. He is an active board member at Connecting Point, a non-profit Toledo, Ohio based agency providing mental health and substance abuse services, school-based education and prevention programs, community outreach services and residential treatment.

W. Howard Morris, 48, Chief Investment Officer of Prairie & Tireman Capital Management, an investment partnership, since 1998 and a Lecturer at The University of Michigan-Dearborn since 2007. Director since 2007. Mr. Morris was formerly Vice President and Senior Portfolio Manager at Comerica Asset Management from 2006 to 2007, Chief Executive Officer and Emergency Financial Manager, Inkster, Michigan Public Schools, from 2002 to 2005, and Chief Financial Officer, Detroit, Michigan Public School District, from 1999 to 2000. He is a Certified Public Accountant, Chartered Financial Analyst and Personal Financial Specialist. He received an MBA from The Wharton School, University of Pennsylvania, and a BBA from Northwood University.

Joseph C. High was named senior vice president, human resources in 2004. In this role, Mr. High is responsible for the global human resources function, including safety, employee communications, security and community relations. Prior to joining Owens Corning, Mr. High was vice president, Human Resources for ConocoPhillips in Houston, Texas - an integrated energy company with assets of $173 billion and 38,700 employees. Mr. High earned a Bachelor of Business Administration from the University of North Carolina at Chapel Hill, and a Master of Science degree in administration from Central Michigan University at Mt. Pleasant, Michigan. He is a Board Member of Outward Bound USA and the Toledo Regional Chamber of Commerce; a member of the HR Policy Association, Executive Leadership Council and Society for Human Resource Management attaining senior level certification. For his work with United Way, he received a Distinguished Service Award. He is also a former trustee for the Council of Ethics in Economics and a former member of the Business for Social Responsibility and the National Skills Standards Board Steering Committee.

Scott Deitz is vice president, investor relations and corporate communications at Owens Corning, a leading innovator of glass fiber technology with sales of $5 billion in 2007 and operations in 26 countries. Scott has a diverse investor relations, government affairs and corporate communications background having worked for leading global companies in the paper and forest products sector, the food industry and for an internationally recognized health-care and disability rights organization. He is chair of the Owens Corning Disclosure Committee and a member of its Business Code of Conduct Committee. Scott is an active member of the National Investor Relations Institute (NIRI), the Public Relations Society of America (PRSA) and the National Association of Investor’s Corporation (NAIC). He has completed the Executive Development Program at the Kellogg Management School of Business at Northwestern University in Evanston, Illinois, and also has completed International Management Training at Krauthammer International in Stockholm, Sweden. Scott is a graduate of the University of Wisconsin – Madison.

Robert B. Smith, Jr. , 71, Director of the Virginia Environmental Endowment, a nonprofit, funded, grant making corporation dedicated to improving the environment, since 1996. Mr. Smith is also a Manager of Kentucky River Properties LLC, a land holding company whose primary business is leasing coal properties, since 2006. Director since 2006; formerly a Director of OCD since 2004. A graduate of the University of North Carolina and the University of North Carolina Law School, Mr. Smith s previous experience included serving as Trustee of the Dalkon Shield Claimants Trust, a public interest trust of $3 billion created by the Federal Bankruptcy Court to compensate those damaged by the Dalkon Shield, and as Vice President for Government Relations of the Pharmaceutical Manufacturers Association. His prior experience also included various positions related to the U.S. Senate, including: Chief Counsel and Staff Director, U.S. Senate Government Operations Committee; Chief Counsel, U.S. Senate Subcommittee on Revision and Codification of the Laws; Chief Legislative Assistant, Senator Sam J. Ervin, Jr.; Special Counsel, U.S. Senate Antitrust and Monopoly Subcommittee; and Counsel, U.S. Senate Subcommittee on Constitutional Rights.

JAMES A. HAIN Occupation: Pastor and District Manager. Age 56; appointed in 2002. He is senior pastor of the Community of Faith Brethren in Christ Church in Roanoke, VA. He began pastoring this congregation as a church plant in 1996. Pastor Hain also works as a district manager for Norandex-Reynolds Distribution, Inc., a division of Owens Corning. He is a graduate of Messiah College and Wesley Theological Seminary, American University in Washington D.C. His permanent residence is 2914 Lofton Road, S.W., Roanoke, VA 24018.

Over 25 years of continuous experience in manufacturing and management environment. He has extensive experience in Nonwoven Textile Industries and Chemical Industries. Danny has a broad background in product development/R&D, manufacturing and process management. He possesses strong verbal and written communication skills, along with decisive leadership skills with a proven background of meeting management goals and objectives. He is a firm believer in management by objective and result accountability. Furthermore, he does not believe in paying for a mistake twice because it is inefficient. He currently works directly with companies such as Dupont, 3M, and Owens Corning to develop new ideas and products.

Glenn is currently the Chief Executive Officer of Builder Partnerships, LLC, a builder/manufacturer marketing company whose main goal is to promote a deeper relationship which will benefit both the home builder and the manufacturer through direct interaction. Glenn has worked in the residential construction industry for over 42 years where he held various sales, marketing and management positions with CertainTeed Corporation and Owens Corning. He is the past Chairman of the National Council of the Housing Industry and has been a member of NAHB's Energy and Research Committees as well a member of the NAHB Research Center's Board of Directors. In addition he also served as a member of the PATH Industry Steering Committee. Glenn is currently a member of NAHB's Building Material Issues Committee and is a NCHI trustee.

Vincent Nanfito is the original Nanfito to enter the construciton business in Connecticut. He has attended scores of seminars throughout the country and has attended all 11 of the National Remodelers shows. Mr. Nanfito attended classes at Georgia Tech, the country's foremost leader in lead paint issues, in 1993. He attended classes in Massachusetts and held a lead inspector's license in that state before Connecticut began licensing lead inspectors and abaters. Mr. Nanfito has held a Connecticut real estate license for 32 years. Active in the community, Mr. Nanfito enjoyed being a Kiwanian for 29 years, a member of the Knights of Columbus for 40 years and a Shriner for 20 years. Vincent has sponsored numerous youth baseball and basketball teams in Central Connecticut. He has been a corporator of the Curtis Memorial Library and the Meriden Boys Club. He formerly served as a parking commissioner in the City of Meriden and on the Silver City Museum Board of Directors as well as the Board of Directors of the YMCA. Mr. Nanfito has been the recipient of several awards in the remodeling industry. He is a GAF Certified Master Elite Roofing Contractor and Owens Corning Preferred Contractor.

Vice President in the credit-related opportunities group of D. E. Shaw & Co., L.P. Prior to joining D. E. Shaw group in 2007, Mr. Lyon was a managing director of The Cypress Group, a New York-based private equity firm. Before working at Cypress, he held positions at Goldman, Sachs & Co. and Och-Ziff Capital Management Group. Mr. Lyon received his M.B.A. from Harvard Business School and a B.A. from the University of Notre Dame.
