Charter One Bank

Chris is responsible for all consumer finance activities that support the entire Citizens organization, which operates principally through the Citizens Bank and Charter One brands. Those lending activities include the following consumer loan business lines: Retail Lending, Small Business Lending, CCO Mortgage, National Home Equity (internet and broker), Indirect Auto, Indirect RV, Student Loan, Portfolio Purchases and Sales, as well as Broker Marine, RV and Aircraft. Before joining CFG in 1994, Downs spent 12 years at Chase Manhattan Corporation. Downs graduated with a B.A. from Middlebury College in Vermont. He received his M.B.A. from the University of New Hampshire's Whittemore School of Business and Economics. He is a member of the board of directors of Lincoln School of Providence, where he co-chairs the development committee and is a member of the finance committee. He also serves on the board of directors and finance committee of the International Institute and has worked in the Rhode Island Mentor Program for the past nine years.

Recognized as a leader in the internal audit profession, Ed has 25 years of experience in operating-risk management, corporate governance and management advisory services. Before Joining CFG in October 2004, he was Chief Auditor for FleetBoston Financial's global operations, overseeing approximately 300 employees in various audit, compliance and operating risk functions throughout the U.S. and Latin America. Santos, a Certified Internal Auditor, received a B.S. degree from Bryant University in Smithfield, R.I., where he was Vice Chairman of the Board of Trustees. Santos is chairman of the board of trustees of Roger Williams Medical Center, vice chairman of the board of directors of Crossroads Rhode Island, co-vice president of the board of Rocky Hill School, and a member of the board of directors of Delta Dental of Rhode Island.

Maria Tedesco is the Executive Vice President and Director of Retail Banking for the Mid-Atlantic and Midwest Regions, which includes Citizens Bank in Pennsylvania, Delaware, New Jersey and New York, and Charter One Bank in Indiana, Illinois, Michigan and Ohio. She oversees traditional branch banking and supermarket-based delivery, as well as Business Strategy, Sales Support, Regional Marketing, and Branch Administration. Maria joined Citizens Bank in 1995. She has an MBA from Northeastern University and attended Radcliff College for Women in Leadership.

Ben is responsible for card products and merchant services within the Retail Direct organization, including RBS Card Services, RBS Lynk, Citizens' ATM, Debit Card and Credit Card businesses, and the Kroger Personal Finance business. Barone has more than 25 years of progressive leadership roles and experience in financial products and services in the retail industry. Before joining Citizens, he was Vice President, Credit Services for The Home Depot. Barone's community activities/interests include his community Charity Guild, Habitat for Humanity and Kaboom Playgrounds. He is a graduate of George Mason University.

Steve Woods is Executive Vice President and Director of Mid-Corporate Banking at Citizens Financial Group, Inc. He also is a member of CFG's Executive Leadership Council, the company's senior leadership team. CFG's nationwide Mid-Corporate Banking effort, serving corporate customers with annual sales of $500 million to $2 billion, has offices principally located in the Northeast, Mid-Atlantic and Midwest. Woods joined Citizens with 25 years of experience in corporate banking. As recently as January 2006, he was Key Corp's National Sales Executive responsible for a nationwide commercial banking effort, overseeing 29 offices from Boston to Seattle, more than 400 people and $25 billion in loan commitments. Prior to this, Woods managed Key's nationwide consumer investment banking business. Woods is a graduate of Trinity College, where he received a Bachelor of Arts in economics.

Dana is responsible for Retail Banking, which is comprised of more than 1,600 Citizens Bank and Charter One traditional and in-store branches; Business Banking, which has approximately 400 business banking officers serving small businesses in 13 states; CCO Investment Services; and Corporate Marketing, which includes advertising, brand management and product development. She also has responsibility for CFG's PhoneBank and Internet channels. Drago joined CFG from Hartford Financial Services Group where she had been Executive Vice President, Sales and Distribution for property and casualty insurance.

Jim is responsible for the national Corporate Banking businesses, which include Mid-Corporate Banking (companies $250 million to $1.5 billion in annual revenue); RBS Asset Finance; Citizens Business Capital; Cash Management; Global Markets (Foreign Exchange, International Trade Finance, Interest Rate Derivatives, and Commodities Derivatives); Dealer Financial Services; Foreign Corporates; and Citizens Capital, Inc. He also serves as the chief liaison between Citizens and RBS regarding U.S. activities. Jim previously was president of Bank of America Business Capital, an asset-based lending subsidiary; president and CEO of Fleet Capital Corporation; and chairman & CEO of Fleet-Connecticut. Jim is a 1982 graduate of Harvard.
