Kevin J. McNamara, 53, is President and Chief Executive Officer of the Company and has held these positions since August 1994 and May 2001, respectively. Previously, he served as Executive Vice President, Secretary, and General Counsel from November 1993, August 1986, and August 1986, respectively, to August 1994.

Donald E. Saunders, 62, is Markley Visiting Professor at the Farmer School of Business Administration, Miami University, Oxford, Ohio, and has held this position since August 2001. Mr. Saunders retired as President of DuBois Chemicals, formerly a wholly owned subsidiary of the Company and then a division of DiverseyLever Inc. (specialty chemicals), Detroit, Michigan, in October 2000, having held that position since November 1993.

Mr. Grace is President of MLP Capital, Inc., an investment holding company which has had several real estate and mining interests in the southeastern United States. He has held that position since March 1996. From January 2002 to August 2002, he was also President and Chief Executive Officer of Kingdom Group, LLC ( Kingdom ), New York, New York (a provider of turnkey compressed natural gas fueling systems), which filed for bankruptcy January 2002, and he was Executive Vice President of Kingdom from August 1999 to December 2000.

David P. Williams, 48, is Executive Vice President and Chief Financial Officer of Chemed Corporation (NYSE:CHE). He is also Senior Vice President and Chief Financial Officer of the company's Roto-Rooter Management Company subsidiary. Mr. Williams joined Chemed in 1990 as Vice President of Finance for The Omnia Group, a former subsidiary engaged in the manufacture and distribution of medical and dental products. He was promoted to Senior Vice President of Finance in 1992 and to Senior Vice President and Chief Financial Officer of Omnia in 1993. He transferred to the Roto-Rooter Management Company subsidiary in 1998 as Chief Financial Officer and was named Senior Vice President and Chief Financial Officer the following year. In March 2004, the Chemed Board of Directors elected Mr. Williams a Vice President and the Chief Financial Officer of Chemed. In August 2007, he was named an Executive Vice President of Chemed, while retaining his title of CFO. Prior to joining Chemed, Mr. Williams worked for Price Waterhouse as Manager of Comprehensive Professional Services from 1983 to 1990. Mr. Williams holds a B.A. in accounting from Michigan State University. In addition, he earned his M.B.A. from Michigan State University's Executive Management Program.

Spencer S. Lee, 50, is an Executive Vice President of Chemed Corporation (NYSE:CHE) and Chairman and Chief Executive Officer of its Roto-Rooter Management Company subsidiary. Mr. Lee began his career at Chemed in 1980 as an Assistant to the President. In 1981, he transferred to Chemed's Roto-Rooter subsidiary as Director of Development. In 1983, Mr. Lee moved into the field and became Assistant General Manager of Roto-Rooter's Boston division. He was promoted in 1984 to Vice President of Roto-Rooter's Mid-Atlantic Region, based in Baltimore. In 1989, he took on additional responsibility for the Northeast Region. In 1992, Mr. Lee moved back to Roto-Rooter headquarters, continuing as Vice President for the Northeast. In 1996, Mr. Lee was promoted to Senior Vice President of Operations for Roto-Rooter Services Company, and in 1999, he was named to his current position of Chairman and Chief Executive Officer of Roto-Rooter Management Company. The Board of Directors elected him to the additional post of Executive Vice President of Chemed in 2000. Mr. Lee holds a B.A. degree from Claremont McKenna College and an M.B.A. from the University of Chicago.

Mr. O Toole is an Executive Vice President of the Company and has held this position since May 1992. He is Chief Executive Officer of Vitas Healthcare Corporation ( Vitas ), a wholly-owned subsidiary of the Company, and has held this position since February 2004. Previously, from May 1992 to February 2004, he also served the Company as Treasurer.

Arthur V. Tucker, Jr., 59, is Vice President and Controller of Chemed Corporation (NYSE:CHE). Mr. Tucker joined the former DuBois Chemicals subsidiary of Chemed in 1977 as Director of the Internal Audit Department. He transferred to Chemed in 1979 as an Assistant to the Controller and was promoted to Assistant Controller in 1983. The Board of Directors elected Mr. Tucker Vice President and Controller of Chemed in 1989. Previously, from 1973 to 1977, Mr. Tucker served as a Senior Accountant at Price Waterhouse & Company. He holds a B.S. degree from the University of North Carolina and an M.B.A. from Miami University. He is a Certified Public Accountant.

Naomi C. Dallob, 55, is Vice President and Secretary of Chemed Corporation (NYSE:CHE). Ms. Dallob began her career at Chemed in 1984 as an attorney. In 1987, she was elected a Vice President of Chemed, while also serving as Assistant Secretary of the company and its Roto-Rooter subsidiary and as Secretary of Chemed's National Sanitary Supply Company subsidiary. In 1994, the Board of Directors promoted Ms. Dallob to her current position of Vice President and Secretary, as well as Secretary and General Counsel of Chemed's then publicly traded subsidiaries Roto-Rooter and National Sanitary Supply, which companies she served until 1996 and 1997, respectively. Prior to joining Chemed, Ms. Dallob was an attorney with the law firm of Dinsmore & Shohl from 1980 to 1984. Ms. Dallob holds a B.A. degree from the University of Cincinnati and a J.D. degree from the University of Cincinnati College of Law. She is a member of the American Bar Association, the Ohio Bar Association, and the Cincinnati Bar Association.

Thomas C. Hutton, 55, is a Vice President of the Company and has held this position since February 1988. He is a son of Edward L. Hutton, Chairman and a director of the Company.

Thomas J. Reilly, 51, is a Vice President of Chemed Corporation (NYSE:CHE). Mr. Reilly began his Chemed career in 1979 as a tax accountant for the company's former DuBois Chemicals Inc. subsidiary. In 1982, he was named a staff analyst for DuBois. He was promoted to Manager, Sales Analysis and Administration, at DuBois in 1982 and to Director of Budgets and Reporting in 1983. He again increased his responsibilities when he was named Assistant Controller of DuBois in 1989, a position he retained when DuBois was sold to Diversey Corporation in 1991. He rejoined the Chemed family of companies in 1992 as Senior Financial Analyst for the company's then-subsidiary, Cadre Computer Resources Inc. In 1993, he transferred to Chemed's National Sanitary Supply Company subsidiary and was promoted to Assistant Controller. He was again promoted in 1996, to Assistant Vice President and Controller of National. Following the company's divestiture of National, Mr. Reilly rejoined Diversey Corporation in 1998 as Assistant to the President of its DuBois Division. In 2000, he returned to Chemed as Director, Administrative Controls Division, and in 2002, the Board of Directors elected him a Vice President of the company. Mr. Reilly was graduated summa cum laude with a B.B.A. in Accounting and Finance. He earned an M.B.A. in Finance from Xavier University.

Andrea R. Lindell, 65, is Dean and Professor of the College of Nursing at the University of Cincinnati, a position she has held since December 1990. Ms. Lindell is also Associate Senior Vice President of the Medical Center at the University of Cincinnati, a position she has held since July 1998. From September 1994 to June 2002, she also held an additional position as Interim Dean of the College of Allied Health Sciences at the University of Cincinnati. She is also a director of Omnicare, Inc.

Ernest J. Mrozek, 55, was Vice Chairman and Chief Financial Officer of the ServiceMaster Company, Memphis, Tennessee (residential and commercial cleaning, pest, lawn and other services), from November 2006 to March 2008, when he retired after the completion of its sale and relocation of its corporate headquarters. He also served as its President and Chief Financial Officer from January 2004 to November 2006, its President and Chief Operating Officer from April 2002 to January 2004, and as a Group President and Chief Operating Officer from January 1997 to April 2002. He joined the Service Master Company in 1987, prior to which he spent 12 years with Arthur Andersen & Co., an international accounting firm. He is a director of G&K Services, Inc.

A 33-year veteran of the radio industry, Mr. Wood has worked in all facets of that business. In addition to owning and operating stations and groups, he has been involved in the founding or management of such entities as Secret Communications, Eastman Radio (a national sales representation firm), Critical Mass Media (a research company), Jacor Communications, Broadcast Alchemy, T.C. Monte, Inc., Brute Force Cybernetics, and The Committee for Aesthetic Public Spectacle. He has created syndicated TV commercials, and produced a number of multi-media fireworks events. Mr. Wood is a graduate of Harvard (AB cum laude, Economics, 1964) and the University of Chicago Law School (JD, 1967). He lives in Cincinnati with his wife, Karen and has four children ages 35, 24, 15, and 13. His interests have included ballooning, motorcycles, pyrotechnics, hunting, fishing, skydiving, boxing, skiing, and, golf.

George's professional publications include articles in the Real Estate Law Journal and numerous ICSC Law Conference workbooks. Since 1995, George has served as a director of Chemed Corporation, a New York Stock Exchange listed company headquartered in Cincinnati, Ohio. He is admitted to practice in the state of New York (all courts). He is also admitted to practice before the U.S. District Court for the Southern and Eastern Districts of New York, the U.S. Court of Appeals for the Second Circuit and the U.S. Supreme Court.

Thomas P. Rice, 59, was Chief Executive Officer of Andrx Corporation, Fort Lauderdale, Florida (specialty pharmaceuticals) ("Andrx"), from February 2004 to November 2006, when Andrx was sold to Watson Pharmaceuticals. Following the sale, Mr. Rice returned as General Manager and Partner to Columbia Investments, LLC, Baltimore, Maryland, which invests in local businesses in Baltimore and which Mr. Rice co-founded in January 1996. From January 1999 to March 2003, he was President and Chief Executive Officer of Chesapeake Biological Laboratories, Inc., Solomons, Maryland (pharmaceuticals manufacturing) (Chesapeake"). Before co-founding Columbia Investments, LLC, Mr. Rice served as Executive Vice President and Chief Operating Officer of Circa Pharmaceuticals, Inc., Copiague, New York (pharmaceuticals manufacturing) ("Circa"), from June 1993 to January 1995. Prior to joining Circa, Mr. Rice spent seven years as an accountant with Deloitte & Touche LLP, an international accounting firm. He was a director of Circa from June 1993 to January 1996, a director of Chesapeake from January 1997 to January 1999 and a director of Andrx from April 2003 to November 2006.

Mr. Krebs, 76, retired as Senior Vice President - Finance, Chief Financial Officer, and Treasurer of Service America Systems, Inc., a wholly owned subsidiary of the Company ("Service America"), in July 1999, having held the position since October 1997. Previously, he was a Director - Financial Services of DiverseyLever, Inc. (formerly known as Diversey Corporation), Detroit, Michigan (specialty chemicals) ("Diversey"), from April 1991 to April 1996. Previously, from January 1990 to April 1991, he was a Senior Vice President and the Chief Financial Officer of the Company's then-wholly owned subsidiary, DuBois Chemicals, Inc. ("DuBois").
