History The Company was organized under the laws of the State of Utah on May 21, 1985 for the purpose of seeking business opportunities for acquisition or participation by the Company. In connection with its organization, the Company sold 300,000 shares of its restricted common stock to its original officers and directors and their associates for $0.04 per share, or an aggregate of $12,000. During 1985, the Company completed a public offering of 1,450,000 shares of common stock at an offering price of $0.10 per share, from which the Company received net proceeds of approximately $131,755 after deducting the costs of the offering. The offering was conducted pursuant to the exemption from the registration requirements of the Securities Act of 1933, as amended, provided by Regulation A and was registered by qualification in the State of Utah.

Mr. Rosen has been involved in the investment business since 1985 and has broad experience in portfolio management, equity research and investment banking. Mr. Rosen is a Managing Member of Concept Capital Advisors, LLC (CCA) a diversified service provider to Investment Management Companies and Chief Executive Officer of CCA's Investment Division. . Currently, he is also a Managing Director of Concept Capital, a division of Sanders Morris Harris, where he has held senior management positions at it and a predecessor company since 1997. Mr. Rosen co-founded Whiteford Advisors, LLC, an investment management business, in 1997 and co-managed several pools of funds under that umbrella through the end of 2005. Mr. Rosen has also been affiliated with Lazard Freres, LLC, Ethos Capital Management, Inc., Steinhardt Partners, L.P., Smith Barney and Drexel Burnham Lambert. Mr. Rosen graduated Johns Hopkins University in 1985 with a Bachelor of Arts Degree in Psychology.
