F. H. MERELLI, 71, became chairman of the board, chief executive officer, president, and a director of Cimarex Energy Co., a Denver, Colo., independent oil and gas exploration and production company, on Sept. 30, 2002, upon the acquisition by Cimarex of Key Production Company, Inc. and the exploration and production division of Helmerich & Payne, Inc. He was chairman of the board and chief executive officer of Key from 1992 until October 2002, and served as Key’s president from 1992 to September 1999 and from March 2002 to October 2002. Formerly, Mr. Merelli served as Apache’s president and chief operating officer from 1988 to 1991. Prior to that, he was president of Terra Resources, Inc., a Tulsa, Okla., oil and gas company, from 1979 to 1988.
At Apache, Mr. Merelli is a member of the audit committee and the executive committee. He has been a director since 1997.

Mr. Logan is the co-founder and director of Basic Materials and Services LLC (Denver, Colorado), a privately held company that invests in companies providing specialized services for the pipeline construction and sand/silica industries. Mr. Logan was the co-founder of TransMontaigne (Denver, Colorado) in 1995 and Chief Financial Officer, Executive Vice President, Treasurer and a director through 2002. Thomas A. Richardson joined Cimarex in August 2008 and was elected vice president and general counsel on September 20, 2008. Mr. Richardson retired as a senior partner of Holme Roberts & Owen LLP, a Denver law firm, in December 2007. Mr. Richardson joined Holme Roberts in June 1970 and served as a partner of the firm from 1975 to his retirement. His specialties at the firm included corporate, securities and merger and acquisition law.

Biography
Dave Hentschel, 74, is the retired Chair and CEO of Occidental Oil and Gas Corporation, the worldwide oil and gas subsidiary of Occidental Petroleum Corporation. He was also President and CEO of Nexen from January 1, 1996 until June 1, 1997.
Dave received a Bachelor of Science degree in Petroleum Engineering from Louisiana State University and a Bachelor of Science equivalent in Meteorology from Oklahoma State University.
Dave is a director of Cimarex Energy Co. He is also a member of the board for the Luis Palau Evangelistic Association and the Tulsa Day Center for the Homeless.
Based on our retirement policy, Mr. Hentschel will not stand for election in 2009.
Dave currently resides in Tulsa, Oklahoma.

F. Walker Tucei, Jr. joined Newpark's Board of Directors in January 2003. Mr. Tucei retired from Arthur Andersen LLP in 1999, after more than 35 years in public accounting. Mr. Tucei is Chairman of the Audit Committee of the Archdiocese of New Orleans. He served on the Board of Directors of Magnum Hunter Resources, Inc., an independent exploration and development company listed on the New York Stock Exchange, until the acquisition of Magnum Hunter in June 2005 by Cimarex Energy Co. He also serves on the boards of several privately-held businesses and civic organizations in the New Orleans area.

Jerry W. Box has been a member of the Cimarex board of directors since 2005. He served as Chairman of Magnum Hunter Resources, Inc. since October 2004, and as director since March 1999. From February 1998 to March 1999, he served in the position of president and chief operating officer and as a director of Oryx Energy Company, now owned by Kerr McGee Corporation. From December 1995 to February 1998, he was executive vice president and chief operating officer of Oryx. From December 1994 through November 1995, he served as executive vice president, exploration and production of Oryx. Previously, he served as senior vice president, exploration and production of Oryx. Mr. Box served as an officer in the U.S. Air Force from 1961 to 1966. Mr. Box is a former member of the Policy Committee of the U.S. Department of the Interior’s Outer Continental Shelf Advisory Board, past chairman and vice-chairman of the American Petroleum Institute’s Exploration Affairs subcommittee, a former president of the Dallas Petroleum Club.

L. Paul Teague has been a member of the Cimarex board of directors since 2002. He retired in 1994 from his position as vice president, Western Region, Texaco Exploration & Producing Inc. in Denver. Other positions in his 35 years with Texaco included division manager of the New Orleans Division, Eastern Producing Department; vice president, New Orleans Producing Division of Texaco USA; and vice president, Producing Department, Texaco USA in Houston. His industry affiliations include: chairman of the API Executive Committee on Drilling and Production Practices; president of the Colorado Petroleum Association; director and executive committee member of the Rocky Mountain Oil & Gas Association; and executive committee member of the Louisiana Oil & Gas Association.
