Founded over a hundred years ago, CIT Group Inc., a Delaware corporation (we, CIT or the Company), is a bank holding company providing commercial financing and leasing products and management advisory services to clients in a wide variety of industries. CIT operates primarily in North America, with locations in Europe, Latin America, Australia and the Asia-Pacific region. On December 22, 2008, the Company became a bank holding company (BHC) regulated by the Board of Governors of the Federal Reserve System (FRS) under the U.S. Bank Holding Company Act of 1956 (BHC Act). As a bank holding company, we have bank and non-bank subsidiaries. CIT bank, with assets of $3.5 billion and deposits of $2.6 billion at December 31, 2008 is the Companys primary bank subsidiary. CIT Bank, which is located in Salt Lake City Utah, amended its charter from an industrial bank to a fully chartered state bank in 2008. Additionally, CIT Bank, which had primarily funded consumer loans in conjunction with select vendor programs, shifted its focus to commercial lending in 2008. CIT Bank is subject to regulation and examination by the Federal Deposit Insurance Corporation and the Utah Department of Financial Institutions. Edward "Ned" Kelly was named Vice Chairman of Citi in July 2009 after serving as Citi's Chief Financial Officer since March 2009. He is responsible for driving the execution of Citi's strategic and operational priorities. Before that role, Ned was Head of Global Banking, Citi Private Bank and President and Chief Executive Officer of Citi Alternative Investments in Citi's Global Institutional Bank. He is a member of Citi's Senior Leadership and Executive Committees. Mr. Kelly joined Citi in February 2008 from The Carlyle Group, a private investment firm, where he was a Managing Director. From 1988 to 2001, Brown was a senior banker at Citigroup. First, as Citibank's Health Care Finance head and senior credit officer, she oversaw Citi's efforts in achieving number one rankings in healthcare debt financings and in 1999 won the "Deal of the Year" award from Dealogic. As a Managing Director in Salomon Smith Barney's Health Care Investment Banking group, she was responsible for the services and provider sectors from 1999 to 2001. Prior to assuming this position, Lucas was Senior Vice President and Northeast Regional Manager for CIT Commercial Services and was responsible for client service and retention, business development and client credit quality.
