Clarus Corporation ("Clarus" or the "Company," which may be referred to as "we," "us," or "our") was formerly a provider of e-commerce business solutions until the sale of substantially all of its operating assets in December 2002. We are currently seeking to redeploy our cash and cash equivalent assets to enhance stockholder value and are seeking, analyzing and evaluating potential acquisition and merger candidates. We were incorporated in Delaware in 1991 under the name SQL Financials, Inc. In August 1998, we changed our name to Clarus Corporation. Our principal corporate office is located at One Landmark Square, Stamford, Connecticut 06901 and our telephone number is (203) 428-2000. BUSINESS At the 2002 annual meeting of our stockholders held on May 21, 2002, Warren B. Kanders, Burtt R. Ehrlich and Nicholas Sokolow were elected by our stockholders to serve on our Board of Directors. Under the leadership of these new directors, our Board of Directors adopted a strategy of seeking to enhance stockholder value by pursuing opportunities to redeploy our assets through an acquisition of, or merger with, an operating business that will serve as a platform company, using our cash, other non-operating assets (including, to the extent available, our net operating loss carryforward) and our publicly-traded stock to enhance future growth.

Philip A. Baratelli, 41, has served as our Chief Financial Officer, Secretary and Treasurer since February 2007. Since February 2007, Mr. Baratelli has also served as Chief Financial Officer for Kanders & Company, Inc., a private investment firm principally owned and controlled by Mr. Warren B. Kanders that makes investments in and provides consulting services to public and private entities. Since April 2007, Mr. Baratelli has served as the Chief Financial Officer for Highlands Acquisition Corp., a publicly-held blank check company formed with a focus on acquiring a business in the healthcare industry. From June 2001 to February 2007, Mr. Baratelli was the Corporate Controller and Treasurer of Armor Holdings, Inc., a manufacturer and supplier of military vehicles, armored vehicles and safety and survivability products and systems serving aerospace & defense, public safety, homeland security and commercial markets. From February 1998 to February 2001, Mr. Baratelli was employed by PricewaterhouseCoopers LLP in various positions ranging from Associate to Senior Associate. From 1991 to 1997, Mr. Baratelli worked for Barnett Banks, Inc. in various finance and credit analysis positions. Mr. Baratelli received a Bachelor of Science in finance from Florida State University in 1989 and a Bachelor of Business Administration in accounting from the University of North Florida in 1995. Burtt R. Ehrlich , 69, has served as one of our directors since June 2002. Prior to the completion of the acquisition of Armor Holdings, Inc., by BAE Systems plc on July 31, 2007, Mr. Ehrlich served as a director of Armor Holdings, Inc. since January 1996. Mr. Ehrlich has also served as a member of the Board of Directors of Langer, Inc. since February 2001. Mr. Ehrlich is also a member of the Board of Trustees of The Arbitrage Fund, a registered investment company. Mr. Ehrlich served as Chairman and Chief Operating Officer of Ehrlich Bober Financial Corp. (the predecessor of Benson Eyecare Corporation) from December 1986 until October 1992, and as a director of Benson Eyecare Corporation from October 1992 until November 1995.

Dr. Cunningham joined Clarus Ventures with more than 20 years experience in the biomedical and biopharmaceutical sectors. Prior to Clarus, Dr. Cunningham was the Senior Vice President, Medical Strategy at Eyetech Pharmaceuticals, Inc. (NASDAQ:EYET), where he helped build and lead the team that developed and commercialized Macugen, a first-in-class product for the treatment of age-related macular degeneration. Prior to Eyetech, Dr. Cunningham was at Pfizer, Inc, where he was responsible for the clinical development of early phase central nervous system compounds and the in-licensing of early and late-stage therapeutic candidates in ophthalmology. Dr. Cunningham is an internationally recognized specialist in infectious and inflammatory eye disease with over 200 publications. He is an Adjunct Clinical Professor of Ophthalmology at Stanford University, was Clinical Professor and Director of the Uveitis service at NYU from 2002 to 2005, and was Director of both the Uveitis Service and the Kimura Ocular Immunology Laboratory at the University of California at San Francisco (UCSF) from 1995 to 2001. Dr. Cunningham received an MD and MPH in epidemiology and statistics from Johns Hopkins University, a PhD in neuroscience from the University of California at San Diego (UCSD) for work done at The Salk Institute, and completed both a residency in ophthalmology and fellowship training in Corneal Disease and Uveitis at UCSF. Dr. Cunningham is a member of the Board of Directors for SARcode Inc., a member of the Scientific Advisory Boards of ESBAtech AG and Comentis Inc., and a Board observer for Ferrokin Biosciences, Pearl Therapeutics Inc., Taligen Therapeutics Inc., and Zogenix, Inc.

Linda Johns founded Clarus Consulting Group in 1999 (formerly known as GIT, Inc.). As a management consultant, she advises commercial and government clients as they establish and reengineer their management and business processes. Linda leads Clarus' engagements using her engineering training and experience in project management, business process reengineering, and change management. Her project experience ranges from highly sophisticated and technical applications to complex, multi-organizational programs. Her expertise in change management ensures that the new management and business processes are implemented throughout the entire organization.

Lorie O'Neill brings more than 14 years of high tech sales and marketing experience to Critial3 Marketing all centered on strategies and execution to drive revenue. Prior to joining Clarus in 2005, Scott was Director, Business Development of TransForm Pharmaceuticals, Inc until it was acquired in 2005 by Johnson & Johnson. At TransForm, Scott had broad responsibility for business development, corporate development and legal activities, including managing the company's intellectual property group. Prior to TransForm, Scott was an attorney specializing in mergers & acquisitions at the NYC-based law firm of Davis Polk & Wardwell where, among other things, he completed numerous public and private deals worth in excess of $1 billion, negotiated credit facilities of more than $10 billion and represented two companies during their initial public offerings. Before that, Scott was a law clerk for a senior judge at the Supreme Court of Canada. Scott holds a B.Com (Economics & Finance) from McGill University (First Class Honors), a J.D. from University of Toronto and most recently an MBA from Harvard Business School, where he was a Baker Scholar.

Nicholas Sokolow , 59, has served as one of our directors since June 2002.
