Clayton Williams Energy Inc.

CLAYTON W. WILLIAMS, JR., age 77, is Chairman of the Board, President, Chief Executive Officer and a director of the Company, having served in such capacities since September 1991. For more than the past five years, Mr. Williams has also been the chief executive officer and a director of certain entities which are controlled directly or indirectly by Mr. Williams. Mr. Williams beneficially owns, either individually or through his affiliates, approximately 26% of the outstanding shares of our common stock.

Mr. Latham is Executive Vice President, Chief Operating Officer and a Director of CWEI, having served in such capacities since September 1991. Mr. Latham joined the Williams Companies in 1982 as Assistant Exploration Manager and in 1983 was named General Counsel. Mr. Latham has served as Vice President and a manager of Williams Limited since its formation and as Chief Operating Officer of certain Williams Entities since 1990. Since 1988, Mr. Latham has served as President of ClayDesta Corporation, a real estate development and management company. Prior to 1982, he was engaged in the private practice of law with the firm of Bullock, Scott & Neisig in Midland, Texas. Mr. Latham received B.A. and J.D. degrees from Texas Tech University.

Mr. Riggs has served as Senior Vice President - Finance, Secretary, Treasurer, and Chief Financial Officer since 1991, and as a Director since 1994. Since 1989, Mr. Riggs has served as Manager of Finance of the Williams Companies. From 1984 to 1989, Mr. Riggs was initially employed as Senior Vice President of Finance and Treasurer of ClayDesta Communications, Inc., an affiliate of Mr. Williams, and thereafter as Vice President of Finance of Advanced Telecommunications Corporation, which acquired ClayDesta Communications, Inc. in March 1989. Mr. Riggs is a Certified Public Accountant (CPA) and received a B.B.A. degree in Accounting from Texas Tech University.

Mr. Welborn is Vice President of Land of CWEI. He has worked in the company's land department since 2003. He is a member of the Permian Basin Landman's Association and the American Association of Professional Landmen. Mr. Welborn earned his Bachelor of Science degree from Texas A&M University in 1996.

Mr. Pollard is the Vice President of Accounting for CWEI, having served in such capacity since 2003. Prior to that, Mr. Pollard served as the Controller of CWEI since joining the company in 1993. He has over 26 years of accounting and financial reporting experience in the energy industry, most of which was in management positions with public companies. Mr. Pollard earned a BBA-Accounting degree from Texas Tech University.

Mr. Reesby is Vice President of Acquisitions/New Ventures of CWEI. He has served as Land Manager for the Williams Companies Eastern States Division since 1981. Prior to 1981, he was engaged in the private practice of oil and gas law with the firm of Reesby & Townsend in Lake Charles, Louisiana. Mr. Reesby received B.A. and J.D. degrees from Louisiana State University.

Mr. Lyon is Vice President of Gas Gathering and Marketing of CWEI. Mr. Lyon was President of Clajon from 1981 until June 1987, when the assets of Clajon were sold. Mr. Lyon then became President, Chief Executive Officer and Director of Clajon Holdings, Inc., Clajon Capitol, Inc. and Clajon Management, Inc. (certain successor entities to Clajon), until rejoining the Williams Companies in January 1991. Prior to becoming associated with Clajon in 1980, Mr. Lyon was a founder and the chief operating officer of P&M Pipeline Corp. and Western Counties Gas Company. Mr. Lyon has over 30 years of experience in various management capacities in the natural gas industry, including supervisor of oil and gas engineering, natural gas contracts advisor and chief operating officer of various entities engaged in natural gas transportation.

Mr. Tisdale is Vice President and General Counsel of CWEI. He has been employed by the Williams Companies since 1988, serving initially as Assistant General Counsel and then as General Counsel. From December 1984 to 1988, he was employed by Texas Oil and Gas Corp. as West Texas District Counsel. Prior to 1984, Mr. Tisdale was engaged in private law practice with the firm of Hinkle, Cox, Eaton, Coffield & Hensley in Midland, Texas. Mr. Tisdale received a B.B.A. in Accounting from the University of Texas at Austin and a J.D. degree from Texas Tech University.

DAVIS L. FORD, age 70, is a director of the Company and a member of the Audit, Compensation and Nominating and Governance Committees of the Board. Dr. Ford has served as a director of the Company since his appointment in February 2004. Dr. Ford has been president of Davis L. Ford & Associates, an environmental engineering and consulting firm, for more than the past five years and is also an adjunct Professor at the University of Texas at Austin.

Is President of Ramshorn Investments, Inc., a wholly owned subsidiary of Nabors Drilling USA LP that is located in Houston, Texas, where he is responsible for drilling and development projects in a number of producing basins in the United States. He has served in such capacity for more than the past five years. Mr. Smith has served on the Board of the University of Wyoming Foundation and the Board of the Domestic Petroleum Council, and is also Founder and Chairman of the American Junior Golf Association. Mr. Smith received Bachelor and Master degrees in Geology from the University of Wyoming in 1956 and 1957, respectively.

Mr. Parker is a Director of CWEI and a member of the Compensation and Audit Committees of the Board of Directors. Mr. Parker was elected a director of the Company in October 1991. Mr. Parker is Chairman of the Board of Parker Drilling Company, a publicly owned corporation providing contract drilling services, having served in such capacity for more than the past five years. He also serves as a director of Bank of Oklahoma Financial Corp. He is a graduate and Distinguished Alumnus of the University of Texas at Austin.

Ted G. Gray, Jr. is a director of the Company and a member of the Audit, Compensation and Nominating and Governance Committees. Mr. Gray has served as a director of the Company since his appointment in December 2008. Mr. Gray is a Vice President of UBS Financial Services, Inc. in Austin, Texas, where he manages portfolios for high net worth individuals. Mr. Gray has been involved in banking and investment activities since 1972. Mr. Gray received his BA from Yale University in 1972 and is also active with the association of Yale Alumni, serving on the board of directors and as treasurer.
