Thomas J. Webb is executive vice president and chief financial officer of
CMS Energy and its principal subsidiary, Consumers Energy. He was named
to this position in 2002.
Webb also serves as chairman of the board of EnerBank USA, a nationwide provider of consumer loans.
Before joining CMS Energy, Webb had been executive vice president and chief financial officer for Kellogg Co. since January 2000. At Kellogg, he helped drive the purchase of Keebler Co., the largest acquisition in Kellogg’s history. He led the financing effort for a $4.6 billion bond offering, the largest in the history of the consumer-branded industry.
From 1996 to 1999, Webb was senior vice president, chief financial officer of Visteon, an $18 billion automotive components business with major production facilities in 30 countries.
Webb began his career at Ford Motor Co. in 1977, holding increasingly responsible
financial and managerial positions internationally for more than 22 years. He earned a Bachelor of Science degree and Master of Business Administration in finance from George Mason University. He received the National Distinguished Service Award from the Boy Scouts of America.
Webb and his wife, Donna, live in Richland, Mich., and are the parents of two daughters, Ashleigh and Lindsay, and a son, Tommy.

Daniel J. Malone is vice president of customer and energy operations services
& safety for Consumers Energy, the principal subsidiary of CMS Energy. He
was elected to the position in April 2009.
Malone has overall responsibility for operations services, network services, gas
transmission and storage, employee training and development, customer service
operations and safety. Energy operations is responsible for operating and maintaining
the electric and natural gas delivery systems that serve the utility’s customers.
Customer operations is responsible for the company’s revenue recovery,
customer services and energy optimization programs.
Malone joined Consumers Energy in 1984 as a graduate health physicist in the
radiological services department and has spent the majority of his career with
the company. From 2001 to 2006, he held leadership positions with Nuclear
Management Co., which operated Consumers Energy’s Palisades nuclear plant
in Covert, Mich.
In 2006, Malone rejoined Consumers Energy as manager of the equipment
services department. Later the same year, he was named site business manager
for the utility’s J.H. Campbell Generating Complex in Port Sheldon Township,
west of Grand Rapids, Mich.
Malone earned a bachelor’s degree in environmental science from Purdue
University and holds a nuclear senior reactor operator certification. In 2008, he
completed the Advanced Management Program at the Harvard Business School.

Jackson L. Hanson (Jack) is vice president of generation engineering and
services for Consumers Energy, the principal subsidiary of CMS Energy. He

Hanson previously was plant business manager for Consumers Energy’s J.H.
Campbell plant. Prior to that, Hanson was plant business manager for the company’s
J.R. Whiting plant. He also served as chief of staff for the generation
organization and has held leadership positions at the Palisades nuclear plant.
During a break in service from 2000 to 2003, Hanson served in various senior
management roles at the Rocky Flats Environmental Technology Site.
Hanson has a master’s degree in business administration from the University of
Notre Dame and a bachelor’s degree in mechanical engineering from the U.S.
Naval Academy. Hanson left the U.S. Navy as a lieutenant after serving for five
years prior to joining Consumers Energy in 1983.

James P. Pomaranski is vice president of generation construction for Consumers Energy, the principal subsidiary of CMS Energy. He is responsible for construction project management, major maintenance and emission reduction projects at company generating plants, and construction of new generation. He was named to this position in 2006.
Pomaranski previously was executive project manager for Consumers Energy generation, where he led the effort to make more than $800 million in plant modifications required by the Clean Air Act. Prior to that, he served as maintenance manager and project engineering manager at Consumers Energy’s Palisades nuclear plant. Before joining Consumers Energy, Pomaranski worked in project controls at Townsend & Bottum.
Pomaranski has a master’s degree in business administration from Grand Valley State University and a bachelor’s degree in construction engineering from Lawrence Institute of Technology. He is licensed by the state of Michigan as a professional engineer. He joined Consumers Energy in 1982.

James R. Coddington is the vice president of generation operations for Consumers Energy, the principal subsidiary of CMS Energy, with overall responsibility for the operation of the company’s fossil-fueled and hydroelectric generating units.
He was previously vice president of fossil operations, responsible for the utility’s coal- and oil-fired power plants, representing approximately two-thirds of its electric generating capacity.
Prior to that position, Coddington was manager of fossil generation, accountable for the overall business management of 2,900 megawatts (MW) of
baseload coal plants, 1,480 MW of oil and natural gas peaking units, and
400 MW of combustion turbine peaking capacity.
From 1991 to 2001, he served as the director of the equipment services department. From 1985 to 1991, he was the general supervisor of the boiler and
piping section.
Coddington joined Consumers Energy in 1972 as a plant engineer and has worked through a series of increasingly responsible positions in the utility’s electric generating business.
Coddington graduated from Michigan State University with a bachelor’s degree in mechanical engineering, and attended the University of Michigan’s public utility executive program.
He is a member of the American Society of Mechanical Engineers. From 1992 to 2000, he served as an appointed member of the Michigan State Board of Boiler Rules.
Coddington and his wife, Sandy, live in Whitehall, Mich.

Jon R. Robinson is vice president and deputy general counsel — utility law and
regulation for Consumers Energy, with responsibility for all legal issues related
to public utility law and regulation before the Michigan Public Service Commission
(MPSC), the Federal Energy Regulatory Commission (FERC) and the
appellate courts. He was elected to the post in 2004.
Robinson was previously assistant general counsel and was responsible
for supervising legal work before the MPSC and FERC. He joined Consumers
Energy in 1977, and left for private practice in 1983. He returned to the
company in 1990.
A graduate of Western Michigan University with a degree in economicsbusiness,
Robinson earned his law degree from the University of Notre Dame.
He is a member of the Jackson County, Mich., and American Bar Associations.
Robinson and his wife, Julianne, live in Jackson and have two children.

Richard J. Ford is vice president of energy delivery for Consumers Energy, the
principal subsidiary of CMS Energy, and serves as president of CMS Engineering.
He is responsible for the engineering and planning of the utility’s electric
and natural gas assets. Ford was named to this position in 2008.
Prior to his current position, Ford was the site business manager for Consumers
Energy’s Karn/Weadock Generating Complex in Essexville, Mich. He also
served as network services manager with statewide responsibilities for substation
maintenance, operations and construction from 2002 to 2005.
Before 2002, Ford held increasingly responsible engineering and management
positions in the company’s electric system operations, electric transmission and
distribution field operations, and generation areas. He joined the company in
1977 as a graduate engineer in the power resources and system planning department
in Jackson, Mich.
Ford graduated from Michigan Technological University with a Bachelor of
Science degree in electrical engineering. He is a member of the National Society
of Professional Engineers and previously served on the board of the Bay Area
Chamber of Commerce.

Earl D. Holton is a member of the board of directors at Steelcase Inc., the global leader in the office furniture industry. Steelcase delivers a better work experience to its customers by providing products, services and insights into the ways people work. Its portfolio includes architecture, furniture and technology products. Earl joined the board of Steelcase Inc. in 1998 and served as chair of the board from 1999-2003. Since the 1950s, Earl has worked in operations and management positions at Meijer, Inc., a Grand Rapids-based corporation comprised of supercenter stores in Michigan, Ohio, Indiana, Illinois and Kentucky. He managed various stores, becoming store director in 1955, district director in 1960 and operations manager in 1961. Earl was appointed senior vice president in 1973 and named president in 1980. Mr. Way served as Chairman of Lear Corporation, a supplier of automotive interior systems and components, from 1988 to 2003, and has been affiliated with Lear Corporation and its predecessor companies for 36 years in engineering, manufacturing, and general management capacities. Mr. Way retired on January 1, 2003. Mr. Way is also a director of Comerica, Inc., CMS Energy Corporation, and Cooper-Standard Automotive, Inc.

Merribel S. Ayres became a Director in January 2007. Ms. Ayres is President of Lighthouse Consulting Group, a privately held firm that provides government affairs and communication expertise, as well as management consulting and business development services, focusing primarily on energy and environmental policy. From 1988 to 1996, Ms. Ayres served as Chief Executive Officer of the National Independent Energy Producers, a Washington, DC, trade association representing the competitive power supply industry. Ms. Ayres is a member of the Aspen Institute Energy Policy Forum and the Deans Alumni Leadership Counsel of Harvard University s Kennedy School of Government. Ms. Ayres holds a Bachelor of Arts in English Literature from Bryn Mawr College, a post-graduate degree from Trinity College in Dublin, Ireland, and received advanced leadership training at Harvard University s Kennedy School of Government. In addition, Ms. Ayres is a Director of the United States Energy Association ( USEA ), and serves on the Board of Directors of CMS Energy Corporation (NYSE:CMS), a Michigan-based company that has as its primary business operations an electric and natural gas utility, natural gas pipeline systems, and independent power generation. Ms. Ayres is a member of the Compensation Committee.
