Coherent Inc.

Dr. John Ambroseo was appointed President and Chief Executive Officer of Coherent Inc. on October 1, 2002. He was also appointed to its Board of Directors at this time. He has served as Coherent's Executive Vice President and Chief Operating Officer since June 2001. Since September 2000, he served as Executive Vice President and President and General Manager of the Coherent Photonics Group. From September 1997 to September 2000, Dr. Ambroseo served as Executive Vice President and as President and General Manager of the Coherent Laser Group. From March 1997 to September 1997, he served as Coherent's Scientific Business Unit Manager. From August 1988, when Dr. Ambroseo joined Coherent, until March 1997, he served as Product Marketing Manager, National Sales Manager, and Director of European Operations. Dr. Ambroseo received his PhD in Chemistry from the University of Pennsylvania.

Ms. Simonet was appointed Executive Vice President and Chief Financial Officer of Coherent Inc. in April 2002. She has served as Vice President of Finance of Coherent's Photonics Group since May 2001, and previously served as Vice President of Finance of Coherent's former Medical Group. Prior to joining Coherent, she spent over twenty years in senior finance positions at Raychem Corporation, including Vice President of Finance of the Raynet Corporation as well as Chief Information Officer for Raychem. Ms. Simonet has both a Master's and Bachelor's degree from the University of Louvain, Belgium.

Bret DiMarco was appointed Executive Vice President and General Counsel in June 2006. Prior to joining Coherent, Bret was a partner at our principal outside legal counsel, Wilson, Sonsini, Goodrich & Rosati, P.C., where he specialized in representing public and private companies in areas such as corporate governance, public offerings, private placement financings, and mergers and acquisitions. He also is an adjunct professor of law at UC Hastings College of the Law, teaching corporate law and mergers & acquisitions. Bret received his juris doctorate from the Law Center at the University of Southern California.

Dr. Michael Cumbo was appointed the Executive Vice President and General Manager of Coherent’s Optical Technologies business in July 2004. He is in charge of the Company’s optics and laser measurement businesses, as well as Coherent’s semiconductor diode business. Dr. Cumbo has over twenty years of experience in fields of optics and photonics. He started his career as an optical engineer with Kodak and Bausch & Lomb. He later joined Optical Coating Laboratory, Inc.’s (OCLI) research department and held increasingly responsible positions that lead to his appointment as Chief Technical Officer. Upon the acquisition of OCLI by JDS Uniphase (JDSU), Michael became Vice President and General Manager of JDSU’s OCLI Telecom Division and was later appointed Vice President and General Manager of the commercial laser division of the new company. Michael attended the University of Rochester where he earned a bachelor in physics and a masters and Ph.D. in optics. In addition, he holds a second masters degree in electrical engineering from the Rochester Institute of Technology.

Jim is a former CEO of Pocketpass and has served as an attorney with O'Connor & Hannan, Denver, CO. specializing in securities and complex business structure and litigation, employment, public utilities, contracts, banking, insurance and real estate matters. In addition, he has held top management positions at a wide variety of technical and Internet companies, including: IntraCom Corporation (Internet healthcare), Sciton, Inc. (medical laser devices), Coherent, Inc. (laser devices). Ultrans, Inc. and AirFuels Corporation (transportation). He also served as General Counsel and Member, Board of Directors for Lodestar (fusion research) and He holds J.D. and B.A degrees from the University of California, Berkeley.

Richard Rush is an experienced Quality Management executive with over 15 years in the medical device industry, working in companies ranging from small early stage start-ups to large established ones. His work in Quality, as well as Manufacturing and Regulatory Affairs, during periods of high growth, has led him to a practical, flexible and disciplined approach to systems. Efficiency and effectiveness are the measures of success in his results. In his consulting work, Richard is committed to working with small and growing companies to establish Quality Systems that prepare them for long periods of expansion. He is well qualified to work closely with employees of those companies to prepare them for growing leadership roles that they must assume during times of expansion, crises and on-going operations. Finally, he can provide important, insightful assessments as companies evaluate their own systems for market-readiness or those of third parties as they engage in business partnerships, mergers or acquisitions. A former Vice President at Guidant Corporation, Richard has held leadership positions at other internationally respected companies such as Alcon Laboratories, and Coherent, Incorporated. He has a Masters degree in Business Administration (UC Berkeley), a Bachelor of Science degree in General Engineering (UI Urbana) and advanced coursework from Universities of Iowa, Michigan, and Wisconsin. He is a long time member of the American Society for Quality.

Garry Rogerson is Varian, Inc.'s Chairman and Chief Executive Officer, positions he has held since 2009 and 2004, respectively. He served as President from 2002 to 2009, as Chief Operating Officer from 2002 to 2004, as Senior Vice President, Scientific Instruments from 2001 to 2002 and as Vice President, Analytical Instruments from 1999 to 2001. Dr. Rogerson has been a director of the Company since 2003. He is also a director of Coherent, Inc. Dr. Rogerson earned his Ph.D. in biochemistry from the University of Kent at Canterbury, England
