Seth M. Leadbeater is Vice Chairman of Commerce Bancshares, Inc., Chairman and Chief Executive Officer of Commerce Bank, St. Louis Region, and serves on the Executive Committee of Commerce Bancshares, Inc. Leadbeater has overall responsibility for the St. Louis Region, and all Community Markets in Missouri, Illinois, and Kansas outside of St. Louis and Kansas City. He holds a Bachelor of Arts degree from Principia College and an MBA from California State University, Long Beach. Leadbeater serves as a Trustee for the St. Louis Art Museum, a Director of the Muny Opera in St. Louis, and of the Regional Housing Community Development Association.

A. Bayard Clark is Executive Vice President and Chief Financial Officer of Commerce Bancshares, Inc. With 30 years in the banking industry, Clark directs the Mergers and Acquisitions division of the bank and chairs the Asset/Liability Management Committee and serves on the Executive Committee of Commerce Bancshares, Inc. Clark holds an A.B. from the University of North Carolina at Chapel Hill and a J.D. from the St. Louis University School of Law. He is a member of the Missouri Bar Association. He also served in the United States Navy for four years. Clark is presently on the board of Focus St. Louis and is a past board member of Confluence St. Louis, a former participant in Leadership St. Louis, and a commissioner for the Land Clearance for Redevelopment Authority of St. Louis County.

Robert C. Matthews, Jr., is Executive Vice President, Chief Credit Officer, and Risk Manager for Commerce Bancshares, Inc. In this role, he oversees the credit policy, credit administration, and internal audit functions of the company. Additionally, he serves on the Executive Committee of Commerce Bancshares, Inc. Matthews holds a Bachelor of Science degree in Finance from Kansas State University, Manhattan, KS, and is a graduate of the Stonier School of Banking at Rutgers University.

Charles G. Kim is Executive Vice President of the Retail Line of Business, of Commerce Bancshares, Inc. and has corporate responsibility for Retail Banking, Marketing, Retail Lending and Payment Systems, Commerce Mortgage Corp., and Commerce Brokerage Services, Inc. He is responsible for retail strategic planning, product development, and alternative delivery systems and is a member of the Executive Committee of Commerce Bancshares, Inc. Kim is also actively involved in community, church, and business organizations. He is currently on the Board of Directors of Junior Achievement of Mississippi Valley and a member of the Executive Board of the St. Louis County Fair and Air Show. Kim graduated with honors from the Washington University Executive MBA program and holds a Bachelor of Science in Business Administration from Washington University, St. Louis, MO.

Ray Stranghoener is Executive Vice President of Commerce Bancshares, Inc. and President of The Commerce Trust Company, a division of Commerce Bank. As president, he is responsible for approximately $20 billion of client assets under management in Commerce locations across Missouri, Illinois, and Kansas. He also serves on the Executive Committee of Commerce Bancshares, Inc. Stranghoener holds a law degree from Georgetown University Law Center and an undergraduate degree in political science from Westminster College. He has an extensive record of community service, currently serving on the boards of the Missouri Historical Society and The Opera Theatre of Saint Louis. He represents Commerce Bank in its role as Trustee of the St. Louis Community Foundation.

Michael J. Petrie is a Senior Vice President of Commerce Bancshares, Inc., Director of Community Bank Administration, and has administrative responsibility for Community markets -- outside St. Louis and Kansas City -- in the Commerce Bank system. Petrie serves on the Executive Committee of Commerce Bancshares, Inc. He holds a Bachelor of Science degree in agricultural economics from Kansas State University, Manhattan, KS.

Robert J. Rauscher is Senior Vice President of Commerce Bancshares, Inc. and is Director of Operations and Information Services. Rauscher serves on the Executive Committee of Commerce Bancshares, Inc. He earned his Bachelor of Arts in Banking and Finance from the University of Missouri, Columbia, MO, and is a CBA Graduate School of Bank Management, University of Virginia. Rauscher is active in Habitat for Humanity in the Kansas City metro area.

Sara E. Foster is Senior Vice President of Commerce Bancshares, Inc. and Director of Support Group Services. She has overall responsibility for Human Resources, Organizational Development, Compliance, Security and General Services. Foster is a member of the Executive Committee of Commerce Bancshares, Inc. She holds a Bachelor of Arts in Communications from the University of Missouri, St. Louis, MO, and an MBA from Washington University, St. Louis, MO. Foster serves on the Board of Directors of Big Brothers/Big Sisters of Eastern Missouri, is chairwoman of the Board of Directors of the YWCA of Metro St. Louis, and serves on the University of Missouri – St. Louis Chancellor’s Council.

Michael Nguyen currently serves as Vice President in the commercial banking division for Commerce Bank. Commerce Bank is the principal subsidiary of Commerce Bancshares Inc. (NASDAQ: CBSH), a $15 billion regional bank holding company. For more than 140 years, Commerce has been meeting the financial services needs of individuals and businesses. Commerce provides a diversified line of financial services, including business and personal banking, wealth management and estate planning and investments through its affiliated companies. Commerce Bancshares operates across four states with approximately 350 locations and also has operating subsidiaries involved in mortgage banking, credit related insurance, venture capital and real estate activities. In his position, Michael is responsible for new business generation in loans and deposits, management of existing client portfolio, and serves as a point man to a variety of non-credit products including cash management, merchant card and wealth services. Michael also serves as board member for the South Kansas City Chamber of Commerce and New Horizons Programs.

Andrew C. Taylor was elected a director in February, 1990. Mr. Taylor is Chairman and Chief Executive Officer of Enterprise Rent-A-Car which is engaged in automobile leasing, rental and related services. Enterprise also owns and operates the vehicle rental brands Alamo and National. Mr. Taylor is Chairman of the Company's Compensation and Human Resources Committee.

Dan C. Simons was elected a director on July 27, 2007. Mr. Simons is President of the Electronic Division of The World Company. The World Company owns newspapers throughout Kansas, owns and operates cable television systems with ISP, telephone and wireless divisions, and an ABC broadcast television station in Topeka, Kansas. A related enterprise created by The World Company, WorldWest Limited Liability Company is a newspaper/communications company serving Arizona, Colorado and Kansas. Mr. Simons is also Co-Manager of WorldWest, L.L.C.

James B. Hebenstreit was elected a director in October, 1987. Mr. Hebenstreit is the President of Bartlett and Company. Bartlett and Company is engaged in grain merchandising and storage, flour and feed milling and cattle feeding. Hebenstreit is Chairman of the Company's Committee on Governance/Directors.

Mr. John R. Capps is President and Chief Executive Officer of Asbury's St. Louis dealerships, dba Plaza Motor Company: they have been a part of Asbury since 1997. Mr. Capps has run the company, a large automotive retail campus that represents eight luxury franchises including BMW, Mercedes-Benz, Porsche, Audi, Lexus, Infiniti, Cadillac, and Land Rover, since 1981. Mr. Capps began his career in sales and sales management, becoming part owner of Northgate Porsche-Audi in 1974. Prior to joining Plaza Motor Company, Mr. Capps also served as Vice President of Operations at Volkswagen Mid-America, a distributor for Volkswagen, Porsche and Audi for a four-state area in the Midwest. Mr. Capps is a graduate of Stanford University.

Mary Ann Van Lokeren retired as Chairman and Chief Executive Officer of Krey Distributing Co., an Anheuser-Busch wholesaler, in October 2006. She had served in that capacity since December 1986. She is a director of Masco Corporation.

Robert H. West was elected a director in October, 1985. Mr. West retired as Chairman of the Board of Butler Manufacturing Company and from its board of directors on July 1, 1999. He is a director of Great Plains Energy, Inc. and Burlington Northern Santa Fe Corporation. Mr. West is Chairman of the Company's Audit Committee and designated as the Committee's financial expert.

Thomas A. McDonnell was elected a director in April, 2001. Mr. McDonnell is the President and Chief Executive Officer of DST Systems, Inc. DST Systems is a provider of computer software solutions to the financial services and other industries. He is a director of DST Systems, Inc., Blue Valley Ban Corp, Euronet Worldwide, Inc., Garmin, LTD, and Kansas City Southern.
