Rodney O'Neal. Chief Executive Officer and President of Delphi Corporation, a global supplier of mobile electronics and transportation systems. Mr. O'Neal has served as Chief Executive Officer and President of Delphi since January 2007. He previously served as President and Chief Operating Officer of Delphi from January 2005 until January 2007. In 2000, Mr. O'Neal was named Executive Vice President of the former Safety, Thermal & Electrical Architecture Sector at Delphi. In 2003, he was named president of the Dynamics, Propulsion, and Thermal Sector. Previously, he served in a variety of domestic and international operating assignments for both Delphi and its former parent company, General Motors. He is a director of The Goodyear Tire & Rubber Company. Mr. O'Neal has served as one of our directors since August 2007.

John D. Sheehan, 48, is vice president, and chief financial officer of Delphi Corporation. Sheehan leads Delphi's restructuring activities and is responsible for overseeing Delphi's regulatory reporting functions, budgeting and overall financial accounting processes. He is also a member of the Delphi Strategy Board, the company's top policy-making group. In 1982, Sheehan began his experience at KPMG LLP, a global network of professional advisory firms, in Stamford, Connecticut. In 1993, Sheehan transferred to London where he worked with non-U.S. companies seeking to access the U.S. capital markets and as such required U.S. GAAP financial information. In 1994, he transferred to Germany to focus on serving KPMG's German clients with U.S. GAAP needs. In 1995, Sheehan was named a partner. During his tenure in Germany, his clients included DaimlerChrysler AG, Fresenius Medical Care AG and Adidas AG. In 2001, Sheehan transferred to Detroit where he assumed overall responsibility for KPMG's services to the DaimlerChrysler Group North America account. While at KPMG LLP, Sheehan's clients also included General Electric Company and Motorola Corporation. In July 2002, Sheehan joined Delphi Corporation as chief accounting officer and controller. In March 2005, Sheehan was named acting chief financial officer overseeing Delphi's treasury, tax, mergers and acquisitions, internal and external reporting, internal control, budgeting, forecasting and financial planning and analysis. He was named chief restructuring officer, chief accounting officer and controller in October 2005 and to his current position in October 2008. Sheehan earned a bachelor's degree in accounting from St. Bonaventure University (St. Bonaventure, NY) in 1982. He is a licensed certified public accountant in Michigan and Connecticut. Sheehan is a member of the American Institute of Certified Public Accountants. Sheehan also served as president of the Board of Directors for the International School of Stuttgart, Germany from 1999-2001.

Thomas S. Timko, 38, is Delphi Corporation's Chief Accounting Officer (CAO) and Corporate Controller. Timko joined Delphi in June 2006 as controller and became CAO in August 2006. Timko began his career in 1991 with PricewaterhouseCoopers LLP (PwC) and worked in a number of senior accounting roles. His responsibilities included managing multiple audit and special project teams for multinational companies. Timko was responsible for coordinating global audit and tax services and served as the primary liaison with his clients. In addition, Timko participated in numerous SEC registration statements, 10-K and 10-Q filings, and assisted clients with acquisition due diligence. In January of 2003, Timko was named the Assistant Controller for the Dover Corporation, which is a diversified company that primarily manufactures specialized industrial products and sophisticated manufacturing equipment. Timko was responsible for consolidations, financial reporting, policies and procedures, corporate accounting, and internal audit. He was also responsible for coordinating and managing the Sarbanes-Oxley (SOX) compliance effort and provided support for other corporate departments such as Tax, Risk Management/Insurance, Legal and Treasury. In December of 2004, Tom was named the Assistant Controller at Interpublic Group of Companies (IPG), one of the world's largest organizations of advertising agencies and marketing services companies. During his tenure he was a key member of the team that successfully completed the financial restatement for the periods 1999 to 2004, which resulted in an adjustment to stockholders' equity of $550 million. His primary role during the restatement was that of co-project leader and was the overall accounting subject matter expert. He was also responsible for financial reporting and policies and procedures. In 1991, Timko graduated from Fairleigh Dickinson University with a Bachelor of Science in Accounting. Timko is a Certified Public Accountant. He is a member of the American Institute of Certified Public Accountants and the New Jersey Society of Certified Public Accountants.

Brian D. Thelen, 43, is the vice president of Corporate Audit Services for Delphi Corporation. He is also a member of the Delphi Strategy Board, the company's top policy-making group. In 1986, Thelen began his business career with the Chicago office of Ernst & Young working in the Tax and Audit practices. In 1990, he joined American Standard Companies, Inc., as controller of the Trane Chicago sales office. In 1995, Thelen was promoted to audit manager of American Standard, with responsibilities for North and South America. In 1998, he was named general auditor of American Standard, with worldwide audit responsibilities. In 2000, Thelen joined Waste Management, Inc., as vice president of internal audit services, where he was responsible for building an in-sourced internal audit team. In addition to his audit responsibilities, Thelen worked closely with other members of the company to develop and enhance corporate ethics and compliance programs, including environmental, business conduct, corporate governance, and corporate security. Thelen was also responsible for development of the Company's Sarbanes-Oxley compliance programs, as well as managing projects associated with the implementation of Enterprise Risk Management programs. In May 1986, Thelen earned bachelor's degrees in accounting and finance at the University of Notre Dame, located in Notre Dame, Ind. In 1987, he achieved his CPA, and in 1995 earned his master's degree in business administration at the Lake Forest Graduate School of Management, located in Lake Forest, Ill. Thelen currently serves as chairman for the Manufacturers Alliance/MAPI General Auditor Roundtable. He has also served as a Trustee of the Institute of Internal Auditors Research Foundation Board and as Chairman of the Institute of Internal Auditors Board of Research Advisors.

Robert J. Remenar, 51, is a vice president of Delphi Corporation and president of Delphi Steering. He is also a member of the Delphi Strategy Board, the company's top policy-making group. He is the executive champion for the program management task team and is the executive customer champion for the General Motors account.

Patricia Mastrandrea is co-founder of Delphi and an expert in User Experience Design. Patricia has held executive management, design and development roles for both large and small organizations. She offers leadership and guides teams to transform processes and content from physical and static to digital, mobile, personal and virtual. Through her direction internal and external creative teams have set clear creative goals and shared in-depth consumer insights and strategic guidance. Patricia's operational expertise and experience in all aspects of finance, contracts and business development leads to a higher level of business agility that enables a fast, flexible response to change by capitalizing on the best use of people, process and technologies.

Christer A Holm is a senior partner in the Stockholm office of Delphi & Co, and head of the company's EU and competition law practice. He has been partner of the Delphi & Co office in Stockholm since 1985. Mr Holm has had extensive experience representing a number of multinational companies before the European Commission in proceedings under Articles 81 and 82 of the EC Treaty, and merger regulation and cartel cases, and has similar experience before the Swedish Competition Authority. Together with colleagues at Delphi & Co, he represented one of the defendants in a court case over an alleged cartel among Swedish petroleum companies. He is currently representing a defendant in a newly instigated cartel investigation of construction companies.

Mr. Stephenson began work with UAI in 1998 after more than 23 years as human resource director for Delphi/Saginaw in Decatur, AL. Mr. Stephenson holds a B.S. in Personnel Administration and has a total of 30 years experience in human resources. As vice president of human resources, Mr. Stephenson is responsible for hiring of all positions, recruitment of top personnel for those positions, coordination of initial training and administration of company policies, benefits and facilities management.

Timothy Forbes is a Director to SpaceForm and member of the Board of Directors. Mr. Forbes is the Director of Commercialization & Licensing and has over 30 years of customer and business development experience. He has recently added the responsibility of achieving the maximum value from Delphi's technology portfolio through commercialization & licensing. In addition to his C&L role, Tim has been responsible for the creation of new ventures and leading Delphi growth efforts beyond automotive as Director of New Markets. He brings a wealth of Delphi and General Motors knowledge to his current positions; including leadership as Director of Modular Integration and Delphi's Customer Director for the GM North America Car Group. His divisional experience includes European Sales Director in Ruesselsheim, Germany that transitioned to worldwide program management. Tim earned B.S. in IE from General Motors Institute and earned his M.S. in Management as a Sloan Fellow at the Sloan School of Management at Massachusetts Institute of Technology.

Marylou Smith is the Operations/Decision Support Manager for Delphi and will be accountable for revenue cycle management & monitoring performance of external billing vendors. Additional responsibilities include implementing quality management initiatives such as benchmarking performance indicators, satisfaction surveys, and provider productivity reporting to enhance operational effectiveness. With over 15 years of administrative healthcare experience, Marylou brings solid knowledge of clinical and business operations to the team. Prior to joining Delphi, her experience includes Business Analyst for an academic faculty practice plan and Quality Improvement Consultant for several private physician practices.

Cashier of the State Bank of Monon, Carl C. Middelstadt represents a family that has long and usefully been identified with White County. His parents were Christopher and Wilhelmina (Long) Middelstadt, both natives of Germany, who moved to White County and settled at Monon about 1882. Christopher died April 29, 1909, and his wife on April 7, 1892. An older son is Otto C. Middelstadt, present county treasurer of White County. Otto was born at Medaryville, Indiana, March 12, 1867, was reared at Monon, where he attended the public schools, and in 1908 was elected township trustee, serving five years, and in 1912 was elected treasurer of White County, a position which he has since occupied. He has been twice married and has one daughter, Georgia. Carl Middelstadt, who has identified his career with banking, was born at Medaryville, Indiana, November 12, 1877, and when still a child came with his parents to Monon, where he was reared and educated. He was engaged in the hotel business at Monon until entering upon his present duties as cashier of the State Bank. Mr. Middelstadt is a Knight Templar Mason of Delphi and Shriner of Indianapolis, also an Odd Fellow and belongs to Lodge No. 124 of Monon; in politics he is a democrat. On July 17, 1896, he married Miss Maude Bunnell, daughter of Stephen Bunnell. They are the parents of two children: Wilhelmina and Leo.

A native of Paris, France, Mr. Sevrain moved to the United States in 1981. In addition to his work for Baxter, Delphi and a number of other companies, he has served as an officer, board member and advisor for a diverse roster of organizations all of which have added to CJPS' impressive Rolodex .

David Miller is a Games Producer and UI designer who has developed games and game-related websites for Kesmai, Delphi and AOL. Currently, he works at AOL quietly plotting to make the world a better place, by enhancing the way that people play together.

Helene Palm Andersson is a senior associate in the Stockholm office of Delphi & Co with specialist expertise in competition law and governance issues. She has extensive experience in representing companies before the Swedish Competition Authority as well as the European Commission. She is currently involved in one of Sweden's largest cartel litigations to date, and has participated in several cartel investigations and headed numerous competition compliance audits. Ms Palm Andersson is a frequent speaker at conferences, seminars and workshops on competition law, corporate governance issues and corporate law. Practice areas: Corporate Law, Competition Law.

Irina Yudenko is developer and responsible for programming the new models and quality assurance. Irina holds a Master in Mathematical Programming (2000) from Belarusian State University. Irina is an expert in database design, Borland Delphi and Delphi Toolkit.

Jack Staub has been an active board member of Delphi Display Systems since it was spun from Delphi Engineering Group, Inc. He serves on the boards of Delphi Engineering Group and Critical I/O. Staub is currently president & CEO of Critical I/O, where he oversees the executive management team and is deeply involved with defining the technical vision of the company. Staub founded Critical I/O as a continuation of the Fiber Channel developments that he initiated at Delphi Engineering Group over the prior five years. The purpose of the new venture is increasing the focus on the Fiber Channel products and customer base originally developed at Delphi, specifically on the application of Fiber Channel technologies to System Area Network applications in avionics, radar, sonar, and medical systems. Staub has a Bachelor of Science degree in Engineering from Lehigh University and a Master's degree in Electrical Engineering from the University of Southern California. In addition, he has completed coursework for a Ph.D in Electrical Engineering at UCLA.

Develops software for Windows with Delphi since 1995. He is the author of the Delphi certification tests for BrainBench. He worked at VisualMED for 2 years as an architect. Delphi has no secrets for him. His main tasks consist of taking of low level architecture issues, of security as it relates to Oracle and/or MSSQL and also interactions the Windows API. Technical trainer at the C.R.I.M. on Delphi.

Judy and her husband, Don, have two daughters, Sherrie (and husband Joe in Colorado ) and Susan (and husband Damon in Texas ). Judy has a Bachelor's degree from Grove City College and currently works for Delphi Corporation as an Administrative Assistant. She has played the organ for church services and accompanied choirs off and on since Junior High School. She plays the Clavinova for Worship Celebrations and sings in and is the keyboardist for the Praise Band. In addition, she also prepares the PowerPoint presentations for the worship celebration services.

Kelly Hayes has been with Delphi since its beginning in 1974 as The Arthur Ford International Academy of Mediumship in Miami, Florida. When she was 17 years of age, she took over the full responsibility for food preparation and catering for the school. Kelly has been an important contributor to the school's development: first in Miami, then in opening expanded teaching centers in Durham, North Carolina and Cumming, Georgia, and finally to the school's current location in the Blue Ridge Mountains of North Georgia. In 2003, Kelly assumed the responsibilities as Director of Administration. In addition to her many responsibilities at Delphi, she manages a busy home with seven children with her husband Bobby. Kelly is also an accomplished stained glass artist. She recently completed the magnificent and inspirational stained glass windows for the Temple of Wisdom at Delphi.

Kimberly is the Director and Guardian of Self-Enlightenment.com and all of its physical activities. She has been involved in her own spiritual awakening and evolution for over thirty years. Kimberly is an accomplished instructor and Director of Student Relations at Delphi University as well as an incredible channel of healing. Kimberly has worked extensively with her mother, Patricia Hayes, and has been a gifted sensitive since her early teens. Kimberly is the widow of Mauricio Panisset, the famed Brazilian healer known as the Man of Light. She continues his work today and trains others in the methods of Light Energization?, along with the many other courses and channeling and healing methods she teaches at Delphi. She is the author of "Man of Light", the story of her life and healing work with Mauricio. Marjorie Harris Loeb, 42, is corporate secretary of Delphi Corporation. Prior to joining Delphi in 2002, her practice centered on transactional and general representation of both public and private companies. She is experienced in negotiating early through late stage venture financings, mezzanine debt and structured financings, offshore private placements, public offerings of debt and equity securities, mergers and acquisitions and compliance with federal securities laws and stock exchange requirements.

Michael works at Delphi Corporation as a Tool-and-Die Maker. He is a current member of the IUE-CWA Local 717 trade Union out of Cortland, Ohio. He is married to Amy and together they have four children. He is the former President of the Lakeview Local Board of Education. Michael is also a former member of the Trumbull Career and Technical Center BOE. Currently, he is a student at the Youngstown State University, pursuing a bachelors degree in accounting.

Milen Savov (Developer) is a member of the programming team. He has graduated from the Technical University of Sofia, Bulgaria with a Bachelor of Science degree in computer engineering and is taking a Master of Science course in the same field and university. He is fluent in supporting server software and building dynamic web sites based on PHP/MySQL. Milen is also familiar with C/C++, Pascal/Delphi, Java, Perl and Assembler languages and hardware. Milen works for the company via the Internet, from his homeland.

Bio: Rakesh Kochhar oversees Nissan's treasury activities including cash flow management in auto business and debt programs with NMAC which currently total $28 billion. NMAC is a frequent issuer of securities in the capital market consisting of securitized paper, unsecured notes and commercial paper. Prior to joining Nissan, Rakesh worked in a variety of treasury roles at Delphi Corporation in the U.S. and Singapore, including Director of Corporate Finance, Capital Markets and Risk Management, Manager Risk Management, Manager Capital Planning and Treasury Manager, Asia-Pacific. Before working for Delphi, Rakesh served in various accounting and treasury roles with GE Capital Transportation Financial Services (India). Rakesh earned his bachelor's of commerce (honors) from Delhi University, India. He is a Chartered Accountant and earned his MBA in Finance from Rutgers University.

Todd is a 1986 graduate of Northmont High School and a 1988 graduate of Sinclair's Project Stepp II. Todd played football under Ned Booher and was part of the 1984 GMVC Champions and Coach Booher's 200th win. He also helps coach his son's 4th Grade Wee Bolt Football team. Todd is a Journeyman Tool and Die Maker and is currently employed by Delphi . Todd and his wife of 17 years, Cindy, reside in Clayton. They have three children, Kasi, 15, Kara, 12, and Troy , 9.

Wayne Drennen is the coding genius behind our windows programming department. If a program exists in TOPS 2000 , chances are Wayne had something to do with that program's development. Wayne was introduced to TOPS Software and the Community Association industry when he was commissioned to teach the TOPS programming staff a series of Visual Basic classes. Wayne's ability to customize the class to the company's needs, and his ability to quickly and efficiently solve problems that had been plaguing the development of the Windows version of TOPS, quickly earned him a permanent position within the company. Wayne brings an accounting and mathematical background to the TOPS Software programming department, having worked as an accountant for several companies for a number of years prior to pursuing a career in his first love, programming. Wayne programs in over 12 different languages, including C++, Visual Basic, Delphi, ASP, ASP.net, CASL, and Java. Prior to joining TOPS Software, Wayne ran a mildly successful programming and consulting business, Drennen Computer Consultants and Technicians, with his wife. In his capacity as Director of Programming for TOPS Software, Wayne is responsible for overseeing the research and development of all new products. Some of the products Wayne has personally created for TOPS Software include: the Security Key System, all Installation modules, TOPS Mobile PDA, TOPS Internet Backup Service, Community Web Sites (TOPS 2000 aspects), TOPS Internet Updater, and the AssociationReady interface. Wayne and his family recently moved to Clearwater, Florida, where he shares an office with his wife Andrea. Lucky for both of them, a superior daycare center is available in the same complex so they can go and visit their brilliant three year old son, Marcus, to get advice on particularly tough programming issues.

Mr. Close is experienced with a variety of development platforms including Delphi, C++ Builder, JBuilder and Visual Basic, as well as programming destkop databases such as Paradox, FoxPro, and Microsoft Access. He is also thoroughly proficient with networking languages such as SQL, HTML, and PHP.

Janice Hayes is a master teacher, Doctor of RoHun? therapy, and a modern mystic, who has been working in the field of spiritual development since 1973. She joined BorgWarner from MeadWestvaco Corporation where she was Senior Vice President and Chief Financial Officer. She served in a variety of senior roles for the company and predecessor Mead Corporation from 1995 to 2002 in strategic planning and general management, including four years as President and General Manager of Mead Specialty Paper Division. She started her career at General Motors in operations and engineering, before moving to TRW to assume operational and business development responsibilities. She holds a master's degree in business administration from Harvard Business School and a bachelor's degree in industrial engineering from Purdue University. F. Timothy Richards, 54, is vice president, Electronics Group. He is also a member of the Delphi Strategy Board, the company's top policy-making group. Richards began his automotive career with General Motors Corporation, in 1972, as a cooperative education student at the former Packard Electric Division in Warren, Ohio. While at Packard, Richards was a product engineer and a supervisor of manufacturing/quality control. In 1982, Richards transferred to GM's Central Office Financial Staff in Detroit, where he assisted executive leadership in a number of assignments over a five-year span. Those included responsibilities with GM's Asia Pacific and Automotive Components Group leadership teams. Richards then transferred to Delphi Harrison Thermal Systems where, over a five-year period, he held a number of positions, including manufacturing superintendent, marketing manager, and assistant comptroller. In 1993, Richards was appointed finance director for General Motors' North American Operations engineering, and he was later named executive assistant to the GM chief executive officer and president. Richards returned to Delphi Thermal in 1995 as the division's director of sales and marketing. In 1997, he was named the division's European managing director, later moving to global business line executive for Climate Control and Powertrain Cooling Systems. On May 1, 2002, he was named executive director of business lines for Delphi Energy & Chassis Systems. He was appointed vice president, sales & marketing effective January 1, 2004, and was named to his current position on July 1, 2006. A native of Warren, Ohio Richards has earned a bachelor of electrical engineering degree from Kettering University and he was a GM Fellow at the University of Michigan where he earned an MBA degree.

Recent Business Experience: Mr. Englar held numerous positions with Burlington Industries, Inc. from 1978 - 2003, including Senior Vice President, Corporate Development and Law, Senior Vice President and Chief Financial Officer and Vice President, General Counsel and Secretary. He served as a Director of Burlington from 1990 - 2003. In 2001, due to increasing global competition, the company filed for Chapter 11; Mr. Englar was a member of the executive team that successfully took the company private when a financier acquired it in 2003. Before joining Burlington, he spent seven years at the law firm of Davis Polk & Wardell in New York and Paris. Mr. Englar is a member of the Compensation and Public Issues Committee of Delphi's Board of Directors.

Elected to United's board of directors in 2002, John H. Walker is the chief executive officer of Global Brass and Copper, Inc. the leading manufacturer and distributor of copper and copper-alloy sheet, strip, plate, foil, rod and fabricated components in North America. Prior to joining Global Brass and Copper, Inc. Mr. Walker was the president and chief executive officer of The Boler Company (the holding company of Hendrickson International, a commercial heavy-duty vehicle supplier) from 2003 to 2006 and president and chief executive officer of Weirton Steel Corp from 2000 to 2003. Earlier in his career, Walker was president of Kaiser Aluminum's flat rolled business and an associate with McKinsey & Company. Walker also serves on the boards of Delphi Corporation, Nucor Corporation and the American Red Cross of Greater Chicago. He received his bachelor's degree in engineering from Virginia Polytechnic Institute and a master's degree with distinction in business administration from Carnegie Mellon University.

Martin Welch was appointed executive vice president and chief financial officer of United Rentals in 2006. His more than three decades of financial management experience include numerous executive positions with private and public companies. Prior to becoming interim chief financial officer of United Rentals in 2005, Mr. Welch served as director and business advisor to the private equity firm York Management Services. From 1995 to 2001, Mr. Welch served as chief financial officer for Kmart Corporation, where he was instrumental in restructuring the company's balance sheet and strengthening its financial operations. In 1998, CFO Magazine recognized Mr. Welch as a finalist for CFO of the Year for his success in building a high impact finance team at Kmart. He served as chief financial officer for Federal-Mogul Corporation from 1991 to 1995, and held various finance positions at Chrysler Corporation from 1982 to 1991, including that of chief financial officer for Chrysler Canada. Mr. Welch began his career at Arthur Young (now Ernst & Young), and is a certified public accountant. He serves on the boards of Delphi Corporation and York portfolio company Northern Group Retail Ltd. He holds a bachelor of science degree in accounting and a master of business administration degree in finance, both from the University of Detroit Mercy.

Patrice Riela is a director with Delphi, specializing in the valuation of closely held businesses, professional practices, and intangible assets. Prior to joining Delphi, Patrice was a consultant in the valuation and litigation services group of Tofias, P.C., where she specialized in business valuation, litigation support, audit related services, construction contract surety and construction compliance related services. Prior to her 3.5 years at Tofias, she was a consultant with a boutique consulting firm in New York City, Kahn Consulting, Inc., focusing on construction litigation matters, investigative auditing work, business valuations, Chapters 7 and 11 bankruptcy proceedings, database design work, and financial advisory services. Prior to her experience as a consultant with Kahn, she was a credit underwriter for a large insurance company, where she performed in-depth financial analyses of mid to large-size construction companies. Patrice earned a Bachelor of Science in finance from Boston College. She subsequently received a Certificate of Accounting from New York University's, Leonard N. Stern School of Business, passed all four parts of the CPA exam in her first sitting, and is licensed in the State of New Hampshire as a Certified Public Accountant ("CPA"). Patrice is a Certified Business Appraiser ("CBA") and also a member of The Institute of Business Appraisers, Inc.

Mr. Raymond J. Milchovich has been our Chairman and Chief Executive Officer since October 2001, and was our President from October 2001 until January 2007, at which time Umberto della Sala was elected our President and Chief Operating Officer. From January 2000 until October 2001, Mr. Milchovich served as the Chairman, President and Chief Executive Officer of Kaiser Aluminum Corporation and its subsidiary, Kaiser Aluminum & Chemical Corporation, a leading producer and marketer of alumina, aluminum and aluminum fabricated products. He is also a director of Delphi Corporation, a company specializing in mobile electronics and transportation components and systems technology. Mr. Milchovich, who is 58 years old, became a member of our Board of Directors in 2001. His term will expire at our annual general meeting in 2011.
