Charles E. Hallberg joined our Board in September 2007. Mr. Hallberg founded MemberHealth, Inc. in 1998 and is the president and chief executive officer of its successor company. Mr. Hallberg previously served as vice president of marketing and sales and a principal of Continental Managed Pharmacy, an integrated prescription benefit mail service pharmacy. He also founded Automated Scripts Net, a national pharmacy benefits management company. Prior to that, Mr. Hallberg served as executive vice president, administration, general counsel and secretary at General Computer Corporation, now MedE America Corporation, a WebMD company. Previously he served as corporate counsel for Revco D.S., Inc.

Richard A. Barasch has been a director and executive officer of Universal American since 1988. He became chief executive officer in 1995 and chairman of the board in 1997. Mr. Barasch is a member of the Board of Managers of Swarthmore College, chairman of The Friends of the Bronx Leadership Academy, a director of The Center for Arts Education and a director of Horace Mann Summer on the Hill. He is past chairman of the Life Insurance Council of New York. He is a graduate of Swarthmore College and Columbia University Law School where he was a member of the Law Review.

Gary Jacobs joined Universal American Financial Corp. in 2000 when CHCS Services was acquired by UAFC. Prior to founding CHCS Services, Mr. Jacobs was the executive director of Staff Builders Health Care Services, a Medicare-certified home health agency. Earlier, he was president of HMI, a national HMO management and consulting firm. Mr. Jacobs holds a B. A. in political science from Boston University and a master's in public administration from American University.

Gary W. Bryant has been with Universal American and subsidiary companies since 1983 serving in a variety of executive positions. Prior to that, Mr. Bryant was executive vice president of National Savings Life Insurance Company of Tennessee. Mr. Bryant is a board member of Weekends of Greater Orlando, an organization that promotes good choices to teenagers in central Florida. Mr. Bryant is a graduate of Memphis State University where he received a bachelor degree in business administration.

Chief Operating Officer, CHCS Services, Inc. Jason Israel is responsible for the daily operations of CHCS Services. Mr. Israel has over 28 years experience in the financial services and insurance industries. Before joining CHCS Services in 2002, Mr. Israel was an insurance consultant specializing in operations, strategic planning, disaster recovery and reinsurance. Previously, he had a 13-year career with American Bankers Insurance Group, a $3 billion financial services company, holding positions of increasing seniority before being named Executive Vice President, Administration and Information Technology in 1996. Mr. Israel has a BS in Accounting from Syracuse University and is a Certified Public Accountant.

Mr. Averill is President of Averill Management Enterprises, Inc. ("AME"), a consulting firm specializing in the managed healthcare industry. Prior to establishing AME, Mr. Averill served three years as President of Health Net of the Northeast, Inc. Prior to that, Mr. Averill worked at Humana, Inc. from 1991 to 2000, serving as its Regional Vice President beginning in 1998. Mr. Averill also was the President and CEO of Michael Reese Health Plan, Inc. from 1984 to 1991. Mr. Averill has served as the President and as a member of the Boards of Directors of many professional organizations within the managed care industry, including the Illinois HMO Association, Group Health Association of America, American College Health Association, and the Accreditation Association for Ambulatory Health Care.

Mr. McLaughlin is a Special Member of Wand and the Founder of Emerald Capital, a distressed asset manager and a corporate finance advisor to insurance companies. Mr. McLaughlin is closely affiliated with Wand with regard to private equity investing. Over the past decade, he has been actively involved in eight of Wand's platform businesses in the insurance industry. Mr. McLaughlin previously served as an Executive Vice President and Chief Investment Officer of Life Partners Group; a Managing Director of Conning & Company; the Senior Vice President and Chief Investment Officer of ICH Corporation, the Senior Vice President-Special Markets of SunAmerica; and, President and Chief Operating Officer of Philadelphia Financial Group. Mr. McLaughlin received a Bachelor of Arts degree, with a concentration in Finance, from Widener College.

Robert A. Spass has served as a Director since July 1999. Mr. Spass is the Chairman of the Board, Chief Executive Officer, a Partner and co-founder of Capital Z, which owns 23.5% of our voting stock, and Chairman of the Board, Chief Executive Officer, a Partner and co-founder of Union Square Partners Management, LLC, the successor firm of Capital Z Management, LLC. Union Square, an affiliate of Capital Z's successor fund, is the owner of approximately 4.9% of our voting stock, assuming that requisite clearances, approvals or waivers are obtained that would permit the exchange of the shares of series A preferred stock for shares of series B preferred stock. Prior to founding Capital Z in 1998, Mr. Spass was the Managing Partner and co-founder of Insurance Partners, L.P. from 1994 to 1998. Prior to the formation of Insurance Partners, L.P., Mr. Spass was President and CEO of International Insurance Advisors L.P. from 1990 to 1994. Prior to that, Mr. Spass was a Director of Investment Banking at Salomon Brothers from 1984 to 1990 and a Senior Manager for Peat Marwick Main & Co. from 1978 to 1984. Mr. Spass serves on the board of directors of Endurance Specialty Holdings, Ltd., and Lancashire Holdings Limited.

Robert F. Wright , 82, has served as a Director of the Company since August 2005. He has also served as a Director of RSLIC and RSLIC-Texas since April 1990 and as a Director of FRSLIC since October 1989. He serves as the President and Chief Executive Officer of Robert F. Wright Associates, Inc., a business consultancy which he founded in 1988. Mr. Wright also serves as a director of The Navigators Group, Inc. and Universal American Financial Corp.
