James E. McLoughlin is the Senior Vice President of Sales, Marketing, and Business Development for WorldGate. Mr. McLoughlin was appointed Vice President of Business and Account Development in February 2001. Mr. McLoughlin is responsible for all sales, deployment, and business development efforts. Mr. McLoughlin has 20 years of cable industry affiliate sales and operational experience. He got his start in the business when he joined HBO, cable's market-leading subscription service, in 1981. He earned progressively responsible positions at HBO, including Account Executive, Regional Sales Manager, Director of Affiliate Operations, and finally, Vice President of Affiliate Sales and Operations of HBO's Philadelphia region. Mr. McLoughlin played a central role in taking HBO from a promising premium service to the cable industry's largest, most profitable quality premium network. Mr. McLoughlin is an active member of many industry organizations, including the American Marketing Association's Speakers Bureau, the Boards of Directors of the West Virginia Cable Television Association, Atlantic Cable Show, and CTAM of the Mid-Atlantic and New Jersey Cable Telecommunications Association. He was president of CTAM Mid-Atlantic from 1991 to 1995. He also served on the Long Range Plan Committee for the Tredyffrin-Easttown School District, the Board of Directors of the Devon-Strafford Little League, and the Board of Advisors of the Caron Foundation. Mr. McLoughlin earned an MBA in Finance from The Wharton School at the University of Pennsylvania. He also holds an M.A. degree from Columbia University, and a B.S. degree from Niagara University.

Clarence L. Irving, Jr. has been a member of our board of directors since July 2000. He has been President and Chief Executive Officer of Irving Information Group, a consulting services firm, since October 1999 and has served as a director of Covad Communications Group, Inc. since April 1999. Covad owns and operates the largest national broadband network, and is a leading supplier of facilities-based provider of data, voice, and wireless telecommunications solutions for small and medium-sized businesses. Covad is also a key supplier of high-bandwidth access for telecommunications services providers like EarthLink, AOL, and AT&T. On August 15, 2002, Covad Communications Group, Inc. filed a voluntary petition for relief under Chapter 11 of the Federal bankruptcy code in the United States Bankruptcy Court for the District of Delaware. Mr. Irving served as Assistant Secretary of Commerce to the United States Department of Commerce from June 1993 to October 1999.

Jeff Morris has been a member of our board of directors since April 2001. Mr. Morris is currently Senior Vice President of Long Term Strategy & Technology Development at Showtime Networks Inc., an originator and distributor of entertainment content through its premium television networks SHOWTIME , THE MOVIE CHANNEL and FLIX , as well as the multiplex channels SHOWTIME TOO , SHOWTIME SHOWCASE, SHOWTIME EXTREME , SHOWTIME BEYOND , SHOWTIME NEXT , SHOWTIME WOMEN , SHOWTIME FAMILYZONE and TMC xtra. He has been in his current position since August 2005. From June 2001 to July 2005, Mr. Morris was the principle of Digital Media Consulting, a new media consulting company. From July 1999 to April 2001 Mr. Morris was President and Chief Executive Officer of Yack, Inc., an Internet events and program guide. Mr. Morris is a veteran of the cable television industry, including a previous tenure from 1984 through 1999 at Showtime Networks, Inc., where his last position was Senior Vice President of New Media and Technology Development.

Richard P. Nespola is the founder, Chairman and CEO of The Management Network Group, Inc. (NASDAQ: TMNG), the leading provider of strategy, management, operational, and technology consulting services to the global telecommunications, media and entertainment industries. TMNG Global and its operating divisions, Cambridge Strategic Management Group (CSMG) and Cartesian, have performed services for more than 1,200 clients worldwide. During Rich’s diversified career in telecommunications, he has acquired extensive experience in developing strategic and tactical plans across a broad range of areas. He has spearheaded assignments to assist clients with their transformation including new business models, infrastructure, processes and systems required to meet the needs of a dynamic marketplace.
TMNG worked with a partner to develop the advanced Wireless Technology Lab, in San Diego, California—the first of its kind in the nation, providing a vendor- and technology-neutral environment for the testing and showcasing of emerging wireless technology infrastructure, applications, and operations.Prior to founding The Management Network Group in 1990, Rich held executive positions with MCI and Sprint.
Rich serves on several corporate boards, is a member of the Executive Council of the International Engineering Consortium, and was named by Phone + magazine in 1997 and in 1998 as one of the industry’s 25 most influential people. He received the Ernst & Young Entrepreneur of the Year® Master Award for the Western Region making him a national finalist in the Ernst and Young Entrepreneur of the Year® program in 2000. Rich previously served as a director and chairman of the Association of Telecommunications Financial Managers. In addition, he was part of the adjunct faculty in the College of Management, having earned his BA and MBA from C.W. Post College of Long Island University.
Rich has been published in various industry journals, has made presentations at numerous industry forums, and is often quoted by the press on industry trends.
