Magna International Inc.

Mr. Wolf, age 51, serves as the Co-Chief Executive Officer of Magna. In addition to serving on Magna's Board since March 8, 1999, Mr. Wolf serves as a supervisory board member of Österreich Industrieholding AG (Republic of Austria holding and privatization agency), Siemens AG Österreich (Siemens Austria) and HGI Beteiligungs AG.

Frank Stronach is the founder and Chairman of Magna International Inc. Mr. Stronach was born in Weiz, Austria and immigrated to Canada in 1954 with a working background in tool and machine engineering. In 1957 he formed a tool and die company, Multimatic Investments Limited, which subsequently expanded into the production of automotive components. In 1969, Multimatic Investments Limited merged with the Magna Electronics Corporation Limited, and subsequently became Magna International Inc. In 1971, Mr. Stronach introduced to the Corporation his management philosophy, which is known as Fair Enterprise. It is based on a business Charter of Rights which predetermines the annual percentage of profits shared between employees, management, investors and society, and makes every employee a shareholder in the Company. These rights are enshrined in a governing Corporate Constitution. Mr. Stronach has served on numerous corporate, government and university boards and has provided assistance to a wide range of charitable and community service organizations. He is the recipient of a Doctor of Philosophy, Honoris Causa from Haifa University in Israel, a Doctor of Laws, Honoris Causa LL.D. from the University College of Cape Breton, and a Doctor of Commerce, Honoris Causa from St. Mary's University in Halifax. In 1996, Mr. Stronach was inducted into the Canadian Business Hall of Fame. He won the 1997 "Business Leader of the Year Award" from the Richard Ivey School of Business and the 1998 "Entrepreneur of the Year Award" from the University of Michigan. In 1999, he was named a recipient of the Order of Canada and in 2000 he won the Ernst & Young "Entrepreneur of the Year Lifetime Achievement Award". In 2002, the Canadian Council for International Business named Mr. Stronach as the 2001 "Canadian International Executive of the Year", and in 2004 he received the Yves Landry Foundation "Person of the Year" Award for his achievement in promoting technological education and technical skills training.

Mr Gingl, age 57, currently serves as Magna's Executive Vice-Chairman and has served on Magna's Board since January 14, 2002. Mr. Gingl previously served as the Chairman and Chief Executive Officer of Tesma International Inc., one of Magna's former "spinco" public subsidiaries. Mr. Gingl previously served as a director of Magna between 1981 and 1994.

Ms. Stronach, age 42, is currently Executive Vice-Chairman of Magna and previously served as Chief Executive Officer of Magna (2001 to 2004) and President (2002 to 2004). Prior to 2001, she held various other senior management positions at Magna and served on the Board (1988 to 2004). She is currently serving as a director since September 20, 2007. Ms. Stronach served as a Member of Canada’s House of Commons (from 2004 until 2008) and previously served as Minister of Human Resources and Skills Development, Minister Responsible for Democratic Renewal and Minister Responsible for Service Canada (2005). A founding member of the Canadian Automotive Partnership Council, Ms. Stronach has also served on the Ontario Task Force on Productivity, Competitiveness and Economic Progress, and is a director of the Yves Landry Foundation, established to advance technological education and skills training for the manufacturing industry.

Mr. Walker, age 52, serves as the Co-Chief Executive Officer of Magna and was formerly the President, Chief Executive Officer and a director of Intier Automotive Inc., one of Magna's former "spinco" public subsidiaries. Mr. Walker has served on Magna's Board since November 7, 2005 and previously served on Magna's Board between 1994 and 2002. Mr. Walker is a founding member of the Yves Landry Foundation and is the Co-Chair of the Canadian Automotive Partnership Council.

Mr. Resnick, age 78, serves principally as a corporate director and has served on Magna's Board since February 25, 1982. In addition to serving on Magna's Board, Mr. Resnick serves as a director of Consolidated Mercantile Inc. (TSX: CMC) and Genterra Inc. (TSX: GIC.SV.A). Mr. Resnick was formerly a partner of Deloitte & Touche.

Mr. Vranitzky, age 71, is a corporate director. In addition to serving on Magna's Board since June 11, 1997, Mr Vranitzky serves as a Director of Touristik Union International and Magic Life International, where he serves as Chairman. Mr. Vranitzky is a former Federal Chancellor of the Republic of Austria (1986 to 1997) and Minister of Finance (1984 to 1986), as well as a former Chairman of the Board of Österreichische Länderbank AG and Deputy Chairman of the Board, Creditanstalt-Bankverein Bank.

Mr. Worrall, age 66, is a corporate director. In addition to serving on Magna’s Board since November 7, 2005, Mr. Worrall is a director of the Greater Toronto Airport Authority and Productivity Improvement Center. He is also a former Vice-President, Purchasing, Strategic Planning and Operations, as well as a Director, of General Motors of Canada Limited.

Mr. Harris, age 64, is a Consultant and Senior Business Advisor at Goodmans LLP, a law firm. Mr. Harris served as a member of provincial parliament in Ontario, Canada (1981 to 2002), including as the Premier (1995 to 2002), as well as Minister of Natural Resources and Minister of Energy (1985). In addition to serving on Magna’s Board since January 7, 2003, Mr. Harris serves on the public company boards of Augen Capital Corp., ENMAX Corporation, First Service Corporation, Canaccord Capital Inc., EnGlobe Corporation and Chartwell Seniors Housing REIT, as well as the boards of Grant Forest Products, Inc., Tim Horton Children’s Foundation and Mount Royal College Foundation. Mr. Harris is a Senior Fellow of the Fraser Institute.
